GOVERNMENT RESPONSES TO INDUSTRY QUESTIONS – 1 Dec 10 SOLICITATION No. FA4890-10-R-0001, Contracted Advisory and Assistance Services IV (CAAS IV)

It is our interpretation that FAR Clause 52.204-10 is not applicable if a DD254 is included in the contract award or in subsequent task orders. Please verify that this interpretation is correct.

The requirement for a DD 254 does not necessarily equate to a CLASSIFIED program or requirement. It may only identify that contractors performing under the contract will be exposed to or handle CLASSIFIED documents, and thus does not infer that the entire contract or program is CLASSIFIED.

The Defense Acquisition Regulation Council is currently reviewing this clause for more direct interpretation. Until that time, specific enforcement under CAAS IV will be made at the task order level. Contractors will only be determined exempt from the requirements of 52.204-10 if the overall program or task order itself is determined CLASSIFIED. Task orders that involve only contractor exposure to or handling of classified documents will not be exempt.

Previous questions and answers addressed Performance Price Tradeoff (PPT) issues. We fully understand the statement “This competitive best value source selection will be conducted in accordance with FAR Part 15 and AFFARS Informational Guidance 5315.101-1, Performance Price Tradeoff (PPT), as further refined in this solicitation.” The referenced documents make it clear that an essential element of a PPT is to tradeoff performance and price. There seems to be a conflict with this basic definition of a PPT and the guidance in Section M-1.1. The last section of that paragraph reads, “Within this framework, multiple awards will be awarded starting with the lowest priced offeror, and then the next lowest priced offeror, in sequence, in each completion pool, that is technically acceptable, receives a performance confidence assessment rating of “Satisfactory” or higher, and is fair and reasonably priced.” This appears to be some kind of hybrid between a PPT source selection and a Low Price Technically Acceptable (LPTA). It would appear you are going to award to the lowest bidders subject to them being technically acceptable and having an “acceptable” performance confidence rating of Satisfactory or higher. Is this the Government’s intent? There is no apparent tradeoff between performance and price, so how can it be called a PPT? If this ambiguity is not clarified, we are concerned that this could lead to multiple protests and delays in the start of the program.

Will the Government consider changing the wording of M-1.1 to make this a traditional PPT with a full trade-off between performance and price? This would allow an award to a higher priced bidder with a higher performance confidence assessment.

We appreciate your feedback, but we intend to evaluate proposals as further refined in the RFP.

L-8.2 Past Performance Questionnaires (PPQ) (Attachment 3) states, “the government requests that Offeror’s send PPQs with attached PPQ cover letter at Attachment 4 to each of the Points of Contact (POC) identified on the Offeror’s PPI sheet(s) in the Past Performance Volume.” On the PPI sheets there are three POCs required. Does the government wish the Offeror to have all 3 POCs per PPI/contract submit a Questionnaire/PPQ on that single contract or is one PPQ per contract sufficient? For example, if the government requires all three POCs to complete PPQs and an Offeror submitting all 8 allowable PPI sheets, the government will be receiving 24 PPQs for a single proposal submission. Or, does the government wish one PPQ per PPI – meaning only 8 PPQs will be provided by clients for a single proposal submission? Please clarify.
Per answers to questions posted to FedBizOpps on 19 Nov 20, “IAW L-8.2, it is the Offeror’s responsibility to send, “…PPQs with attached PPQ cover letter at Attachment 4 to each of the Points of Contact (POC) identified on the offeror’s PPI sheet(s) in the Past Performance Volume.””
4
L-8 and Attachment 3- PPQ. If the Offeror is submitting as a prime contractor and also a subcontractor on another team, can the Offeror submit only one PPQ to a client to submit on the same PPI for both proposals? Since there is no area on the PPQ to define what prime proposal it should be directed toward, will the government make copies of that PPQ and incorporate in both proposals if it is identified in both proposals?
Per answers to questions posted to FedBizOpps on 19 Nov 20, “When submitting PPQs that apply to more than one offeror, it is the Contractor’s responsibility to advise the Government which proposals those PPQs apply to.”

Past Performance Tool: In the Business Relationships screen (Step #1), the past performance information tool asks that we create new records for each team member (prime, sub, joint venture, or other). It also asks for a place of work, a percentage of work performed, and a description of each company's responsibilities. Given that each company entered under Step #1 must be assigned some percentage of work that totals no more than 100%, are we correct in assuming that this percentage refers to the work we anticipate each company will perform under CAAS IV? If this is not the case, does the percentage refer to the percentage of work each company performed on the past performance being cited for that company?
Per answers to questions posted to FedBizOpps on 19 Nov 20, “The total must equal 100% to complete the tool. Submit percentages only on the Prime and any partners for which you are submitting Past Performance Information IAW L-8.1.2.”

Section L-5.3.2 States that “Offerors shall NOT submit any documents in PDF that are copied as images. Offerors may use JPEG images for charts or screen shots.”

Currently the SF 33 that is part of the RFP (a word document) is a picture. We plan to print it off and signed it as the original. How does the government want the electronic copy of items that need to be signed such as the SF-33 to be submitted on the CD’s? In order to submit this form with a signature, it must be scanned.

Thank you for pointing this out. Since the SF33 was presented to industry as an image in the RFP, offerors may submit their signed electronic copy of the SF33 back to the Government as a .pdf image, but must still comply with the other limitations set forth in RFP paragraph L-5.3.2.

6
In referenced cover letter we noticed that the Government expects to post another round of answers to questions NLT 7 December 2010 (ref: para 2).

Since the due date for the proposal is 9 December, this date will not allow sufficient time to adjust its proposal, if needed.

We would respectfully request that the date for posting the last round of answers be moved forward to NLT 1 December in order to give respondents time to react and adjust their proposals as necessary.

We fully understand Industry’s concerns in this matter. Our intent is for this posting, 30 Nov 10, to be the last posting as we have not received any additional questions. However, we may receive additional questions, and we intend to keep industry fully informed.

After reviewing the Amendment 1 and all the attachments we need clarification on the below question. “Offerors shall submit their small business subcontracting plan as described in H-5 and L-7.4.1.5 per the Department of Defense Small Business Subcontracting Goals and shall submit those goals in terms of percentages not dollar values.”

H-5 Small Business Subcontracting Goals requires that the Contractor submit how they’ve performed compared to their goals every 6 months via the Electronic Subcontract Reporting System (eSRS). Dollar values are needed for input into eSRS. Is it the intent of the Government that the Contractor include only goals and report only those dollars awarded during the period of performance against the goals?

Per answers to questions posted to FedBizOpps on 19 Nov 20, “Offerors shall submit their small business subcontracting plan as described in H-5 and L-7.4.1.5 per the Department of Defense Small Business Subcontracting Goals and shall submit those goals in terms of percentages not dollar values….” The Government will assess the Contractor’s ability to meet these goals (percentages) as part of CAAS IV performance using awarded task orders.

8
Paragraph 2 of the Memorandum For Potential Offerors: Memo indicates the Government anticipates posting responses to additional questions NLT 7 December 2010. Given proposal editing and production timelines and deadlines, it is possible that offerors may be unable to incorporate any required changes based on a proposal due date of 9 December 2010.

Question: Will the Government either revise the release date of the final responses to submitted questions to NLT 3 December 2010 or confirm the responses will not affect proposal submission requirements?

See response to Question #6 above.

9
Issue: Section H-2 defines cross teaming relative to the CAAS IV solicitation. PWS Paragraph 1.2.1.9 states in part: “When cross-teaming, the OCI Plan shall address separate physical locations, separate work forces, separate management, separate computer systems, etc…”

The Government’s emphasis on cross teaming and the resulting requirement for “separate management” may indicate that the Government believes that any cross teaming relationship automatically will result in an organizational conflict of interest (OCI).

Question: Does the Government consider the simple act of cross teaming automatically will result in an OCI?

Cross-teaming may or may not always be an OCI issue. The Offeror’s OCI Plan needs to address when it creates an OCI issue. See response to question #8 posted to FedBizOpps on 19 Nov 20.

10
Issue: PWS Paragraph 1.2.1.9 states in part: “When cross-teaming, the OCI Plan shall address separate physical locations, separate work forces, separate management, separate computer systems, etc…” At some point in a company chain of command, management of separate divisions, branches, and programs comes together at a single point, the President. Small companies have little capacity or infrastructure to split management functions below that level. The requirement for “separate management” therefore has broad ramifications for large and small business alike relative to cross teaming.

Questions:

Is “separate management” required only at the task order level or is it required at the IDIQ level?

If required at the IDIQ contract level, does it apply only to technical management functions or is it the Government’s intent to have all technical and business functions separate at the contract level?

The “separate management” requirement is required only as it applies to potential OCI issues. The OCI plan at the ID/IQ (and task order level) should address “separate” requirements, as it pertains to possible OCI.

To meet the Government’s requirement for the return of Past Performance Questionnaires (PPQ) by 30 November, our PPQs were sent out prior to the Government’s 19 November guidance in the answers to questions #61 and 63 regarding PPQs that support multiple offerors. To provide the Government the requested advice on these PPQs in the answer to question #63, may we submit an email or letter directly to the CAASIV CO with notification, such that the Government will know by 30 November which proposals our PPQs should be apply to? Alternately, would the Government allow an additional page in Volume II to identify citations and PPQs that we expect will support multiple offers?
Yes, an email directly to the CAAS IV CO with the details will be fine. Offerors shall use the e-mail at CAASIVProgramOffice@langley.af.mil for this correspondence.

The Government will not allow an additional page in Volume II.

File details come from the government source that posted it. Updated .
