Attachment L-5 Section L - Instructions, Conditions, and Notices to Offerors
L-1. GENERAL INSTRUCTIONS
The Offeror’s proposal shall include all data and information requested and must be submitted in accordance with these instructions. In developing the proposal, the Offeror shall ensure that its proposed offer complies with all the requirements contained in the RFP, to include the Performance Work Statement (PWS), CDRLs and all contract attachments. Non-compliance with the instructions provided in this RFP may result in a determination that the proposal is nonresponsive and unawardable. Proposals shall be unclassified and no classified information will be accepted in response to this solicitation.
The proposal shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather, provide convincing rationale to address how the Offeror intends to meet the requirements. Elaborate brochures, corporate background and promotional/marketing-type information, detailed artwork, or other embellishments are unnecessary and are not desired. All claimed technical, management, performance, and schedule capabilities to meet Government requirements shall be realistic and are subject to verification by the Government. For the purpose of this solicitation, the Offeror shall assume that the Government has no prior knowledge of its facilities, capabilities, and experience. The Government will not assume the Offeror will do anything that is not expressly stated in its proposal.
The proposal acceptance period is specified in Section A of the Model Contract/Solicitation. The proposal shall be valid for a period no less than 365 days from the required submission date. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. The Government will destroy all extra copies of unsuccessful proposals. Under DPAS (15 CFR 700) this service contract is rated DO-C9.
1.1 General Information
1.1.1 Point of Contact
The Procuring Contracting Officer (PCO), Evelyn Swain, is the sole point of contact for this acquisition. The Offeror shall address any questions or concerns to the PCO at evelyn.swain@spaceforce.mil, courtesy copying the Contracting Officer, Katherine Williams, at katherine.williams.9@spaceforce.mil, and the Contract Specialist, Leonard Horniak, at leonard.horniak@spaceforce.mil
1.1.2 Debriefings
The PCO will promptly notify Offerors of any decision to exclude them from the competitive range, whereupon they may request and receive a debriefing in accordance with FAR 15.505.
Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing.
However, Offerors excluded from the competitive range are entitled to only one debriefing. In addition, the PCO will notify unsuccessful Offerors of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
1.1.3 Discrepancies
If an Offeror believes that the requirements in this RFP contain an error or omission, or are otherwise unsound, the Offeror shall immediately notify the PCO in writing with supporting rationale as well as the remedies the Offeror is asking the PCO to consider as related to the omission or error.
1.1.4 Electronic Reference Documents

1.1.5 Communication
Exchanges of source selection information between the Government and Offerors will be controlled by the PCO. Source selection information may be transmitted in person or via email, certified mail, or delivery service.
1.1.6 Notification to Offerors
In accordance with FAR 52.232-18, funds are not presently available for this effort. No award will be made under this solicitation until funds are available.
The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an Offeror for any costs.
1.1.7 Discussions
The Government reserves the right to award without discussions. However, if it is in the Government’s best interest to hold discussions, then the Government may conduct discussions with Offerors after establishing a competitive range of the most highly rated proposals based on the ratings of each proposal against all evaluation criteria.
The Offeror’s Final Proposal Revision shall capture any information provided in responses to Evaluation Notices (ENs) that impact the Offeror’s proposal. The Government reserves the right https://beta.sam.gov/ to incorporate a “strength” process or feature into the awarded contract.
1.2 Organization/Number of Copies/Page Limits
The Offeror shall prepare the proposal as set forth in the Proposal Organization Table 1 below.
The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits. The Volumes identified in Table 1 shall be separately bound in three ring, loose-leaf binders. Page separation tabs for each sub-factor shall be provided. The Offeror shall provide three (3) hard copies of the proposal and one electronic copy on one CD.
Any proposal, which fails to conform to the requirements or specifications in the solicitation, may be considered ineligible for award. Proposals should be complete and clear and not require additional explanation of information. The Government may make a final determination as to whether a proposal is acceptable or unacceptable based solely on the proposal as presented and submitted.

1.2.1 Page Limitations
Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and excess paper copies will be shredded. When both sides of a sheet display printed material, it shall be counted as two (2) pages. Each page shall be counted except for the following: Cover pages, Cover Letter, separation tabs, Tables of Contents, Glossaries, Quality Plan or Mission Essential Plan, and Acronym List.
Page limitations may be placed on responses to Evaluation Notices (EN). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the Offerors.
1.2.2 Cross Referencing
Cross-Referencing: To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross-referencing to other volumes of the proposal. Information required for proposal evaluation, which is not found in its designated volume, will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. The offeror shall provide a Solicitation Cross Reference Matrix indicating specific PWS paragraph number, and the corresponding proposal paragraph in that section which addresses the referenced item. The Cross Reference Matrix will not count against the page count requirements.
1.2.3 Binding and Labeling
Each volume of the proposal shall be separately bound in a three-ring, loose-leaf binder permitting volume to lie flat when open. Staples shall not be used. A cover sheet shall be bound in each book, clearly marked as to volume number, title, copy number, solicitation identification, and the Offeror’s name. The same identifying data shall be placed on the spine of each binder.
The Offeror shall apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
1.2.4 Indexing
Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections in all volumes.
1.2.5 Glossary of Abbreviations and Acronyms
Each volume shall contain a glossary of all abbreviations and acronyms used, with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.
1.2.6 Page Size and Format
A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 x 11 inches, not including foldouts. Pages shall be single-spaced. Except for the reproduced sections of the solicitation document, the text size shall be no smaller than 12 point, Times New Roman font. Margins shall be 1 inch on the top and bottom and ¾ inch side margins. Pages shall be numbered sequentially by volume. These page format restrictions shall also apply to responses of ENs. These limitations shall apply to both electronic and hard copy proposals.
Legible tables, Excel data files, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume, count as a single page, and are counted as part of the total page count. Foldout pages (11 x 17) are to be used to display information more clearly than would otherwise be possible on an 8.5 x 11 inch page. Foldout pages (11x17) may only be used for large tables, charts, graphs, diagrams and schematics, not for pages of text. Text in tables, charts, graphs and figures shall be no smaller than 8 point font Arial or Times New Roman. These limitations shall also apply to all electronic copy proposals.
1.3 Electronic Copies
The content and page size of hard copies must be identical to the electronic copies. For electronic copies, indicate on each CD-ROM/DVD the volume number and title. The Offeror shall use separate files to permit rapid location of all portions, including exhibits, supplements, and attachments, if any. All volumes must each be stored on a separate virus-free CD-ROM/ DVD. If files are compressed, the necessary decompression program must be included. For each submission, all CD-ROMs/DVDs shall be placed in plastic sleeves in one separate binder. The electronic copies of the proposal shall be submitted in a format that can be read and edited (for each applicable submission) by Microsoft Office 2016, Microsoft Internet Explorer 11.0, and/or Adobe Acrobat Complete or PDF compatible formats on CD-ROM/DVD. The Offeror shall not submit any documents in PDF format that are copied as “images.” When creating PDF files, the Offeror shall create them to enable textual search and copy functions. All data files and electronic media delivered to the Government must be reviewed to ensure that they are virus-free. In the event paper copy and electronic copy content conflict, electronic copy will take precedence over hardcopies.
1.4 Distributions
Original Proposals that contain the original signed model contract shall be marked as “Original”.

L-2. VOLUME I – FACTOR 1 TECHNICAL
2.1 General Instructions
The technical proposal Volume I should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to demonstrate how the Offeror intends to meet the requirements in the four subfactors. For each subfactor, the Offeror shall identify risks, if any, associated with the proposed approach and actions the Offeror will take to mitigate the identified risks. If no risks/mitigations are identified in the Offeror’s proposal, it indicates the Offeror does not consider there to be any risk associated with their proposed approach.
Offerors shall assume the Government has no prior knowledge of their capabilities, work processes, facilities, and experience and will base its evaluation on the information presented in the offeror’s technical proposal addressing the following subfactors within the Technical Factor:

Offerors may choose to propose performance enhancements. In order for the Government to consider a proposed enhancement’s value, the Offeror shall clearly identify and describe the enhancement and the benefit of the proposed enhancement within the appropriate technical subfactor and identify all associated costs/price specific to each enhancement when applicable.
Note: Offerors shall include any proposed enhancement cost/price within the CLINs proposed price but shall not exceed the Government budget as indicated in Section M paragraph 4.1.3.1.
2.2 Volume Organization
The technical volume shall be organized according to the following outline:

2.2.1 Subfactor 1 – Program Management
Provide a program management approach to provide comprehensive services for the LOSC requirements as listed in all contract documentation. Provide a program management approach that will be ready to perform on day one of operational assumption after the phase-in period.
2.2.1.1 Provide a phase-in plan with schedule detailing your approach to administer the phase-in efforts that includes how you will use the phase-in period to mobilize, train, observe, and otherwise prepare to assume complete responsibility on the first day of the base period.
2.2.1.2 Present an organizational chart which depicts in detail all required departments and disciplines and the proposed staffing for that area. Include your proposed workforce composition showing manning numbers by labor category and hours, including whether the position is under the prime or the subcontractor/teaming partner. The offeror should also clearly identify any areas the offeror intends to cross utilize employees. Describe each “Labor Category Description” identified to include position titles, qualifications, and certification requirements associated with LOSC PWS performance requirements. Offeror format is acceptable as long as it includes all information requested in the Staffing Matrix, Attachment L-1. The offeror’s organizational staffing shall be consistent with the numbers proposed in the Volume III Cost/Price. Any deltas associated with cross utilization of work performed under CLINs not associated with the Total Evaluated Price (TEP) shall be clearly identified.
2.2.2 Subfactor 2 – South Vandenberg Power Plant (SVPP)
Discuss proposed approach to SVPP to meet LOSC requirements as listed in the PWS. Provide a SVPP approach that will be ready to perform on day one of operational assumption after the phase-in period
2.2.2.1 Discuss Offeror’s approach to the operation and maintenance of the South Vandenberg 15-megawatt power plant to include the interdependency of turbines, catalytic converters, fuel, oil and waste storage, water treatment, NOx and CO emissions control, granular activated carbon filters, zeolite softeners and reverse osmosis.
2.2.2.2 Discuss Offeror’s approach to maintaining the Allen-Bradley ControlLogix System, South Vandenberg power grid/substation configuration (including the multiple substation configuration scenarios used), the use of dual-fuel injection systems and fuel switching procedures, load bank operation, and permits necessary to operate SVPP.
2.2.2.3 Discuss offeror’s approach to maintaining a constant workforce in between launch operations. *Note* Operations in direct support of a launch will be funded via a Task Order in CLIN X005. Maintenance of SVPP is required under CLIN X004 and should be part of the Total Evaluated Price (TEP).
2.2.3 Subfactor 3 – Pressure Vessels
Discuss proposed approach to Pressure Vessels to meet LOSC requirements as listed in the PWS. Provide a Pressure Vessel approach that will be ready to perform on day one of operational assumption after the phase-in period.
2.2.3.1 Discuss Offeror’s capability in ensuring compliance with the Air Force, Federal, and national consensus pressure vessel requirements with respect to maintenance, testing and certification.
2.2.3.2 Discuss certifications, documented training, and specific knowledge associated with aging pressure vessel infrastructure.
2.2.4 Subfactor 4 - Maintenance and Repair (Adjectival Rating)
Discuss Offeror’s approach to Maintenance and Repair to meet LOSC requirements as listed in the PWS. Provide a Maintenance and Repair approach that will be ready to perform on day one of operational assumption after the phase-in period.
2.2.4.1 Discuss Offeror’s approach in maintenance and repair, test and inspection of installed Real Property (RP) and Real Property Installed Equipment (RPIE) and mitigating solutions as they may present themselves in day-to-day activities
2.2.4.2 Discuss Offeror’s approach for an effective strategy to implement a Reliability Center Maintenance (RCM) program that ensures equipment achieves the desired levels of safety, reliability, environmental soundness, and operational readiness in the most cost-effective manner.
2.2.4.3 Discuss Offeror’s approach to corrosion control (CC) program at Vandenberg AFB.
Include the relative importance to maintenance and repair operations CC plays, and how it is incorporated as an integral part of an RCM program.
2.2.4.4 Discuss Offeror’s approach that demonstrates minimal environmental impacts to issues associated with performing corrosion control at Vandenberg AFB and its geographically separated locations (Oak Mountain, Pillar Point AFS, etc.).
2.2.4.5 Discuss processes and procedures to comply with the environmental requirements for Federal, State of California, and the Santa Barbara Air Pollution Control District.
2.2.4.6 Discuss offeror’s approach (to include processes and procedures) for performing maintenance and operations of generators in accordance with an approved Permit to Operate
(PTO).
L-3. VOLUME II – FACTOR 2 PAST PERFORMANCE
3.1 General Instructions
Offeror shall submit a Past Performance Volume to include the information requested in the Past Performance Questionnaire (Attachment L-2). Past Performance volume is requested one week prior to proposal closing but no later than date specified in block 9 of the SF 33. Past performance information will be evaluated for the Offeror and any member of the Offeror’s team who performs a minimum of 5% of the contract value. Citations submitted by team members not performing 5% of the contract value will not be evaluated. The Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance.
3.2 Consent/Client Letter
The Offeror shall submit a consent letter, Attachment L-3 (if applicable) executed by the company whose contract data is provided for consideration, authorizing release of adverse past performance information to the Offeror so the Offeror can respond to such information. Submit the Consent/Client Letters as an Appendix to Volume II Past Performance. The Consent/Client Letters will not count against the page count requirements.
3.3 Recent/Relevant Contracts
For the purpose of this source selection, recent present/past performance is defined as contracts performed within three years from the issuance of this solicitation. This relevancy portion of the evaluation will consider the Offeror’s performance as a prime contractor or as a subcontractor.
For Offerors proposing as a joint venture, the past performance of each partner will be considered. Past performance of team members will be considered if the value of the work the team member performs is equal to or exceeds 5% of the contract value. Team member past performance citations will only be evaluated in the subfactor areas they are proposed to perform for this acquisition. The Government will not consider citations for the Program Management subfactor from any company other than the prime offeror. Format data in accordance with para
3.4 below.

3.5 Specific Volume Requirements
The contractor shall submit citations to address each technical subfactor area: Program Management Approach, SVPP, Pressure Vessels, and Maintenance and Repair (minimum of 1 citation and a maximum of 3 citations per subfactor area). Offerors cannot provide a subcontractor’s citations in order to meet the Program Management subfactor relevancy rating.
Subcontractor citations may be submitted for the remaining three subfactor relevancy areas but are included in the maximum of 3 citations per subfactor area. For each relevant citation submitted, the Offeror shall address the following with respect to its relevant past performance:
a. Company name, contract name, and contract number for the relevant past performance.
b. Total Dollar Value. Provide the total dollar value and annual contract value of the requirement. (Original and Final)
c. Period of Performance. Provide the contract commencement and completion date of the citation.
d. Names, addresses, telephone numbers, fax numbers and email addresses for Contracting Officer Representatives (CORs), Administrative Contracting Officers (ACOs), and Contract Administrators.
e. Provide a brief narrative for each contract or subcontract listed. Explain the nature of the work involved and the extent the work involved was/is similar to this LOSC acquisition.
f. A description of the differences between the resources the Offeror used to perform the past effort and the resources the Offeror proposes to use for LOSC.
g. A description of the relevancy of the Offeror’s past performance with respect to the areas in each evaluation factor.
h. Contract Performance. Describe contract performance in terms of the items listed in the Past Performance Questionnaire (Attachment L-2). If the contract in question includes Incentive or Award Fee provisions, provide incentive or award fee data for the entire period of performance. For any work that did not meet original cost, schedule, or technical performance and requirements, explain the reason(s) for the disparity and any corrective actions taken to avoid recurrence. Provide rationale as to why the price or delivery at the end varied from the beginning. Describe efforts performed by the Offeror to resolve problems encountered during its relevant past performance, as well as efforts conducted to identify and manage program risk. The Offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified.
L-4. VOLUME III – FACTOR 3 COST/PRICE
4.1 General Instructions
The Cost/Price Factor volume shall contain the information requested in the paragraphs below.
The Offeror shall submit other-than-certified cost or pricing data (per FAR 15.403-1(b), 15.403- 3(a), and FAR 15.403-5) for the Government’s evaluation. The proposal shall contain sufficient details for the Government’s evaluation of reasonableness, realism (specific to proposed rates of Task Orders for CPFF CLINs), and unbalanced pricing for the best value decision. Compliance with these requirements is mandatory and failure to comply may result in a determination of non-compliance. The burden of proof for credibility of proposed amounts rests with the Offeror. The Offeror’s price proposal shall be based on their technical capability and approach to meeting the Government’s PWS requirements. If, after receipt of proposals, the PCO determines that there is insufficient data available to complete the cost/price evaluation, the Offeror shall be required to submit additional cost or pricing data. The use of Offeror formats is encouraged provided that all the required information is submitted.
The Government issued this solicitation with the anticipation of adequate price competition;
therefore, any cost/price documentation requested shall not be certified cost or pricing data.
However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from the Offeror and its business associates and may conduct negotiations with the Offeror. Pursuant to FAR Part 15.403-4. “Business Associate” is defined as any type of subcontractor, partner, interdivisional entity, teammate, affiliate, joint venture, or other arrangement, other than the Offeror itself, which will perform the contract requirements. Furthermore, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR
15.406-2. The Offeror shall acknowledge the requirement to provide additional cost or pricing information and certify the data prior to award if/when requested by the Government.
4.1.1 Cost/Price Volume Organization
The Offeror shall provide a consolidated Cost/Price volume and proposal organized as follows:
Section 1 – Introduction Section 2 – Estimating Techniques/Methods Section 3 – Cost/Price Section 4 – Forward Pricing Rate Agreement (FPRAs) if applicable/Proposed Rates for Task Orders (TOs) for CPFF CLINs (Table 4.4.1.2) Section 5 – Discussion of Business Systems Section 6 – Prime’s Cost/Price Analysis of Sub/Team Information Section 7 – Other Information
4.1.2 Rounding
All dollar amounts provided shall be rounded to the nearest dollar. All loaded labor rates shall be rounded to the nearest penny.
4.1.3 Electronic File Submission
The official copy of the Offeror's Cost/Price Volume shall be submitted in the following electronic formats as applicable: PDF Adobe Acrobat (with "Select", "Print", and "Copy" enabled to allow for text and graphics transfer), Microsoft (MS) Word 2016, MS Excel 2016, and MS PowerPoint 2016. All electronic files shall be delivered on CD-ROM/ DVD compatible with Microsoft Windows 10.
4.2 Introductory Section of the Cost/Price Volume
As an introduction, the Offeror shall provide narrative support for the Cost/Price proposal volume. The narrative shall explain the philosophy, methodology and assumptions used in proposing the dollar amounts. Any apparent imbalances in the pricing, any unrealistically low amounts, and any apparent pricing anomalies shall be clearly explained. The Government expects that consistency exists between the Technical and Cost/Price volume; any Offeror-intended inconsistency shall be clearly explained and convincingly demonstrate how the promised performance will be achieved at the proposed cost/price. The narrative should explain any changes in the labor mix year to year.
4.2.1 Offeror Summary Table
(Prime Plus Non-Prime Companies greater than 5% of total proposed dollars) The Offeror shall complete Table 4.2.1, below, listing all companies – prime and business associates – who will be involved with the performance and management of the contract.

4.3 Cost/Price Summaries
4.3.1 Offeror’s Total Evaluated Price (TEP) Calculation
The sum of the following Firm Fixed Price CLINs shall constitute the total evaluated price:
0001, 0002, 0003, 0004, 1001, 1002, 1003, 1004, 2001, 2002, 2003, 2004, 3001, 3002, 3003, 3004, 4001, 4002, 4003, 4004, 5001, 5002, 5003, 5004, and 6001, 6002, 6003, 6004. All TEP CLINs listed above, along with CLIN 0009, shall be entered into the model contract Section B within their proposal. CLIN 0009 will not be evaluated as part of the TEP.
4.4 All Rates (Direct and Indirect Rates for CPFF CLINs)
4.4.1 Offeror shall provide the below information for CLINs X005 and X007:
The Government has included a Government estimated plug number for these CLINs. The offeror is to identify their proposed Fixed Fee percentage and enter their Fixed Fee amount so that the total fee amount does not exceed the Government estimate (plug number). Provide a breakdown of fully burdened hourly rates that includes direct hourly labor rates for each job code, indirect expense rates (e.g. fringe benefits, overheads & G&A) and fee for the basic and all option years. These rates, if acceptable to the Contracting Officer, shall be considered to be contractually binding and will be incorporated into the contract as the maximum allowable rates for the purposes of negotiating CLINs X005 and X007. See Table 4.4.1.2 for the suggested format for the offeror’s proposed cost data for the forward pricing rates (FPR) submittal for CLINs X005 and X007 (Task Order CLINs).

4.5 Offeror’s Business Systems
The proposal shall indicate whether the Offeror has Government approval of the following systems: Accounting System, Estimating System, and Purchasing System. If these systems have been approved by the Government, please provide evidence of the approvals. The Government does not anticipate requesting accounting system reviews before contract award. IAW FAR 16.301-3, Limitations, offerors are not eligible to receive cost-type Task Orders until their accounting system has been approved by Defense Contract Audit Agency (DCAA). Please affirm that the proposal costs and prices are calculated based upon the approved systems.
4.6 The prime Offeror shall submit to the Government its written analysis of all non-prime proposals, regardless of the percentage of the total proposed price.
L-5. VOLUME IV – CONTRACT DOCUMENTATION
5.1 Contract Documents Specific Instructions:
5.1.1 Potential Organizational Conflict of Interest
The Offeror shall provide its own Organizational Conflict of Interest (OCI) analysis and submit the results of that analysis as part of its proposal by providing page 1 of Attachment L-4 (disclosure and analysis form) completed and provide an OCI Mitigation plan (if applicable). If the Offeror has attested to either having a potential or actual OCI situation on page 1 of Attachment L-4, the Offeror shall submit an OCI Mitigation Plan, and provide a completed OCI Mitigation Plan Checklist within Attachment L-4. Any proposed avoidance or mitigation techniques shall be consistent with FAR 9.5 and the most recent decisions of the Government Accountability Office and the U.S. Court of Federal Claims.
All OCI concerns resulting from an Offeror’s analysis shall be captured in their OCI Mitigation Plan. Resolution of OCI issues are treated in a manner similar to the Contracting Officer's contractor responsibility determination. Any communications necessary to resolve OCI issues shall not be considered discussions. As such, the Contracting Officer may contact the Offeror prior to any decision to enter into discussions in order to resolve questions or concerns with the Offeror's OCI analysis or mitigation plan.
5.2 Solicitation/Model Contract Representation and Certifications
Complete blocks 13, 14, 15, 16, 17 and 18 of the RFP Section A, SF 33; in doing so, the Offeror accedes to the contract terms and conditions as written in RFP Sections A through K. These sections constitute the model contract; exception is Attachment 2 (see below). An official having the authority to bind the Offeror contractually must sign the SF 33. One original SF 33 with original signature marked “Original” and three copies marked “Copy” shall be provided. The Offeror’s proposal shall be valid for a period no less than 365 days from the required submission date.
5.2.1 Attachment 2 – GFP Attachment Space Launch Delta 30 (DRAFT)
The Offeror shall provide only the cover sheet for the attachment (draft) and an acknowledgement statement on the second page, which states the following:
“Offeror acknowledges that Attachment 2 – GFP Attachment Space Launch Delta 30 will be updated during the phase-in period whereby the incumbent contractor will update the GFP listing in order for both the Government property personnel and the incoming contractor personnel will validate GFP to be contractually transferred between the current contract and the newly awarded contract. Attachment 2 will be added to the newly awarded contract during the phase-in period thru bilateral modification.”
5.2.2 Section B – Supplies or Services and Prices
The Offeror shall provide completed pricing information in Section B of the model contract for all Firm Fixed Price CLINs.
5.2.3 Section G – Contract Administrative Data. Complete any fill-ins required.
5.2.4 Section I – Contract Clauses. Complete any fill-ins required.
5.2.5 Section K – Representations, Certifications, and other Statement of Offerors
Complete representations, certifications, acknowledgments, and statements. Offeror must have filled out an online provision FAR Clause 52.204-8 Annual Representations and Certifications (March 2020), Online Reps and Certs at System for Award Management (https://www.sam.gov). If Offeror or teaming partner/subcontractor is a small business, they shall ensure certification as a small business under North American Industry Classification System (NAICS) 561210.
5.2.6 Acknowledgment of all amendments issued (if applicable)
5.2.7 Exceptions or Assumptions to Terms and Conditions
Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation.
Failure to comply with the terms and conditions of the solicitation may result in the offeror being ineligible for award.
5.3 Offeror Information Required
5.3.1 Authorized Offeror Personnel
The Offeror shall provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to the Offeror’s proposal and who can obligate the Offeror’s company contractually. Also, the Offeror shall identify those individuals authorized to negotiate with the Government.
5.3.2 Government Offices
The Offeror shall provide the mailing address and telephone for the cognizant Contract Administration Office if applicable, and DCAA Office. Also, the Offeror shall provide the name, telephone and fax number for the Administrative Contracting Officer (ACO).
5.3.3 Company/Division Address, Identifying Codes, and Applicable Designations
The Offeror shall provide company/division's street address, county and facility code;
Commercial and Government Entity (CAGE) Code; Data Universal Numbering System (DUNS) code; Taxpayer Identification Number (TIN); and size of business (large or small).
5.3.4 Department of Labor Equal Employment Opportunity (EEO)
Clearance.
IAW FAR Part 22.805, the PCO must request pre-award clearance on Prime contractors or Teaming Partners (not subcontractors) from the appropriate Office of Federal Contract Compliance Programs (OFCCP) regional office. If an offeror is listed in OFCCP’s National Pre-award Registry, located at http://www.dol-esa.gov/preaward/pa_reg.html, the offeror shall provide the PCO a copy of the database registration for Government verification as part of the proposal submission. If an offeror is not listed in the registry, include a statement providing this information and the PCO will request an EEO clearance review.
5.3.5 Mission Essential Contractor Services
The offer shall provide a Mission-Essential Contractor Services Plan IAW DFARS 252.237-7023 and DFARS 252.237-7024 and will be evaluated to determine each offeror's capability to meet the requirements of the solicitation and the PWS.
