About this file

This is a VA federal contract clause establishing limitations on subcontracting for services and construction contracts awarded to Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) and Veteran-Owned Small Businesses (VOSBs) under 38 U.S.C. 8127(l)(2).

The clause specifies three subcontracting threshold limits depending on contract type: for services (except construction), contractors cannot pay more than 50% of government-paid amounts to non-certified SDVOSB/VOSB firms; for general construction contracts, the limit is 85%; and for special trade construction contractors, the limit is 75%. Materials costs are excluded from subcontracting calculations for construction contracts. Any further subcontracting by certified SDVOSB/VOSB subcontractors counts toward these thresholds. Offerors must certify compliance with these limitations in their bid or proposal, and the Government will not consider offers from offerors that fail to provide the required signed certification. The clause grants the VA authority to request documentation at any time during or after contract performance to verify compliance, including invoices, subcontracts, and task value lists. Non-compliance by an awarded SDVOSB/VOSB can result in referral to the VA Suspension and Debarment Committee, fines under the Small Business Act, or prosecution under 18 U.S.C. 1001. Offerors acknowledge that false certification is subject to criminal, civil, and administrative penalties.
