L.6 FAR 52.252-5 AUTHORIZED DEVIATIONS IN PROVISIONS (APR 1984)
The use in this solicitation or contract of any Federal Acquisition Regulation (48 CFR Chapter 1) clause with an authorized deviation is indicated by the addition of “(DEVIATION)” after the date of the provision.

L.7 NFS 1852.231-71 DETERMINATION OF COMPENSATION REASONABLENESS (APR 2015)
(a) The proposal shall include a Total Compensation Plan. This plan shall address all proposed labor categories, including those personnel subject to union agreements, the Service Contract Act, and those exempt from both of the above. The total compensation plan shall include the salaries/wages, fringe benefits and leave programs proposed for each of these categories of labor. The plan also shall include a discussion of the consistency of the plan among the categories NASA Federal Acquisition Regulation Supplement Part 1852 Solicitation Provisions and Contract Clauses 2015 EDITION (Thru PN 18-16) 1852-97 of labor being proposed. Differences between benefits offered professional and non-professional employees shall be highlighted. The requirements of this plan may be combined with that required by the clause at FAR 52.222-46, "Evaluation of Compensation for Professional Employees."
(b) The Offeror shall provide written support to demonstrate that its proposed compensation is reasonable.
(c) The Offeror shall include the rationale for any conformance procedures used or those Service Contract Act employees proposed that do not fall within the scope of any classification listed in the applicable wage determination.
(d) The Offeror shall require all service subcontractors provide, as part of their proposal, the information identified in (a) through (c) of this provision for cost reimbursement or noncompetitive fixed-price type subcontracts having a total potential value expected to exceed the threshold for requiring certified cost or pricing data as set forth in FAR 15.403-4.
L.8 NFS 1852.233-70 PROTESTS TO NASA (DEC 2015)
(a) In lieu of a protest to the United States Government Accountability Office (GAO), bidders or Offerors may submit a protest under 48 CFR Part 33 (FAR Part 33) directly to the Contracting Officer for consideration by the Agency. Alternatively, bidders or Offerors may request an independent review by the Assistant Administrator for Procurement, who will serve as or designate the official responsible for conducting an independent review. Such reviews are separate and distinct from the Ombudsman Program described at 1815.7001.
(b) Bidders or Offerors shall specify whether they are submitting a protest to the Contracting Officer or requesting an independent review by the Assistant Administrator for Procurement.
(c) Protests to the Contracting Officer shall be submitted to the address or email specified in the solicitation (email is an acceptable means for submitting a protest to the Contracting Officer). Alternatively, requests for independent review by the Assistant Administrator for Procurement shall be addressed to the Assistant Administrator for Procurement, NASA Headquarters, Washington, D.C. 20546-0001.
L.9 PROPOSAL MARKING AND DELIVERY
(a) Failure to submit a complete electronic proposal by the due date and time specified for this RFP shall result in the proposal being considered late, and shall be handled in accordance with FAR 15.208(b).
(b) Proposal must be in electronic format
Offerors will submit the proposal using CD-ROMs. The Government requests an original and 1 copy of each CD-ROM to be provided.
(c) Methods of Proposal Delivery
Packages shall be delivered to the designated receiving office by one of the following methods:
· U.S. Postal Service
· Commercial Delivery Service
· Delivery by company employee or other individual agent
· Regardless of the method chosen above, the Offeror is responsible for delivery of the proposal to the designated receiving office no later than the date and time stated in Section L.16.2 (a).
(d) External Marking of Proposal Package(s)
a. All package(s) must be closed, sealed, and marked in large letters “PROPOSAL – DELIVER UNOPENED”. Package(s) must include the solicitation number, the Contracting Officer’s name, mail code/stop, and the Offeror’s name and address clearly marked on the outside of the package.
b. The Offeror shall include a notice on the cover of the package(s) as follows:
“NOTICE: THIS PROPOSAL MUST BE DELIVERED TO THE SPECIFIED ADDRESS NO LATER THAN (OFFEROR—ENTER DATE AND TIME).”

JSC Central Receiving can only be accessed through JSC Gate 4, which is located off Space Center Boulevard. Proposals will be considered to be timely if the proposal package arrives* in Building 420 by the due date and time.

L.10 AVAILABILITY OF SPECIFICATIONS
(a) For the purpose of this RFP, the Technical Reference Library contains the official versions of applicable and reference documentation. No other version of the documentation should be used.
(b) All non-copyrighted technical documentation which is incorporated directly by reference in this solicitation may be obtained from the Human Spaceflight Technical Integration Contract Technical Reference Library which is available online at Beta.SAM.Gov. In order to access the Beta.SAM.Gov Technical Library, refer to the Beta.SAM.Gov Vendor Guide at: https://www.Beta.SAm.gov/. The Human Spaceflight Technical Integration Contract acquisition website at: https://procurement.jsc.nasa.gov/hsftic/ includes a link to the Beta.SAM.Gov technical library.
(c) All copy-righted technical documentation which is incorporated directly by reference in this solicitation cannot be placed on the Human Spaceflight Technical Integration Contract Technical Reference Library. L.11 JSC 52.215-124 COMMUNICATIONS REGARDING THIS SOLICITATION (AUG 2018) (JSC PROCUREMENT INSTRUCTION)

L.12 JSC 52.215-125 OFFEROR ACCEPTANCE PERIOD (AUG 2018)
Proposals submitted in response to this solicitation shall remain firm for 365 calendar days after the date specified for receipt by the Government and shall contain a statement to this effect. Offerors shall insert 365 into Block 12 of Standard Form 33, Solicitation, Acceptance, and Award.

L.14 ACCOUNTING FOR LEASE COSTS
This solicitation covers a basic period of 2 years, with options for up to an additional 3 years (three 1-year options) of performance. In this regard, Offerors should be aware that Financial Accounting Standards (FAS) apply to Government contracts through their incorporation into the Federal Acquisition Regulation (see Federal Acquisition Regulation 31.205-36). Of particular interest in this context is Statement of Financial Accounting Standards (SFAS) No. 13, “Accounting for Leases.” The amount of lease costs that will be allowable under the contract will depend, in part, on whether the lease is considered to be “operating” (wherein lease costs would be allowable if otherwise allocable and reasonable) or “capital” (in which case, allowable lease costs would be limited to what the cost would have been if the contractor had acquired the facility and depreciated it).
Whether a lease is properly characterized as an operating lease or a capital lease depends upon criteria established by SFAS-13, which states, in pertinent part, that a lease is a capital lease if (1) the lease transfers ownership of the property to the lessee; (2) the lease contains a bargain purchase option; (3) the lease term is equal to 75 percent or more of the estimated economic life of the leased property; or (4) the present value of minimum lease payments equals 90 percent or more of the fair market value of the leased property. It should be noted that SFAS-13 provides that the determination as to whether a lease is operating or capital is to be made at the inception of the lease. An analysis is also required at the time an option is exercised if it is considered a “new agreement” in accordance with the provisions of FAS 13.
Under SFAS-13 criteria 3 and 4 above, the issue as to whether a lease is capital or operating may depend not only upon the apparent lease term expressed in the lease, but also upon whether termination of the lease before the expiration of the term is “reasonably possible” or a “remote contingency.” SFAS-5 (applicable to SFAS-13) defines “reasonably possible” as “the chance of the future event or events occurring is more than remote but less than likely.” The definition of “remote contingency” is “the chance of the future event or events occurring is slight.”
The Offeror shall submit copies of any proposed lease, along with a statement of whether it considers the lease to be capital or operating, for purposes of reimbursement under the contract. The Offeror should also include an analysis detailing the cost impact of treating the lease as an operating lease and the cost impact of treating the lease as a capital lease. The Offeror shall also, whether it considers the lease to be operating or capital, submit the rationale; therefore, with sufficient substantiation to enable the Government to conclude that the Offeror’s categorization and proposed cost of the lease is correct. The Offeror should explain where these costs are included in the cost proposal elements.

L.15 SAFETY AND HEALTH PLAN
(a) The Offeror shall submit a detailed safety and occupational health plan DRD (HSFTIC-SA-02), 30 days after Phase-in start. The plan shall include a detailed discussion of the policies, procedures, and techniques that will be used to ensure the safety and occupational health of Contractor employees and to ensure the safety of all working conditions throughout the performance of the contract.
(b) The plan shall similarly address subcontractor employee safety and occupational health for those proposed subcontracts or subcontract effort where the work will be conducted completely or partly on a Federally-controlled facility.
(c) This plan, as approved by the Contracting Officer, will be incorporated into any resulting contract.

L.16.1 INTRODUCTION
L.16.1.1 JSC 52.215-107 GENERAL INSTRUCTIONS FOR PREPARATION OF PROPOSAL (AUG 2018) (JSC PROCUREMENT INSTRUCTION)
This acquisition is being conducted as a competitive total small business set-aside. In providing these instructions, the Government’s intention is to solicit information that will permit a competitive evaluation of the Offeror’s proposal. The information solicited will demonstrate the Offeror’s competence and capability to successfully complete the requirements specified in the Human Space Flight Technical Integration (HSFTIC) Statement of Work (SOW). Generally, the proposal shall:
(a) Demonstrate understanding of the overall and specific requirements of the proposed contract; convey the company’s capabilities for transforming understanding into accomplishment; provide in detail, as requested, the plans and methods for so doing; and provide, as requested below, the cost and price associated with so doing.
(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and substantiation of all information. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements.
(c) Elaborate brochures or documentation, detailed artwork, or other superfluous embellishments are unnecessary and are not desired.
(d) Offerors are requested to provide information responsive to the items set forth below. This information is considered essential for the Government to conduct a fair and uniform evaluation of proposals in accordance with the evaluation factors and sub-factors provided in Section M. The items listed are not, however, all-inclusive and Offerors should include in your proposals any further discussion believed to be necessary or useful in demonstrating your ability to perform the work under this contract.
(e) The instructions in this part of Section L are directly related to the evaluation factors set forth in Section M. Table L-1 provides a cross reference from Section L to Section M.

(a) The entire proposal is due by 12/18/19 at 3:00 p.m. Central Time. Proposal Volume II, Past Performance is requested early (12/3/19), but not officially due until the proposal submittal date (12/18/19 at 3:00 p.m. Central Time). L.16.2.1 JSC 52.215-113 PROPOSAL FORMATTING INSTRUCTIONS (NOV 2018) (JSC PROCUREMENT INSTRUCTION)
(a)
(1) The following requirements apply to all sections of the proposal: The proposal text shall be submitted on 8 ½ x 11-inch electronic paper. The metric standard format most closely approximating the described standard 8 ½ x 11-inch size may also be used. Information shall not be incorporated by reference. A suitable table of contents shall be provided with each volume for ready reference to sections, tables, and figures. Pages shall be formatted in a standard page style, without the use of numerous columns.
(2) The following requirements apply to the sections of the proposal which are page limited: Sections of the proposal which are page limited shall be prepared and submitted using non-compressed Times New Roman font with single-spaced 12 point text with a one-inch margin on all sides in accordance with Microsoft Word default settings. Character spacing shall be “Normal” per Microsoft Word settings. Text in diagrams, charts, tables, artwork, and photographs shall be no smaller than 12 point text size. Diagrams, charts, tables, artwork and photographs shall not be used to circumvent the text size limitations of the proposal. The margins may contain headers and footers but shall not contain any proposal content to be evaluated.
(3) All pages in each volume shall be numbered sequentially with Arabic numerals (1, 2, 3, etc.) for contents subject to page limitations. Each side of the sheet, tab, or divider containing proposal material will be counted as part of the appropriate volume’s page limitations. Information that can be construed as belonging in another volume of the proposal will be so construed and counted against the appropriate volume’s page limitation.
(4) Title pages, table of contents, cross-reference matrices, glossaries, acronym lists, page tabs, and section dividers that do not contain information that can be construed as proposal information will not be counted as part of the page limitations. However, these pages shall be numbered with lower case Roman numerals (i, ii, iii, etc.) in order to provide ease of reference for the Government.
(5) Large tables, charts, graphs, plans, figures, diagrams, and schematics (not text) may be inserted in 11 x 17 inch pages. These 11 x 17 inch pages shall be counted as two pages against the page limitations and shall have one-inch margin on all sides.
(6) Pages submitted in excess of the limitations specified in this provision will not be evaluated by the Government and will be returned to the Offeror in accordance with NFS 1815.204-70(b). Minor informalities or irregularities in a proposal that can be adjusted, corrected, or waived without being prejudicial to other Offeror(s) may be accepted if it is immaterial to the acquisition. However, any pages contained in a page-limited section of your proposal which do not comply with the RFP requirements may be returned by the Government and not evaluated.
(b)
(1) The following requirements apply to the sections of the proposal which are not subject to page limitations: Sections of the proposal which are not page limited do not need to abide by the font type or size, page size, or margin requirements of the page limited sections, though the Offeror should ensure readability. All pages in each section shall be numbered sequentially with Arabic numerals (1, 2, 3, etc.) Title pages, table of contents, cross-reference matrices, glossaries, acronym lists, etc. shall be numbered with lower case Roman numerals (i, ii, iii, etc.) in order to provide ease of reference for the Government. Headers, footers, and corporate logos are not subject to the font type and size limitations.
(2) The electronic proposal shall be prepared and submitted in Microsoft Office® applications (Word and Excel). Further, the Microsoft Excel spreadsheets shall be submitted in Microsoft Excel format, not in a scanned Microsoft Word or Adobe PDF file. Microsoft Word documents shall be submitted in Microsoft Word format, not in an Adobe PDF file.
(3) Each volume of the proposal should be submitted as a separate electronic file. If a volume extends to multiple files, the Offeror shall clearly indicate the sequence number. The Offeror shall not embed sound or video files into the proposal files. Minimize the use of scanned images and keep embedded graphics as simple as possible.
(4) An electronic cover sheet should be contained as the first page of each electronic file clearly marked with volume number, title, solicitation identification, and the Offeror’s name. Be sure to apply all appropriate markings, including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-5, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
(5) Provide a Cross Reference List that tracks the page and paragraph numbers of the Offer’s proposal to the page and paragraph numbers in the Government’s instructions. A Cross Reference List shall be submitted in each Volume for that particular volume.
(6) If final proposal revisions are requested, separate page limitations will be specified in the Government's request for that submission.
L.16.3 VOLUME I - MISSION SUITABILITY (FACTOR 1)
The Mission Suitability volume shall be submitted in three sub-factors and divided into the following sections. The proposal must demonstrate that the offered item(s)/service(s) meet the baseline requirement.
The Offeror shall provide the following as part of Mission Suitability:

The proposal shall demonstrate that the Offeror understands the requirements and the risks associated with the objectives of this procurement. It is inadequate to simply state that the Offeror understands and will comply with the requirements, or to paraphrase the requirements, such as: “standard procedures will be employed to…” and “well-known techniques will be used for….” The Mission Suitability proposal shall explain how the Offeror proposes to comply with the applicable specifications, as well as, the techniques and procedures proposed to be implemented.
Information previously submitted, if any, will not be considered unless it is resubmitted as part of the proposal; it must not be incorporated by reference. Offerors must not assume that the Evaluation Team is aware of their company’s abilities, capabilities, plans, facilities, organization or any other pertinent fact that is important to the accomplishment of the work.
L.16.3.1 TECHNICAL APPROACH, MISSION SUITABILITY (SUB-FACTOR A)
Technical Approach
The Offeror shall demonstrate an understanding of the contract requirements and the various support functions needed to satisfactorily achieve those requirements as outlined below.
The Offeror shall provide the proposed technical approach to accomplish the requirements for each of the following four Statement of Work sections only:
· SOW 5.0, Systems Engineering & Integration
· SOW 6.0, Mission Integration
· SOW 7.0, Operations
· SOW 9.0, Research & Communication
The Offeror shall ensure each of the identified SOW sections above are addressed to a level that demonstrates an understanding of the requirements.
The Offeror shall include risks identified for the Offeror’s technical approach, and the steps required for eliminating or mitigating those risks.
The proposed technical approach shall demonstrate understanding of the requirements needed to successfully perform the requirements of the four SOW sections. It shall include correlation and consistency with the developed Technical Resources Template (TRT) worksheets found in the Excel Pricing Module (EPM) Template workbook contained at Section L, Attachment L-6.
The proposed Technical Approach, Mission Suitability (Sub-Factor A) described shall be consistent with the proposed Management Approach, Mission Suitability (Sub-Factor B), as it relates to the four identified SOW sections. Inconsistencies between the two areas may result in negative findings and cost realism adjustments.
L.16.3.2 MANAGEMENT APPROACH, MISSION SUITABILITY (SUB-FACTOR B)
The Offeror’s management approach for fulfilling the contract requirements shall be described in accordance with the sub-factor elements as discussed below:
Management Approach The Offeror shall address the basis for the contractor’s management organizational structure, approach, and processes for the following:
· Identify all available corporate resources, including personnel, facilities, and equipment, which are either internal or external to this contract and methods and risks associated in obtaining these resources.
· Provide a contract-specific organization chart, including subcontractors and teaming partner[s], if proposed, and rationale for the approach selected.
· If a subcontracting or teaming arrangement is proposed, include specific details on how the subcontractor or teaming partner shall be managed, how shall they be incentivized, the business size of each company, the relative amount of work to be performed by each, and if there are discreet tasks to be performed by each or whether there is comingling of personnel and resources, division of tasks and responsibilities relative to the contract SOW, communication channels, lines of authority (including the line of succession if Program Manager is unavailable), reporting relationships, and responsibilities of all organizational elements. Include any proposed subcontractors, team members, or joint venture partners proposed to illustrate their relationships within the proposed structure or between the organizational elements and any other proposed subcontractors, team members, or joint venture partners.
· Describe the reporting responsibilities of the Program Manager to corporate management and the relationship between the Program Manager and the prime contractor’s corporate management as well as the management of any proposed subcontractors, team members, or joint venture partners.
· Provide a description of the responsibilities and authorities for each proposed Key Personnel and manager positions for SOW 5.0, 6.0, 7.0, and 9.0 with a reference to the corresponding SOW requirement(s).
· Include the contractor’s plan to create an efficient and effective interface to the Government in the performance, management, communication, and completion of the Statement of Work requirements, contract schedules, and deliverables.
· Considering the dynamic nature of the 3 Program’s operations, describe support for changing priorities and necessary workforce adjustments to ensure contractual requirements are fulfilled while managing the risk associated with implementing the changes due to the dynamic schedules for multiple Programs.
· Describe staffing approach to include the role of management and supervisors in managing the work being performed, sources of staffing including new hires and retention of incumbent personnel, retention approach throughout the contract period of performance, approach for staffing to provide the flexibility to accommodate changes in requirements, fluctuation in workload and unexpected attrition and a summary of the compensation structure and approach for recruiting and retaining a highly competent workforce.
Key Personnel Approach
The Offeror shall discuss its approach and rationale for identifying, selecting, filling, and retaining Key Personnel positions as proposed in Clause H.5.
Total Compensation Plan (TCP)
In accordance with NFS 1852.231-71, Determination of Compensation Reasonableness, the Prime Offeror and all Subcontractors that meet the criteria in FAR 53.222-46 and NFS 1852.231-71(d) shall submit a Total Compensation Plan as required by DRD HSFTIC-PR-03, Total Compensation Plan. The TCP shall identify and discuss wages, salaries, and fringe benefits for professional employees and non-exempt employees in all proposed labor categories, including those subject to union agreements, the Service Contract labor Standards Act, and those exempt from both of the above. The plan shall address the requirements of the Service Contract Labor Standards Act and commit to the compliance of all Wage Determinations. The page limitation for the TCP is defined in the DRD HSFTIC-PR-03 and will not be counted as part of the Management Approach 25 page limit. The plan shall be provided as the J-10 attachment.
The proposed Management Approach, Mission Suitability (Sub-Factor B) described shall be consistent with the Technical Approach, Mission Suitability (Sub-Factor A), as it relates to the 4 SOW areas (5.0, 6.0, 7.0, 9.0). Inconsistencies between the two areas may result in negative findings and cost realism adjustments.
L.16.3.3 CONTRACT PHASE-IN APPROACH, MISSION SUITABILITY (SUB-FACTOR C)
The Offeror shall provide, as a minimum, an overview of its phase-in approach to critical activities, including initial staffing, badging, and computer system access, transfer of data, models, and drawings, key dependences, schedules, risks and risk mitigations. The Offeror’s approach shall address a comprehensive phase-in of all critical activities and contain, at a minimum, the following information, including rationale for the proposed approach. Failure to include any of the following information may result in negative mission suitability findings and cost realism adjustments.
a. A description of the overall concept and strategies for affecting a smooth phase-in consistent with maintaining safe and efficient operations and completing any ongoing integration efforts. Include a discussion of critical and high-risk operations and activities to be phased-in and the risk mitigation strategies to minimize impact to mission integration processes.
b. A description of key activities and schedules for obtaining or updating licenses, plans, processes and procedures required to support this contract.
c. Identification of key milestones, with associated schedules and measures for success, for accomplishing phase-in activities including any incumbent contractor support.
d. An approach for training and certifying personnel.
e. An approach for establishing contacts and interfaces with customers and the Government.
f. A description of tasks, if any, requiring a continuation of support from the incumbent contractor, to include the duration and specific support required.
g. The Offerors plan, in accordance with Attachment J-8, Conference Facilities Management, for securing the existing or renegotiation of the lease for the ISS Conference Facility, located at 1800 Space Park Drive. If the Offerors plan is not to use this location, then propose your strategy for a facility that meets the requirements per SOW 2.5 and Attachment J-8. In addition, the Offeror shall address the transition to the proposed facility highlighting any possible interruptions in service and risks associated in providing the service.
h. Additional information the Offeror considers important for phase-in.
L.16.4 VOLUME II - PAST PERFORMANCE (FACTOR 2)
L.16.4.1 JSC 52.215-114 PAST PERFORMANCE INFORMATION (NOV 2018) (JPI PROCUREMENT INSTRUCTION)
(a) Offerors shall demonstrate past experience in all areas of the statement of work by submitting information that best demonstrates their ability to perform the Human Space Flight Technical Integration Contract work. References with Government contracts are preferred, but not required. For the Government to accomplish an evaluation of past performance, the Offeror shall use the form at Section L, Attachment L-1, Past Performance Information Form (PPIF). Only one contract shall be described per PPIF and is subject to a 5-page limitation.
(b) The Offeror shall submit past performance information for no more than three contracts for the Offeror, and each proposed major subcontractor, teaming partner, and/or joint venture partner (subcontracts estimated annual value greater than $5,000,000). For example, a prime Contractor with two major subcontractors shall describe no more than nine contracts (each on a separate PPIF for a total of no more than nine PPIFs). Two teaming partners and two major subcontractors shall submit information on no more than 12 contracts (each on a separate PPIF for a total of no more than 12 PPIFs).
Offerors, including major subcontractor, teaming partner, and/or joint venture partner with no past performance experience shall so state.
(c) Offerors shall consider the recency and relevance, as they relate specifically to this solicitation. Only contract period of performances within five years from the release date, November 1, 2019, of the Human Space Flight Integration Contract final solicitation will be considered in the past performance evaluation. Once established, this date will remain as the demarcation for this five year limitation, even if the RFP is further updated or revised. For a description of the characteristics or aspects the Government will consider in determining relevance, see Section M, Paragraph M.3.2.1.
(d) Submit information on contracts that you consider relevant in demonstrating your ability to perform the proposed effort. The submission shall include rationale supporting your assertion of relevance. This submission shall clearly detail what portions of the Statement of Work, the prime, major subcontractor, teaming partner, and/or joint venture partner are responsible for and the specific resources (workforce, management, facilities, or other resources) to be employed and relied upon to perform the proposed effort. If the Past Performance volume includes data on any affiliated company, division(s), business units, segments, or other organizations of your company, then provide a narrative to address what they will be responsible for and/or proposing to do and the specific resources (workforce, management, facilities, or other resources) to be employed and relied upon, such that said parent et al will have meaningful involvement in contract performance.
(e) The Offerors should submit Consent Letters executed by each major subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information so the Offeror can respond to such information. See Consent Letter at Section L, Attachment L-2.
(f) In addition to the information above, Offerors, any major subcontractors, teaming partner, and/or joint venture partner, as defined above and any other organizational entity (parent or affiliated company, division(s), business units, or segments of your company), which is considered to provide meaningful involvement in contract performance, shall each submit the Past Performance Questionnaire, at Section L, Attachment L-3, to each technical and/or contracting point of contact on the PPIF. The Offeror shall request the customer references to complete the questionnaire and ensure that all references are directed to return directly to the Contracting Officer via e-mail per the contact information provided on the attachment L-3 so as to allow for receipt by the Government on or before the proposal due date. However, the Past Performance Questionnaires are not subject to the late proposals provisions L.1, FAR 52.215-1 Instructions to Offerors -- Competitive Acquisition (Jan 2017).
(g) Prior to the submittal of the PPIFs, the Offeror shall also advise the technical and contracting points of contact identified on each PPIF that the Government may contact them to obtain additional past performance information or clarification of past performance information, including information provided via completed Past Performance Questionnaires.
· Where an Offeror chooses to request, from a civil servant employee at NASA, that a past performance questionnaire be submitted on its behalf, please be advised that a Limited Communications Notice (LCN) has been issued in conjunction with this solicitation. The LCN directs that all civil service personnel at NASA shall refrain from communicating with industry on any matters related to this competitive procurement; as a result, while the civil servants may respond to the past performance questionnaire they will be unable to provide status to the Offeror, or communication in any other fashion with the Offeror, about that past performance request.
(h) Performance Data Attachments: Offerors shall provide the following performance data below with explanatory remarks on contracts performed in the last three years. This data is excluded from any page counts and is not limited. Offerors shall identify the applicable North American Industrial Classification System (NAICS) Code for each contract and shall include points of contact for each contract. If a joint venture partner, teaming partner or major subcontractor relationship is proposed, the same information shall be provided for each company proposed. Explanatory statements shall be included as appropriate. For all work performed during the past three years, Offerors shall provide the following:
• Environmental Data:
(1) Copies of any and all environmental non-compliance correspondence and citations from federal, state or local agencies or authorities with explanatory remarks.
· Safety and Health Data:
(1) Copies of any and all OSHA citations with explanatory remarks.
(2) Records of the company’s occupational injuries and illnesses. These records shall include, for each worksite, as a minimum, number of occupational injuries and illness, annual average number of employees at the worksite, total hours worked by all employees, and applicable NAICS code. Provide records for the past three years with signature of a company executive. Provide explanatory remarks of adverse performance and methods being used to improve performance. A copy of each year’s OSHA logs (Forms 300 and 300A) may be submitted or equivalent occupational injury and illness data.
(3) A letter from the insurance carrier providing workers compensation coverage (or equivalent) summarizing the Offeror’s Experience Modification Rates, loss run data, liability and lawsuit history related to safety and health performance for the past three years including history of changes to the experience modified rate. If an Offeror self-insures, provide and certify the same information (except the experience modification rate history) with the signature of the responsible corporate officer or official.
(i) The Offeror should submit all PPIFs, Consent Letters, and Performance Data Attachments sixteen calendar days prior to the date for receipt of proposals. However, the Offeror shall submit the above information no later than the date and time set for receipt of proposals, as these documents are subject to the late proposals provisions at L.1, FAR 52.215-1 Instructions to Offerors -- Competitive Acquisition (Jan 2017).
L.16.4.2 KEY PERSONNEL RESUMES
(a) For the Program Manager, Deputy Program Manager and each Key Person position identified in L.16.3.2 “Management Approach, Key Personnel”, the Offeror shall submit at Section L, Attachment L-4, a Key Personnel Resume Template. Item 5, Work History shall be within the last 10 years.
(b) For the Program Manager and Deputy Program Manager only, the Offeror will be required to submit signed Letters of Commitment as agreed to in Clause H.5A. The Letter of Commitment shall indicate the Program Manager and Deputy Program Manager’s intention to accept employment. See Letter of Commitment at Section L, Attachment L-5.
(c) The Offeror is requested to submit all Key Personnel Resumes and Letters of Commitment sixteen calendar days prior (11/25/19) to the date for receipt of proposals (12/11/19). However, the Offeror shall submit all Key Personnel Resumes and Letters of Commitment no later than the date and time set for receipt of proposals, as these documents are subject to the late proposals provisions at paragraph (c) of L.1, FAR 52.215-1 Instructions to Offerors -- Competitive Acquisition (Jan 2017).

(a) Introduction
The Offeror’s cost proposal shall be compliant with and based upon the Offeror’s estimating, accounting, and other applicable business systems. Certified cost and pricing data is not required; however, data other than certified cost and pricing data is required.
To ensure that the Government is able to perform a fair and reasonable proposed cost, the Prime Offeror and all “Major Subcontractors” are required to submit a cost proposal that is suitable for evaluation. For the purposes of this solicitation, a “Major Subcontractor” is any team member (e.g., a subcontractor or inter-divisional organization) with an estimated annual contract value that equals or exceeds $5,000,000 per year over the period of performance of this contract as defined in Section L.13, PERIOD COVERED BY PROCUREMENT. A “Minor Subcontractor” is any team member (e.g., a Subcontractor or inter-divisional organization) with an estimated annual contract value below $5,000,000 per year over the period of performance of this contract as defined in Section L.13 PERIOD COVERED BY PROCUREMENT.
A cost proposal that is suitable for evaluation shall:
· Account for all resources necessary to complete all requirements of this RFP.
· Provide traceability to the technical/management proposal(s).
· Explain in detail all pricing and estimating techniques.
· Disclose the basis of all projections, rates, ratios, percentages, and factors in sufficient detail to facilitate the SEB’s understanding and ability to mathematically verify these estimating tools.
· Comply with applicable Federal Acquisition Regulation (FAR), NASA FAR Supplement (NFS), and statutory requirements.
· Include a narrative portion that explains all judgmental elements of cost projections and fee policies.
· Include all templates required in this RFP.
The Offeror’s cost proposal shall be submitted in one volume labeled Volume 3 – Cost/Price Proposal.
(b) Specific Guidelines
The following cost instructions apply to the Prime Offeror and all “Major Subcontractors”:
1. Direct Labor Rates
For any direct labor rates not included in a Forward Pricing Rate Agreement (FPRA), the Offeror shall indicate the basis and/or source data (e.g., actual salary data as of a specific date, proposed salary data from a specific source as of a specific date, etc.) of any direct labor rate proposed. Indicate any adjustments that were made to the source data in order to derive the direct labor rates proposed in the initial contract year. If an adjustment(s) to the source data was made, indicate the reason(s) and rationale for the adjustment(s).
Note: If the Offeror’s proposed direct labor rates are based on information obtained from a third party survey/service provider, then the Offeror shall include the source data as part of their Cost/Price Proposal.
2. Direct Labor Rate Escalation
For any direct labor rates not included in a FPRA, the Offeror shall provide the company’s direct labor escalation history for the past three (3) years. The Offeror shall indicate the reason(s) for the historical escalation history.
