A. Section 2.D of the SOW has been modified. Replace Attachment 5.3 Updated SOW Amendment 09 with Attachment 5.3 Updated SOW Amendment 10, dated October 24, 2025.
B. Answers to the following questions are as follows:
1. Please confirm whether the Contractor will be responsible for payment of the Oglala Sioux Tribe’s 1% Environmental Protection Program (EPP) tax.
Response: Yes
2. For projects performed on the Pine Ridge Reservation, the solicitation indicates full compliance with the Oglala Sioux Tribe’s TERO requirements, including use and preference of TERO‐certified contractors, hiring of tribal employees, and payment of applicable fees. Can you include the TERO ordinance?

3. Since this MATOC will cover multiple tribal jurisdictions nationwide, can the Government clarify how TERO (Tribal Employment Rights Office) compliance will be managed for task orders on different reservations? Each tribe enforces its own employment ordinances, fees, and certification requirements (e.g., permit fees, local hiring percentages, and use of TERO‐certified subcontractors), and these can vary significantly between locations. Will IHS issue uniform guidance for TERO coordination and compliance under this contract, or will each task order require separate TERO approval and payment of tribal fees based on the applicable tribal regulations?
Response: MATOC contractors are responsible for complying with all TERO policies, ordinances, and regulations of the respective tribe where work is performed. Because TERO requirements differ by tribe, the Government will not issue uniform guidance for this MATOC. Instead, each task order solicitation will outline the relevant TERO provisions and provide the necessary contact information to support contractor compliance.
4. Section H.44 of the solicitation requires background investigations and security clearances for contractor personnel, including the superintendent. Since this MATOC covers multiple IHS facilities and tribal jurisdictions, can the Government clarify whether a previously completed IHS background investigation (for example, from another IHS project or facility) can be accepted for future task orders, or if a new investigation must be completed for each facility? Additionally, what is the typical timeframe for completion of an IHS background check, and must a cleared superintendent or key person be physically onsite at all times when subcontractors or other employees are performing work?
Response: Security requirements vary by facility. MATOC contractors are responsible for ensuring compliance with each facility’s specific background investigation and clearance procedures.
Previously completed IHS background checks may not be automatically accepted; contractors must confirm requirements with the facility’s security personnel for each task order.
Background investigation processing times differ by location and can range from approximately 72 hours to 7 days or longer, depending on local procedures and documentation completeness.
An approved site superintendent is required to be physically present whenever work is being performed, including by subcontractors. Subcontractors will not be allowed to work on site without superintendence as prescribed in FAR 52.236‐6 — Superintendence by the Contractor. No other

75H70125R00033 Amendment 10 personnel may serve in this role unless specifically approved by the Contracting Officer. Failure to adhere to this requirement may result in the issuance of a Cure Notice and a future Termination for Default.
5. Please clarify whether each IHS facility will require its own site‐specific badging and security orientation for contractor personnel, and if so, whether these must be renewed for every task order.
Response: Each facility will have its own site‐specific security orientation for contractor personnel.
Each facility will make the determination if repeat orientations are required for the same personnel.
