The undersigned certify that, except as set forth in Section 3 below, the undersigned members of Offeror’s proposed APC System team, collectively, are the exclusive owners of all right, title, and interest in and to all intellectual property rights in or relating to the Previously Developed Product proposed in the Offeror’s proposal response to FAA Screening Information Request (SIR) No. 693KA8-22-R-00004 (the “PDP”).
The undersigned represent and warrant that their ownership of intellectual property rights in and to the PDP is full and unfettered and that there is no formal or informal arrangement with, or commitment given by it, or on its behalf, to any person, group of persons, company or other body that could affect, or attach conditions to, their full and unfettered intellectual property rights in and to the PDP.
The undersigned certify that the list provided in this Section 3 represents a full, complete, and accurate list of all hardware and software system components of the PDP that fall outside of the exclusive ownership of the undersigned members of Offeror’s proposed APC System team, including, without limitation, commercial off-the-shelf (COTS) products that are available to be purchased or licensed by the general public in the commercial marketplace, such as Microsoft products, or open source software, such as Linux. If a system component listed in this Section 3 is COTS, the Offeror must identify it as COTS by placing “(COTS)” next to the name of the component in the “System Component” column. If a system component listed in this Section 3 is open source, the Offeror must identify it as open source by placing “(Open Source)” next to the name of the component in the “System Component” column. The organization that owns the intellectual property rights to each system component listed in this Section 3 must be clearly identified.

The undersigned agree to put all intellectual property associated with the proposed APC System solution (i.e., the applicable portions of the PDP plus developed capabilities to meet FAA-specific requirements) in escrow in accordance with the requirements set forth in Section C, Statement of Work, Paragraph C.4.9.4, Escrow Account.
