(End of Clause) AMS 3.2.2.8-2 VARIATION IN QUANTITY (October 2019) A variation in the quantity of any contract item will not be accepted unless the variation has been caused by conditions of loading, shipping, or packing or allowances in manufacturing processes, and then only to the extent, if any, specified in paragraph (b) below.
The permissible variation must be limited to: Zero (0) % increase and Zero (0) % decrease. This variation applies to all contract items.

PERIOD OF CONTRACT AND OPTION PERIOD EXERCISE SCHEDULE
1. This Contract duration is 240 months, twenty (20) years, consisting of a 36-month Base period followed by four (4) two-year Option periods of 24 months each and nine one-year Option periods of 12 months each. The Base and Option periods are defined as follows:

1. The Government will notify the vendor 30 days prior to the beginning of the next Option Period should the Government intend to exercise unilateral rights for continued performance. Notification may be a letter or formal Contract modification.
1. CLINs can be ordered at any time after Contract award and will be funded on a yearly or monthly basis.
DELIVERY AND INSTALLATION PROCEDURES
1. The primary delivery locations will be in the Contiguous United States (CONUS). Some delivery locations may be outside the Contiguous United States (OCONUS) (e.g., AK, HI, PR, or Guam). Shipping addresses and point of contact for the equipment will be cited in the site-specific Delivery Order (DO), Task Order (TO), or Work Order (WO).
Site surveys ordered must be conducted on the date(s) specified in the Order or as directed by the CO or designated representative. The FAA will order the survey at least 20 working days prior to intended survey conduct.
For Support Systems:
1. The Contractor must deliver the system within 40 Working days of receipt of the DO.
2. After the system is ordered, the Contractor must coordinate delivery with the COR for each system being delivered to an FAA facility.
3. Delivery of the Contractor’s COTS PDP Traffic Load Generator (TLG) must occur concurrently with the initial Factory Acceptance Test (iFAT) system.
4. The iFAT TLG must meet the requirements of C.5.2.
5. Delivery of the Contractor’s APC Traffic Load Generator (ATLG) must occur concurrently with the System Test/Operational Test (STOT) system.
6. The STOTS ATLG must meet the requirements contained in Section C.5.5.
7. All subsequent ATLG deliveries must occur within 40 Days After Receipt of Order (DARO) (working days).
8. All subsequent ATLG deliveries must meet the requirements in C.5.6.
9. All Faulted Module deliveries must occur within 30 DARO (working days).
10. All Faulted Module deliveries must meet the requirements of Attachment J.1.9 APC Support System Diagram and Documentation.
11. For Support Systems being installed by the Contractor, the Contractor is the consignee at the delivery point specified in the contract, TO, or WO and must be physically present (i.e., on-site) at the time of the APC System equipment delivery IAW H.32, FAA Acceptance of Equipment if the Contractor is not Present.
For APC System control site systems (i.e., for Key Site and other operational sites using the LLR-APC or the L-APC (card cage form factor)):
12. The Contractor must be capable of assembling, testing, and delivering systems based on the system DO(s) placed by the FAA in accordance with the following:

2. The Contractor must be capable of assembling, testing, and delivering up to 6 systems per month.
3. After the system is ordered, the FAA reserves the right to make changes to the hardware order and/or configuration for the system up to 15 working days prior to the scheduled delivery.
4. If an installation is ordered by the FAA, the Contractor must coordinate delivery for the system with the COR or designated representative.
5. The Contractor is the consignee at the delivery point specified in the contract, TO, or WO and must be physically present (i.e., on-site) at the time of the APC System equipment delivery for receipt of the shipment IAW H.32, FAA Acceptance of Equipment if the Contractor is not Present.
6. As ordered by the FAA, the Contractor must begin installation at the time of system delivery.
7. Delivery of additional equipment to be added to previously ordered APC Systems must be completed within 30 working days after receipt of a DO.
8. Site spares ordered in conjunction with a system must be delivered with the system.
For L-APC (1U form factor) and R-APC hardware:
13. For orders of a quantity of (50) or fewer units, delivery must be made to the address specified in the DO within 20 working days of receipt of the order
14. For orders of a quantity of (51) or greater units, delivery must be made to the address specified in the DO within 40 working days of receipt of the order.
Spares not ordered in conjunction with a specific operational site (e.g., depot spares, subsequent spares ordered for a support system, additional site spares for an operational site ordered after delivery of the system hardware for that site, etc.) must be delivered within 20 working days after receipt of a DO for such hardware.
All other hardware not specified above ordered under this contract must be delivered within 30 working days after receipt of a DO.
Training classes must begin within 20 working days after receipt of the Order for such service on the date coordinated with the COR.
DOCUMENTATION DELIVERIES
1. The Contractor must prepare and submit all deliverable items within the timeframe specified in Section J.4, CDRLs/DIDs, delivery order, or DO, TO, or WO.
On each deliverable, the Contractor must reference the CDRL number, title, revision number (if applicable), the reporting period covered by the deliverable (if applicable), and the date of publication.
The Contractor must submit deliverables electronically to the Contracting Officer’s Representative (COR) unless otherwise specified within the delivery or DO, TO, or WO.

AMS 3.8.2-22 SUBSTITUTION OR ADDITION OF PERSONNEL
| (1) | The Contractor must assign only those individuals whose resumes, personnel data, or personnel qualification statements have been submitted and determined by the Contracting Officer to meet the minimum requirements of the contract. The Contractor must not substitute or add personnel except in accordance with this clause. |
| (2) | Substitution of Personnel. |
| (a) | For the first fifteen (15) working days of contract performance, the Contractor must not substitute personnel for the individuals whose resumes or other personal qualification were submitted with its offer and that were determined by the Contracting Officer to be acceptable at the time of contract award, unless such substitutions are because of an individual’s sudden illness, death, or termination of employment. In any of these events, the Contractor must promptly notify the Contracting Officer and propose substitute personnel as required by paragraph (4) below. |
| (b) | If an individual becomes, for whatever reason, unavailable for work under the contract for a continuous period exceeding thirty (30) working days, or is expected to devote substantially less effort to the planned work, the Contractor must propose a substitute personnel as required by paragraph (4) below. |
| (3) | Addition of Personnel. If an FAA requirement will increase the specified level of effort for a designated labor category, but not the overall level of effort of the contract, then the Contractor must notify the Contracting Officer to add personnel to the designated labor category. The Contractor must request added personnel as required by paragraph (4) below. |
| (4) | Request and Review. The Contractor must submit the request for substitute or added personnel in writing to the Contracting Officer at least 15 working days (if a security clearance must be obtained, at least thirty (30) working days) before the proposed date of substitution or addition. The Contractor’s request must provide a detailed explanation of the circumstances causing the proposed substitution or addition, a complete resume for the proposed substitute or added personnel, and any additional information required by the Contracting Officer. Proposed substitutes and added personnel must have qualifications equal to or higher than those stated in the contract for the labor category. The Contracting Officer will evaluate the Contractor’s request and promptly notify the Contractor of the decision to accept or reject the qualifications of the substitute or added personnel. |
| (5) | The Contracting Officer may terminate the contract if the Contractor has not made suitable, timely, and reasonably forthcoming replacement of personnel who have been reassigned or terminated or otherwise become unavailable to work under the contract or the resulting loss of productive effort would impair the successful completion of the contract. Alternatively, if the Contracting Officer finds the Contractor to be at fault for the condition, then the Contracting Officer may equitably adjust (downward) the contract price or fixed fee to compensate the Government for any delay, loss or damage as a result of the Contractor’s action. |
