The Contracting Officer for this acquisition is as follows: Ms. Veronica A. Romero
The Offeror’s proposal shall contain all of the requested information specified in the solicitation at or before the time specified. Compliance with these instructions is mandatory and failure to comply may render your proposal ineligible for award.
2. Period for Acceptance of Offers
Unless Offerors insert a different period of time on the Standard Form 33, the entire proposal will remain valid for a period of 300 days from date of receipt specified in the solicitations for the proposals.
3. Proposal Instructions
a. Offerors are cautioned that “parroting” of the Technical requirements or the Basic and/or Live Task Order PWS with a statement of intent to perform does not reflect an understanding of the requirement or capability to perform, therefore will be considered technically unacceptable and will not be considered further. Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked.
b. All information the Offeror wishes to have considered must be provided with the written proposal. The evaluation will be limited to the information provided and nothing will be assumed.
c. The Solicitation will be a single-phased competition. Awards will be based on evaluation of the factors described in ADDENDUM to 52.212-2 Evaluation – Commercial Items (Section M). Failure to follow the directions put forth in the Solicitation may eliminate the proposal from further consideration. The Government intends to evaluate proposals and award contracts without discussions with Offerors (except clarifications as described in FAR 15.306(a), Clarifications and award without discussions). Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. In the event discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals pursuant to FAR Subpart 15.306(c).
d. Teaming with other Contractors is strongly encouraged, including teaming with Small Businesses; in order to assure maximum market resources are available. Offerors shall describe any teaming arrangements (i.e., teaming agreements, joint venture, partnership, etc.) proposed for performance of the Contract. Offerors shall indicate the portion of work to be performed by each team member and shall state the business size of each member. In addition, Offerors shall include copies of all teaming agreements, and where applicable, the Small Business Administration approval of the teaming arrangement in Volume I, Factor 1, Relevant Corporate Experience and Management Approach.
NOTE: Offeror shall identify its proposed team (prime and all subcontractors/team members) and discuss the role that each member will have in accomplishing the specific functional area requirements of the PWS.
e. North American Industry Classification System (NAICS) Code and Small Business Size Standard: The NAICS Code for this acquisition is 562910 which is 750 employees or less.
f. This Solicitation notice does not commit the U.S. Government to an award for any supply or service or any information or administrative costs incurred in preparation and submission of a proposal in response to this notice.
4. Definitions
a. Subcontracting: In accordance with Federal Acquisition Regulations (FAR) Clause 52.219-14 LIMITATIONS ON SUBCONTRACTING (Nov 2011):
(c) By submission of an offer and execution of a contract, the Offeror/Contractor agrees that in performance of the contract in the case of a contract for --
(1) Services (except construction). At least 50 percent of the cost of contract performance incurred for personnel shall be expended for employees of the concern.
(2) Supplies (other than procurement from a nonmanufacturer of such supplies). The concern shall perform work for at least 50 percent of the cost of manufacturing the supplies, not including the cost of materials.
(3) General construction. The concern will perform at least 15 percent of the cost of the contract, not including the cost of materials, with its own employees.
(4) Construction by special trade contractors. The concern will perform at least 25 percent of the cost of the contract, not including the cost of materials, with its own employees.
b. Joint Venture: In accordance with FAR Clause 19.101(7)(i) EXPLANATION OF TERMS (15 June 2016):
(i) Definition of a joint venture for size determination purposes. A joint venture for size determination purposes is an association of persons or concerns with interests in any degree or proportion by way of contract, express or implied, consorting to engage in and carry out a single specific business venture for joint profit, for which purpose they combine their efforts, property, money, skill, or knowledge, but not on a continuing or permanent basis for conducting business generally. A joint venture is viewed as a business entity in determining power to control its management.
(B) For other than bundled requirements, apply size standards for the requirement to individual persons or concerns, not to the combined assets, of the joint venture, if—
(1) A revenue-based size standard applies to the requirement and the estimated contract value, including options, exceeds one-half the applicable size standard; or
(2) An employee-based size standard applies to the requirement and the estimated contract value, including options, exceeds $10 million.
Also,
(iii) Joint venture. Concerns submitting offers on a particular acquisition as joint ventures are considered as affiliated and controlling or having the power to control each other with regard to performance of the contract. Moreover, an ostensible subcontractor which is to perform primary or vital requirements of a contract may have a controlling role such to be considered a joint venturer affiliated on the contract with the Prime Contractor. A joint venture affiliation finding is limited to particular contracts unless the SBA size determination finds general affiliation between the parties. The rules governing 8(a) Program joint ventures are described in 13 CFR 124.513.
(iv) Where a concern is not considered as being an affiliate of a concern with which it is participating in a joint venture, it is necessary, nevertheless, in computing annual receipts, etc., for the purpose of applying size standards, to include such concern’s share of the joint venture receipts (as distinguished from its share of the profits of such venture).
For the purposes of this Contract, a Joint Venture must be a separate legal entity.
When proposing as a Joint Venture, all members of the Joint Venture shall sign the SF 33 unless a written agreement by the Joint Venture is furnished with the proposal designating one firm with the authority to bind the other member(s) of the Joint Venture. In addition, a copy of the Joint Venture agreement shall be submitted with the proposal in Volume I. Failure to comply with the foregoing requirements may eliminate the proposal from further consideration. If this is an 8(a), HUBZone, or Service-Disabled Veteran-Owned joint venture, the Offeror shall ensure that it complies with the applicable requirements of 13 CFR Part 124, 13 CFR Part 125, and 13 CFR Part 126 respectively. The Joint Venture shall include a copy of its SBA approval of the Joint Venture arrangement, if applicable.
c. Teaming Arrangements: In accordance with FAR Clause 19.101(7)(vi) EXPLANATION OF TERMS (15 June 2016) (vi):
Size determination for teaming arrangements. For size determination purposes, apply the size standard tests in paragraphs (7)(i)(A) and (B) of this section when a teaming arrangement of two or more business concerns submits an offer, as appropriate. (Reference 4.b. Joint Venture Definition above.)
d. Mentor-Protégé: In accordance with 13 CFR 124.520 RULES GOVERNING SBA’s MENTOR/PROTÉGÉ
PROGRAM:
(1) A mentor and protégé may joint venture as a Small Business for any Government Prime Contract or Subcontract, including procurements with a dollar value less than half the size standard corresponding to the assigned NAICS code and 8(a) sole source contracts, provided the protégé qualifies as small for the procurement and, for purposes of 8(a) sole source requirements, the protégé has not reached the dollar limit set forth in § 124.519.
(i) SBA must approve the mentor/protégé agreement before the two firms may submit an offer as a joint venture on a particular Government Prime Contract or subcontract in order for the joint venture to receive the exclusion from affiliation.
(ii) In order to receive the exclusion from affiliation for both 8(a) and non-8(a) procurements, the joint venture must meet the requirements set forth in § 124.513(c).
(iii) Once a protégé firm graduates from or otherwise leaves the 8(a) BD program, it will not be eligible for any further benefits from its mentor/protégé relationship (i.e., the receipts and/or employees of the protégé and mentor will generally be aggregated in determining size for any joint venture between the mentor and protégé after the protégé leaves the 8(a) BD program). Leaving the 8(a) BD program, or terminating the mentor/protégé relationship while a protégé firm is still in the program, does not, however, affect contracts previously awarded to a joint venture between the protégé and its mentor. In such a case, the joint venture continues to qualify as small for previously awarded contracts and is obligated to continue performance on those contracts.
(2) Notwithstanding the requirements set forth in §§ 124.105(g) and (h), in order to raise capital for the protégé firm, the mentor may own an equity interest of up to 40% in the protégé firm.
(3) Notwithstanding the mentor/protégé relationship, a protégé firm may qualify for other assistance as a Small Business, including SBA financial assistance.
(4) No determination of affiliation or control may be found between a protégé firm and its mentor based on the mentor/protégé agreement or any assistance provided pursuant to the agreement.
Mentor-Protégé (M-P) is a relationship and not a business entity. M-Ps require formal Teaming Arrangements or Letters of Intent to qualify for consideration as a team member.
e. Offeror: Team submitting the Proposal. Prime shall refer to the entity to which the Contract shall be awarded.
f. Team/Team Member(s)/Teaming Partner(s): The Government will consider the Offeror and all subcontractors a “team” when evidence of a signed Teaming Arrangement or Letter of Intent is provided.
g. Teaming Arrangement (TA) Or Letter Of Intent (LOI): To be valid under this solicitation, all team members shall have a signed TAs or LOI that commits the parties to performance under this contract, should it be awarded to the Prime.
h. SUBCONTRACTORS:
(i)If any subcontractor is projected to perform more than 20% of all work on the EMRA Multiple Award IDIQ then a signed TA or LOI shall be provided for that subcontractor.
(ii) Subcontractors projected to perform less than 20% of all work on the contract may be included as team members at the Offeror’s discretion. If included as a team member, a signed TAs or LOI shall be provided for that subcontractor.
(iii) A subcontractor without a signed TAs or LOI is not considered as part of the “team” and will not be evaluated as such.
(iv) Mission Capability proposal information, Past Performance Information, and Past Performance Questionnaires submitted for subcontractors without a TAs or LOI will not be evaluated.
(v) The Government will consider the Offeror and all subcontractors a “team” when evidence of a signed TAs or LOI is provided in Volume I, General and in Volume II, Mission Capability.
NOTE: Team/Team Member(s)/Teaming Partner(s). The Government will consider the offeror and all subcontractors a “team” when evidence of a signed Teaming Arrangement or Letter of Intent is provided. This RFP will refer to the offeror and all identified teaming subcontractors as a “team.” This RFP will refer to all identified teaming subcontractors as “team members” or “teaming partners.”

This discussion shall include the field methods, the types of equipment, and relevant sampling techniques to be used. VOLUME II - PAST PERFORMANCE
This section of Volume II shall be clearly marked “VOLUME II- PAST PERFORMANCE, RFP W9124J-17-R- 0006)
Factor 3: Past Performance
Past Performance data is required for the Offeror. Contractor shall demonstrate Recent and Relevant past performance in all functions included in the Basic PWS of this Solicitation. Offerors shall submit a minimum of three (3) and a maximum of five (5) projects that are Recent and Relevant as defined above. The Government understands that single projects are not likely to demonstrate Relevant past performance in all functions; therefore, Offerors are encouraged to submit projects with sufficient diversity such that collectively they demonstrate Offeror’s performance capabilities.
Note: Offeror may submit the same projects for Factors 1 and 3, as applicable.
Offeror shall submit the following Past Performance information to include, at a minimum with the Proposal:

SECTION M - EVALUATION FACTORS FOR AWARD
ADDENDUM TO FAR 52.212-2 EVALUATION - COMMERCIAL ITEMS
The following is incorporated into 52.212-2 as an addendum to this solicitation:
EVALUATION FACTORS FOR AWARD
1. Basis for Contract Award:
a. This is a best value Source Selection conducted in accordance with the Federal Acquisition Regulation (FAR)
15. The Government will utilize a combination of Source Selection methodologies to obtain best value. A Contract may be awarded to the Offeror(s) who are deemed responsible in accordance with the FAR, whose proposal conforms to the Solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by ADDENDUM to FAR 52.212-1 Instructions to Offerors (Section L) of the Solicitation) and is judged, based on the Evaluation Factors to represent the best value to the Government. The Government seeks to award to the Offerors who give the Government the greatest confidence that they will best meet or exceed the requirements affordably. This may result in an award to a higher rated, higher priced Offeror, where the decision is consistent with the Evaluation Factors and the Source Selection Authority reasonably determines that the technical superiority and/or overall management approach of the higher priced Offeror outweighs the price difference.
b. The Government intends to make Multiple Awards to the Offerors that the Government determines can best satisfy the objectives and requirements set forth in the Solicitation. The Government intends to award a Multiple Award IDIQ as a set-aside for Small Business. It is anticipated that there will be no more than eight (8) Contracts awarded. However, additional awards may be made if it is determined that additional awards would benefit the Government. The Government reserves the right to make less than eight awards if it is determined that there are not a sufficient number of qualified Offerors.
c. The award will be based upon a best value determination. A tradeoff analysis between Relevant Corporate Experience and Management Approach (Factor 1) along with the Technical A pproach to the Live Task Order
(Factor 2) and Proposed Price (Factor 4) will be conducted and will be utilized to support Contract award to multiple successful Offerors. Past Performance (Factor 3) will be evaluated on an Acceptable/Unacceptable basis. The Evaluation Factors listed below are considered to represent key areas of importance and will support meaningful comparison and discrimination between and among competing proposals.
An offeror must receive an “Acceptable” rating for Factors 1, 2 and 3 to be eligible for award.
Source Selection Methodology. This source selection will utilize two evaluation rating methods to determine the best value proposal, as follows:
(Factor 1) Relevant Corporate Experience and Management Approach and (Factor 2) Technical A pproach to the Live Task Order will utilize the Tradeoff Methodology.
(Factor 3) Past Performance will utilize Acceptable/Unacceptable rating method. NO TRADEOFFS ARE
PERMITTED FOR THIS FACTOR.
d. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals pursuant to FAR Subpart 15.306(c).
e. Award for All of the Work: The Government intends to award IDIQ Contracts concurrently to all selected Offerors.
f. Award of the Live Task Order, WSMR, NM Task Order: The most highly rated best value proposal will be selected as the single awardee for the WSMR, NM Live Task Order as described in Attachment #2. The most highly rated best value proposal will be based on the Government’s overall assessment of ALL evaluation Factors and Subfactors established within this solicitation.
2. Relative Order of Importance of Factors. The relative importance of each Factor is as follows:
Relevant Corporate Experience and Management Approach (Factor 1) and Technical Approach to Live Task Order (Factor 2) are of equal importance. Within the Technical Approach to Live Task Order (Factor 2), the Subfactors are of equal importance. Past Performance (Factor 3), is Objective criteria and will not be part of any tradeoff analysis.
Price (Factor 4) is of least importance.
In accordance with FAR 15.304(e), all non-cost factors (with the exception of Factor 3), when combined, are significantly more important than Price (Factor 4).
