Worldwide Logistics Support Services – Depot (WLSS-C)

Pre-Industry Day Questions and Answers

14 September 2016

1. Q: What does the USG anticipate the ceiling value being?

A: The contract will be a multi-billion dollar effort.

2. Q: Will labor laws of the host countries apply to contractor personnel operating under U.S. Government contracts on U.S. Government bases?

A: Yes, all contractors working on a US Government base will comply with Host Nation Labor laws.

3. Q: Is the contractor responsible for obtaining all necessary export licenses to support OCONUS shipments of defense hardware, technical data, and/or defense services, or will the Government provide all shipment and transportation into and out of the OCONUS Theaters?

A: Contractors will be responsible to comply with all ITAR/Import/Export licenses for OCONUS transportation, as defined by Task Order.

4. Q: To clarify, paragraph 3, provides the ordering periods to be Base - 3 years, Option 1 - 2 years, Option 2 - 2 years and Option 3 - 3 years. Is this correct?

A: Yes. The basic IDIQ contract will have an initial base ordering period of three years, followed by 2 separate 2 year optional ordering periods. Option 3 is not an optional ordering period. The third option is a final three year optional period of performance to complete Task Orders issued under a preceding ordering period.

5. Q: Paragraph 4 states the ordering period may continue for a maximum of 7 years, if all options and award terms are exercised, yet paragraph 3 states the MATOC is a 10-year period of performance effort. Please clarify.

A: The Basic IDIQ contract will provide for a Period of Performance (PoP) not to exceed 10 years, if all options are exercised. Task Orders may be placed during any of the open Ordering Periods within the first seven (7) years. Individual Task Order PoP will be limited to a 12-month base and up to four 12-month options for a maximum of five (5) years. In no event may a Task Order PoP extend the MATOC’s PoP beyond the 10 year maximum. Example; a TO issued at the end of year 7 can only consist of a 12-month base and two 12-month options.

6. Q: What are the special and unusual circumstances for additions or other changes to the contractors team structure?

A: [Ref: RFP, Section H, Special Provision H-10] Contractor teams may only change Key Subcontractors with the approval of the Contracting Officer (KO). Key Subcontractors are defined as those Subcontractors providing 20% or more of the

Task Order value. Key Subcontractors will be part of the team evaluation process for purposes of award and as such, changing these team members will need the same level of consideration by the USG post award.

7. Q: How will a Joint Venture (JV) be evaluated under the Entry Gate Criteria?

A: The Joint Venture (JV) entity will be treated as a Prime Offeror. With regards to the Approved Cost Accounting System criteria, the JV partner that will be responsible for the cost accounting function of the JV must possess the approved system. In those instances where the JV entity has no performance experience the USG will evaluate the performance of all partners of the JV, or if specifically identified by the offeror, the partner who based on the JV construct will be responsible for performing the function for which the experience is requested.

8. Q: The Draft RFP states that AS 9100 Certification is required by the prime, however two of the three technical approach requirements stated within the draft RFP are for maintenance and supply. There are specific quality standards which govern these requirements: AS 9110 and AS 9120. AS 9110 is a quality management certification that’s main focus is to ensure quality assurance in providing maintenance and/or continuing airworthiness management services.

AS 9120 is a quality management certification that’s main focus is to ensure quality assurance for the procurement of parts, materials and assemblies and resell the these products to customers. Both of these are directly applicable to this Solicitation. This requirement should be applicable to the prime contractor and all subcontractors. Would the government consider adding the requirements for a higher quality standard of AS 9110 and/or AS9120 to ensure the highest level of quality assurance standards is applied to this program?

A: No. AS9100 was selected to ensure the Prime Offeror’s Product and Process integrity is established, certified and maintained.

9. Q: Section M, Paragraph 1 b., Certified Cost Accounting System. Can the USG provide evaluation criteria for this requirement? Will both pools have this requirement?

A: Prime Offerors of both pools will be required to have a DCMA- approved Cost Accounting System to meet the Entry Gate Criteria.

10. Q: Section M. Key Personnel. Can the USG clarify the distinct evaluation criteria they are looking for? On past efforts such as WTSS, personnel that met labor category requirements were questioned about the type of efforts managed, pilot background vs. maintenance background, etc.

A: Offeror’s Key Personnel will be evaluated against the Education and Experience criteria within the Labor Categories Matrix that will be provided at Exhibit C.

11. Q: The Draft RFP currently specifies that the prime contractor must possess an AS 9100 certification at the time of award. AS 9100 is an aviation-focused extension of ISO-9001. If an offeror (prime contractor) is ISO-9001 certified and is teamed with an AS 9100-certified key subcontractor, would the

Government consider allowing this as a team qualification, giving the prime contractor additional time to complete AS 9100 certification (i.e., within three months of contract award)?

A: No. This is Entry Gate criteria and as such, the Prime Offeror must hold the AS9100 certification at time of proposal submission to be considered for further evaluation.

12. Q: Section B, Each CLIN is priced as a Firm Fixed Price, to include the Modification CLIN 0003AA. Why is the USG requiring a DCAA approved accounting system if each CLIN is FFP?

A: The USG will have both fixed price and cost type CLINs in this Hybrid contract. It is anticipated that some task orders will require a cost type construct. The CLIN structure will be so modified to include CPFF CLINs in the formal RFP.

13. Q: is there any additional detail on what is expected for the Authorized Depot Level maintenance?

A: The majority of the work effort will be at the Field Level of maintenance.

“Authorized Depot Level maintenance” is any work that exceeds the Field Level of authorization and will be considered Over and Above work. All Over and Above work will require prior KO approval. The process to request approval is in Section H of the contract.

14. Q: Section B, CLIN 0003AA, Modification. Without knowing the detailed requirements of the modification, will the USG consider making this CLIN a Cost Plus Fixed Fee?

A: The USG will have both fixed price and cost type CLINs in this Hybrid contract and will select the most appropriate CLIN based on the determination of the scope of work required to perform the modification.

15. Q: Administrative: Section J & M state the Labor Categories provided will be provided as Exhibit C, but were provided as Exhibit B on FBO. Will the USG, please clarify if B or C is to be used?

A: The Labor Category Matrix will be provided at Exhibit C.

16. Q: Will the USG consider revising the requirement for providing fixed price labor rates for the base and all options years to just providing labor rates for the initial three year base ordering period?

A: No. Successful awardees of the MATOCs will be provided an opportunity in the 5th year to provide revised pricing for years 6-10.

17. Q: Are labor related insurances, such as general Liability, workers compensation, and DBA insurance to be included in loaded labor rate computations or treated as ODCs?

A: The Defense Base Act (DBA), Liability and workers compensation are to be treated as an Other Direct Cost (ODC).

18. Q: In the Labor Matrix attachment, what is Crosswalk Skill Classification referring to?

A: For the purpose of this acquisition, the term “crosswalk” will mean to “align”. The contractor will use this document to “crosswalk” contractor proposed labor categories to the USG labor categories provided. No contractor labor categories will be approved unless a clear crosswalk is established. This matrix will be used to validate the FFP labor rates established at contract award.

19. Q: Would the USG consider adding a labor category for Interpreters? Our history with working CLS and OJT in some OCONUS locations show the need for a contractor interpreters to facilitate communication between the contractor and Local Nationals.

A: Yes. The USG will provide a labor category for interpreters in the formal RFP.

20. Q: Exhibit B. These tasks will be performed normally in OCONUS environments, what labor categories are to be used for translators/linguists?

A: The USG will provide a labor category for interpreters in the formal RFP.

21. Q: Exhibit B. These tasks will be performed normally in OCONUS environments, what labor categories are to be used for translators/linguists?

A: The USG will provide a labor category for interpreters in the formal RFP.

22. Q: Section A, Executive Summary, Paragraph 4 states that Labor Rates may be updated at the 5 year period. Will the USG be providing exact amounts of aircraft, labor requirements, and supplies to be priced to develop industry labor rates that don't increase project cost and add risk to both the USG and the contractor?

A: The MATOC will not provide an amount of aircraft and supplies required. Labor skills are as described in the Labor Matrix. Only at the individual task order level will number and type of aircraft to be sustained be identified.

23. Q: Section M, E.3.a.i states, "Each labor rate shall be inclusive of all direct and indirect costs, program management, subcontractor handling, overtime as well as profit, but not inclusive of OCONUS differentials." Please clarify how these costs would be compensated if required.

A: The labor rates will be IAW FAR Part 15 and OCONUS differentials, if required, will be segregated as a separate cost element.

24. Q: Without a formal transition it is difficult to commit to having a web based program operational within 30 days from contract award. Request "30 days" be changed to "60" days?

A: The 30 day requirement has been removed from the Basic PWS and will be further defined at the Task Order level.

25. Q: Is the Maintenance Management Information System to be implemented a Government system or a contractor-specified system?

A: The Maintenance Management Information System (MMIS) will be a contractor provided system, based upon best commercial practices. The MMIS will be further defined at the Task Order.

26. Q: If the contractor specifies the MMIS, what existing Government systems should it tie to?

A: The Maintenance Management Information System (MMIS) will be a contractor provided system, based upon best commercial practices. The MMIS will be further defined at the Task Order.

27. Q: Who defines necessary network infrastructure to allow for a web-based

MMIS?

A: The Maintenance Management Information System (MMIS) will be a contractor provided system, based upon best commercial practices. The support requirements for MMIS implementation will be further defined at the Task Order.

28. Q: Does the system have to interface with local systems for data acquisitions? (Parts, usage, other?)

A: The Maintenance Management Information System (MMIS) will be a contractor provided system, based upon best commercial practices. The support requirements for MMIS implementation will be further defined at the Task Order.

29. Q: What type of network security systems are acceptable? (CAC access, hard-token, 2 step authentication?)

A: The Maintenance Management Information System (MMIS) will be a contractor provided system, based upon best commercial practices. The support requirements for MMIS implementation will be further defined at the Task Order.

30. Q: Does data have to be migrated from an existing MMIS?

A: The Maintenance Management Information System (MMIS) will be a contractor provided system, based upon best commercial practices. The support requirements, to include any migration requirements, for MMIS implementation will be further defined at the Task Order.

31. Q: Is the baseline data electronic or paper or mixed?

A: The Maintenance Management Information System (MMIS) will be a contractor provided system, based upon best commercial practices. The support requirements for MMIS implementation will be further defined at the Task Order.

32. Q: What is the differences between the two award pools and the requirements for the Restricted Competition Pool and Unrestricted Competition Pool?

A: The Restricted Pool is restricted as a set aside to Small Businesses (SBs) only, IAW with the terms of the solicitation. Task Orders offered to the Restricted Pool will be those determined to be of appropriate scope for a SB to be able to perform at least 50% of the cost of performance for personnel in the task order IAW FAR 52.219-14 (c)(1). The Unrestricted Pool is for SBs and Other Than Small Businesses (OTSBs) and will be offered all task orders other than those reserved for the Restricted Pool. Offerors may only propose to task orders offered to their pool.

The requirements are otherwise the same for both pools, but to be considered for either pool, an offeror must submit a separate proposal for each pool that the offeror wishes to compete in.

33. Q: May offerors bid as a Prime on both Restricted Competition and Unrestricted Competition Pools?

A: Only Small Business Offeror’s may bid as a Prime in both pools.

34. Q: Section M states, "The Governments present intent is to award contracts in two (2) distinct award pools, a Restricted Competition Pool and an Unrestricted Competition Pool". Please clarify what constitutes a Restricted Competition Pool and an Unrestricted Competition Pool.

A: The Restricted Pool is restricted as a set aside to Small Businesses (SBs) only, IAW with the terms of the solicitation. Task Orders offered to the Restricted Pool will be those, based upon size/scope and complexity, determined to be appropriate for a SB to be able to perform at least 50% of the cost of performance for personnel in the task order IAW FAR 52.219-14 (c)(1). The Unrestricted Pool is for SBs and Other Than Small Businesses (OTSBs) and will be offered all task orders other than those reserved for the Restricted Pool. Offerors may only propose to task orders offered to their pool. The requirements are otherwise the same for both pools, but to be considered for either pool an offeror must submit a separate proposal for each pool that the offeror wishes to compete in.

35. Q: May offerors bid as a Prime in one Pool and a Subcontractor in the other Pool?

A: Yes but, an offeror may not be a Prime and a Subcontractor in the same pool.

36. Q: The Executive Summary cites that the effort will be a Full & Open Competition, but in Section M., Paragraph A, titled Basis of Award, it is stated that the USG intends to award contracts in two distinct award pools, a "Restricted" and an "Unrestricted Pool". Can the USG clarify what limitations or criteria will be placed on Task Orders to discern which Pool the individual task orders will be competed in?

A: Task Orders offered to the Restricted Pool will be those, based upon size/scope and complexity, determined to be appropriate for a SB to be able to perform at least 50% of the cost of performance for personnel services in the task order IAW FAR 52.219-14 (c)(1). All Task Orders not reserved for the Restricted Pool with be offered to the Unrestricted Pool.

37. Q: When will Attachment 12, Task Orders be available for review?

A: The USG anticipates providing Draft Task Orders for review in October 2016.

38. Q: Are Task Orders 0001 (MD 530F), 0002 (Mi-17), and 0003 (IA 407) included in the proposal response awardable or for evaluation only?

A: Each Task Order proposal response will be used for evaluation. The Task Order requirements are intended for award purposes. At its discretion, the Government reserves the right to make no awards at all.

39. Q: Will individual Task Orders identify which clauses are applicable or should the contractor assume all clauses are applicable. This could be a cost driver A: All applicable clauses in the Basic Contract will flow down to the Task Order. The prescriptions of the FAR/DFARS will determine whether a particular clause is applicable to a particular Task Order. For example, a clause that the FAR prescribes only for use in cost-reimbursement type contracts would not automatically apply to firm-fixed-price task orders.

40. Q: Will the USG provide ordering procedures for task order proposals?

A: Yes. The USG will publish a Task Order ordering guide.

41. Q: Will the USG provide TO PWS in Draft Format?

A: The USG anticipates providing Draft Task Orders for review in October 2016.

42. Q: When does the USG anticipate releasing sample task PWS?

A: The USG anticipates providing Draft Task Orders for review in October 2016.

43. Q: General. Will the USG require pilots and aircrew to be armed for this effort?

A: Arming of contractor personnel will be as required in the individual Task Order.

44. Q: Can you provide a list of potential locations/countries of performance?

A: This effort provides for Worldwide Logistic Support Services. Initial efforts may include the countries of Afghanistan and Iraq.

45. Q: Please confirm the CDRLs are task order specific and not required at the prime level, if some are required at the prime level please identify A: The Basic contract PWS will include all potential CDRLs that may be required at the Task Order level. There are only 6 CDRLs that are applicable to the MATOC itself and will be submitted with the initial proposal. The 4 MATOC CDRLs are:

Quality Program Plan (DI-QCIC-81722); System Safety Program Plan (DI-SAFT- 81626); Contractor’s Risk Management Plan (DI-MGMT-81808); Management Plan (DI-MGMT-80004A); and 2 CDRLs applicable to post award conference:

Presentation Materials (DI-ADMN-81373); and Report, Record of Meeting/Minutes

(DI-ADMN-81505).

46. Q: Request the following FAR/DFAR clauses be incorporated into final RFP and subsequent contract award:

- 52.228-3 Workers’ Compensation Insurance (Defense Base Act)

- 52.228-4 Workers’ Compensation and War-Hazard Insurance Overseas

- 52.246-23 Limitation of Liability

- 52.246-24 Limitation of Liability—High-Value Items

- 252.225-7043 Antiterrorism/Force Protection Policy for Defense Contractors Outside the United States

- 252.228-7000 Reimbursement for War-Hazard Losses

- 252.228-7003 Capture and Detention.

A: The USG will include all the requested clauses.

47. Q: Amendment 1 released on JUL 28, 2016, provides in Section A, pg. 2 of 109, first paragraph states the document is a "DRAFT RFP." The third paragraph states, "ALL questions and comments concerning this DRAFT RFP must be submitted in writing by Monday, August 15, 2016...". The fourth paragraph announces INDUSTRY DAY in Huntsville, AL on September 14, 2016. The above is in direct conflict with SECTION L - pg. 97 of 109, which states "Offerors must make an appointment with LaTasha Porter for personal deliveries of all proposal documents (mailto:latasha.y.porter.civ@mail.mil /

(256) 313-5164). The appointment for delivery of the entire proposal must be scheduled not later than 12:00AM Central Time, Monday 15 August, 2016. The Delivered package(s) shall be labled To Be Opened By Addressees Only.

These volumes must be received no later than 12:00 AM Central Time, Monday, 15 August 2016." QUESTION: The RFP contains conflicting statements. Does the Government intend to hold an Industry Day on 14 September, 2016?

Request clarification is in fact the document released on 15 August, 2016 is a DRFP or is it intended to be an RFP, with proposal responses due the same date as questions are due?

A: The conflicting information was resolved in Amendment 2 of the Draft RFP. For clarification, the document released on 28 July 2016 was a DRAFT Request for Proposal (RFP), no formal request for proposal has been released for WLSS-C at this time.

48. Q: Is it possible to have a separate CLIN for Repair of Repairables?

A: The USG CLIN structure will include a Repair of Repairables SLIN in the formal

RFP.

49. Q: Instructions provide there are five (5) volumes; yet within the section it calls out six (6) volumes including Volume VI - Small Business Participation.

Is there only five or is there really six volumes?

A: There are six (6) volumes; Entry Gate criteria, Technical, Past Performance, Cost/Price, Small Business Participation and Contract Documentation.

50. Q: Section A, Executive Summary, article 2 states travel and materials will be cost reimbursable, yet travel under CLIN 0006AA is shown as "Firm Fixed Price". Please clarify.

A: The MATOC CLINs are being revised and will include both Fixed Price and Cost type SLINs. The specific SLIN applicable will be determined by the nature of the Task Order scope of work.

51. Q: Section L, paragraph 4.B.2.a states that “Task Orders shall be firm-fixed-price with the exception of cost-reimbursable CLINs for ODCs”.

a. Are the various “Materials” type CLINs (i.e. X001AC, X002AC, X002AD, X003AC, etc.) considered cost-reimbursable ODCs? Does the “CLIN Contract Type” in Section B for these CLINs need to be modified?

b. Are the various “Other Direct Cost” type CLINs (i.e. X001AD, X002AE, X003AD, etc.) considered cost-reimbursable ODCs? Does the “CLIN Contract Type” in Section B for these CLINs need to be modified?

A: The USG will maximize the use FFP and Cost Reimbursement CLINs to the extent practicable to support customer requirements and will be further defined by Task Order. The MATOC CLINs are being revised and will include both Fixed Price and Cost type SLINs. The specific SLIN applicable will be determined by the nature of the Task Order scope of work

52. Q: Section M states, "This is a combination best-value source selection conducted as set forth below in accordance with FAR subpart 15.3, as supplemented by DFARS subpart 215.3 and AFARS subpart 5115.3". Please clarify what constitutes a combination best value source selection.

A: This is a combination best value source selection, because the USG will combine the use of Entry Gate (Go/No-Go) criteria and best value evaluation to establish a qualified contractor pool. Only those qualified contractor pool participants will be allowed to provide Task Order proposals.

53. Q: When will ACC release or publish Exhibits A, B and C?

A: The information in exhibits A, B, and C was provided in Amendment 2 of the Draft

RFP.

54. Q: The Contractor is responsible for providing the necessary equipment for Government Acceptance Testing. This could be a substantial cost to the Government. Then the Contractor shall include costs in its proposal for all standard as well as special test equipment necessary to perform/complete Government Acceptance Testing. Is this correct?

A: Yes. The contractor will be responsible to provide all necessary equipment to support Government Acceptance Testing, as may be directed in the Task Order.

55. Q: L-11 states, "The Government contemplates award of a Firm Fixed Price and Cost Plus Fix Fee contract resulting from this solicitation" but Section L, paragraph 4.B.2.a states that “Task Orders shall be firm-fixed-price with the exception of cost-reimbursable CLINs for ODCs”. Please clarify.

A: This conflict in language will be resolved in the formal RFP. While the the USG intends to maximize the use FFP and limit the use of Cost Reimbursement CLINs to the extent practicable to support customer requirements, it recognizes there may be occasions where Cost Plus Fixed Fee may be more appropriate. The actual type of CLIN will be defined by the Task Order.

56. Q: Is CLIN 0008AA needed? CLIN 0008AB is O&A Labor, CLIN 0008AC is O&A Material and CLIN 0008AD is O&A Other Direct Costs.

A: This was in error and will be corrected in the formal RFP.

57. Q: Section L states that various ODCs will be Cost Reimbursable, but there are no cost reimbursable CLINs in section B. Please clarify.

A: This was in error and will be corrected in the formal RFP.

58. Q: Could the USG please provide Attachment 11, Contractor Labor Rate Table?

A: Attachment 11 was provided in Amendment 1 to the Draft RFP.

59. Q: Could the USG provide clarification on material and ODC CLIN type, narratives say Cost Reimbursable but Section B shows FFP A: This conflict in language will be resolved in the formal RFP. The USG intends to maximize the use FFP and minimize the use of Cost Reimbursement CLINs to the extent practicable to support customer requirements. The specific CLIN type will be further defined by Task Order.

60. Q: Please provide clarification on what costs should be charged against CLINs X001AA, X002AA, X003AA, X004AA. It appears sub CLINs AB, AC, and AD were established for Labor, Materials, and ODCs. It is not clear what AA is for.

A: This conflict in language will be resolved in the formal RFP. The USG intends to maximize the use FFP and minimize the use of Cost Reimbursement CLINs to the extent practicable to support customer requirements. The specific CLIN type will be further defined by Task Order.

61. Q: Section L, Pg 90 of 109, states that any contract awarded as a result of this solicitation will be a DX rated order, but Block 1 of the SF33 Form states that it is a DOA1 contract type. Will the USG clarify which type of rated order the contract will be categorized?

A: The USG anticipates a DOA1 rating based upon DoD 4400.-1.M guidance, therefore the DX rating will be removed from Section L, page 90.

62. Q: Will the COR provide the CFT direction for forward operating locations support, as required?

A: The USG will provide CFT guidance and direction through the Contracting Officer.

63. Q: Where does the reference data for each of the proposed non-standard aircraft come from? (Part numbers, inspection regime, critical items tracking info, compliance regulatory environment?

A: All aircraft reference data will be the contractor’s responsibility to acquire unless it is Government Provided Information, as defined by Task Order.

64. Q: If the end customer does not comply with USG maintenance philosophy, does the system need to comply with USG requirements? (Status, readiness definition, discrepancies) A: Specific reporting requirements will be defined by Task Order.

65. Q: 252.211-7007 Reporting of GFP: Please confirm that the reporting requirements are for CONUS locations only and for parts and GFP that are part of a DOD supply system. How will IUID be applied to parts and GFP that are part of a foreign supply system.

A: The contractor would be responsible for reporting the property via the IUID Registry. GFP items may be required to be marked in accordance with DFARS 252.245-7001.

66. Q: How often shall we host USG verifications of the major configuration or MWO’s?

A: The USG anticipates completing these verifications no less than semi-annually and will be defined by the Task Order.

67. Q: Is it necessary to become FAA or other certified at an individual site or will AR95-20 be sufficient?

A: OCONUS facilities owned/operated by contractor will comply with Host Nation certification requirements. OCONUS facilities owned/operated by USG or Host Nation will be defined by Task Order. If not specified, all maintenance actions will be IAW Army recognized airworthiness authorities, by OEM procedures and AR 95-20.

68. Q: Will the tech support data will be provided as GFI?

A: All Government Furnished Information (GFI) will be as specified in the Task Order.
