I-1 CHANGED 252.232-7007 LIMITATION OF GOVERNMENT'S OBLIGATION APR/2014

(a) Contract line item(s) TBD is/are incrementally funded. For this/these item(s), the sum of $ TBD of the total price is presently available for payment and allotted to this contract. An allotment schedule is set forth in paragraph (j) of this clause.

(b) For item(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Governments convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled Termination for Convenience of the Government.

As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit, and estimated termination settlement costs for those item(s).

(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the

Contracting Officer in writing at least ninety days prior to the date when, in the Contractors best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state (1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for a subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractors notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled

Termination for Convenience of the Government.

(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraphs

(b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.

(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled Disputes.

(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.

(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled Default. The provisions of this clause are limited to the work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) and (e) of this clause.

(h) Nothing in this clause affects the right of the Government to terminate this contract pursuant to the clause of this contract entitled Termination for Convenience of the Government.

(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31

U.S.C. 1342.

(j) The parties contemplate that the Government will allot funds to this contract in accordance with the following schedule:

On execution of contract $ TBD

W58RGZ-15-R-0045 Amendment 0004 Questions and Answers Attachment 0056 3/23/2017

Answer

Because of the substantial changes effected in Amendment 0004, including numerous inconsistencies and errors as identified in questions below, bidders will be required to undergo a significant repricing of the proposal. Therefore we request the Government Issue a 30-day extension from the date all questions are answered and all RFP errors are corrected. Will the government grant this necessary extension?

The Government has revised RFP Attachments 0035, 0037, 0048, 0049, 0050, and 0051. The Government has approved an extension. The Final Proposal Revisions for solicitation W58RGZ-15-R- 0045 are due 11 April 2017 by 1200 CST as stated in Amendment 0005.

Would the Government reconsider the requirement of highlighting in green any cells with changes in the price spreadsheets?

The Offeror shall highlight in green any cells with changes in the spreadsheets at Volume II, Price.

Will the USG issue an amendment changing the CLIN X008 contract type to FFP with OCONUS labor now being fee bearing?

No. However, the RFP Attachment 0035 has been revised for clarification.

To accurately capture the total cost and bid the correct fee, will the USG amend CLIN X008 to be LOE based vs. the current plug number?

No. However, the RFP Attachment 0035 has been revised for clarification. Note: Attachment 0050 and 0051 have been revised for clarification.

Attachment 0037 shows Team 5 twice: Team 5 Warehouse Teams and Team 5 Travel SOUTHCOM Columbia. Please clarify if Team 5 Warehouse Team should be designated "Team 6" or does the government expect Team 5 to perform transition-in of Warehouses and SOUTHCOM at the same time?

The RFP Attachment 0037 has been revised to reflect the current team structure.

Attachment 0037 shows 13 total aircraft for CENTCOM and Attachment 0035 shows 17 total aircraft for CENTCOM. Will the government revise Attachment 0037 to be consistent with Attachment 0035 so that the offeror has the correct baseline for pricing and the Attachments are consistent?

The RFP Attachments 0035 and 0037 have been revised to reflect the current aircraft quantity for

CENTCOM.

Attachment 0056 "W58RGZ-15-R-0045 Amendment 0004 Questions and Answers" Questions

Attachment 0037 shows 2 total aircraft for SOUTHCOM and Attachment 0035 shows 3 total aircraft for SOUTHCOM. Will the government revise Attachment 0037 to be consistent with Attachment 0035 so that the offeror has the correct baseline for pricing and the Attachments are consistent?

The RFP Attachments 0035 and 0037 have been revised to reflect the current aircraft quantity for

SOUTHCOM.

In Attachment 0035 Option Year 8, the OCONUS Deployed and Contingency Sites are listed as CENTCOM Site 1 and Site 2, SOUTHCOM Site 3 and AFRICOM Site 5 and Site 6.

Attachment 0049 does not have any data for SOUTHCOM Site 3, AFRICOM Site 6 or CENTCOM Site 2. Will the government revise Attachment 0049 to be consistent with Attachment 0035 so that the offeror has the correct baseline for pricing and the Attachments are consistent?

The RFP Attachment 0049 has been revised.

In Attachment 0035, on the Base B1 Matrix tab there is a comment "3 ea Deployed CENTCOM/SOUTHCOM" for the MC-12S at Fort Huachuca, AZ. However the detail for the OCONUS deployed and contingency sites does reflect this comment. It appears that the comment should instead read "3 ea Deployed AFRICOM/SOUTHCOM". Will the government revise Attachment 0035 to fix this inconsistency?

The RFP Attachment 0035 has been revised.

In Attachment 0035, on the Opt Yr 1 through Opt Yr 8 CLIN B1 Matrix tabs there appears to be a comment missing for the MC-12S at Fort Huachuca, AZ which would be deployed at AFRICOM. However the detail for the OCONUS deployed and contingency sites does reflect this comment. Will the government revise Attachment 0035 to fix this inconsistency?

The RFP Attachment 0035 has been revised.

OCONUS quantity of aircraft shown in Attachment 0048 and Attachment 0007 does not match quantity found in Attachment 0035. Specifically Attachment 0035 Base B1 Matrix shows a quantity of 6 MC-12 at sites 1 & 2 for CENTCOM. Attachment 0048 and Attachment 0007 only show a quantity of 2 at Site 1. Will the government revise Attachments 0007, 0035, and 0048 to reflect the correct number of aircraft and sites so that the offeror has the correct baseline for pricing and the Attachments are consistent?

The RFP Attachments 0035 and 0048 have been revised to reflect the current aircraft quantity and sites.

In Attachment 0035 Option Year 1 and Option Year 2 shows 15 total aircraft but Attachment 0048 only shows 13. Also Attachment 0048 does not show OCONUS Site 2 and Site 6.

In Attachment 0035 Option Year 3 through Option Year 8 shows 14 total aircraft and Attachment 0048 only shows 13.

Will the government revise Attachments 0035 and 0048 to reflect the correct number of aircraft and sites so that the offeror has the correct baseline for pricing and the Attachments are consistent?

revised to reflect the current number of aircraft quantity and sites.

Will the government update Attachment 0048 to correct the hardcoding in the Base Period and number of aircraft of aircraft for options 1 through 8 so that the offeror has the correct baseline for pricing?

The RFP Attachment 0048 has been revised to reflect the current aircraft quantity and sites.

During face-to-face discussions on February 13, the government stated that the Transition Phase-Out CLIN pricing through option period 7 would be removed.

Amendment 0004 kept this requirement (fill-in requirement).

Did the government intend to continue this requirement for all the base period and all option periods or to include the Transition Phase-Out pricing only for Option 8.

The Government is removing the SEMA Phase-Out CLINs and only 9016 will remain.

During face-to-face discussions on February 13, the government stated that the Option to Extend CLIN pricing through option period 7 would be removed. Amendment 0004 kept this requirement (fill-in requirement). Did the government intend to continue this requirement for all the base period and all option periods or to include the Option to Extend CLIN pricing only for Option 8.

The Government is removing the SEMA Option to Extend Services CLINs and only 9018 will remain.

Please clarify if the electronic copy submission due on 05 April 2017 should be submitted on CD-ROM to the Contracting Officer?

Please see Section L Narrative (RFP Attachment 0024) paragraph 3.2, Electronic File Packaging.

Will the Government be issuing a conformed contract to support the reference to the SF33 instructions and to update the Contracts volume as necessary?

A conformed copy of the contract will be uploaded to FBO after release of Amendment 0005.

Attachment 0007 in the Base year has an aircraft count for the deployed aircraft at 18. When counted by site, the total number of aircraft is 19. In the Base Year, there are 19 aircraft deployed, but one of them is newly added to SOUTHCOM Site 3 (MC-12S Tail# 1100265 SN# FL-731) as depicted on Attachment 35. It appears to be assigned to Ft Huachuca, but was not indicated as such on Attachment 0007. Please clarify the correct number of aircraft.

The current number of aircraft has been revised in RFP Attachment 0035.

The team travelling to CENTCOM and the team travelling to AFRICOM are both called out as “Team 4”, should CENTCOM be “Team 6?" Please clarify.

The teams have been revised in RFP Attachment 0037 has been revised.

The time frame for transitioning OFS Bagram ends on 11/27/17 but the milestone for "SEMA Contractor Assumes Mission" is 11/24/17. Should the "SEMA Contractor Assumes Mission" milestone be 11/27/17?

The dates have been revised in RFP Attachment 0037.

Please clarify the transition schedule identified in Attachment 0037, there appears to be inconsistencies in the scheduled durations at the summary level.

The transition schedule has been revised in RFP Attachment 0037.

Offeror assumes that any additional changes made during Final Proposal Revision and aside from the Evaluation Notice(s), shall follow the same format as identified an General Changes paragraph (4). Please confirm offerors assumption is correct.

The Final Proposal Revision instructions in Amendment 0004 still stand.

Attachment 0035 SEMA Labor B1 Matrix Rev III has two (2) MC-12S aircraft assigned to Site 6 in the Base Year and Options Years 1 & 2, and one MC-12S assigned to Site 6 in Options Years 3-8. Attachment 0048 Manning Table Rev II has the two MC-12S aircraft assigned to Site 6 on the Base Year only. Which is correct?

revised.

24 Please confirm the Attachment files included in Amendment 0004 are the most current revision versions?

Yes. However, the RFP Attachments 0035, 0037, 0048, 0049, 0050, and 0051 will be the latest revision as provided in Amendment 0005.

Will the Government consider grouping the fleet of aircraft at Camp Humphrey's associated with the tables referenced in H-26 of Attachment 0045 for a total of 10 for the grouping to support the calculation?

The RFP Attachment 0045 will not be revised in this area.
