L-23 52.215-4716 PARTICIPATION IN THE PARTNERING PROCESS (USAAMCOM) MAY/2003

In an effort to most effectively accomplish the objectives of this contract, it is proposed that the Government, the contractor, and its major subcontractors engage in the Partnering process.

Participation in the Partnering process is entirely voluntary and is based upon a mutual commitment between Government and industry to work cooperatively as a Team to identify and resolve problems and facilitate contract performance. The primary objective of the process is providing the American warfighter with the highest quality supplies/services on time and at a reasonable price. Partnering requires the parties to look beyond the strict bounds of the contract in order to formulate actions that promote their common goals and objectives. It is a relationship that is based upon open and continuous communications, mutual trust and respect, and the replacement of the "us vs. them" mentality of the past with a "win-win" philosophy for the future. Partnering also promotes synergy, creative thinking, pride in performance, and the creation of a shared vision for success.

After contract award, the Government and the successful offeror will decide whether or not to engage in the Partnering process. Accordingly, Offerors’ shall not include any anticipated costs associated with the implementation of the Partnering process in their proposed cost/price (e.g., cost of hiring a facilitator and conducting the Partnering Workshop). If the parties elect to partner, any costs associated with that process shall be identified and agreed to after contract award.

The establishment of this Partnering arrangement does not affect the legal responsibilities or relationship of the parties and cannot be used to alter, supplement or deviate from the terms of the contract. Any changes to the contract must be executed in writing by the Contracting Officer.

Implementation of the Partnering relationship will be based upon the AMC Model Partnering for Success Process, as well as the principles and procedures set forth in the AMC Partnering Guide.

For information about the Partnering process and procedures the Partnering Success Guide may be found at http://www.amc.army.mil/amc/command_counsel/partnering.html.

L-24 52.219-4000 SUBMISSION OF SUBCONTRACTING PLAN (USAAMCOM) OCT/2000

(a) Offeror's attention is directed to FAR 52.219-9, "Small Business Subcontracting Plan", which is incorporated by reference in Section I of this solicitation. The clause requires large businesses to submit a subcontracting plan for small and small disadvantaged business concerns. Such plans are not required from Offerors that are small businesses.

(b) AMCOM requires five copies of each subcontracting plan. Large businesses may submit these copies of their plans (i) as an attachment to their offer in response to this solicitation; or (ii) after the bid opening/proposal closing date, in response to the Government's telephonic request (in which case the copies must be provided within five workdays of the date of the request).

(c) The contractor shall mark each page of the subcontracting plan with the solicitation number and date. If this is a negotiated acquisition, the Government reserves the right to negotiate any and all elements of the proposed plan during negotiation of cost, technical, and/or managerial features of the proposal.

(d) Failure to submit and, if applicable, negotiate an acceptable subcontracting plan which, in the judgement of the Contracting Officer, provides the maximum practicable opportunity for small business and small disadvantaged business concerns to participate in the awarded contract shall render the offeror ineligible for award. Offerors should be aware of the statutory goal that has been placed on the Department of Defense to award five percent of its total planned subcontracting dollars to small disadvantaged businesses (including Historically Black Colleges and Universities and Minority Institutions) at the prime contract and subcontract levels. In view of this Congressional mandate, large businesses shall provide specific explanation as part of any written subcontracting plan furnished in response to this solicitation/contract that identifies a goal for subcontracting to small disadvantaged business concerns and/or Historically Black Colleges and Universities and/or Minority Institutions that, in the aggregate, amounts to less than five percent of the bid or proposal's total subcontracting dollars.

Such purchases can be made tax-free by giving California vendors resale certificates, the form for which is prescribed by California tax authorities. This California sales tax exemption does not apply to the purchase of any property to be incorporated into real property located in California.

(b) The offeror shall ensure that the information presented in this volume is consistent and correlates with the information contained in the other proposal volumes. Also, the offeror shall ensure that the information submitted in this volume is consistent with and fully supports the amounts set forth in the SF33 and continuation sheets. The submission requirements apply to all subcontractors.

(c) Proposals should be sufficiently detailed to demonstrate reasonableness. The offeror is responsible for providing adequate evidence to prove credibility of proposed costs/prices.

(3) General Instructions:

(a) In accordance with FAR 15.402, 15.403-1 and 15.403(a) (1), certified cost or pricing data are not required based on the fact that adequate competition is expected for this procurement. Information other than cost or pricing data may be provided in contractor format providing that sufficient information is made available. Information submitted shall be prepared following the instruction in FAR 15.403-5. If after receipt of proposals the Contracting Officer (CO) determines that there is insufficient information available to determine price reasonableness and none of the exceptions at FAR 15.403-1 apply, the offeror may be required to submit additional cost or pricing data. Additionally, in the event that adequate competition is not obtained, the PCO may incorporate FAR 52.215-20 entitled, “Requirements for Cost or Pricing Data or Information Other Than Cost or Pricing Data,” into the solicitation and request a Certificate of Current Cost or Pricing Data.

(b) Prime contractors are responsible for ensuring that the requirements of Section L, Cost/Price are flowed down to each of their proposed subcontractors. Subcontractors are defined as members of an offeror’s overall team who are expected to perform on the proposed effort. All proposal submission requirements in Section L Proposal Instructions, Conditions and Notices to Offerors are applicable to all subcontractor submissions. All proposed subcontractors shall submit an un-sanitized proposal to the CO. The Prime contractor is required to provide the contract type arrangement proposed for each proposed subcontractor. The prime contractor shall assure that the proposed contract type arrangement for each subcontractor is the same arrangement provided in the subcontract proposals or shall provide an explanation for the difference.

(c) The offeror’s proposal shall be submitted with any and all information reasonably required to explain the estimating process, including the judgmental factors applied and the mathematical or other methods used in the estimates, including those used in projecting from known data; and the nature and amount of any contingencies included in the proposed price. The offeror shall provide any other general or specific information that may be beneficial in evaluation of the offeror’s proposal. The offeror’s cost and price estimating practices shall be in accordance with the offeror’s established accounting practices for accumulating, allocating and recording cost to final cost objectives.

(d) The offeror shall identify any deviations from the offeror’s standard procedures in preparing this proposal. If the offeror proposes to absorb a portion of costs, explain the reason and impact on cost and the specific accounting treatment that will be given to those absorbed costs. The offeror shall provide the same information for any subcontractor with which they intend to establish a cost or firm fixed price type subcontract arrangement.

(4) FFP Labor CLINS:

(a) The cost/price proposal shall be based upon prime and subcontractor labor hours, labor rates and indirect rates/factors that are reasonable and achievable. The offeror shall provide sufficient details for the Government to validate the proposed skill mix, applicable base labor rates and the associated indirect rates for each CLIN. Direct labor rates shall identify the baseline (takeoff point) plus projected escalation for each contract year. Direct labor hours and rates shall be delineated by labor category by contract year for the prime and each subcontractor. The labor hour delineation must be directly traceable to the same information proposed in the Mission Capability Volume. The offeror shall provide their productive man-year and full time equivalent by labor category for CLIN 0001 Fleet Support Life Cycle Services for the base and all options.

(b) In addition, the offeror shall include a summary of the total proposed cost/price by cost element for the total contract and a cost element summary by contract year and by CLIN, including profit dollars and percentage. The summaries should distinguish between the prime and each subcontractor.

(c) Cognizant DCMA and DCAA point of contacts (POCs) for the offeror and all subcontractor(s) shall be identified in the proposal, along with their respective e-mail addresses and telephone numbers.

(d) The prime contractor is required to provide a completed Attachment XX, “CAGE Code and Cognizant DCMA/DCAA Information” for themselves and all proposed subcontractors. The Prime contractor shall ensure that all DCMA/DCAA information is current and that the correct DCMA/DCAA Point of Contact (POC) information is provided for the subcontractors.

(e) The offeror shall provide the most current compliance status and date of adequacy/inadequacy determination for their Estimating System and Purchasing System.

(f) Pursuant to the Service Contract Act of 1965, the determination by the Secretary of Labor as to the applicable minimum monetary wage and fringe benefits will be made part of any resulting contract. For evaluation purposes only, the Government has incorporated the applicable Area Wage Determinations and Collective Bargaining Agreement. The offeror shall provide a crosswalk of the proposed labor categories and labor rates to the appropriate Service Contract Act Wage Determination.

(5) Cost Reimbursable (CR, CPFF, CPIF, and FPIF) CLINs: In accordance with FAR 16.301-3(a) (3), the contractor must have an accounting system that is adequate for determining costs applicable to the contract. This requirement applies to cost-reimbursement, incentive type, time-and-materials, or labor-hour contracts as stated in DFARS 242.7503 and 252.242.7006. The offeror shall provide a summary description of their accounting system, including indirect rate structure, and state whether it is compliant with Generally Accepted Accounting Principles (GAAP). The offeror shall provide any known/cited accounting system deficiencies. In addition, the offeror shall provide a copy of the DCAA Audit Report showing adequacy of the accounting system, and DCMA approval letter of the accounting system. The audit report or letter should be dated within four years of the offeror’s cost proposal. If DCAA has not audited the offeror or subcontractors’ accounting system or DCMA has not approved the accounting system or DCAA has not determined adequacy, the offer shall submit a completed Pre-award Survey of Prospective Contractor Accounting System Checklist provided as RFP Attachment xx. Completion of the Pre-award Survey of Prospective Contractor Accounting System Checklist is required in order for the Army Contracting Command-Redstone to proceed with a request for a DCAA pre-award accounting system review. This completed form should be submitted with the offeror’s proposal in the cost volume. The CO will forward a copy to the cognizant DCAA office along with the request for audit.
