SECTION H - SPECIAL CONTRACT REQUIREMENTS
H-8 TASK ORDER ORDERING PROCEDURES
General: Fair opportunity will be provided under the R-MAS suite of contracts in accordance with FAR 16.505(b)(1). If an exception applies, the rationale for this decision will be documented in accordance with DFARS 216.505-70(b).
Competitive Ordering Process:
(1) Pre solicitation and solicitation. All contractors will receive notification of the proposed TO without regard to business size. All proposed TOs incorporate all terms of the IDIQ contract unless otherwise specified in the proposed TO. In addition, the proposed TO solicitation will include:
(a). All known information included in Sections B through H of the task order (Line Items, Performance-based Work Statement or Statement
Of Objectives, packaging and marking information, data rights, inspection and acceptance of the services, period of performance, security, government property/information to be provided and other relevant information).
(b). The method of submission and response time for the contractors who will respond with either an offer or non-response notification.
(c). Specific instructions for the means of responding to the TO request, including but not limited to, oral interviews, reverse auctions, written responses summarizing technical and price approaches, submission of proposals, the selection criteria factors, the factors order of importance and other information deemed appropriate. It is the intent of the government to maximize the use of electronic submission of all proposals in response to TO request(s).
(2) Responses. Contractors will be provided adequate time to prepare and submit responses based on the estimated dollar value and complexity of the TO. The number of days for receipt of responses will be set forth in each proposed TO Request for Proposal. Responses will be streamlined and succinct to the extent practical based on the dollar value and complexity of the work. Responses will not be a proposal as defined in FAR 15, but only sufficient information to be considered in accordance with FAR 16. At a minimum the responses will include:
i. Price/Cost proposal developed using the established Firm Fixed Price (FFP) rates. Proposed staffing to include level of support. Firm
Fixed Price - Level of Effort (FFP-LOE), Cost Plus Fixed Fee (CPFF), Time & Materials (T&M), Cost Reimbursable (CR), and OCONUS efforts, FFP-LOE, CPFF, T&M and CR rates and burdens will be evaluated at the individual TO level.
ii. Task Order Management Plan (draft) for Time and Material and Labor Hour Task Orders
iii. Conflict of interest information
iv. Technical information e.g., technical approach, including team partners
v. Proposed Performance Based Work Statement for Statement of Objectives (SOO)
vi. Quality Assurance Surveillance Plan (QASP)for Statement of Objectives
(3) Evaluation. The Government will evaluate responses against evaluation criteria contained in the TO solicitation.
H-9 ON-RAMP/DORMANT STATUS/OFF-RAMP PROCEDURES
ON-RAMP:
On-ramping will be exercised when contractors within a mission area fluctuate due to a number of reasons including, but not limited to, low competition levels on task orders; mergers and acquisitions; the Government's exercise of the off-ramp process; and small business contractors outgrowing their small business size status under the existing NAICS code. It is in the Governments best interest that there remain an adequate number of contractors eligible to compete for task orders in the RMAS suite. Contractors will be notified that the determination to utilize the on-ramping procedures below will rest solely with the Government. The Government will evaluate the competitive environment annually to determine if on-ramping is needed. Contractors will be notified through FedBizOpps when on-ramping is to take place. On-ramp competitions will be 100% small business set-asides. The following procedures will be followed for on-ramping:
1). The Government will determine whether it would be in its best interest to initiate an on-ramp competition to add additional contractors to the mission area suite at any time, subject to the following conditions:
(a) An open season notice is published in FedBizOpps in accordance with FAR Part 5, Publicizing Contract Action;
(b) An open season solicitation is issued under current Federal procurement law;
(c) The solicitation identifies the total anticipated number of new contracts the Government intends to award;
(d) Any Offeror that meets the eligibility requirements set forth in the open season solicitation may submit a proposal in response to the solicitation;
(e) The award decision under the open season solicitation is based upon the same evaluation factors/sub-factors as the original solicitation;
(f) An Offerors proposal must meet all of the acceptability criteria of the original solicitation;
(g) The terms and conditions of any resulting awards are materially identical to the existing version of the contract and;
(h) The period of performance term for any new awards is coterminous with the existing term for all other contractors.
(i) Immediately upon on-ramping, the contractor is eligible to submit a proposal in response to any task order

solicitation and receive task order awards with the same rights and obligations as any other contractor.
The Government is responsible for ensuring performance and compliance with the terms of the contracts in the mission area suite and for safeguarding the interests of the Government and the American taxpayer in its contractual relationships. Additionally, the Government must ensure that contractors receive impartial, fair, and equitable treatment. The contracts under the HRS program must be reserved for only high performing contractors. Accordingly, the Government, by written bilateral agreement with the Contractor, may place a
Contractor into dormant status for documented performance issues/deficiencies for a specified period of time.
DORMANT STATUS:
Reasons for a dormant status designation may include, but are not limited to, a need to focus Contractor resources on resolving performance issues/deficiencies and meeting performance requirement standards specified in the TO and PWS. While under a dormant status designation, the Contractor shall abstain from submitting TO proposals in response to HRS TO solicitations and the performance requirement to submit TO proposals in response to HRS TO solicitations as defined under the basic contract will be temporarily waived.
Dormant status will be based on a written bilateral agreement between the Government and the Contractor and may be a condition in conjunction with a corrective action/plan, a cure notice, a show cause letter, etc. Dormant status is not a Debarment, Suspension, or
Ineligibility as defined in FAR Subpart 9.4 nor a Termination as defined in FAR Part 49. Dormant status will be for a specific timeframe and is not intended to circumvent any regulations or statutes, but is intended to incentivize the Contractor and afford it the opportunity to correct performance issues/deficiencies prior to a Contracting Officers decision to take further action against the
Contractor in accordance with regulations and statutes and/or off ramping the Contractor from the HRS MATO IDIQ contract. Even though the Contractor shall abstain from submitting TO proposals in response to HRS TO solicitations while the Contractor is in dormant status, the Contractor shall continue performance on previously awarded, active HRS TOs and may be eligible to receive awards for the execution of options and modifications under active HRS TOs at the discretion of the Contracting Officer.
Contractors may also request to be placed in dormant status. Contractors requesting to be placed in dormant status shall send a written request to the Contracting Officer citing requested timeframe and reasons for the request, such as the Contractor may need time to build business capacity if awarded several TOs within a compressed timeframe, etc. The Government will consider a dormant status designation for a specified period of time after careful review of the situation and circumstances.
If both parties agree to a dormant status designation, the Contracting Officer will issue a written bilateral agreement, including a basis for the determination, placing the Contractor in dormant status for a specified period of time. The Contractor shall have reasonable time, at the discretion of the Contracting Officer, to resolve issues or performance issues/deficiencies. At the end of the dormant status period, which may be extended by written bilateral agreement, and provided all performance issues / deficiencies have been resolved to the Governments satisfaction, the Contractor may resume submitting TO proposals in response to HRS TO solicitations and will again be required to meet the performance requirement to submit TO proposals in response to HRS TO solicitations as defined under the basic contract.
OFF-RAMPING:
The program office and supporting contracting office will conduct an off-ramp evaluation after the first 24 months of ordering and annually thereafter. The Government will reserve the right to unilaterally off-ramp non-performing Contractors. The contractor will be notified by the Contracting Officer of the off-ramp determination and the basis for that determination. Contractors that are off-ramped will have no active task orders under the IDIQ contract at the time of the off-ramping. Off-ramping may be accomplished using one of the following methods:
(a) Permitting the Contractors contract term to expire instead of exercising an option;
(b) Termination as defined in FAR Part 49;
Off-ramping may result from one of the following conditions:
(a) Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4;
(b) Termination of a task order
(c) After a Contractor has completed all previously awarded task orders under the mission area suite, and the
Contracting Officer has determined the Contractor has not adequately remediated documented performance issues.
(End of clause)
H-10 SERVICE CONTRACT ACT (SCA) COMPLIANCE REQUIREMENT
Task orders issued under this contract are subject to the Service Contract Act (SCA), though the exact places of performance are unknown. Labor categories may vary based upon contractor employment policies and labor agreements.
Consult the Department of Labor (DOL) website: http://www.dol.gov for specific location wage determinations as appropriate.
The offeror/contractor is responsible for ensuring that the rates proposed and billed for personnel on task orders, subject to the SCA, meet or exceed the corresponding minimum wages established by the DOL for the corresponding geographical region for task order performance.
4 7
Name of Offeror or Contractor:
PIIN/SIIN MOD/AMD
The actual place(s) of performance will be stipulated under each task order and the SCA covered labor categories will be subject to the requirements of the wage determinations for the actual places of performance. The Government anticipates offerors to provide discounts to the base contract ceiling rates in the task order based on the lower wages contained in the wage determinations for the actual places of performance. The offeror shall provide a schedule which includes the contract labor category, the SCA equivalent code and title, the wage determination number and a detailed breakout of the proposed FFP fully loaded labor rates under the task order by element of cost.
The rate breakout shall be in sufficient detail to illustrate compliance with the prevailing wages and health & welfare fringe benefits or bargaining agreement. The offeror must detail all other applicable benefits (e.g., vacation, holidays) required by the Wage
Determination(s) or bargaining agreement. Out-year rates for SCA covered labor categories shall not be escalated. For labor categories that are subject to the SCA, the element of cost breakout for the FFP fully loaded labor rates under the task order will be evaluated to ensure compliance with the applicable wage determination or bargaining agreement.
H-11 OCONUS COSTS
For task orders issued that require performance in OCONUS locations, costs related to OCONUS performance including, but not limited to, Cost of Living, Hardship, Living Quarters, Education, Danger Pay, and Foreign Per Diem, shall be proposed and billed in accordance with
Department of State guidelines.
H-12 STATUS OF FORCES AGREEMENT (SOFA) PROCEDURES
Status of Forces Agreement Clauses shall be incorporated at the Task Order level.
H-13 SAMPLE TASK PRICE EVALUATION PROCEDURES
The Cost or Price factor will be evaluated, but will not receive an adjectival rating. The Offeror must ensure all the requested proposal submission information is in accordance with Section L.
The Sample Task Price evaluations will not be conducted during the MA IDIQ contract evaluation, and the Sample Task prices will not be factored into the overall evaluated Price. If the Government decides to award any of the Sample Tasks. A price analysis will be used to evaluate the FFP Sample Tasks and will be conducted after initial MA IDIQ contract awards. Sample tasks may be awarded, at the
Governments discretion, within the first 12 months of the MA IDIQ contract ordering period. Only Offerors receiving MA IDIQ contract awards will be eligible to receive awards for the Sample Tasks. Sample Task awards will be based on the best overall (i.e. best value) proposals that are determined to be the most beneficial to the Government, with appropriate consideration given to the following:
Technical Subfactor Sample Task A, B or C and the corresponding Sample Task Total Evaluated Price. The Sample Task Technical Subfactor is significantly more important than the corresponding Sample Task Price. Evaluation of price will be performed using price analysis techniques in accordance with FAR 15.404-1(b). For each Sample Task, the Offerors proposed fully loaded FFP labor rate for each proposed labor category will be multiplied with the Offerors proposed number of labor hours to compute an extended price for each labor category for each year. (Note: The Offerors proposed fully loaded FFP labor rates shall not exceed the Offerors proposed fully loaded
FFP labor rate ceilings.) All extended prices will be summed to derive a total for each year. The total for each year will be summed to derive a total evaluated price for each Sample Task Order.
For labor categories that are subject to the SCA, the element of cost breakout for the FFP fully loaded labor rates under the task orders will be evaluated to ensure compliance with the applicable wage determination or collective bargaining agreement.
Evaluation of options shall not obligate the Government to exercise the option(s). As part of the Sample Task Order price evaluation, the Government will evaluate the option to extend services (FAR Clause 52.217-8) by adding six months (50 percent) of the Offerors final
Sample Task option period price to the Offerors Sample Task total price compute a Total Evaluated Price for each Sample Task. Thus for
Sample Tasks A, B and C, the Offerors total evaluated Sample Task prices for each Sample Task, for purpose of evaluation, will include a one year base period which includes a transition period, two, 12 month option periods, and the option to extend (six months (50 percent) of the 2nd option periods price). Offerors shall not provide a price for the six-month extension period.
Sample Tasks Proposals. Offerors are cautioned that a proposal is presumed to represent an Offerors best effort to respond to the solicitation. Any inconsistency, whether real or apparent, between promised performance and price, should be explained in the proposal.
Any significant inconsistencies, if unexplained, raise a fundamental issue of the Offerors understanding of the nature and scope of work required and his/her financial ability to perform under the contract, and may be grounds for rejection of the proposal.
Unbalanced Pricing.
The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced. Unbalanced pricing exists when, despite an acceptable total evaluated price, one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. In accordance with FAR 15.404-1(g), a proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
