[Respondent] has reviewed the insurance requirements in Section D.32. While we are confident in our ability to meet the required coverage limits, some of the specific policy language and conditions mandated in this section are inconsistent with standard insurance products available in the current market. To ensure all parties are aligned, [Respondent] reserves the right to submit redlines with its proposal to this section, provided the core coverage limits are maintained. This would allow for alignment between the contract's requirements and the actual policies that can be procured.
No edits to Section D.32 of the Pro Forma Contract will be accepted other than those provided in this and other of the State’s official, written responses to questions and comments. Respondents should note that, per Section 3.3.1 of the RFP, other than as expressly permitted by the RFP (including, per Section 1.4.8, the State’s official, written responses contained herein) “[a] response must not include alternate contract terms and conditions”, and any response which contains such terms and conditions may, in the sole discretion of the State, be deemed a non-responsive counteroffer and rejected. In addition, under RFP Section 3.3.2, “[a] response must not restrict the rights of the State or otherwise qualify either the offer to deliver goods or provide services as required by this RFP or the Cost Proposal. If a response restricts the rights of the State or otherwise qualifies either the offer to deliver goods or provide services as required by this RFP or the Cost Proposal, the State, at its sole discretion, may determine the response to be a non-responsive counteroffer and reject it.

The following (in red) are the proposed revisions to Section D.32 which the State would agree to incorporate into the final contract:

Paragraph 1, line 2: "The State reserves the right, subject to the mutual agreement of the Parties, to amend or require…" Paragraph 1, line 3: "Contractor's failure to maintain or submit evidence of insurance coverage, as required, is a material breach of this Contract; provided, however, that Contractor shall have ten (10) business days after receiving written notice from the State to cure any deficiency."

Paragraph 1, line 6: "All insurance companies providing coverage must be: authorized by the Tennessee Department of Commerce and Insurance ("TDCI") and rated A-/VII or better by A.M. Best."

Paragraph 1, line 9: "All coverages in which the State is required to be included as an additional insured hereunder must be on a primary basis and noncontributory with any other insurance or self-insurance carried by the State."

Paragraph 1, line 10: "Contractor agrees to include the State as an additional insured in all coverages specified herein other than workers' compensation (employer's liability), professional liability (errors & omissions), and crime insurance."

Paragraph 1, line 12: "All policies, other than crime insurance, must contain a waiver of subrogation in favor of the State."

Paragraph 1, line 13: Strike the following language: "Any deductible or self-insured retention ("SIR") over fifty thousand dollars ($50,000) must be approved by the State."

Paragraph 2, line 6: Strike the following language: "If the deficient underlying policy is for a coverage area without aggregate limits (generally Automobile Liability and Employers' Liability Accident), Contractor shall provide a copy of the umbrella insurance policy documents to ensure that no aggregate limit applies to the umbrella policy for that coverage area."

Paragraph 2, line 9: "In the event an umbrella policy is used to achieve any of the minimum required limits specified below, such umbrella policy must provide coverage on the same basis (i.e., true "follow form"), or broader, as the underlying coverages over which it is written."

Paragraph 3, line 1: "At any time upon request, Contractor shall provide the State a certificate of insurance ("COI") evidencing the coverages, limits, and endorsements specified in this Section."

Paragraph 3, line 6: "Contractor shall provide the COI ten (10) business days prior to the Effective Date and thereafter promptly upon the renewal or replacement of coverage."

Paragraph 3, line 10: Strike the following language: "At any time, the State may require the Contractor to provide a valid COI. The Parties agree that failure to provide evidence of insurance coverage as required is a material breach of this Contract. If Contractor self insures, then a COI will not be required to prove coverage. Instead, Contractor shall provide a certificate of self insurance or a letter, on Contractor's letterhead, detailing its coverage, policy amounts, and proof of funds to reasonably cover such expenses."

Paragraph 3, line 15: "The State reserves the right to require copies of all endorsements required under this Section at any time."
