L.2 FAR 52.215-20 REQUIREMENTS FOR CERTIFIED COST OR PRICING DATA OR

DATA OTHER THAN COST OR PRICING DATA (OCT 2010) – ALT. IV (OCT 2010)

(a) Submission of certified cost or pricing data is not required.

(b) Provide data described below: See Provision L.17.6, Volume III – Cost/Price Proposal Factor.

(End of Provision)

L.3 PROPOSAL PAGE LIMITATIONS

(a) The following page limitations are established for each portion of the proposal submitted in response to this solicitation.

Proposal Section (List each volume or section)

Page Limit (Specify limit)

See Table L-3

(b) The following requirements apply to the sections of the proposal which are page limited: Sections of the proposal which are page limited shall be prepared and submitted using non-compressed Arial font with single-spaced 12 point text with a one-inch margin on all sides in accordance with Microsoft Word default settings. Character spacing shall be “Normal” per Microsoft Word settings. Text in diagrams, charts, tables, artwork, and photographs shall be no smaller than 12 point text size. Diagrams, charts, tables, artwork and photographs shall not be used to circumvent the text size limitations of the proposal. The margins may contain headers and footers but shall not contain any proposal content to be evaluated. All pages in each volume shall be numbered sequentially with Arabic numerals (1, 2, 3, etc.) for contents subject to page limitations. Information that can be construed as belonging in another volume of the proposal will be so construed and counted against the appropriate volume’s page limitation.

L-3

(c) Title pages, tables of contents, cross-reference matrices, glossaries, and acronym lists are excluded from the page counts specified in Table L-3. In addition, the Cost section of your proposal is not page limited. However, this section is to be strictly limited to cost and price information. These pages shall be numbered with lower case Roman numerals (i, ii, iii, etc.) in order to provide ease of reference for the Government. Information that can be construed as belonging in one of the other sections of the proposal will be so construed and counted against that section's page limitation. 11 x 17-inch paper may be used for large tables, charts, graphs, plans, figures, diagrams and schematics, not for pages of text. These pages shall be counted as two pages against the page limited portions of the proposal.

(d) If final revisions are requested, separate page limitations will be specified in the Government's request for that submission.

(e) Pages submitted in excess of the limitations specified in this provision will not be evaluated by the Government and will be returned to the Offeror in accordance with NFS 1815.204-70(b). Minor informalities or irregularities in a proposal that can be adjusted, corrected, or waived without being prejudicial to other Offerors may be accepted if it is immaterial to the acquisition. However, any pages contained in a page limited section of your proposal which do not comply with the RFP requirements may be returned by the Government and not evaluated.

(f) The following requirements apply to the sections of the proposal which are not subject to page limitations: Sections of the proposal which are not page limited do not need to abide by the font, size or margin requirements of the page limited sections, though the Offeror should ensure readability. All pages in each section shall be numbered sequentially with Arabic numerals (1, 2, 3, etc.). Title pages, table of contents, cross- reference matrices, glossaries, acronym lists, etc. shall be numbered with lower case Roman numerals (i, ii, iii, etc.) in order to provide ease of reference for the Government.

(g) Each Offeror is required to submit its proposal in an electronic format through FedBizOps.

(h) Electronic copies of the proposal shall be prepared and submitted in Microsoft Office applications (Word and Excel). Further, the Microsoft Excel spreadsheets shall be submitted in Microsoft Excel format, not in a scanned Microsoft Word or Adobe PDF file. Microsoft Word documents shall be submitted in Microsoft Word format, not in an Adobe PDF file. At a minimum, each volume of the proposal shall be submitted as a separate electronic file. The Offeror shall not embed sound or video files into the proposal files. Minimize the use of scanned images and keep embedded graphics as simple as possible.

(i) Provide a Cross Reference List that tracks the page and paragraph numbers of the

Offeror’s proposal to the page and paragraph numbers in the Government’s instructions. A Cross Reference List shall be submitted in each Volume for that particular volume.

L-4

L.4 FAR 52.216-1 TYPE OF CONTRACT (APR 1984)

(End of Provision)

L.6 FAR 52.252-5 AUTHORIZED DEVIATIONS IN PROVISIONS (APR 1984)

L.8 NFS 1852.231-71 DETERMINATION OF COMPENSATION REASONABLENESS (APR

2015)

(a) The proposal shall include a total compensation plan. This plan shall address all proposed labor categories, including those personnel subject to union agreements, the Service Contract Act, and those exempt from both of the above. The total mailto:tasha.beasley@nasa.gov

L-5 compensation plan shall include the salaries/wages, fringe benefits and leave programs proposed for each of these categories of labor. The plan also shall include a discussion of the consistency of the plan among the categories of labor being proposed.

(b) The Offeror shall provide written support to demonstrate that its proposed compensation is reasonable.

(c) The Offeror shall include the rationale for any conformance procedures used or those Service Contract Act employees proposed that do not fall within the scope of any classification listed in the applicable wage determination.

(d) The Offeror shall require all service subcontractors to provide, as part of their proposal, the information identified in (a) through (c) of this provision for cost reimbursement or non-competitive fixed-price type subcontracts having a total potential value expected to exceed the threshold for requiring certified cost or pricing data as set forth in FAR 15.403-4.

L.9 PROPOSAL MARKING AND DELIVERY

(a) Methods of Proposal Delivery

Interested parties are required to submit offers, bids, or quotes electronically via the Federal Business Opportunities (FBO) system (www.fbo.gov). Proposals or quotes submitted using any other mechanism, such as U.S. Postal Service, Commercial Delivery Service, facsimile, or e-mail, will be deemed non-responsive and will not be evaluated. Do not call or e-mail NASA to inquire if your offer has been received, as this information will not be released. The FBO system will send an email to the email address on file for the user confirming the electronic submission.

(b) The following are requirements for the online FBO Electronic Proposal Response submission:

• Offerors must have a CAGE Code prior to registering in the System for Award Management (SAM).

• Offerors must be registered in SAM at (www.sam.gov) prior to submitting a proposal.

• Offerors must be registered in the FBO system and login to the FBO system to submit proposals in response to this Request for Proposal (RFP).

• For additional information on submitting electronic proposal responses via the FBO system, see the FBO Vendor Guide, Section 4.3.1, Submitting an Electronic Response.

L-6

• Given the amount of data and information to be submitted by Offerors in response to a solicitation, and the inherent limitations of internet bandwidth, Offerors may be required to submit sections of the volumes in multiple uploads.

• Each volume (see Provision L.17.2) shall be submitted as individual files using the following convention: Company Name_Volume Number_Section Name (acronyms are appropriate). For example, the file containing the Phase-In Plan for Core A would be labeled as follows: CompanyXYZ_I_PIP Core A.docx. It is critical that Offerors carefully and completely identify all parts and attachments of the proposal.

• Any proposal section required from major subcontractors shall be submitted using the following naming convention: Prime Company Name_ SUB_Company Name_Volume Number_Section Name. For example, Company XYZ is proposing as a prime contractor with Company ABC as a major subcontractor the file containing a major subcontractor ABC’s pricing volume information would be labeled as follows:

o PrimeCompanyXYZ_SUB_MajorSubABC_III_IDIQ.xls. Major subcontractors may submit pricing volume information and the Total Compensation Plans independently via FBO using this naming convention. It is imperative that this naming convention is used, especially in the case that a company is involved as a prime and/or subcontractor on multiple proposal teams.

• Proposals are considered to be timely when the proposal is uploaded to the FBO platform and the Offeror affirmatively submits their proposal, via FBO procedures, by the date and time specified in Provision L.17.2. In accordance with FAR 15.208, if the proposal is not received at the initial point of entry to the Government infrastructure (in this case, received through FBO) by the exact date and time specified on the cover page of this solicitation, it will be determined late.

• Consider the file size and number of files to be uploaded when submitting your proposal in FBO.

Note: There may be variability in the time required to upload proposal files; size and content may be factors, therefore Offerors are strongly cautioned when submitting proposals to allow adequate time for upload of all documents so that the Offeror’ s complete proposal is submitted by the date and time specified in Provision L.17.2.

Solicitations may remain posted on the FBO after the solicitation closing date. If the response deadline has passed for the solicitation, Offerors will no longer be able to submit proposals.

Any award issued as a result of this solicitation will be distributed electronically.

(a) Introduction

The Offeror’s cost proposal shall be compliant with and based upon the Offeror’s estimating, accounting, and other applicable business systems. Certified cost and pricing data is not required; however, data other than certified cost and pricing data is required.

To ensure that the Government is able to perform a fair assessment of the proposed cost, the prime Offeror and all “major subcontractors” are required to submit a cost proposal that is suitable for evaluation. For the purposes of this solicitation, a “major subcontractor” is any team member (e.g., a subcontractor or inter-divisional organization) with an estimated annual contract value that equals or exceeds $3,000,000 over the period of performance for this contract as defined in Section L.16, Period Covered by Procurement.

A cost proposal that is suitable for evaluation shall:

• Account for all resources necessary to complete requirements of this RFP.

• Provide traceability to the technical/management proposal(s).

• Explain in detail all pricing and estimating techniques.

• Disclose the basis of all projections, rates, ratios, percentages, and factors in sufficient detail to facilitate the SLPT’s understanding and ability to mathematically verify these estimating tools.

• Comply with applicable Federal Acquisition Regulation (FAR), NASA FAR Supplement (NFS), and statutory requirements.

• Include a narrative portion that explains all judgmental elements of cost projections and fee policies.

L-20

• Include all templates required in this RFP.

The Offeror’s cost proposal shall be submitted in one volume labeled Volume III Cost/Price Proposal.

(b) Specific Guidelines

The following cost instructions apply to the prime Offeror and all “major subcontractors”:

1. Direct Labor Rates

For any direct labor rates not included in a Forward Pricing Rate Agreement (FPRA), the Offeror shall indicate the basis and/or source data (e.g., actual salary data as of a specific date, proposed salary data from a specific source as of a specific date, etc.) of any direct labor rate proposed. Indicate any adjustments that were made to the source data in order to derive the direct labor rates proposed in the initial contract year. If an adjustment(s) to the source data was made, indicate the reason(s) and rationale for the adjustment(s).

Note: If the Offeror’s proposed direct labor rates are based on information obtained from a third party salary survey/service provider, then the Offeror shall include the source data as part of their cost/price proposal.

2. Direct Labor Rate Escalation

For any direct labor rates not included in a FPRA, the Offeror shall provide the company's direct labor escalation history for the past three (3) years. The Offeror shall indicate the reason(s) for the historical escalation history.

Further, the Offeror shall specifically provide, and explain, the rationale for any proposed direct labor rate of escalation going forward, whether positive, zero, or negative. Finally, if the historical rate of escalation is different than the proposed rate of escalation going forward, then provide and explain the reason(s) why.

Note: The proposed direct labor rate of escalation discussed in this paragraph shall match the direct labor rate of escalation proposed in the Excel Pricing Model (EPM) Total Compensation Templates (i.e., TC(a) and TC(b)).

3. Indirect Rate Historical Data and Analysis

For any indirect rate(s) not included in a FPRA, the Offeror shall provide the company's indirect rate history for the past three years. Further, the Offeror shall specifically provide, and explain, the rationale for any elements of cost in either the “pool” or the “base” that are driving significant changes in the indirect rate(s) going forward or that have resulted in significant changes to the indirect rate(s) versus the historical indirect rate data. Likewise, the

L-21

Offeror shall indicate the primary reason(s) for any significant change in the indirect rate from one year to another year. Offerors are cautioned against presuming the Government will approve or accept any unsolicited indirect rate ceilings offered as part of a proposal.

Note: Where an Offeror does not have three prior years of history for an indirect rate, then that Offeror shall provide and explain both the basis of estimate and the rationale for the “pool” and “base” costs that comprise each indirect rate. Emphasis should be placed on the large and/or significant dollar items, but shall encompass no less than 75% of the total proposed “pool” and “base” cost items.

4. Uncompensated Overtime

The Government does not require the use of uncompensated overtime;

however, if proposed, include a detailed narrative basis of estimate explaining your proposed methodology and provide your historical experience for similar work.

5. Standard Labor Categories

Standard Labor Categories (SLCs) to facilitate a consistent evaluation among Offerors are provided in Attachment L-7. Offerors shall map their labor categories to the SLCs. Offerors shall provide a brief narrative description of their labor categories and how they map to the SLCs to permit for a Government review based on the Offeror’s estimating system. Offerors are allowed to include additional SLCs for work that does not easily map into the SLCs provided in the cost proposal. However, Offerors shall provide descriptions similar to the guidelines used in Attachment L-7 for SLCs.

Attachment L-7

SLCs.xlsx

6. Model Contract Rates versus Cost Proposal Rates

The Fully Burdened Rates (FBR), excluding fee, per SLC used in the development of the Offeror’s cost proposal shall match exactly with the FBR per SLC proposed in Section B.8, Pre-established Loaded Labor Rates (IDIQ).

(c) Pricing Methodology

For purposes of this solicitation, Offerors shall be required to provide their estimate of the required level of resources necessary to perform the SOW as discussed in the following paragraph:

1. Core Work Pricing

L-22

Offerors are required to provide their estimate of the required resources – level of WYEs, appropriate skill mix, and amount of non-labor resources – necessary to accomplish their unique technical approach to performing the SOW portion identified as Core work including costs for contract close-out.

A Government Resource Estimate (GRE) is provided in Tables L-7, L-8, and L-9. The GRE is the Government’s estimate of both the labor and non-labor resources required to perform this effort, without incorporation of any one Offeror’s specific management or technical approach. The GRE is based on historical usage factors and is not considered to be a Government “plug number,” with the exception of the Stores/ Critical Spares/ Furniture.

Offerors are required to develop their own resource estimates that support their unique management and technical approaches and shall provide supporting rationale in narrative form. The narrative form shall be provided in Volume I, Technical Acceptability DRD AR 1-1. The GRE WYE estimates include all direct labor to perform the work with the exception of traditional G&A type personnel such as: sales, finance, legal, procurement, and executives.

(d) Excel Pricing Model (EPM):

The goal of the EPM, to be submitted in an automated workbook, is to provide a comprehensive working model of the Offeror’s proposed cost volume in an automated format. It is important to note that the detailed instructions on how to complete the EPM templates are included in each applicable template. The pricing model will be designed to facilitate changes to source data such as direct labor hours and/or rates, overhead and G&A rates, etc., and be sophisticated enough to compute the total impact of various changes to both cost and price. It is important that your model facilitate this process to ensure fidelity and is error free. For example; the model must be able to compute the cost and price impact of:

• Increasing (or decreasing) the number of WYEs of any SLC.

• Increasing (or decreasing) the indirect rates.
