About this file
This document summarizes the government's responses to questions regarding Amendment 0005 to solicitation N6134019R0007 for the Advanced Helicopter Training System (AHTS) TH-XX aircraft program. The government will not provide financing for CLINs outside the 0X01 series. For CLIN 0010, the access agreement requirement is due 30 days after option exercise, with acceptance and payment according to the FAR. Offerors are not required to complete Attachment L-11. Pricing in Attachments L-9 and L-10 must align with Section B CLIN pricing. The contractor product support analysis discussed in PWS 3.15.1 refers to informal quarterly recommendations rather than a separate deliverable. Performance guarantees will close upon delivery of each CLIN. Aircraft will be assigned FAA numbers initially and later DOD numbers upon title transfer.

Question/Feedback Government Response
N6134019R0007, Section I
For CLINs 0X01 (and 0X02), the RFP allows for payments in accordance with Clause
52.232-30 "Installment Payments for Commercial Items". However, for CLINs 0X03, 0X04, 0005, 0006, 0007, 0008, 0009, and 0011, payment is made via 52.212-4(i)(1), which is payment after acceptance (DD-250). Would the government consider allowing some or all of these CLINs to be paid under Clause 52.232-30 "Installment
Payments for Commercial Items" given the potentially significant negative impact to cash flow that may be incurred with the current payment approach for these CLINs?
The Government will not be providing financing on the CLINs not included in the 0X01
Series.
N6134019R0007, Section I
For CLIN 0010, it is unclear how and when Inspection and Acceptance would occur.
Section E of the RFP indicates that Inspection and Acceptance is "N/A" for this CLIN.
Accordingly, how will the Contractor get paid for CLIN 0010 and when would this payment occur? Given that CLIN 10 is a service over an extended period of time would the Government consider annual payments for CLIN 0010 ?
Section E and Section F of the solicitation have been updated in Amendment 0005 to address the Inspection & Acceptance and delivery of the Access Agreement. In accordance with the updated terms and conditions, the contractor shall tender for acceptance the CLIN 0010 requirements 30 days after option exercise, with inspection and acceptance occuring in accordance with FAR Clause 52.212-4(a). While the requirements of the access agreement continue through CY2050, payment of CLIN
0010 will be in accordance with DFARS Clause 252.232-7003 at time of acceptance per
FAR Clause 52.212-4(i). Furthermore, as acceptance and payment will occur prior to the conclusion of performance (i.e. CY2050), the Access Agreement attachment has been updated to clarify conformance with the Access Agreement arrangement is not a one-time event, but instead requires continual updates to the IDE that shall continue through CY2050.
PWS 3.11.2
This PWS Section refers to "product baseline specifications." Please confirm that this term falls within the DAU definition as follows: " Mainly describe by a set of item detail specifications and the associated technical data package (TDPs) of the lower level configuration items (CIs). Designate the configuration item build requirements for each of the lower level configuration items. It includes physical characteristics, materials, manufacturing processes, and manufacturing equipment requirements of each of the lower configuration items."
The final product baseline is the "product baseline" in figure 5, page 29 of SAE/EIA-649, and para 5.2.5.1, page 30.
Part B Specific Instructions
3.2 Price Volume Content
and 3.2.1
The price volume requires the inclusion of a completed Attachment L-9 Unit Pricing
Matrix and a completed Attachment L-10 Prime Contractor Price Summary.
Attachment L-11 Operations and Support - Contractor Contribution (O&S-CC) has been provided for reference/informational purposes. Is the Contractor required to complete Attachment L-11 and include in its proposal submission or is it solely for the
Government's use as part of the evaluation process? If so, please provide Section L and/or M guidance.
The Offeror is not required to complete and submit an Attachment L-11. However, within Volume 3.0 Price, the Offeror shall specify the variant of the aircraft within
Conklin and de Decker that is most closely representative to its model proposed.
Part B Specific Instructions
3.2 Price Volume Content
and 3.2.1 and Schedule B -
Supplies or Services and
Prices
Offerors are required to provide a completed Attachment L-9 Unit Pricing Matrix and a completed Attachment L-10 Prime Contractor Price Summary within its Price
Volume. Are the Offerors required to complete Section B with included pricing within the various CLIN amounts to align with Attachments L-9 and L-10 and submit within the Price Volume?
The pricing listed in attachments L-9 and L-10 should align with the the proposed pricing within the CLINs in Section B. However, the Offeror is not required to submit
Section B as part of the Price volume.
Performance Work Scope v1.2, Paragraph 3.15.1, The last sentence of the main paragraph in PWS 3.15.1 states “The Logistics Manager shall provide quarterly recommendations to the Government team regarding the
Contractor Product Support Analysis outputs.” The term “Contractor Product Support
Analysis” (with leading capital letters) implies a specific task or deliverable, yet this term is not defined by any other paragraph or CDRL within the solicitation materials.
Is this analysis intended to be part of CDRL A020 Prognostics and Health
Management Analysis? If so, then there is a discrepancy between “quarterly recommendations” in PWS 3.15.1 and the semi-annual frequency of CDRL A020. If it is a separate analysis task, then please provide definition for the task.
The analysis is not expected to be submitted as part of CDRL A020. It is expected to be discussed during the informal quarterly recommendations provided to the Government
(as part of the 4,000 hours).
RFP Section I, Clause
52.228-16
Operating under the assumption that a performance guarantee will be issued on behalf of the seller, by a US bank of seller’s choosing, for each CLIN, could NAVAIR please confirm that the guarantees will be closed upon completion of all delivery events for each CLIN or reduced upon each delivery and closed upon completion of each CLIN?
The guarantees will be closed upon completion of all delivery events for each CLIN.
RFP
Will the Navy assign a Government serial number to each aircraft or is it the intent of the Government for the aircraft Airworthiness Certificate to be maintained on the
FAA civil registry and carry an "N" registration number?”
The aircraft will be assigned an FAA "N" registry number applicable until title transfer to the Government. At that point, the aircraft will be assigned a Government BUNO number obtained from the Air Force. A cross reference will be maintained between the
Aircraft Production Number and BUNO number. The FAA will know the aircraft by its
Production Number, and the Government will operate the aircraft under the BUNO number. If ever decommissioned and returned to civilian service, the aircraft can be reassigned a "N" number.
