About this file

This document provides details for a federal solicitation seeking proposals for an Advanced Helicopter Training System (AHTS) aircraft. The Navy is soliciting proposals to acquire a single-engine or dual-engine aircraft to replace its TH-57 training helicopters, with deliveries of the first production lot scheduled for FY2023. Offerors must submit proposals by the date specified on the SF-1449 form. The Navy will evaluate proposals based on technical merit and price, with technical factors significantly more important than price. Technical evaluation will consider the aircraft system and management/support approaches. The aircraft system evaluation will focus on overall compliance and instrument training, and will include a system performance demonstration. The solicitation provides instructions on the required proposal structure and content. Pricing must be submitted in Then-Year dollars using the attachments provided. The Navy intends to award a fixed-price contract to the offeror providing the best overall value.

CLAUSES INCORPORATED BY FULL TEXT

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (AUG 2018)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF

1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the Offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the Offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) N/A; and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The Offeror agrees to hold the prices in its offer firm for 364 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) N/A

(e) Multiple offers. Offerors may submit one offer for a single engine aircraft system and one offer for a dual engine aircraft system that meets the requirements specified in the Performance Based Specification;

however, Offerors are not required to submit more than one proposal. Each Offeror may only submit one offer per aircraft system. Each offer submitted shall be provided as an independent offer and will be evaluated separately.

The Government will not evaluate more than one offer for each of the above mentioned aircraft systems and will not evaluate any proposal for any alternative aircraft system.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the

Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent

Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an

Offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to award a contract in accordance with the criteria set forth in Section M of the solicitation.

(h) N/A

The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an Offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the Offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting

Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

INSTRUCTIONS TO OFFERORS

L

L.1 PROPOSAL INSTRUCTIONS

PART A GENERAL INSTRUCTIONS

1.0 GENERAL

1.1 Offerors are required to submit sufficient information concerning all evaluation factors to enable

Government personnel to fully assess the capabilities of the Offeror to perform all requirements. The proposal must be sufficient in detail and scope to enable evaluation and provide the evaluators a clear understanding of the

Offeror’s approach, expertise, and capability as required by the solicitation. The Offeror shall not alter or rearrange the solicitation (SF-1449). Offerors are advised that the Government may incorporate any part of the Offeror’s proposal deemed beneficial to the Government into the final contract, without discussions. Price information, (e.g., dollar values and/or hourly rates) shall appear only in Annex A (Small Business (SB) Subcontracting Plan) and

Volume 3 (Price). Alternate proposals are not acceptable.

1.2 In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization should be emphasized during proposal preparation. It is the responsibility of the Offeror to present enough information to allow the Government to evaluate its proposal without discussions. The burden of proof for all substantiation within the proposal rests with the Offeror. Unsubstantiated statements that the prospective Offeror understands, can, or will comply with the specifications, or paraphrasing the requirements or parts thereof are considered inadequate and may result in a rating of unacceptable.

1.3 The Offeror shall include any data necessary to illustrate the adequacy of the various assumptions, approaches, and solutions. There is no need to repeat information in more than one volume. The detailed information must be included in the most logical place and summarized and referenced in other areas if an overlap exists. Do not provide elaborate brochures or other presentation material beyond that sufficient to present a complete and effective proposal.

1.4 As used in this RFP, the following terms are defined: “Offeror” means the prime contractor with its CAGE code identified in Block 17A on Standard Form (SF) 1449 Solicitation, Offer, and Award. “Joint Venture” (JV) means a partnership or teaming arrangement that is formed for the purpose of responding to this solicitation when the prime contractor consists of more than one legal entity. “JV Team Members” means the entities that make up a

Joint Venture. “Entity” means any of the following: prime contractor, JV, JV team members, any subcontractor, and corporate parent, division, subsidiary, or affiliate (e.g., any contractor with a different CAGE Code/DUNS than the

Offeror). “Principal Entities” means (a) the prime contractor; (b) JV Team Members; and (c) other entities that are proposed to perform at least 15.00% of the proposed total cost/price for the contract.

2. PROPOSAL FORMAT

2.1 The Offeror shall provide one folder for each volume or annex, containing all electronic files requested within the volume or annex. Please submit each volume or annex as one file if possible. Do not provide separate files for each section/paragraph.

2.2 All pages shall be sequentially numbered. Only material allocated to a specific section shall be contained in that section. Within each volume, printed material shall be shown on both sides of a sheet; each side of the sheet shall be counted as 1 page in the page count. Foldouts (front side only) shall be counted as two pages. Foldouts

(front and back) shall be counted as four pages. All documentation shall be provided in the English language. The font shall be Arial (12-point type). The font size for Tables shall be no smaller than 10-point type, and the font size for Figures and Charts shall be no smaller than 9-point type. Pages in all Volumes shall be 8 1/2 by 11 inches in size and shall have at least a 1"margin on all four sides.

2.3 Each set of CD/DVD(s) shall contain an individual CD/DVD(s) for each volume submitted. The following requirements apply to all digital submissions:

2.3.1 The Offeror shall submit all volumes of its proposal electronically on CD/DVD(s) compatible with the operating system and applications defined in Section 2.3.2 (Operating System and Applications). The Offeror shall put as much proposal material as possible on each CD/DVD(s), keeping the portions of the proposal that contain pricing information on separate CD/DVD(s) from the portions of the proposal that do not contain pricing information. CD/DVDs shall be clearly marked with the Offeror's name and address, the point of contact's name and phone number, the proposal volumes contained therein, and “Source Selection Information – See FAR 2.101 and 3.104.”

Table G-1 (Proposal Structure) identifies the proposal structure.

2.3.2 Operating System and Applications. The proposals will be accessed utilizing the Microsoft Windows 10

Operating System. Proposal information shall be submitted using the following applications: Microsoft Word 2016, Microsoft Excel 2016, Microsoft PowerPoint 2016, and Microsoft Project 2016; however, letters and other signed documents shall be provided as a fully searchable Portable Document Format (.pdf) file. Use of other application software for submission of proposals is prohibited except where specific instructions for non-.pdf or Office 2016 applications are provided.

2.3.3 The Offeror is responsible for ensuring that its electronic proposal is virus free. The Offeror shall certify, in its proposal cover letter, that all electronic proposal information delivered throughout the evaluation (e.g., original proposal submission, responses to evaluation notices, Final Proposal Revisions) has been checked for viruses and certify that its files are virus free. The Offeror shall specify the software, version, and virus definition used to check the data.

2.3.4 The Offeror shall ensure that the electronically submitted files are directly traceable to the paper copy submittal. If a discrepancy exists between the original paper copy of the proposal and the original electronic copy on the CD-ROM disk, the original electronic copy shall take precedence.

2.1 Book 1 Aircraft System

Volume 2 Book 1 shall contain documentation (e.g., flight manuals, pilot operating manual, performance manual, or other information) demonstrating how the Offeror’s proposed aircraft meets or exceeds the system attributes as identified below and in the respective paragraphs of the PBS. To the extent an Offeror believes that additional information is required to enable the Government to evaluate its proposed aircraft system, the Offeror shall provide it as part of the proposal.

The Offeror shall also provide all documentation required by 14 CFR Part 27.1529, 14 CFR Part 27 Appendix A, and the FAA approved ICA distribution plan (14 CFR Part 27.A27.1(c)), which the Government will use to evaluate the Offeror’s compliance with the Government’s PBS.

To the extent an Offeror’s proposed aircraft system exceeds the Government’s minimum requirements, in those areas of interest which the Government has identified in Paragraph M.1.II.A.1 of Section M, the Offeror shall provide sufficient information in the Offeror’s written proposal to enable the Government to assess the existence and functionality of such capabilities.

2.1.1 Overall Compliance

The Offeror shall, for each system and requirement designated in Attachment L-4 (Configuration), provide the system description, manufacturer, model number, and evidence of compliance with the PBS [AV-XXX] requirements as a completed Annex C (Configuration). Annex C (Configuration) shall be incorporated into the awarded contract as Attachment J-4 as the final functional configuration for contractual purposes. The Offeror will document compliance with all performance values required in Section 3.1.4 and Appendix C profiles of the PBS using the Rotorcraft Operation and Performance Manuals. Regardless, the Offeror’s proposal shall comprehensively address compliance with all requirements in the CRM.

The Offeror shall describe its approach to offering flyaway kits in accordance with PWS paragraph 3.1.8, as well as spare parts and peculiar support equipment in accordance with B-3, Extended CLIN Description, for CLINs 0X03 and 0X04. Attachments L-6 (Flyaway Kits List), L-7 (Spare Parts List), and L-8 (Peculiar Support Equipment List) shall be populated by the Offeror with proposed flyaway kit components, spare parts, and peculiar support equipment and returned as Annex E (Flyaway Kits List), Annex F (Spare Parts List), and Annex G (PSE List) and shall be incorporated into the awarded contract as Attachment J-5, J-6, and J-7, respectively.

System Performance Demonstration

Offerors are advised that all proposed aircraft shall undergo a System Performance Demonstration (SPD), in accordance with Attachment L-2 (SPD). At the beginning of the SPD, the Government will provide to the Offeror a set of cards specific to the SPD aircraft system that implements the matrix provided in Attachment L-2, which will be used to guide the ground and flight events and record data. The Offeror shall review and revise the cards to ensure procedural accuracy prior to flight. This SPD will be considered as an aspect of the verification of Element

2.1.1, to demonstrate the proposed aircraft’s ability to support the Appendix B Mission Profiles called out in AV-

008 of the PBS that represent the CNATRA training curriculum (provided in the Competition Library). The

Government will not assign an independent technical rating for the SPD, as the SPD is only intended to inform the

Government’s evaluation of Element 2.1.1. Offerors are advised that requirements specified in the SPD that cannot be evaluated and that are not adequately addressed in the written proposal may receive a significant weakness or deficiency. Simulator, static displays, and other ground training devices shall not be used for the SPD.

The aircraft used in the SPD should be as close as possible to the final configuration of the Offeror’s proposed TH-

XX helicopter, and shall be at least of the same type and model. The Government will provide four Government helicopter pilots and one Flight Test Engineer (FTE), whose experience is provided in Attachment L-3, to conduct the SPD. Additionally, the Government will provide some personnel and all required equipment to conduct the anthropometric evaluation. The Contractor may be asked to supplement the Government provided personnel in order to perform a complete anthropometric assessment.

2.2.4 SB

Subcontracting

Plan

The Government desires to complete SPDs for all aircraft offered within a continuous six-week period, dependent on the total number of aircraft offered. As soon as possible after the RFP release, the Government will provide a range of dates. The Offeror shall rank those weeks in order of preference within that period, and may provide their preferences no later than the receipt of proposal. The Government will attempt to accommodate Offeror preferences.

Offerors will be notified of their final date after receipt of proposals. Once the SPD is scheduled, the Government will not reschedule except for weather delays or force majeure. The Government advises Offerors that in the extraordinary event a SPD is not completed, the Government will still evaluate the written proposal, as the SPD does not receive an independent rating and is only intended to facilitate the Government’s technical evaluation of

Element 2.1.1.

The Government will conduct only one SPD for each aircraft proposed. The Government requires a continuous five-day period to conduct each SPD. The five-day SPD evolution will be conducted at the Offeror’s designated facility, during which the Offeror’s aircraft, support equipment, and facilities shall be available to support the SPD.

The Offeror will provide a qualified pilot to serve as Pilot-in-Command. Government pilots should be pilot-at-the-controls for the ground and flight demonstration points. Each SPD shall include the following (see Attachment L-2

(SPD)):

Aircraft ground training and airfield familiarization

Approximately 15 hours of ground demonstration

Approximately 12 hours of anthropometric ground evaluation

Approximately six hours of total flight time across day and night demonstration flights

Additional flight or ground demonstration time may be required in the event of weather delays or other force majeure. By participating in the SPD, the Offeror understands and accepts all liability for the demonstration, including but not limited to damage or wear and tear on the SPD aircraft itself.

At the time of proposal, the Offeror will provide to the Government the following information for each Offeror aircraft that will be used to conduct the SPD:

1. One copy of the current FAA-approved OEM Flight Manual and any supplements, and any additional operating limits beyond the scope of these manuals;
