1.1 GENERAL BID NOTES

a. Award will be made on the total sum of Contract Line Item Numbers (CLINs) 0001-0014 (Base Bid and all options). For CLINs 0001B, 0001C, 0001F, 0001G, 0002B, 0002C, 0006B, 0006C, 0007, 0008, 0009, and 0014 enter unit prices and extended totals in spaces provided. If there is a difference between a unit price and the extended total, the unit price will be held to be the intended bid and the total recomputed accordingly. If an Offeror provides a total but fails to enter a unit price, the total divided by the specified quantity will be held to be the intended unit price.

b. The Government reserves the unilateral right to award CLINs 0003-0009, (Option Items 1-7) to the Contractor at the proposed price within 365 calendar days after the contract award. The Government reserves the unilateral right to award CLINs 0011 – 0014 (Option Items 9-12) to the Contractor at the proposed price in accordance with 1.2 bid notes below. A firm fixed proposed price is required for CLIN 0001-CLIN 0014. No provision is made for economic price adjustment. The Contract Completion Date (CCD) does not change if any or all the bid options are awarded.

c. Evaluation of Options (JUL 1990). Except when it is determined in accordance with FAR 17.206(b) Evaluation not to be in the Government's best interest, the Government will evaluate offers for award purposes by adding the price for the Option(s) to the total price for CLIN 0001 and 0002. In accordance with FAR 52.217-5 Evaluation of Options, evaluation of options will not obligate the Government to exercise the Option(s).

d. The Government may reject an offer as nonresponsive if it is materially unbalanced as to prices for the basic requirement and the option quantities. An offer is unbalanced when it is based on prices significantly less than cost for some work and prices which are significantly overstated for other work.

e. If CLIN 0003-0009 are exercised, additional bonding and consent of surety is required. Consequently, the Performance Bond must reflect 100 percent of the aggregate amount of all Items.

g. Failure to enter a price for any CLIN will result in a proposal being rejected.

1.2 BID NOTES FOR OPTION ITEMS 8-11

These notes apply to CLINs 0010-0013.

a. The estimated amount for ESS, A/V, FF&E, and CEQ has been supplied by the Government, to provide Offerors with the projected magnitude of effort. The estimated amount includes the actual cost of the ESS, A/V, FF&E, and CEQ including freight and installation charges. The Government Estimate for ESS, A/V, FF&E, and CEQ is only an estimated amount.

b. If awarded, line items will be funded separately after completion of ESS, A/V, FF&E, and/or CEQ design package review by the Government, and receipt of appropriate funding by the Government. Requirements and details are provided in Section 01 30 01.00 20 DESIGN PROCUREMENT AND INSTALLATION OF FURNITURE, FIXTURES, AND EQUIPMENT.

c. Bonding

i. No Bonding for ESS, AV, FF&E, and/or CEQ at time of Construction Contract Award

FAR 28.102-1(a) requires that performance and payment bonds be included in all construction contracts exceeding the SAT, except under the conditions listed. Since the ESS, AV, FF&E, and/or CEQ Option Items are not part of the original contract award, the Construction Contractor must not be required to secure bond for the ESS, AV, FF&E, and/or CEQ at the time the basic contract is awarded.

ii. Additional Bond at ESS, AV, FF&E, and/or CEQ Option Item Award

FAR 28.102-2(d) requires the Government to secure additional bond from the Construction Contractor for any contract price increases. Therefore, an increase to the original contract bond is required at the time of the ESS, AV, FF&E, and/or CEQ Option Item award. The increased cost of the bond must come from the ESS, AV, FF&E, and/or CEQ funding source and is not a part of the Construction Contractor’s HAR.

iii. Bonds required by the Construction Contractor

If the Construction Contractor requires bonding from the ESS, AV, FF&E, and/or CEQ subcontractor(s), the cost must be covered in the Construction Contractor’s HAR.

d. Offerors may propose a Handling and Administration Rate (HAR) for the ESS, AV, FF&E, and/or CEQ not to exceed 5 percent. This fee will account for all administrative costs, overhead, bonding fees, administration of subcontracts, profit, and any other costs associated with and related to the coordination and processing of the procurement and installation of ESS, AV, FF&E, and/or CEQ. The proposed HAR percentage will be incorporated into the contract award and will not be adjusted regardless of fluctuations from the estimate amount for the ESS, AV, FF&E, and/or CEQ. The proposed HAR is a fixed rate.

e. The Government is not obligated to award Option Items 9-12 Should the Government choose to award the Option Items 9, 10, 11 or 12, the line item will be awarded as an option modification to the contract. If applicable, the Contractor's proposed HAR will be applied to all vendor/supplier costs for the ESS, AV, FF&E, and/or CEQ

f. If awarded, the ESS, AV, FF&E, and/or CEQ option modification will be awarded at least six months prior to the contract completion date. A minimum of six months is required for the Contractor to purchase, deliver, and install the ESS, AV, FF&E, and/or CEQ without impacting the overall completion date of the project. The Contractor's schedule must assume the award of ESS, AV, FF&E, and/or CEQ as an option modification. No schedule extensions will be granted if the option modification is awarded at least six months prior to the contract completion date. If the Government decides to negotiate and award any option modifications with less than six months prior to the contact completion date, the Contractor may be entitled to a contract extension and extended field overhead. A contract extension and extended field overhead will only be granted in those cases where the Contractor demonstrates that an accepted Final ESS, AV, FF&E, and/or CEQ package was submitted within the approved schedule deadlines and sufficient lead time for the ESS, AV, FF&E, and/or CEQ is not available and the Government's award of any option modifications ןד in the last six months of the contract.
