Section B - Supplies or Services and Prices

SECTION B INFORMATION

B.1 BACKGROUND

a) The KRACEn MAC is designed to address the need for a full range of Contractor Logistics Support (CLS) requirements by providing rapid, flexible, ready, deployable Continental United States (CONUS) and Outside the CONUS (OCONUS) capabilities and solutions for manned and unmanned aviation systems with the flexibility for all contract types and pricing at the task order (TO) level.

b) The KRACEn MAC is a group of Indefinite Delivery, Indefinite Quantity Multiple Award Contracts (IDIQ/MACs) for NAVAIR, other United States (US) Government agencies, and Foreign Military Sales (FMS) customers that cover NAICS Code 336411 and Products and Services Codes (PSC) J015.

c) The full scope of services for the KRACEn MAC is defined in Section C.

B.1.1 CONTRACT TYPE

a) This IDIQ/MAC allows for various Contract Line Item Number (CLIN) types at the TO level; firm-fixed price (FFP), fixed price incentive (FPI), cost, cost-plus fixed fee (CPFF), cost-plus incentive fee (CPIF), time & material (T&M), and labor hour (L-H). TOs may also combine more than one CLIN type (e.g., FFP/Cost). Additionally, TOs may include incentives, performance based measures, and option periods.

B.1.2 MINIMUM GUARANTEE AND MAXIMUM CEILING

a) The Government will award a TO for $1,000.00 to attend a post award conference; this will satisfy the minimum guarantee price to each Offeror selected for an IDIQ award under the KRACEn MAC.

b) The cumulative total of all TOs issued pursuant to all multiple award contracts issued under this solicitation N00421-20-R-0105 shall not exceed $6,106,000,000.00.

B.2 TASK ORDER PRICING

a) This IDIQ/MAC provides the flexibility to determine fair and reasonable pricing tailored to the requirement dependent upon the level of competition, risk, uncertainties, complexity, urgency, and contract type. The Task Order Contracting Officer (TOCO) has the authority and responsibility for the determination of cost/price reasonableness for the TO requirements. Adequate price competition at the TO level, in response to an individual requirement, establishes the most accurate, fair, and reasonable pricing for that requirement.

b) The TOCO will identify the applicable contract type for all CLINs in each IDIQ/MAC TO.

B.2.1 Fixed Price Task Orders

a) Fixed price is defined under Federal Acquisition Regulation (FAR) Subpart 16.2, Fixed-Price Contracts, and other applicable agency-specific regulatory supplements.

B.2.2 Cost Reimbursement Task Orders

a) Cost Reimbursement is defined under FAR Subpart 16.3, Cost-Reimbursement Contracts, and other applicable agency-specific regulatory supplements.

b) To be eligible for a cost reimbursement task order, the Contractor shall have and maintain an acceptable accounting system that will permit timely development of all necessary cost data in the form required by the proposed contract type.

c) The Contractor may be required to provide a cost submission with supporting information for each cost element, including, but not limited to, direct labor, fringe benefits, overhead, general and administrative (G&A) expenses, facilities capital cost of money, other direct costs, and fee consistent with their cost accounting system, provisional billing rates, and forward pricing rate agreements.

B.2.3 Incentive Task Orders

a) Incentives are defined under FAR Subpart 16.4, Incentive Contracts, and other applicable agency-specific regulatory supplements.

B.2.4 T&M and L-H Task Orders

b) The Contractor may be required to provide separate and/or blended loaded hourly labor rates for prime Contractor labor, each Subcontractor, and/or each Division, Subsidiary, or Affiliate in accordance with the provisions set forth in FAR 52.216-29, Defense Federal Acquisition Regulation Supplement (DFARS) 252.216-7002, or FAR 52.216-30. The TOCO must identify which provision is applicable in the Fair Opportunity Submission Request (FOSR) and the Contractor must comply with the provision.

(1) Requiring the Contractor to continue performance, subject to the provisions of the FAR Clause 52.232-20 or 52.232-22, as applicable, until the effort expended equals 100% of the established Level of Effort; or
(2) Effecting a reduction in the fixed fee by the percentage by which the total expended man-hours is less than one hundred (100%) percent of the established Level of Effort.
(d) The contractor agrees that effort performed in fulfillment of level of effort obligations under this contract shall include only verifiable effort in direct support of the work specified. It shall not include efforts such as work performed in transit to or from an employee's usual workplace, work during lunchtime activities, or effort performed at other non-work locations.

(b) The Contractor may use any combination of hours of labor categories listed in any single task order, if necessary to perform that task order. Labor categories not shown may not be used without a task order modification. The Contractor may use any combination of prime Contractor labor, subcontractor labor, and other material expense in accomplishing the statement of work within the limits expressed below.

G.2 WAGE DETERMINATION PRICE ADJUSTMENTS

a) As referenced in Section I, FAR Clauses 52.222-41 Service Contract Labor Standards and 52.222-43 Fair Labor Standards Act and Service Contract Act – Price Adjustment (Multiple Year and Option Contracts) price adjustments may apply to TOs. Applicable Wage Determinations and/or Collective Bargaining Agreements (CBAs) will be incorporated as attachments as specified in individual TOs, if applicable.

a) Reference is made to the Service Contract Act (SCA), 41 U.S.C. §§ 351-358, and Title 29 Code of Federal Regulations, Part 4, “Labor Standards for Federal Service Contracts.” Section 4 (c) of the Act provides that a successor Contractor must pay wages and fringe benefits (including accrued wages and benefits and prospective increases) to service employees at least equal to those agreed upon by a predecessor contractor under a Collective Bargaining Agreement (CBA). Current Area Wage Determinations and/or Collective Bargaining Agreements (CBAs) will be incorporated as an attachment as specified in the TO, if applicable.

b) The obligation of the successor Contractor (except the incumbent contractor who is a signatory to incorporated CBAs) is limited to the wage and fringe benefit requirements of the predecessor's collective bargaining agreement and does not extend to other items such as seniority, grievance procedures, work rules, overtime, etc.
