Instructions, Conditions & Notices

a) This FOSR is for a competitive task order to be awarded under the KRACEn MAC (resulting from KRACEn MAC RFP N00421-20-R-0105) on a fair opportunity basis pursuant to FAR 16.505 Ordering, the applicable terms and conditions of the KRACEn MAC IDIQ, and the specific requirements of this task order.

b) Only Offerors that submitted a proposal under KRACEn MAC RFP N00421-20-R-0105 may submit a response to this FOSR. Responses received from other entities will be rejected.

d) The Offeror shall comply with the FOSR in its entirety. Nonconformance with FOSR instructions may result in an unfavorable evaluation and elimination from award consideration. In addition, taking exception or deviating from any term or condition of the FOSR could result in an offer evaluation of “Unacceptable” and therefore be unawardable. CAUTION: The Offeror is advised that if the Government deems any portion of its response unawardable during any point in the evaluation, no further evaluation will be conducted on the remaining response, to include evaluating Volume 4 Price.

CAUTION: All response information is subject to verification by the Government.

f) It is the Offeror’s responsibility to provide a submission that enables the Government to effectively evaluate the Offeror’s submission. The Offeror shall assume the Government has no prior knowledge of an Offeror’s facilities and experience. Accordingly, the Offeror shall not simply rephrase or restate the Government's requirements. Statements that the Offeror will provide a particular feature or objective without explaining how the Offeror proposes to meet that feature or objective are generally inadequate and may adversely impact the Government’s evaluation assessment of the Offeror. The Government considers the following types of statements to be inadequate:

· Unsupported statements that the Offeror allegedly understands the requirements and risks;

· unsupported statements that the Offeror allegedly can or will comply with requirements;

· unsupported statements that simply paraphrase the requirements;

· undefined or unexplained statements such as “best commercial practices will be used”;

· undefined or unexplained statements such as “standard procedures will be used”; and

· undefined or unexplained statements such as “well-known techniques will be employed.”

g) The Offeror is advised that the Government may incorporate portions of the Offeror’s response into the resulting task order.

The Government reserves the right to award the task order early and thereby extend the transition period. The estimated period of performance commences on the date specified in Attachment (F1) Draft Task Order. Please note that there is no CLIN associated with the transition period, as the Government will not directly reimburse the contractor for costs associated with transition efforts. Transition costs are considered overhead costs that are not direct charged to the Government.

The compliance-oriented plan shall demonstrate a realistic application and monitoring of corrective action to ensure successful and timely problem resolution. The plan shall include how the Offeror’s proposed Quality Control plan will identify, document, and prevent deficiencies in the quality of service to meet or exceed Government quality expectations. The plan shall explain methods to develop and continuously improve a comprehensive higher-level quality management system. This process shall include:

1. Collecting and reviewing complaints (individuals that the vendor will not be in direct contact during the performance of the PWS).

2. Documenting checks during aircraft servicing to prevent discrepancies in services.

3. Evaluating discrepancies or complaints and correct or improve processes to prevent recurrence of such discrepancies or complaints.

4. Preventing and correcting any discrepancies as they happen without stopping performance of the tasking at hand.

4.3.2 Management Approach

The Offeror shall provide the following information using Attachment (F5). No other format will be considered.

a) The Offeror shall detail an approach for structuring, staffing and retaining personnel to effectively accomplish the work under this task order. The approach shall also include the Offeror’s approach for effectively utilizing specific personnel to plan, control, direct the labor force, and accomplish the services to meet the requirements of Attachment (F1) Draft Task Order.

b) The Offeror shall address the lines of authority and roles and responsibilities of the program manager, Team Lead (Site Manager) and other personnel outlined in Attachment (F1) Draft Task Order. Describe interfaces among management and technical staff. Describe how it will lead, manage, and maintain visibility, quality, and control over all staff.

c) The Offeror shall submit procedures for staffing, responding to and performing on-call situations or extraordinary requirements outside the normal hours of operation.

4.3.2.1 Staffing Plan

The Offeror shall demonstrate its approach to meet the requirements of the Attachment (F1) Draft Task Order using Attachment (F6) Staffing Plan. No other format will be considered. Full Time Equivalents (FTEs) shall not be more than two (2) decimal places (e.g., 5.67).

Volume 3: General Information

a) The Offeror shall complete and submit Attachment (F7) Offer Letter. No other format will be considered.

c) The Offeror shall complete and submit the Section B CLIN information as provided in Attachment (F1).

d) The Offeror shall complete and submit the Section K information provided in Attachment (F1).

Volume 4: Price

a) The Offeror shall utilize Attachment (F8) Price Narrative and Attachment (F9) Price Matrix to provide information for this volume. No other format will be accepted.

b) This is a fair opportunity competition with adequate price competition anticipated. The price documentation requested is not considered certified cost or pricing data and shall not be certified in accordance with FAR 15.406-2.

c) Should adequate price competition not exist after receipt of response submissions, the PCO reserves the right to obtain certified cost or pricing data as necessary from the Offeror and/or Other Entities.

d) By providing a price response submission, the Offeror grants the PCO, or authorized representatives, the right to examine records that form the basis of the pricing proposal. This examination and review can take place at any time before task order award.

4.5.1 Price Narrative

The Offeror shall address the information below using Attachment (F8) Price Narrative. No other format will be considered.

a) Proposed Price: The Offeror shall ensure that its Price proposal submission contains pricing for all data/information applicable to the entire task order to include all task order option periods. The Offeror shall explain any high or low proposed prices as compared to historical data, apparent imbalances in the pricing, or any other anomalies. Topics to be addressed include, but are not limited to, programmatic variables such as inflation/escalation, location, prime/other entity relationships, and business base concerns.

b) Price Impacts: The Offeror shall identify and substantiate any other impacts to the proposed price that were not previously identified. The Government is not soliciting any investments; however, in order for the Government to properly assess a proposed price that appears low due to a corporate decision to absorb costs (e.g., lower than usual burdens or rates), the Offeror shall fully identify and explain any such investments. If there are no price impacts, include a statement that indicates all price impacts were previously covered within other areas of Attachment (F8).

c) Estimating Practices & Offeror Assumptions: The Offeror shall identify and substantiate any ground rules, estimating practices and assumptions made during the preparation of the cost/price submission

d) Limitations on Subcontracting: The Offeror shall demonstrate compliance with Section H.5 of the KRACEn MAC RFP N00421-20-R-0105 and FAR 52.219-14 Limitations on Subcontracting (DEVIATION 2019-O0003). Offerors who do not adhere to these limitations may not be eligible for award.

4.5.2 Price Matrix

The Offeror shall address the information below using Attachment (F9) Price Matrix. No other format will be considered.

a) The Offeror shall ensure that its submission contains pricing for all data/information applicable to the entire task order to include all task order option periods. The Offeror shall ensure that the amounts shown in Attachment (F9) match the amounts provided in Volume 3 Section B CLIN information.

b) The Offeror shall use formulas and functions within all MS Excel spreadsheets. Numerical data presented in MS Excel format must not be pictorial. Files received in a format other than requested or MS Excel files with output-type, hard-coded, “value only” cells may not be further evaluated.

c) The proposal submission shall be unprotected and unlocked, with “link” cells and worksheets unhidden and formulas intact to show mathematical operations; however, there shall be no links between the FOSR Attachments. Additionally, the Offeror shall ensure there are no circular references or errors in the MS Excel files.

d) When completing excel attachments in the Price Volume, the Offeror shall use the MS Excel “ROUND” function to truncate all values to two (2) decimals.

5.0 BASIS FOR AWARD

Best Value

a) Offerors who have been awarded a contract for KRACEn will be afforded the fair opportunity to compete for a Task Order. The Government expects to select one (1) Offeror on the basis of the submission providing the “best value” to the Government with all factors considered. "Best value" means the expected outcome of an acquisition that, in the Government's estimation, provides the greatest overall benefit in response to the requirement.

b) Offerors are advised that submissions meeting the FOSR requirements with the lowest price may not be selected for award if award to a higher-priced Offeror is determined to be more beneficial to the Government. The anticipated benefits of the higher-priced submission(s) must merit the additional price.

Fair Opportunity

a) This task order evaluation and award is a streamlined evaluation and award conducted pursuant to FAR § 16.505. This streamlined evaluation and award is not being conducted using the formal source selection procedures of FAR Subpart 15.3. Because this streamlined evaluation and award is not using the formal source selection procedures of FAR Subpart 15.3, procedures such as a competitive range determination, pre-award notifications to Offerors excluded from a competitive range, pre-award debriefings, oral or written discussions with all Offerors within a competitive range, and requesting final submission revisions from all Offerors included within a competitive range are not required.

b) Under FAR § 16.505, the Government is required to afford all Awardees under the MAC a fair opportunity to submit an offer and have that offer fairly considered. Accordingly, the Government will evaluate each Offeror’s submission fairly, similarly, and in accordance with the FOSR’s evaluation factors. Accordingly, the Offeror’s initial submission must contain the Offeror’s best terms, conditions, and prices.

c) After the Government has afforded all Awardees under the MAC a fair opportunity to submit a submission and have that offer fairly considered, the Government will select an Offeror for award based upon an assessment of the evaluation factors. Prior to award, the Government may at any time during the evaluation, have oral or written interchanges with one or more Offerors, in response to any evaluation factor, or any other aspect of the submission.

d) Interchanges may include requests for submission change pages and written responses. Interchanges may be used to enable the Government to determine the Offeror’s understanding of FOSR requirements, enhance the Government’s understanding of the submission, fix errors or omissions, as well as obtain other information to facilitate the Government’s ability to evaluate the submission and obtain better values.

e) All Offerors will be treated fairly, but that does not mean that interchanges will be conducted with all Offerors or all interchanges will be of the same nature or depth. The Government may determine that one (1) or a few Offerors have the highest potential to provide the best value to the Government.

f) Once the best suited Offeror(s) is identified, the Government may hold interchanges with only one (1) or fewer than all Offerors, to address any issues and settle the final terms of the task order.

g) Once the highest potential Offeror(s) is identified, the Government will determine if it needs to communicate with the Offeror. If the interchanges do not result in an awardable submission, the Government may continue interchanges with the next highest potential Offeror for the same purpose, and continue until a task order award is made.

h) The Government may use information other than that provided by the Offeror during evaluation (e.g. verification of FOSR submissions).

Offeror’s Proposed Features as Performance Requirements

a) The Government may decide to incorporate specific features of an Offeror’s submission approach to capture the benefit to the Government directly into the PWS or other section of the task order, such as an H-Clause, at any time prior to award.

b) If the Government’s selection official has selected an apparent successful Offeror, and the apparent successful Offeror does not agree to include the proposed feature(s) directly into the PWS or other section of the task order prior to award, the Government will revise the Selection Official’s decision record. This may or may not change the task order selection decision, depending upon the proposed feature’s benefit(s) that will no longer be reflected in the Selection Official’s decision record.

c) Exchanges with an Offeror regarding proposed features do not constitute “discussions” as that defined at FAR Subpart 15.3, because FAR Subpart 15.3 does not apply to this task or delivery order competition conducted under FAR Subpart 16.5.

6.0 EVALUATION FACTORS FOR AWARD

Evaluation Process

a) The Government will evaluate submissions for compliance with FOSR terms and conditions. CAUTION: Failure to comply with any of the requirements outlined in this FOSR may result in an Offeror’s response being determined non-conforming and rejected with no further consideration or evaluation of the Price or Non-Price elements of the response.

b) The Government, using a multi-step approach, will evaluate responses to this FOSR as follows:

1. If an Offeror is determined not to be a recipient of an award under the KRACEn MAC RFP N00421-20-R-0105, the Government will not evaluate the Offeror’s response submission for this FOSR.

2. The Government will then evaluate the Offeror’s Volume 1 Corporate Experience information as “Acceptable” or “Unacceptable”, as defined in Section 7.1 of this FOSR. If the Offeror is evaluated as “Unacceptable”, the Government will determine the Offeror to be unawardable and no further evaluation will be conducted.

3. If the Offeror is evaluated as “Acceptable” in Volume 1 Corporate Experience, the Government will assess a Confidence rating for Program Execution (the only non-Price factor to be considered in the best value trade off) and evaluate Price. Program Execution is significantly more important than Price. Award will be made to the most responsible Offeror, considering the totality of the evaluation and the relative order of importance of the evaluation factors.

4. The submission must demonstrate that the Offeror will provide a program that will ensure the successful performance of the Attachment (F1) Draft Task Order requirements. Submission information provided for one factor may be used to assess other factors if the Government deems it appropriate.

Corporate Experience

a) The Government will evaluate the Offeror to determine if the Offeror has the requisite experience as the Prime Contractor in accordance with the Corporate Experience requirements specified in Section 4.1 of this FOSR.

b) If the Government has assessed that one contract reference has met all Corporate Experience requirements, the submission may be determined to be “Acceptable” and the Government may not evaluate additional contract references under Volume 1.

c) If the Government assesses the Offeror did not provide any contract references that meet the Corporate Experience requirements, out of the maximum of three (3) allowable for submission, the Offeror will be determined to be “Unacceptable” and no further evaluation will be conducted.

Program Execution

a) The Government will evaluate the submission from the perspective of the Government’s expectation that the Offeror will successfully perform the required effort. The Government will evaluate the Offeror’s response to ensure a complete understanding of the services to be performed and to ensure the methodology successfully meets or exceeds the requirements of Attachment (F1) Draft Task Order.

b) The Government will evaluate the Offeror’s adequacy of management and resources to support the technical requirements of Attachment (F1) Draft Task Order, and its ability to function effectively with the Government.

c) The response will be evaluated to assess the Offeror’s ability to plan, manage, staff and execute the task order and the extent to which any proposed processes and procedures ensure successful accomplishment of the requirements of Attachment (F1) Draft Task Order.

Price

a) This evaluation is being completed using FAR Part 16, which refers to FAR Part 15.4 for price analysis. The Firm Fixed Price (FFP) CLINs will be evaluated to determine price reasonableness.

b) The Total Evaluated Price is defined as the sum of the Total Estimated Amount and the Option to Extend Services.

1. The Total Estimated Amount is calculated as the sum of the all “X001” CLINs documented in the Attachment (F9) Price Matrix. The amounts shown in Attachment (F9) shall match the amounts listed in Section B CLINs.

2. The FOSR contains the clause FAR 52.217-8, Option to Extend Services. The Option to Extend Services is calculated as the Option Period 2 Total FFP amount divided by two (2).

c) Offeror’s are forewarned that if there are discrepancies among price sections, Section B prevails.

d) The Government will evaluate the Offeror’s Limitations On Subcontracting in accordance with Section H.5 of the KRACEn MAC RFP N0021-20-R-0105 and Section 4.5 of this FOSR. Offerors who do not adhere to these limitations may not be eligible for award.

e) The Government will evaluate the six-month extension period authorized by FAR 52.217-8 to ensure that the option is available for unilateral exercise should an extension become necessary. The Offeror shall not propose a price for the six-month extension.

f) The Government will evaluate the Offeror’s response to NAVAIR Clauses 5252.209-9511 and 5252.209-9513 to assess whether or not an actual or potential OCI exists as defined in FAR subpart 9.5. If an actual or potential OCI is identified that cannot be feasibly mitigated, avoided or resolved in accordance with FAR subpart 9.5, the Offeror may be ineligible for award.
