CONTRACT LINE ITEM NUMBERING

B-1.1) Contract Line Item Number (CLINs) in Section B are numbered in accordance with the following numbering system. The second character in each CLIN or Line Item Number (SLINs) corresponds to each performance period as follows: CLIN XX02 in the Base Period is CLIN 0002, and in the Option Periods is 0102, 0202, 0302 and 0402.

B-1.2) CLINs will be aligned to the same effort throughout the Periods of Performance (PoP) of this solicitation.

Not all CLINs/SLINs will be used in each performance period.

B-2

PRICING NOTES

B-2.1 - Offerors shall insert Unit Prices and extended prices directly into applicable line items located in Price

Attachment L-8 (Services Supplies Prices) . Offerors shall not enter Unit Prices directly into Section B; this will be done by the Government for the successful Offeror on the resulting awarded contract.

B-2.2 – The line items listed in Section B represent a Hybrid contract type of FFP, COST, and LH. The majority of the resulting awarded contract value is intended to be FFP.

B-2.3 – CLINS XX01, XX20, XX37, XX38, XX39 (Fixed Maintenance) shall include FFP unit prices for each range of quantities covered. Unit is EACH. The “Estimated Quantity” represents the total estimated amount of aircraft months of maintenance. A single unit (“EACH”) is one month’s worth of maintenance on one aircraft.

For the T-34 and T-6 Aircraft, there is a range of aircraft that may be maintained; therefore, the Estimated

Quantity at the SLIN level is based on the highest possible quantity of T-34 or T-6 aircraft multiplied by the quantity of months in the performance period. The Contractor shall provide a unit price to reflect the associated costs of Aircraft Fixed Maintenance per aircraft per month. Each task order shall contain the number of aircraft months for the order's period of performance as a firm fixed price. Only a single SLIN under each of CLINs

XX01, XX37, and XX39 will be utilized at a time for each period of performance. This SLIN designation may be changed at any time during the period of performance by bilateral agreement of the parties, or, may be changed unilaterally by the Government with 60-days written notice to the contractor. Such written notice will be provided by the ACO or PCO.

B-2.4 - CLINs XX02, XX21, XX40, (Flight-Hour Generated Maintenance) are FFP. The unit prices are per flight hour. The unit price reflects a fixed unit price; however, the CLIN or SLIN extended price on a resulting task order is not to be considered a firm fixed price. Therefore, the Contractor shall only invoice for the actual number of flight hours flown, by using the fixed unit price. Each task order shall contain the estimated maximum number of flight hours anticipated for the order's period of performance; however, the Contractor shall only invoice for actual flight hours flown at the fixed unit price. See H-3, FLIGHT HOUR GENERATED

MAINTENANCE ORDERING.

B-2.5 – CLINs XX22, XX41 (Optional Additional Aircraft/DFS (aircraft per day) are FFP. Unit is EACH.

This CLIN is to purchase one additional aircraft for one day. Under CLIN 0X22, up to a maximum of two (2) additional aircraft can be ordered in one day. Under CLIN 0X41AA, up to a maximum of six (6) additional aircraft can be ordered in one day. Under CLIN 0X41AB, up to a maximum of five (5) additional aircraft can be ordered in one day. Under CLIN 0X41AC, up to a maximum of two (2) additional aircraft can be ordered in one day.

B-2.6– CLIN XX04 (Satellite Site Support) is FFP. Unit is MONTH.

B-2.7 – CLINs XX06, XX23 and XX42 [Conditional (Over and Above) Maintenance] are LH. Unit is LH and quantities of hours are provided for each SLIN. Authorized OAWR’s shall be listed in Exhibit C via ACO-issued contract modification.

B-2.8 – CLINs XX07, XX24 and XX43 (Non-Maintenance Related Support) are LH. These CLINs are Over and Above. Unit is LH and quantities of hours are provided for each CLIN. Non-maintenance related support shall be authorized by the ACO.

B-2.9 – CLINs XX16-XX17, XX32-XX33, and XX47 are cost reimbursable, with no fee. Allowable indirect costs for these CLINs, including any subcontractor mark-ups/burdens (for example, outsourcing the procurement service associated with processing the orders for direct parts, repair parts, and/or materials) are included in the Government estimated ceiling provided. Contractor mark-ups are limited to one subcontractor tier only. Fee is unallowable on the cost reimbursable CLINs. Unless other clauses in this contract limit the amount of burden allowed on cost-reimbursable items, the contractor shall be allowed its normal burdens in accordance with FAR 52.216-7, “Allowable Cost and Payment”. The Contractor’s allowable burdens on this

CLIN shall not exceed those proposed for contractor performance in accordance with Clause G-2 of this contract.

B-2.10 – CLINS XX18, XX34, XX48 are cost reimbursable, with no fee. See Clause H-4 Reimbursement of

Travel, Per Diem, and Special Material Costs. Travel and Per Diem costs incurred in the replacement of personnel or while attending non-Government mandated training courses will not be reimbursed. The

Contractor may include its allowable, allocable, and reasonable charges in accordance with FAR 52.216-7, "Allowable Cost and Payment,” for burden on cost-reimbursable travel and per diem costs, however, the contractor allowable burdens on this CLIN shall not exceed those proposed for contractor performance in accordance with Clause G-2 of this contract. Fee/Profit is unallowable on the actual cost of reimbursable travel and per diem.

B-2.11 - CLIN XX53: Firm Fixed Price SLINs will be negotiated and established for each site activation, deactivation, or relocation when directed by the PCO.

B-2.12 – SLINs XX09AK T-34 - Component Repair for NAS Lemoore, CA, and XX17AH - T-34 Parts and

Material for NAS Lemoore, CA, include pricing for both NAS Lemoore, CA and NAS Fallon, NV.

LEVEL OF EFFORT (TIME-AND-MATERIALS AND LABOR-HOUR CONTRACTS)

(a) Task orders shall establish an anticipated level of effort (projected man-hours) for each CLIN or SLIN and a

Ceiling Price for that task order. The ceiling price shall be the sum of: (1) the projected prime Contractor hours multiplied by the appropriate hourly rates prescribed in the schedule; and (2) the estimated amount of materials priced in accordance with the clause entitled, Payments Under Time-and-Materials and Labor-Hour Contracts, including estimated subcontract costs calculated in the same manner as the prime Contractor using the subcontract price schedules.

(b) The Contractor may use any combination of hours of labor categories listed in any single task order, if necessary to perform that task order. Labor categories not shown may not be used without a task order modification.

The Contractor may use any combination of prime Contractor labor, subcontractor labor, and other material expense in accomplishing the statement of work within the limits expressed below.

(c) The NAVAIR clause 5252.232-9507, "Limitation of Funds - Time and Material and Labor-Hour Contracts", applies independently to each task order under this contract and nothing in this provision amends the rights or responsibilities of the parties hereto under that clause. In addition, the notifications required by this clause are separate and distinct from any specified in the NAVAIR 5252.232-9507.

(d) The Contractor shall notify the Procuring Contracting Officer immediately in writing whenever it has reason to believe that:

(1) The level of effort the Contractor expects to incur under any order in the next 60 days, when added to the level of effort previously expended in the performance of that order, will exceed seventy-five (75%) percent of the level of effort established for that order; or

(2) The level of effort required to perform a particular order will be greater than the level of effort established for that order.

As part of the notification, the Contractor shall provide the Contracting Officer a revised estimate of the level of effort required to perform the order. As part of the notification, the Contractor also shall submit any proposal for adjustment to the ceiling price that it deems would be equitable if the Government were to increase the level of effort as proposed by the Contractor. Any such upward adjustment shall be prospective only (i.e. will apply only to effort expended after a modification (if any) is issued.

(e) Within thirty days after completion of the work under each task order, the Contractor shall submit the following information directly, in writing, to the ordering officer, the TPOC (CNATRA) and COR (Satellite

Sites) and the Defense Contract Audit Agency office to which vouchers are submitted.

(1) The total number of man-hours of direct labor, including subcontract labor, expended and a breakdown of this total showing the number of man-hours expended in each CLIN or SLIN listed in the task order schedule, including the identification of the key employees utilized.

(2) The total labor price plus estimated total allowable material cost incurred under the task order,

(3) In the case of a cost under run, the amount by which the task order amount may be reduced to recover excess funds.

(f) In the event that less than one hundred (100%) percent of the established level of effort for a task order is expended, the Government may require continued performance subject to the remaining obligation.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

SECTION L

L-1 CONTENT OF PROPOSALS (SUPPLIES OR SERVICES) (JUN 2011) (OCT 2012)

PART A GENERAL INSTRUCTIONS

1.0 GENERAL

Offerors are required to submit sufficient information concerning all evaluation factors to enable Government personnel to fully assess the capabilities of the Offeror to perform all requirements. The proposal must be sufficient in detail and scope to enable evaluation and provide the evaluators a clear understanding of the Offeror’s approach, expertise, experience and capability as required by the solicitation. All proposals must clearly and convincingly demonstrate that the Offeror has a thorough understanding of all requirements and associated risks; is able, willing, and competent to devote the resources necessary to meet all requirements; and has valid and practical solutions for all requirements and potential risk areas. The Offeror shall not alter or rearrange the solicitation. The burden of proof for all substantiation within the proposal rests with the Offeror. Offerors are advised that the Government may incorporate any part of the Offeror’s proposal deemed beneficial to the Government, into the final contract. With the exception of Annex D (Table T-1 (Small Business Goals) and Small Business Subcontracting Plan); Volume 4

Price; and Volume 5 Contract Administration, no price should appear in any other volume. Alternate proposals are not acceptable.

In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization should be emphasized during proposal preparation. It is the responsibility of the Offeror to present enough information to allow the various work efforts, support, and management approaches, as well as price, to be meaningfully evaluated. Unsubstantiated statements that the Offeror understands, can or will comply with the specifications, or paraphrasing the requirements or parts thereof are considered inadequate and may render a rating of unacceptable.

The Offeror shall include any data necessary to illustrate the adequacy of the various assumptions, approaches, and solutions to problems. There is no need to repeat information in more than one volume. The detailed information must be included in the most logical place and summarized and referenced in other areas if an overlap exists.

Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

Throughout these instructions, Offeror is defined as the prime contractor with its CAGE code identified in Block

15A on Standard Form (SF) 33, Solicitation, Offer, and Award. A “Joint Venture” (JV) is a partnership or teaming arrangement that is formed for the purpose of responding to this solicitation when the prime contractor consists of more than one legal entity. “JV Team Members” are the entities that make up a Joint Venture. The term “entity” is used to mean any or all of the following: prime contractor, JV, JV team members, any subcontractor, and corporate parent, division, subsidiary, or affiliate (e.g. any contractor with a different CAGE code/DUNS than the offeror).

Only the following entities will be used in the past performance evaluation: (a) the prime contractor; and (b) entities that perform at least 15% of the proposed total price for the contract minus the material CLIN costs, also referred to as principal subcontractors and other principal entities. These entities are considered relevant entities and only relevant entities will be used in the past performance evaluation. However, the offeror must demonstrate through the price proposal and/or other proposal information that these entities meet the definition of a relevant entity, or the

Government may deem the entity to be not relevant and thereby not include them in the past performance evaluation.

2.0 PROPOSAL FORMAT AND SUBMISSION

Proposals must be formatted using a Times New Roman 12 point normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for/printed on standard 8.5 x 11 inch paper. All pages should be numbered with volume and page numbers. When fold-out pages are used, they must not exceed 11 x 17 inches and will be counted as 1 page. Drawings may be provided separately and may be any size but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. If the Offeror uses graphs to convey information the graphs must show enough detail to easily discern the information described. Graphs and tables shall be presented in no smaller than a 10 pt font. Graphs should contain a grid, which allows values to be read directly from the graph to the same detail that a 10 x 10 to the ½ inch grid provides. Graphic resolution should be consistent with the purpose of the data presented. Text utilized in charts, figures, and graphics shall also be no smaller than a 10pt font and may use a font type selected by the Offeror. Each volume, book, or annex shall be provided separately in a

3-ring binder. The binders should be of an appropriate thickness for the number of pages it contains (e.g., a 30-page book should not be placed in a 2-inch binder).

2.1 Electronic Submission of Proposal

This section is intended to provide information to the Offeror on the electronic format and application software to be used for submitting proposals. Use of the software and procedures described in this section will reduce the amount of time and effort needed to receive and install proposals onto the electronic evaluation system, and will ensure that the proposals received are suitable for reading electronically.

2.1.1 Electronic Proposal Media

The Offeror should submit all volumes of its proposal electronically on CD-ROM(s) compatible with the operating system and applications defined in Section 2.1.2 below. The Offeror should put as much proposal material as possible on each CD-ROM, keeping the portions of the proposal that contain pricing information on separate CD-

ROM(s) from the portions of the proposal that do not contain pricing information. For this solicitation, Annex D

(Table T-1 (Small Business Goals) and (Small Business Subcontracting Plan)); Volume 4 Price; and Volume 5

Contract Administration contain price information and should be delivered on separate CD-ROM(s) from the remainder of the proposal. Gen Inst Table 2 (Proposal Structure) identifies the number of sets of CD-ROMs that contain its proposal the Offeror should submit. The first set of CD-ROM disks should be marked "Original."

Subsequent sets of of CD-ROM disks should be marked "Copy 1, Copy 2, etc.". The sets of CD-ROM disks should be clearly marked with the Offeror's name and address, the point of contact's name and phone number, and proposal volumes contained therein. The Offeror is responsible for ensuring electronic proposals are virus free in accordance with Section 2.1.4. If a discrepancy exists between the original paper copy of the proposal and the disk copy, the disk copy shall take precedence.

2.1.2 Operating System and Applications

The proposals will be accessed utilizing the Microsoft XP Professional Operating System. The Offeror shall submit two identical proposals in separate, electronic versions: one version in Portable Document Format (.pdf) and one version in Microsoft Office 2007 Applications (Microsoft Word, Microsoft Excel, Microsoft PowerPoint, and

Microsoft Project). The .pdf document must be fully searchable. The Offeror is responsible for ensuring that the

.pdf and the appropriate Microsoft Office 2007 applications versions contain identical information. The

Government shall have the discretion to use the information in either version, and shall not be responsible for any differences in content between the two proposal formats submitted by the Offeror. Use of other application software for submission of proposals is prohibited except where specific instructions for non- PDF or Office 2007 applications are provided.

2.1.3 Hyperlinks

Offerors may use hyperlinks within and among proposal volumes that do not include price information. However, there shall be no links from any other volume into any portion of the proposal that contains cost/price information.

2.1.4 Virus Free Electronic Submission

Offerors are responsible for ensuring that its electronic proposal is virus free. The Offeror shall certify, in its proposal cover letter, that all electronic proposal information has been checked for viruses, and specify the software, version, and virus definition used to check the data. With each subsequent submission of proposal information (e.g., responses to Evaluation Notices, Final Proposal Revisions, etc.), the Offeror shall ensure and certify that its files are virus free.

2.1.5 Multimedia

The Offeror should not embed sound or video (e.g., MPEG) files within the proposal submission.

2.1.6 Graphics

Large files require greater computer system resources and are discouraged. The Offeror is encouraged to:

a. Simplify the color palette used in creating figures;

b. Minimize size of graphics files; and

c. Avoid scanned images.

2.1.7 Evaluation Hardware

The source selection facility uses the following type workstation computer systems and printers.

ITEM EQUIPMENT

Workstations Intel® Core ™ Duo CPU or better

2.94 GB RAM

CD-ROM Drive

Windows XP Professional Operating System

Network Printers Xerox Phaser 6350DP PS

2.1.8 File Naming Conventions

There is no limit to the number of files that may be submitted. However unless otherwise stated, it is preferable that each volume, book, or annex not be broken up into multiple electronic files. Valid extensions for files using their associated applications follow:

Type of Application/Files Valid Extensions

Portable Document Files .pdf

Microsoft Word documents .docx

Microsoft Excel documents .xlsx

Microsoft Power Point .pptx

Microsoft Project .mpp

Files should have the following naming convention ("#" represents the sequential numbering of files and the suffix is for illustration, and may be .pdf, .docx, .xlsx, .pptx, . or .mpp). For electronic file submissions (e.g. proposal volumes, annexes, appendices, enclosures) the Offeror should follow the basic structure of the file naming convention suggested in Table Gen Inst 1 (Offeror Electronic File Naming Convention). Offeror’s shall keep the file name as short as possible (under 40 characters) so that it is accessible on Government share drives. The Offeror shall ensure that the electronically submitted file names are directly traceable to hard copy submittals. In general, the Offeror should provide each binder (e.g. volume, book, or annex) as one separate file (i.e. do not provide each section/paragraph as separate files).

PART B SPECIFIC INSTRUCTIONS

1.0 VOLUME 1 –EXECUTIVE SUMMARY

Note: This volume shall not contain any reference to price aspects of the offer.

The following is a list of Attachments that the Offeror shall utilize to provide information for this volume:

L-1 Executive Summary Tables (ES-1 (Offeror Summary) and ES-2 (Relevant Contract Summary))

The purpose of the Executive Summary is to provide the Government with an overview of the Offeror’s entire proposal, excluding price. Each section within the Executive Summary shall contain the salient points contained in each of the proposal volumes. In addition, this volume should be used by the Offeror to identify and highlight significant features of its proposal. The Executive Summary volume should be divided into the areas outlined below:

a. Offeror Summary Table

(1) The Offeror shall complete Table ES-1 (Offeror Summary), provided in L-1 (Executive Summary Tables), according to the instructions within the attachment, and submit it within this section and as a separate electronic file. This table summarizes the Offeror and its entities’ (the prime contractor, JV, JV Team

Members, any subcontractor, and any corporate parent, division, subsidiary, or affiliate) proposed type and level of work, indicating a commitment to that effort during contract performance. Offerors are advised that in order to demonstrate work commitment, each entity identified in Table ES-1 (Offeror

Summary) must be identified in the Price Volume and associated with a dollar value commensurate with the Percent of Total Proposed Price (minus the Parts and Material/Incidental Material CLIN costs) identified in Table ES-1 (Offeror Summary). Therefore, this table must be a reflection of what is proposed in the Price Volume.

(2) The Offeror shall provide a written explanation if multiple CAGE codes/DUNS for the same physical location are provided in Table ES-1 (Offeror Summary). The written explanation shall detail the distinct roles and responsibilities for entities with different CAGE codes/DUNs at the same physical location for where the work is being performed or from where the work is being directed. The description shall include all changes in the organization as a result of a corporate acquisition, reorganization, merger, or other administrative reason. However, all CAGE codes must be appropriately identified in the table to be considered.

https://www.fbo.gov/ https://pma273.navair.navy.mil/ https://www.fbo.gov/

Note: Place of Performance for this solicitation pertains to the physical location of the prime, all subcontractors, JV team members, and corporate parent, divisions, subsidies or affiliates that are deploying personnel or responsible for the work; not the Government site where the work is being performed. If work is being performed at a contractor site, then that would also pertain to Place of

Performance.
