I. INTRODUCTION
The Division of Capital Asset Management & Maintenance (DCAMM) of the Commonwealth of Massachusetts, in accordance with Massachusetts General Laws c. 25A § 11C, requests Proposals from qualified contractors (herein called Interested Companies, Contractors, or Proposers) for providing the services described in this RFP at: Massachusetts Readiness Center located in Natick, MA, as described in more detail in Attachment C, Parts I and II.
This procurement is open to ALL CONTRACTORS certified in any one of the DCAMM Standard Categories of:
1. Energy Management
2. Electrical
3. General Construction
All Proposals and information submitted in response to this RFP are subject to the Massachusetts Public Records Law, M.G.L. Chapter 66, § 10, and to Chapter 4, § 7, Subsection 27, with the exception of the Update Statement. Any statements in submitted Proposals that are inconsistent with these statutes shall be disregarded.
Notwithstanding any other provisions of this RFP, DCAMM reserves the right to waive any formalities not specifically required by law, to request that additional information be provided after the deadline for receipt of Proposals, to negotiate with any and all proposers, and to reject any and all Proposals received or portions thereof if DCAMM determines in its sole discretion that it is in the best interest of the Commonwealth to do so. It is strongly recommended that Proposers understand the requirements outlined in Attachment E, Part I, Energy Services Agreement.
The Commonwealth makes no guarantee that any services will be purchased or any contract will result from this RFP. Pursuant to M.G. L. c. 25A § 11C, the Commonwealth reserves the right to add or remove Energy and Water Conservation measures (ECMs) during the course of the procurement (i.e. to select a Proposer based upon portions of their proposed scope of work). All Proposers should be prepared, if selected to proceed (including design, installation, permitting, etc.) with any combination of ECMs included in their Proposal, whether listed as Alternatives, recommended changes or otherwise. DCAMM is aware that certain ECMs are integral portions of other ECMs and will consider this prior to making any such modifications, alterations, additions, or rejections.
A. Proposal Scope of Work:
The Commonwealth is interested in turnkey Proposals that reflect the requirements in the scope of services included in Attachment B and reflecting the assessments and background info in Attachment C as outlined below.
The Interested Companies must satisfy all Base Proposal requirements and Required Alternatives in their proposal. Interested Companies are strongly encouraged, but not required, to submit proposals for all Optional Alternatives.
1. Base Proposal (Required):
Your proposal must include the following Energy and Water Conservation Measures (ECMs):
ECM

For more detail, refer to the Scope of Work included in Attachment B-1. The Base Proposal must include the scope of work referenced in Attachment B.
2. Alternatives:
There are four (3) types of Alternatives, as described below.
Add Alternatives –These would add an ECM or other services to the base scope.
Replacement Alternative – These would replace one or more base scope ECMs. The Commonwealth will proceed with the Base OR the Replacement ECM, not both.
Proposer Alternative – Interested Companies may provide optional ECM(s) in addition to the base scope or as an optional replacement to a base scope ECM, that they determine are feasible and add value to the project. Proposers must fill out a Form B and Form C for any Proposer Alternative provided.
For any proposed change to the Base Proposal, Proposers must complete all required information for the Base Proposal and include all information for the Proposer’s recommended change separately as a Proposer Alternative.

B. Overview of RFP and Process
Interested Companies should review all relevant sections and complete the checklist in Attachment A, Part I before submitting its Proposal.
The Project Development Process The project development phases and references in the RFP to the phases are listed below.
1. Proposal Phase: (See Section II, Parts A-E, below). During the Proposal Phase, the
Proposed Scope of Work is broken into ECMs, as detailed in Attachment B, Part I.
Interested Companies prepare their responses to this phase, using information from Attachment B, Attachment C, other parts of this RFP, and site visits.
2. Review, Evaluation, and Selection Phase: (See Section II, Parts F and G, below). The Commonwealth reviews proposals based upon the criteria set in this RFP. The selected Proposers will sign a design-build contract called the Energy Services Agreement (ESA- Attachment E, Part I of this RFP) for the selected Base Proposal measures and selected Alternatives. Selected portions of the Proposal will be incorporated into the ESA, including approved Tables from the Scope of Work Form of Attachment A. If included in the selected scope, the selected Proposer will also sign a contract for post-installation services (Attachment E, Part II of this RFP) with the Commonwealth’s user agency incorporating selected maintenance, extended commissioning, or other post-installation measures, if any.
3. Study and Design Phase: There will be a distinct study and design period with a duration of up to 3 months, including the study and schematic design, wherein all design documentation will be submitted by Contractor for Commonwealth review according to the level of design services outlined in Table B-1 of the ESA (included in the Scope of Work provided in Attachment B, Part I of this RFP). At the start of this phase, the selected Contractor MUST perform a feasibility study, preliminary design and performance specifications, savings and incentive estimates as shown in Attachment B, Part II.
4. Construction: (See Section II, Part H below, Attachment B, Part IV, Attachment E, Parts I, II and III). Under the ESA, the Contractor procures and installs equipment, conducts and completes performance measurement and verification and commissioning tests, and provides training and turnover. The Commonwealth reserves the right to reject any requested changes identified by the Proposer if not previously agreed upon during the Proposal review and interview process. If an acceptable ESA and Post-Installation Services Contract cannot be reached within 30 days of notification of selection, the Commonwealth may initiate negotiations with the second ranked firm.
J. Design and Construction
The selected Proposer will provide a feasibility study, full design, construct, test, commission, and turn over ECMs of the selected scope as detailed in Attachment B and any accepted Alternatives. Services related to construction are outlined in the Scope forms, Attachment C, and the ESA (Attachment E, Part I). There will be no Basis of Design provided by the Commonwealth for this project.
There will be a distinct design period with a duration of up to 3 months, commencing upon execution of the ESA, wherein all design documentation will be submitted by Contractor for Commonwealth review in accordance with Part B of the ESA. Design submittal must follow the requested format for each ECM and be accepted by the Commonwealth prior to implementation. All requests for payments related to design services must be submitted during this design period unless approved by the construction Project Manager.
The selected Proposer will also be required to provide an updated energy model and project ECM savings every 3 months after the design period.
III. PAYMENT TERMS and FUNDING SOURCES
A. Payment Sources DCAMM continually seeks and obtains supplementary funding for all projects. Prior to signing the ESA, if the Commonwealth and/or the Proposer is able to secure other sources of funding or the Commonwealth determines, in its sole discretion, that it is able to or must make progress payments (according to grant or other guidelines), all related savings to the project due to the revised payment approach will be recalculated and accounted for in the Total Contract Value.
B. Cash Flow The Commonwealth is interested in the most energy efficient and cost-effective project.
Should a Proposer provide a solution that exceeds the Commonwealth’s anticipated costs, payback ratio, or ability to finance with estimated energy savings, the Commonwealth reserves the right to proceed with the most efficient option. Proposers are encouraged to provide Proposer Alternatives if they cannot make the project cash flow.
C. Cost Breakdown (instructions are available in the 1st tab of Pricing Savings Form)
Details of the payment terms are found in Section 4 and Schedule A-3 of the ESA (Attachment E, Part I). More information on grant requirements (as applicable) and payments can be found in Attachment F.

PART II – SCOPE REFERENCE DOCUMENTS
A. Introduction
The Commonwealth is soliciting Proposals from Proposers to provide study, design, construction, warranty, data acquisition and reporting, measurement and verification, at the Natick Readiness Center, 149 Speen Street, Natick, MA 01760 as outlined in this Attachment.
The services required are divided into 2 Base Energy Conservation Measures, with 1 Required Add Alternative, and 1 Replacement Alternative, as outlined in the Introduction.
The Commonwealth has completed its analysis included in this attachment to provide a significant amount of information to prospective Proposers.
Scope of Work
Background The Massachusetts Readiness Center operates on a full time basis Monday through Friday as a part of full time military operations and one weekend per month for the M-Day drilling military unit. This design-build project will be procured on an accelerated timeline. The goal of this project is to reduce energy via the installation of a solar photovoltaic system. A solar parking lot canopy has been identified as the most desirable solution to provide partial energy security and help the Massachusetts Army National Guard to meet its annual 3% energy reduction as identified in the Energy Independence and Security Act EISA of 2007.
Liquidated Damages This Project must be completed within one (1) year from ESA signing. If Installation Services are authorized in accordance with the Contract, CONTRACTOR acknowledges that ECM
21.01 - Photovoltaic Modules Canopy is expected to generate certain Energy Savings and qualify for utility incentive funds critical to the financial feasibility of the Project and that Project delays will cause the Commonwealth to incur additional costs related to the personnel coordination necessary for the timely installation of the New Equipment/Systems at the Premises. Accordingly, CONTRACTOR agrees that, should CONTRACTOR neglect, fail or refuse to complete the Installation Services such that Substantial Completion for ECM 21.01 - Photovoltaic Modules Canopy is not achieved prior to the date specified in Schedule A- 2: Design/Construction Schedule of the ESA, CONTRACTOR agrees to pay the CUSTOMER liquidated damages as follows:
Following one year after the Effective Date of the ESA, CONTRACTOR shall pay CUSTOMER $170 per day until the issuance of a Certificate of Substantial Completion for ECM 21.01 - Photovoltaic Modules Canopy, which represents the approximate amount of the lost Energy Savings and/or utility incentive funds and additional costs borne by the Commonwealth for the completion of the Project.
Such liquidated damages may be suspended or waived in writing by DCAMM, for good cause shown by CONTRACTOR. DCAMM may, in its sole discretion, elect to assess the liquidated damages stated above as offsets on payments due to CONTRACTOR under the Contract.
Existing conditions:
• Bidders are encourage to attend walkthroughs and review provided plans and reports.
The Contractor shall be responsible for performing the work listed below in compliance with applicable codes, standards and regulations of authorities having jurisdiction and the terms and conditions of the ESA. The work shall include the following:
Design:
Contractor to conduct a feasibility study and design to produce the most logical and cost efficient ECMs with regard to location and interconnection at the Natick Readiness Center.
Contractor should include all design elements typical for the ECMs noted under this proposal.
The design may include but not be limited to:
• Designing structural framing for the solar canopy in accordance with all applicable state and local building codes.
• Providing written structural analysis stamped by a Professional Engineer licensed in the Commonwealth of Massachusetts indicating that the structures and the foundations satisfy the required design criteria including:
a. Dead Load: As Required by Code
b. Roof Live Load: As Required by Code
c. Snow, Wind and Seismic Loading: As Required by Code
• Calculating and maintaining a minimum clearance for military vehicles at the lowest point of the canopy trusses or beams.
• Accounting for the required turning radius for trucks.
• Developing the most cost-effective approach to drainage, following all applicable codes and requirements. Drainage considerations are to be identified in design and integrated into existing drainage plan.
• Creating as-built drawings of all solar canopy, electric vehicle (EV) charging stations, battery storage, electrical and other components.
• Reviewing the Geotechnical Engineering Report dated March 22, 2011
• Supporting the 3rd party Commissioning agent in developing a Commissioning Plan.
Design and specifications for this project must be based upon and in accordance with applicable portions of the DCAMM Standard Specifications (REV 8 DBB version). The DCAMM standard specifications are written for Ch. 149 – Design-Bid-Build Projects. This RFP is being procured under Chapter 25A and therefore these specification must be customized to account for a design-build project delivery versus a design-bid-build project delivery. For example, procurements under MGL Chapter 25A do not require filed sub-bids or trade bidders. All subcontractors are procured directly by the Design-Build contractor.
