This states the Immediate Use hours are for CLIN 001 FFP. But G.11 states that Immediate Use hours are for PWS 2.0, 3.0, or 4.0 which are

CLINS 002 and 003: "Immediate Use ‘Base’ Hours: Applicable to PWS

2.0 and 3.0, or as provided for by COR authorized PDF under PWS

4.0." Will the Government please clarify?

In accordance with B.3(g), "Attachment J-02, Section B

Tables, Table B.2, Estimated Contract Value, will also be revised on a quarterly basis to reflect changes in

CLIN 001 firm fixed price value associated with the exercising of the ‘Flex’ hours identified for Immediate

Use at the rate specified in Attachment J-03, LOE Fixed

Price Labor Rates." The rate(s) specified is the dollars per hour rate proposed for FLEX PMO that offerors will propose in Attachment L-02B. The rate(s) will also be specified in the awarded contract in Attachment J-

03. This rate will be multiplied by total Flex hours converted to immediate use each quarter. On a quarterly basis, the dollar amount calculated will be added to the CLIN 001 firm fixed price to compensate for CLIN 001 growth resulting from LOE growth in

CLINs 2 and 3.

Section B B.3 (g) 2 of 89 This paragraph states "Unexercised 'Flex' hours from previous contract periods shall roll over to the following option period." When unused hours are rolled to a subsequent period, will the applicable hourly rates be adjusted to the prevailing option period rates and will the contract value be adjusted accordingly?

At contract award, the Flex hours will not be associated with any particuliar labor category or rate.

When a Flex hour is converted to "immediate use" during administartion, they will be assigned a labor category and the applicable hourly rate.

Section B B.4 (b) 2 of 89 This paragraph states "The Government will not reimburse the

Contractor under these estimates for any profit or indirect loads. In accordance with its accounting or disclosed practices, the Contractor may include any necessary costs associated with the provisioning of these estimated ODCs under the firm fixed price total value (CLIN

001(A-E)). These two sentences appear to be in direct conflict with each other. Will the Government please clarify this apparent contradiction? Is it correct to assume the contractor can recover indirect costs incurred per the contractor's Government approved accounting system?

No, the Government will not reimburse indirect costs associated with provisioning of ODCs. Any cost associated with the provisioning of the ODCs must be captured in the offeror's CLIN 001 firm fixed pricing.

4 Draft Solicitation Articles B through M

Section B B.4.b 2 It seems arbitrary that offerors should propose a fixed burden under

CLIN 001 based on an estimate of 'non-proposed' ODCs (plugs). In addition, the allowance for an adjustment if costs exceed 135% of the estimated cost puts unnecessary financial risk on the offerors. In addition, this approach to burden recovery may result in unclear substantiation and real cost allocations for such costs in proposals.

Suggest the Government simply require offerors to propose a fixed burden rate for non-labor to be billed as it is incurred. If the

Government is concerned about the cost, a rate ceiling can be proposed.

The solicitation remains unchanged.

Section B B.4(b) 2 Regarding Non-Proposed ODCs, the requirement states that: "The

Government will only reimburse the Contractor for the actual direct costs the Contractor incurs for these ODCs. The Government will not reimburse the Contractor under these estimates for any profit or indirect loads. In accordance with its accounting or disclosed practices, the Contractor may include any necessary costs associated with the provisioning of these estimated ODCs under the firm fixed price total value (CLIN 001(A-E))." Will the Government please clarify whether only CLIN 001 is applicable in this case?

6 Draft Solicitation Articles B through M

Section E E.2 (a) 6 Is the prime contractor required to have a SAE AS9100 Rev D certified quality management system in order to propose as prime offeror?

Or, is it simply a requirement to comply with/adhere to AS9100 Rev D in performance of the LASSO II contract?

The LASSO II contractor is required to be AS9100 Rev.

D compliant throughout the life of the contract.

7 Draft Solicitation Articles B through M

Section E E.2 (a) 6 Will offerors be required to achieve AS9100 Rev D certification of the

LASSO II quality management system (QMS) by an external party after award? Or, is it only necessary for the offeror to implement a compliant system?

The LASSO II contractor is required to be AS9100 Rev.

D compliant throughout the life of the contract.

I.7 Security Classification

Requirements, PWS 1.2.1

Per Clause I.7, performance of LASSO II requires access to classified work/areas and that the contractor maintain a Secret facility clearance. The only reference to classified information/work in the

PWS appears in Contract Management and Business Operations, section 1.2.1. Please clarify the scope areas/functions/Labor

Categories that require access to classified information? Currently, none of the labor category descriptions provided by the Government reference a need for personnel clearances.

Clause I.7, NFS 1852.204-75 Security Classification

Requirements, has been revised to increase facility clearance required from Secret to Top Secret. The specific projects requiring Top Secret clearance are defined during contract administration, as needed.

Labor categories will be identified at that time.

9 Draft Solicitation Articles B through M

Section J J-1 1 At the bottom of J-1 is the following statement: "Attachment J-03, LOE Fixed Price Labor Rates, will be available to all LASSO II Contract customers for their information and reference." Will the

Government confirm that this will be provided with appropriate restrictive markings? Will all non-Government LASSO II Contract customers provided with the J-03 be required by the Government to sign a Non-Disclosure Agreement?

Any contractual documents shared will include appropriate restrictive markings. Since the rates in

Attachment J-03 are fully burdened through profit, the

Government does not believe that they include the level of pricing detail to necessitate Non-Disclocure

Agreements for LASSO II customers. These are a fixed price menu of rates that don't specify the build up data that led to their calculation.

Section L The Government has not included FAR 52.222-46 Evaluation of

Compensation for Professional Employees in the DRFP. Without adding this clause, due to the nature of competition, there is a strong possibility that the Firm Fixed Price Labor Rates will not be sufficient to retain the current knowledge base. Will the Government consider adding FAR 52.222-46 into the FRFP? The justification would be: (1) the scientific/research nature of the services provided under LASSO II; (2) the fact that these scientific/research personnel have many choices of employment locally that will pay market rates;

and (3) the Government's evaluation factor weighting where Price is less important than Past Performance but more important than

Mission Suitability.

The solicitation remains unchanged.

Section L L.3 (f) (9) 61 of 89 The referenced Section L paragraph indicates cost realism "may" be considered "if" a cost realism analysis is performed. A realistic price will be an essential component of employee attraction and retention in the very competitive Central Florida job market. Without a qualified, stable and motivated workforce, LASSO II performance and schedule will be at risk. Given the relative importance of price, would the Government consider the inclusion of an analysis of cost realism in Section L and in Section M Evaluation Factors for Award in both the Price and Mission Suitability Factors? If not, would the

Government please modify the relative importance of the factors to reflect Price being the least important of the three factors evaluated?

Section L L.10 (b) 65 Will the Government consider a smaller font size, such as 10pt TNR or Arial, for tables and graphics?

71 The instructions provided for Management Staffing state that the basis of estimate and rationale provided is for the Base LOE requirements. Given that the instructions do not include estimates for the Flex LOE hours, where should offerors include their rationale for PWS 1.0 hours associated with execution of the Flex LOE?

Likewise, where should offerors include their rationale for PWS 1.0 hours associated with execution of the EGS option?

As stated at L.18.1(c)(4)(i), the staffing narrative is only requested for the resouces required to execute the

Base LOE requirements.

Can the Government please confirm that a separate price narrative is not required of major or minor subcontractors and that the only requirement is Attachment L-02C, LASSO II Subcontractor Template?

Section L L.19(a)(3) 76 of 89 FAR Clause 52.222-43 is incorporated into the contract which states, "the Contractor warrants that the prices in this contract do not include any allowance for any contingency to cover increase costs for which adjustment is provided under this clause". Since this is a FFP

LOE contract, will the Government allow for equitable adjustments on LASSO II to allow for price increases to the Offeror's proposed rates in the event of newly released wage determinations and CBAs that the Offeror will have to comply with?

During contract execution, the contractor will be allowed to submit a request for equitable adjustment to the Government as a result of: (1) CBA agreements and (2) Applicable Department of Labor (DOL) changes for affected WD/SCA covered labor. Effectivity of the

DOL changes would be in accordance with contract terms and conditions.

Section L L.19(b)(2)(i) 76 The instructions state that rates provided include base wages, fringe benefits, G&A, profit, OH, and any other applicable indirect costs.

Where should offerors account for wage uplifts, such as shift differential, hazard pay, imminent danger pay, overtime, and other premiums that are associated with work performed off shift

(afternoons, nights, see PWS 3.1.2), weekends, during emergency situations, or while performing hazardous work?

Offerors are responsible for the development of a fully comprehensive hourly labor rate which accounts for all pay adds/differentials applicable to the offeror's proposal strategy/approach.

Section L L.19 76 of 89 With Executive Order 14026, “Increasing the Minimum Wage for

Federal Contractors,” planned to be incorporated into contracts and wage determinations in the future, how will NASA be addressing this requirement?

Offerors are to determine applicablility based on labor rates being proposed. Offerors are responsible for compliance and implementation of the requirements of E.O. 14026 given their proposal strategy/approach.

Section L L.19

Per DRFP, 'the firm fixed price proposed shall include all labor, non-labor, indirects, and profit required to support its proposed approach.' Are offerors expected to propose vehicles under FFP CLIN

001 or under the FFP Phase-In CLIN? Are offerors expected to propose all the vehicles provided on the 'LASSO GSA Vehicle Fleet' attachment provided? What other non-labor items are offerors expected to propose under the FFP CLIN 001 that aren't included in the non-proposed costs that the Government has identified?

Contractor-provided vehicles would be a non-labor element of CLIN 001 and would therefore be expected to be priced under the FFP CLIN 001. The historical information found in 'LASSO GSA Vehicle Fleet' is provided to aid in the development of the Offerors' proposal approach. Offerors, however, should propose a vehicle allocation that supports their individual approach. Additional CLIN 001 non-labor requirements are left to the discretion of the offeror in support its proposal approach.

Section L L.19

Per DRFP, 'the firm fixed price proposed shall include all labor, non-labor, indirects, and profit required to support its proposed approach.' Are offerors expected to propose any burdens they wish to recover on non-labor under the FFP CLIN 001? Are offerors permitted to bid any fee associated with non-labor under this CLIN?

Any burdens associated with the ODC Plug Numbers, as provided by the Government, are to be accounted for under CLIN 001, refer to Clause B.4(b).

Non-Labor costs, and their associated burdens/markups, above those provided by the

Government Plug Number, are to be estimated by the offeror based on its proposal strategy and policies/procedures, refer to Provision L.19(b)(3).

In accordance with Provision L.20, Volume IV, Plans and Other Data Instructions, the listed items are to be provided in Volume IV. There is no requirement to divide the volume into Section A and B. Format is left at the discretion of the offeror.

In accordance with Provision M.5, Volume III, Past performance Factor, the Government will evaluate the

Offeror’s and its major subcontractor(s)’, individual partners, or parent/affiliate(s)’ recent performance of work similar in size, content, and complexity to the requirements of this solicitation.

Section M M.1.e 83 Currently the evaluation factors order of relevancy are Past

Performance is more important than Price which is more important than Mission Suitability. The current order of relevancy creates a strong barrier to non-incumbents due to the accreditation of past performance for the incumbent contract. Furthermore, the relative importance of Price with respect to Mission Suitability would seem to encourage offerors to propose less desirable methodologies as long as they can be proposed at a lower price. Given the reliance of both commercial and Governmental missions on the services of the LASSO contract, the low importance of Mission Suitability creates a very real risk to NASA and commercial partner mission success. Will the

Government reconsider the relative weighting of the evaluation criteria to be more consistent with NASA support services contracts acquired through a best value tradeoff (e.g. Mission Suitability > Past

Performance > Cost)?

In accordance with Provision L.3(f)(1), the Government intends to award a contract resulting from this solicitation to the responsible Offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and subfactors in the solicitation.

84, 85, 86 The Government uses the term "effectiveness" as a principle evaluation measure. Can the Government provide some insight into how effectiveness will be measured in the proposed solution?

Refer to the requirements of the performance work statement, evaluation criteria, and definitions for the terms, significant strength, strength, weakness, significant weakness, and deficiency, regarding how effectiveness will be measured. It is the responsibility of prospective offerors to judge whether or how they can satisfy the Government’s requirements, and to propose an approach that is reflective of the most flexible, effective, and efficient implementation of the contract requirements.

If an offeror's disclosure statement requires other than a Material

Handling fee to be applied to ODC's how should these indirect costs be applied in the Basic Cost and Price Template?

If the offeror is communicating that more than one indirect would be applicable, then the offeror should develop a composite indirect rate which maintains compliance to its policies/procedures. If the offeror is communicating that something other than a Material

Handling fee is applicable, then the offeror would apply the appropriate burden(s), as required by their disclosure statement.

Cost Price Template provides offerors with the ability to demonstrate the labor rate build up of Prime Offeror burdens. For instances where a subcontractor is performing the function, should the prime offeror populate the Base Labor Rate column with the subcontractors fully burdened rate? If so, we assume the Fringe

Benefits column would be left blank since it is not applicable and only the Indirect and Profit applicable to subcontractors would be applied in Columns F, J, N, R and Y of this worksheet. Please confirm our assumption.

37 L Attachments Attachment L-02B Instructions tab

On the instructions tab of attachment L-02B, it says "Fully Burdened

Labor Rates developed for this tab shall be consistent with the same

Fully Burdened Labor Rates developed in the "Govt Provided Base

LOE Hours" worksheet tab." In addition, instructions in the file indicate that offerors may map multiple offeror labor categories to

Government equivalents. For the Base LOE, Govt. Equivalents are associated with specific PWS area, which impact the allocation of hours across offeror labor categories for a given Government labor category equivalent, but on the Flex tab of the file no indication of the nature of the work to be performed (PWS area) is provided. How then, are offerors to allocate Government specified hours for a given

LCAT, such as 'Aerospace Technician I" across multiple associated offeror labor categories (skillsets) if no guidance is provided with regard to the nature of the work to be performed? Presumably

FBLRs for the same offeror labor categories must tie between the

Base and Flex tabs per the instruction, but this does not mean that the weighted average fblr's for a given government labor category equivalent will be the same unless the Government provides more guidance in this area.

The pricing instructions will remain unchanged.

The Government will not provide guidance with regard to allocation of Government provided hours across multiple associated offeror labor categories. This is left to the discretion of the offeror in support of its proposal strategy/approach.

38 L Attachments Attachment L-02B Instructions tab;

LASSO II Base

FBLR tab

On the instructions tab of attachment L-02B, for "LASSO II Base FBLR" worksheet tab, it says "Note that this worksheet tab could include inputs from the Prime offeror to include one or more "Blended" rate(s) based on the potential of co-mingling of Prime offeror and subcontractor team member(s) labor rates based on workload allocation and or concurrent participation in a common PWS. Prime offeror is responsible for a comprehensive proposal submittal to the

Government for all proposed labor rate(s) per hour, to include its team member(s), based on it's proposal strategy, PWS work share allocation, and PWS concurrent participation." It is not common for the Prime Contractor and its Subcontractors to Blend their "Base

Labor Rate $", "Fringe Benefits $", or "Indirects & Profit $". However, it is appropriate to Blend the "Fully Burdened S/T Labor Rate $" between the Prime and Subs to establish a single labor rate for each category by year. Recommend the Government consider removal of the first 3 columns for each year in this tab, and maintain only the

4th Column in each year "Fully Burdened S/T Labor Rate $".

The pricing models will remain unchanged. The following guidance is provided for the following three

Would the government denote which of the provided labor categories are covered by the Service Contract Act and provide the proper Occupation Codes? We noted that the labor category descriptions provided for a few of the non-exempt positions could potentially fall under multiple Occupation Codes (i.e. Laboratory

Technician, Engineering Technician, Electronics Technician

Maintenance, etc.). Each of these have very different minimum wages, so it would be very helpful for some additional specificity. We believe this request is consistent with the approach the Government is taking with regards to providing the specified Labor Categories and education/experience requirements for all other positions.
