L-3 PROPOSAL PREPARATION INSTRUCTIONS

A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The offer shall consist of three separate volumes: Volume I – Technical Proposal, Volume II – Price Proposal/Contract Documentation, and Volume III - Past Performance Information. The offer acceptance period shall be 365 calendar days (to be stated in block 12 of SF 33 page).

B. The CO has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the CO will review this determination and if, in the CO's opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the CO determines that adequate price competition no longer exists, offerors may be required to submit additional information to the CO for determination of fair and reasonable pricing.

C. SPECIFIC INSTRUCTIONS:

1. Receipt of Proposals: All volumes, paper and electronic, shall be mailed to 700 Contracting Squadron/USAFE CONS Specialized Flight, Attn: TSBMC II Team, Unit 3115, APO AE 09021 (when mailing from the US) or delivered to 700 Contracting Squadron/USAFE CONS Specialized Flight, Attn: TSBMC II Team, Kapaun Air Station, Geb 2767, Room 315, 67661 Kaiserslautern, Germany (when mailing from outside the US). They must be received no later than 03:00 pm Central European Summer Time (CEST) on 14 June 2013.

2. Access to Base Facilities: 700 CONS/USAFE CONS Specialized Flight is located on an

U.S. Air Force installation and all access to the installation is controlled by the U.S. Air Force. An escort may be required, as access will not be granted solely based on the need to submit a proposal. If necessary, as pre-coordinated with the point of contact listed in paragraph 10, the Government will provide a representative to meet the offeror at the gate to the installation to accept the proposal submission. Furthermore, the U.S. Military is conducting random exercises which may require total closure of entrance gate and/or utilization of an alternate base entry. Any delay based on access will not be accepted as a reason for late receipt of the proposal by the Government.

3. The offeror shall prepare the proposal as set forth in the Proposal Organization Table 1 below. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limitation and with the number of copies as specified. Pages exceeding the page limitations set forth in this Section will be removed from the proposal and will not be read or evaluated.

Volumes I through III on re-writable CDs/DVDs. Those CDs/DVDs shall be delivered concurrently with the hard copy. If files are compressed, the necessary decompression utility must be included. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Word 2007, MS Excel 2007, MS-PowerPoint 2007, or PDF format, as applicable. Do not submit any PDF documents that are copied as “images.” Always create PDF documents to enable textual search and copy functions. Attachments 7 & 8 shall be submitted in a format readable by MS Excel 2007. Offerors are cautioned that the “Original” marked hard copy form of the offeror’s proposal shall take precedence if any inconsistencies or discrepancies exist between the offeror’s hard copy proposal and the documents submitted on electronic media.

5. The page limitation for Volume III, Past Performance is not inclusive of the Past Performance

Questionnaire (PPQ) and Subcontractor/Teaming Partner Consent Letters (see Section J, Attachments #9 and #11). The PPQ, which will be sent to the Government POC, does not count towards the volume III page limitation. The page limitation for all volumes is inclusive of all material except: the front and back cover, title page, tabs, and table of contents. When both sides of a page display printing, it shall be counted as 2 pages. Any pages in excess of the maximum number specified will be removed from the proposal without being evaluated. No material may be incorporated by reference. Each volume shall contain a table of contents. Tab indexing shall be used to identify sections. One copy of each volume shall be marked “ORIGINAL.”

6. Volumes I and III shall contain pages size 8 ½ x 11 inches and text using no smaller than 11 font size (font size 6 may be used for graphics and organization charts). Pages must have a minimum 1 inch margin for all four margins. Offerors may include 11 x 17 inch foldouts only to display graphics, flow charts, organizational charts, and drawings. Foldouts shall not be used for incorporating more text information per given page. Foldouts will be counted as one page. Larger page size and smaller font size are not applicable to tables. Pages shall be numbered sequentially by volume. The CO may place page limitations on responses to Evaluation Notices (ENs). If so, the specified page limit for EN responses will be identified in the letter forwarding the ENs to the offerors.

7. Each volume shall be written on a stand-alone basis, so that its contents may be evaluated with no cross-referencing to other volumes of the proposal. Information required for proposal evaluation that is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where its use will conserve space without impairing clarity and the logical flow of the subject matter is maintained.

8. In accordance with FAR Subpart 4.8., Government Contract Files, the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

9. The offeror shall apply all appropriate markings to the proposal including those prescribed in

FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.

10. Point of Contact. The CO is the sole point of contact for this acquisition. Address any questions or concerns to Ms. Lola Bauch at TSBMC.2@us.af.mil.

11. Debriefings. The CO will promptly inform any offeror in writing of any decision to exclude an offeror from the competitive range, whereupon the offeror may request a debriefing in accordance with FAR 15.505. The CO will notify unsuccessful offerors within the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

12. Electronic Reference Documents. All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) web site at www.fbo.gov, with the exception of Atchs 7 & 8. All offerors shall be required to sign and submit the certificate provided at Atch # 13 to TSBMC.2@us.af.mil to receive revised Atchs 7 & 8. Atchs 7 & 8 will not be posted to FedBizOpps. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

13. Discrepancies/Ambiguities. Should any portion of this solicitation contain a perceived error, omission or otherwise be unclear, the offeror shall immediately email the CO, clearly describing the portion of the solicitation in question and the impact the discrepancy has on the offeror’s ability to prepare their proposal.

D. VOLUME I – TECHNICAL PROPOSAL (EVALUATION FACTOR 1)

1. GENERAL: Legibility, clarity and coherence are of great importance. Proposals will be evaluated against the technical approach subfactors, as specified in paragraphs 2 and 3 below. All requirements specified in the solicitation are mandatory. By submitting a proposal, offerors are representing that their firm will perform all the requirements specified in the solicitation. It is not necessary or desirable to reiterate the requirements of the PWS.

2. SUBFACTOR 1 – Transition Plan. The offeror shall address the process for a 100-day phase-in period that assumes full responsibility for performance at the start of the basic contract period. In addition the plan shall address the phase-out actions process, upon contract expiration, to fully support a successor to maintain the continuity and consistency of the services required by this contract. The process shall include -

a. Identification of a phase-in/phase-out team, including position titles, roles, responsibilities and authorities, necessary to successfully interface between stakeholders.

b. An approach for interfacing with the Government team, the incumbent contractor/successor, stakeholders, customers, etc.

c. An approach to satisfying the transition requirements, e.g. security, approvals, permits, property inventory, delivery of submittals, personnel hiring and training.

The document shall reflect lines of authority; describe roles and responsibilities, cross-utilization and coverage for key personnel, as well as required skill mixes.

E. VOLUME II – PRICE/CONTRACT DOCUMENTATION PROPOSAL (EVALUATION FACTOR 2)

1. Complete blocks 13, 14, 15, 16, 17 and 18 of the RFP Section A, Standard Form (SF) 33. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. These sections constitute the model contract.

2. Insert proposed unit and extended prices in Section B for each Contract Line Item Number

No price offer is required for those CLINs that are: (1) not separately priced (NSP), (2) all Government pre-priced CLINs and (3) those where cost are to be determined (TBD) on a case-by-case basis after contract award. The NSP CLIN is for Data. Government pre-priced CLINS are those for Material/Equipment, Relocation, Travel/TDY and Severance for reasons such as mutual agreement, expiration of the contract term, death or retirement of employee, and termination for objective causes/disciplinary actions in the normal course of business. Contingency Level II and Exercises as well as the Above & Beyond CLINs are TBD on a case-by-case . Offerors considering severance of employees as part of their technical solution or that are no longer required in performance of the contract, shall propose severance for those projected employees as well as retention costs in the base year for subject employees. These costs shall be made part of the offerors total evaluated price. Severance costs to occur in the normal course of business that are pre-set by the Government as a lump sum as part of the severance CLIN for the base year, will not be considered in the price evaluation. Calculation by the offeror shall be based on the provided Turkish and Spanish Employee listings, taking into consideration the maximum possible severance cost according to labor law requirements. All proposed extended CLIN amounts must equal the whole Euro unit price multiplied by the number of units. If the offeror fails to provide an extended amount or if the unit price and extended amount do not calculate correctly, the offered unit price will take precedence. The price schedule will be used by the Government for evaluation. Not separately priced (NSP) CLINs, where price or value has been set by the Government and To be Determined (TBD) CLINs where the price or value will be determined after contract award, will not be part of the offeror’s total evaluated price. The price offered shall be the offeror’s best price for performance of the work as set forth herein.

3. SINGLE CURRENCY: All proposed prices shall be submitted in EURO currency and the amount proposed shall be rounded to the nearest EURO. Offers not submitted in the EURO currency will not be considered for award.

4. SEVERANCE/RETENTION: The offerors shall use the Turkish National and Spanish National Employee Listing in Section J, Attachments 7 and 8 of the solicitation, to determine the severance cost for those employees not required in the performance of the contract and to identify those employees to the Government. The offerors shall mark the last columns of the Sep 2012 data to identify the positions that are up for severance and return a copy of Attachments 7 & 8 as part of their price proposal. All offerors shall be required to sign and submit the certificate provided at Atch #13 to TSBMC.2@us.af.mil to receive revised Attachments 7 & 8. Attachments 7 & 8 will not be posted to FedBizOpps.

5. The offeror’s proposal shall include a signed copy of the SF 33, Solicitation, Offer and Award, and appropriate sections A through K.

6. Acknowledged Solicitation Amendments. Provide all executed SF 30s and other appropriate amendment acknowledgments (if applicable).

7. Section A – Solicitation/Contract Form. Ensure appropriate completion of all applicable blocks of SF 33, Solicitation, Offer and Award, including signature by the offeror on the SF 33. The “original” copy shall be clearly marked under separate cover.

Appropriate completion and execution of pricing information in Section B EXCEPT for CLINs 0004, 0005, 0006, 0007, 0008, 0009, 1009 and all the applicable option CLINs. The Data is not separately priced (CLINs 0009, X008). Contingency Level II and Exercise as well as Services Above & Beyond (CLINS 0004, 0006, X003 and X005) are to be determined as they are required after contract award.

9. Six Month Extension of Services. The solicitation contains the clause at FAR 52.217-Option to Extend Services. The exercising of this option is not guaranteed and is at the sole discretion of the Government. 4. If a teaming arrangement is contemplated, this information is required on the offeror, teaming partners and subcontractors proposed to perform major or critical aspects of the effort. Past performance regarding key personnel (Program Manager, Alternate Program Manager and/or Site Manager), who have relevant experience, subcontractors that will perform major or critical aspects of the requirement as well as teaming partners shall be considered in the past performance evaluation for the principal offeror, as applicable.
