The following have been modified:
SECTION H
H-1 LABOR AND LEGAL RELATIONS
1. The contractor shall conduct labor negotiations, if any, with labor organizations in Spain in such a manner as to protect and promote the best interests of the U.S. Government. In the event that during the life of this contract the contractor enters into collective bargaining with any such labor organization, the Contracting Officer (CO) or his designated representative in conjunction with USAFE’s labor advisors will establish parameters of those interests as pertains to the particular labor negotiation. Those parameters shall govern wages, benefits, or administration articles without exception and shall not be exceeded without written approval of the CO. When requesting parameters from the CO or designated representative, the contractor shall submit a copy of the current Collective Labor Agreement (CLA), those items in the CLA the labor organizations would like changed, deleted, added, etc., the cost impact of each change and a recommendation. In the absence of separately established parameters, the maximum amount payable to the Spanish National category of employee shall not exceed that established in accordance with Spanish labor laws or that currently being paid under the existing/expired CLA, whichever is greater.
(a) The contractor shall provide an assessment of any negotiation status as negotiations are in process. Such reports will be on a frequency basis as determined by the CO.
(b) Upon completion of labor negotiations, the contractor shall electronically submit complete copies of any labor agreements to the Contracting Officer as required or requested. To the extent that such agreements identify wages or other factors as changed from a previous level, the level from which the change was computed will also be identified.
2. The contractor shall notify the CO within twenty-four (24) hours, after the receipt/notification of any labor and/or legal actions; i.e. strikes or other types of labor unrest, suits, claims, penalties, court decisions, postponements, fines, hearings, etc., arising from the employment of direct hire, workforce. Likewise, the contractor shall notify the CO within twenty-four (24) hours after the receipt/notification and any Turkish or Spanish Labor Laws/Decrees, notifications, requests and changes in such legislation that may have an indirect or direct impact to the contract (TSBMC II) operations.
3. Within five (5) workdays after the contractor has become aware of the requirement or need, the contractor shall obtain prior written CO approval before incurring any costs as a result of bilateral settlements, court decrees, and/or any other quasi-judicial or governmental agency directives. These written requests shall be supported with an English translation of all documents with applicable recommendations.
4. The U.S. Government reserves the right to negotiate the CLA in Turkey, on behalf of the contractor. If the U.S. Government exercises this right, the contractor will cooperate fully with the U.S. Government’s objectives to ensure the CLA is concluded with the respective labor organizations. The contractor shall provide support, at no additional cost, to assist the U.S. Government representatives charged with negotiations; the support shall include, but is not limited to: administrative and translation support.
H-7. EQUITABLE ADJUSTMENT FOR FLUCTUATIONS IN VALUE OF FOREIGN CURRENCY
(a) The contract price and the standard of payment will be in Euro. The contractor will, however, incur expenditures in EUROs, Turkish Lira (TL) and US Dollars.
(b) In the event that any change in the rate of exchange between the Euro and any other currency to be expended by the contractor or any subcontractor in the performance of this contract (i.e., TL or USD) causes an increase or decrease in performance cost, an equitable adjustment may be made. Such foreign currency adjustment may be made only in the case of a total net change (overall increase or decrease) per performance period in access of EURO 50,000. Adjustment shall only be made to Fixed-Price (FP) CLINs/with Equitable Price Adjustment (EPA).
(c) Either contract party may request a foreign currency fluctuation adjustment after completion of the basic contract period and any performance period thereafter. The US Government however reserves the right for an additional or interim adjustment during the performance period, if funds are due to the Government and deobligation at an earlier stage is deemed to be in the best interest of the Government.
(d) Within 30 days from the end of each monthly performance period, the contractor shall report to the
Contracting Officer all currency gains/losses. As a minimum the report shall reflect the daily and average monthly foreign currency conversion rates, address the monthly expenditures (cost incurred in other than Euro currency) by CLIN and show the monthly net change (Increase/Decrease) per FP/EPA CLIN.
(e) The Government-provided foreign currency conversion rates in B-11 shall constitute the rate basis for calculation of the adjustment. The adjustment shall be based on the monthly cost incurred by the contractor in other than Euro currency multiplied with the Government-provided conversion rate in B-11, in comparison to the amount multiplied with the monthly average conversion rate reported by the contractor. This will constitute the monthly increase/decrease per FP/EPA CLIN. The total adjustment for the performance period will be the sum of all monthly increases and decreases for cost incurred in other than Euro currency.
H-9. ALL LOCATIONS TURKEY AND SPAIN- CHANGE IN LEVEL OF PERFORMANCE
The Government may at any time direct the contractor to change the level of support provided under this contract. Such a change could vary from an increase to decrease in requirements or total elimination of operational site support on either a temporary or a permanent basis. Such a change could be issued by unilateral contract modification, which would be definitized in accordance with the provisions of the Changes Clause in this contract.
Due to budgetary constraints and mission needs, the Government anticipates a potential reduction in contracted support for Transient Alert services at Moron Air Base, Spain. Consequently, the solicitation and subsequent contract delineate said Transient Alert as segregated from the base line and outlined separately in the PWS to allow for ease of extraction.

L-3 PROPOSAL PREPARATION INSTRUCTIONS
A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The offer shall consist of three separate volumes: Volume I – Technical Proposal, Volume II – Price Proposal/Contract Documentation, and Volume III - Past Performance Information. The offer acceptance period shall be 365 calendar days (to be stated in block 12 of SF 33 page).
B. The CO has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the CO will review this determination and if, in the CO's opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the CO determines that adequate price competition no longer exists, offerors may be required to submit additional information to the CO for determination of fair and reasonable pricing.
C. SPECIFIC INSTRUCTIONS:
1. Receipt of Proposals: All volumes, paper and electronic, shall be mailed to 700 Contracting Squadron/USAFE CONS Specialized Flight, Attn: TSBMC II Team, Unit 3115, APO AE 09021 (when mailing from the US) or delivered to 700 Contracting Squadron/USAFE CONS Specialized Flight, Attn: TSBMC II Team, Kapaun Air Station, Geb 2767, Room 315, 67661 Kaiserslautern, Germany (when mailing from outside the US). If necessary, as pre-coordinated with the point of contact listed in paragraph 10, the Government will provide a representative to meet the offeror at the gate to the installation to accept the proposal submission. Furthermore, the U.S. Military is conducting random exercises which may require total closure of entrance gate and/or utilization of an alternate base entry. Any delay based on access will not be accepted as a reason for late receipt of the proposal by the Government.
3. The offeror shall prepare the proposal as set forth in the Proposal Organization Table 1 below. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limitation and with the number of copies as specified.
