About this file

This document is an exceptions and responses log for Arizona Department of Transportation (ADOT) Solicitation No. BPM006797, detailing contract negotiations between ADOT and Tierra Right of Way Services Ltd. The file records 23 items of exceptions and requested changes submitted by Tierra across various contract sections, including the Scope of Work, Special Terms and Conditions, Uniform Terms and Conditions, and Federal Provisions. All exceptions raised by Tierra regarding performance measures, ordering processes, indemnification, insurance requirements, contract modifications, risk allocation, warranties, termination provisions, and federal compliance clauses were denied by ADOT. In each instance, Tierra withdrew its proposed redlines and accepted ADOT's original language as presented. The responses were documented on June 3, 2025, indicating that the contract negotiation process concluded with Tierra's acceptance of all standard ADOT contract terms without modification.

The exceptions and responses document demonstrates ADOT's standard approach to procurement negotiations, maintaining consistent contract language across its suppliers without accommodating contractor-requested deviations from established terms. Notable areas where Tierra sought modifications but were unsuccessful include liability limitations for indirect or consequential damages, modifications to indemnification and insurance provisions, relief provisions for force majeure events, and adjustments to termination procedures. Tierra's complete acceptance of all denied exceptions indicates either agreement with ADOT's risk allocation framework or acceptance that negotiation flexibility was unavailable for this contract award.
