About this file
This is a Consultant Services Agreement (CSA) form issued by the City of Sebastian, Florida's Procurement Division, designed to be executed under a master contract for professional services. The agreement establishes a framework for engaging consultants to provide planning, landscape architecture, and surveying services, with work organized into three primary tasks: Preliminary Planning, Permitting & Inspections, and Contract Administration. The CSA template allows for flexible project definition, with sections for detailed task descriptions, estimated hours (for time-and-materials arrangements), deliverables, and project-specific parameters to be completed at execution. The contract requires ongoing project management through regular review meetings between the City's Project Manager and the Consultant's Project Manager to monitor progress, address issues, and provide direction, with the City's Project Manager responsible for certifying invoice acceptance.
Pricing under the CSA may be structured as either fixed-price (lump sum) or hourly (time and materials) arrangements, with specific quantities and unit prices to be detailed in individual work authorizations. The agreement incorporates standard procurement protections including provisions for stop-work orders, quality standards requiring consultants to perform services with professional care and skill consistent with applicable industry standards, and a prohibition on subcontracting or assignment without prior written City consent. The consultant remains fully responsible for all performance obligations regardless of any approved subconsultants, and the City reserves the right to exercise remedies under Florida Statutes if deliverables fail to meet specified requirements or acceptance criteria. The CSA must be executed with approval from the City Manager, Acting City Clerk, and Interim City Attorney, and establishes the initial contract period with provisions for task-specific work authorizations under the master contract framework.
