RFP 80SSC024R0004

SECTIONS B-M 5 of 55 L.I-11

In the final solicitation, the Government revised the definition of “major subcontractor” for Mission Suitability and Past Performance to be "a subcontractor or Inter-/Intra-Work Transfer Authorizations (IWTA) having a contract value that equals or exceeds 10% over the entire contract performance period including option periods of total proposed contract value (TCV)". This change created a significant inconsistency with the definition of major subcontractor used for Cost/Price found in L.II-7 which is "a subcontractor or IWTA having a contract value that equals or exceeds $45,000,000 over the entire contract performance period including option periods, excluding IDIQ". At the time of final solicitation issuance, Offerors had already selected subcontractors and signed teaming agreements using the original definitions for "major subcontractor" that were provided in the draft solicitation. This change in definition severely restricts offerors from demonstrating and documenting the full capabilities and value offered by their subcontractors who were specifically chosen for the value that they would bring to COSMIC. We respectfully request that the Government revert back to the originally provided definition of “major subcontractor” for Mission Suitability and Past Performance which was "subcontracts that exceed $45,000,000 over the entire contract performance period, including IDIQ and option periods".

The Government maintains its definition of a major subcontractor included in the final RFP.

In accordance with RFP Section L.II-7(d)(2), "If an FPRA is not in effect, the Offeror shall provide the basis for the indirect rates proposed, to include three years of historical indirect rate data in the applicable tab within the Forms." It is the Governments intent to capture historical information for 2022, 2023 and 2024. Recognizing that 2024 will be a mixture of historical and forecasted data. The Offeror may amend the year in Row 13 of the form.

DRFP Questions and Answers 12 Question #164

Question #164 states that 'The Government will evaluate past performance from all contract types including non-Government considering size, content and complexity for recent and relevant past performance." Section L within the live RFP documents does not reflect this language. Can the Government please update Section L to reflect this?

Language will remain as stated in Section L and M. The Government will evaluate past performance from all contract types including non-Government considering size, content and complexity for recent and relevant past performance. Relevancy as defined by the FAR definition is included in the charts in Section M.6 (c).

29 Section M 208 of 211 M.6 (d)

The Government has specified it will evaluate the Offeror's performance by reviewing the last three years of both socioeconomic business goals and environmental violations.

Would the Government please confirm whether Offerors are to provide this data for the Government's evaluation, and whether the data to be evaluated is specific to the contract references provided by the Offerors or if it is inclusive of all contracts performed by the Offerors?

The Government confirms, the Offeror is to provide past performance information specific to small business plans, safety and environmental in accordance with L.II-6 (f) (1), (2) and (3) and will be evaluated per M.6. Please note M.6 (a) states "Government reserves the right to use both data provided by the Offeror and data obtained from other sources. The Government will consider the number and severity of problems, the effectiveness of corrective actions taken and the overall record of past performance. It shall also consider the Offeror s record for adherence to contract schedules and cost control."

The government confirms it will evaluate data provided and the Offerors overall past performance record.

30 Section L 177 of 211 L.II-6 (f) 2) iv.

Would the Government please confirm whether OSHA Form 300 and 300A are to be provided for each year of the Offeror's referenced contract PoP or would the Government like to limit the submitted forms to the three years prior to submittal date to coincide with recency definition? OSHA forms will be limited to three years to coincide with recency definition.

31 Section L 175 of 211 L.II-6 (e) Will the Government please confirm whether Consent Letters are required for JV partners? Consent Letters are not required for Joint Ventures.

32 Section L 175 of 211 L.II-6 (e) Would the Government please elaborate on the expected content of the Consent Letters or consider providing a Consent Letter template?

33 Section L 22-23 of 55

L.II-3

L.II-4

In paragraph L.II-3, the RFP instructs offerors to submit the OCI Plan as part of the Model Contract Proposal - Volume IV. In Section L.II-4, Table 1 includes the OCI Plan as part Past Performance - Volume II. Can the Government clarify which Volume the OCI Plan should be submitted in?

Yes, the OCI Plan is part of Volume IV.

X

34 Section L 22 of 55 L.II-2 Can the Government provide a window for when oral presentations will actually occur (e.g., June 4-7)?

With the revised proposal due dates the oral presentations are planned for June 18th and 20th. Each Offeror will receive scheduling information no later than COB June 17th. X

35 Section L 22 of 55 L.II-2

Section L.II-2. General, (b) states proposals are due May 30, 2024. Section (c) just below that states copies of oral presentations shall be received by June 3, 2024. Please clarify if the oral presentation PowerPoint slides are due on May 30 or June 3.

The government confirms the proposal due date is different date than the oral prensentation due date and Offeror shall adhere to the revised dates in the amendment.

36 Section L 27 of 55 L.II-5

Section L.II-5 Tech 1 Understanding Requirements states offerors are to present their approaches to accomplish technical requirements and drive innovation “…excluding innovation and continuous improvement addressed in TECH 2 (oral presentations)…”.

However, (1) through (5) in this same section require offerors to address innovation. It is still not entirely clear exactly what the Government is expecting to receive regarding innovation between Tech 1 (narrative) and Tech 2 (orals). Is your intent that Tech 1 cover the approach to accomplish each PWS area along with the overarching approaches to infuse innovation (but not describe discrete innovations) while Tech 2 covers a list of discrete innovations within each of the four technical areas (maintenance, operations, logistics, engineering/manufacturing)?

The Offeror shall provide their technical approach for each PWS Section at the 2nd tier level to include proposed innovations, excluding proposed innovations for those PWS Sections specifically identified under TECH 2, oral presentation.

For any identified noncompliance, deviation, finding, deficiency, or notice of violation, the Contractor shall initiate an approved corrective action within five (5) business days. This requirement applies to PWS 3.0 and PWS 7.0."

To clarify, does the Government intend for contractors to take action to contain the deviations, finding(s), or deficiencies by putting short-term measures in place to mitigate recurrence while establishing a comprehensive corrective action plan, which then has to be approved and initiated within five (5) business days?

As currently stated, it is unclear how a contractor is expected to "immediately take action to contain and correct" while also "initiating an approved corrective action within five (5) business days"?

The requirement is to take immediate action to contain and correct deviations, finding(s) or deficiencies and initiate an approved corrective action within five (5) business days. The Government acknowledges that full implementation of the corrective action may exceed (5) business days.

75 Attachment J-1 PWS 102 3.0.21

Please clarify the governments expectation for the COSMIC contractor to "Ensure no prohibited materials or components are disposed of in solid waste or recycling containers." to ensure would require 100% inspection and oversight at all times, which would be a significant level of effort if required.

Open NMIS cases at the start of the COSMIC shall be limited to existing open cases under the SACOM Contract.

78 Attachment J-1 PWS 218 PWS 5.3.4

PWS 5.3.4 states "Trim all fence lines to prevent vegetation growth in the fence, including removal of vegetation growing up the links of the fence.

• All areas shall be trimmed concurrent with mowing. "

To confirm, the Government is only requiring trimming the fence lines that correspond to the maps of contractor responsibility for grounds maintenance/areas that are concurrent with mowing responsibilities?

The Government confirms that fence line trimming is limited to the areas concurrent with the mowing areas.

79 Attachment J-1 PWS 243 5.4.2

Would the government please clarify if this orientation will be provided to COSMIC or if COSMIC will need to create a orientation? Also, would the government clarify their expectation for this orientation and if there will be a scheduled interval or will the orientations have to take place as employees sign up for the fitness center.

The orientation is currently provided by a video that is administered by the Medical Clinic and will not need to be created by COSMIC. Orientation will be provided as employees sign up to use the fitness center.

80 Attachment J-1 PWS 261 6.0.1.9

PWS 6.0.1.9 states "The Contractor shall begin maintenance and operations of added equipment as soon as it is placed in service or NASA has taken ownership."

Will NASA provide funding to maintain and operate new equipment as soon as it's placed into service?

New equipment assets are added and removed from the Contract on a regular basis. The Government will not continually fluctuate contract value based on each individual asset addition and subtraction. This is on a cost type CLIN (contract line item number). Fluctuations in assets are expected, if major additions or subtractions occur adjustments may be processed to include an increase or decrease in contract value.

81 Attachment J-1 PWS 264 6.0.3.4

This requirement states "shall maintain and provide air emissions data required to meet regulatory requirements, calculate air emissions, and complete accurate regulatory reports…" However, the DRD EN02 states "to provide NASA with data to calculate air emissions."

Would the government please clarify if COSMIC will be required to calculate air emissions or to simply collect the data and provide it to NASA?

COSMIC is not required to calculate air emissions, except as specified in the PWS. COSMIC will provide the data needed to calculate air emissions and will enter data to calculate refrigerant leak rates.

82 Attachment J-1 PWS 252 5.5.8

PRS 5.5.8 references response times for "priority inquiries", however PWS 5.5.8 and PRS

5.5.8 do not provide a definition for priority inquiries.

Can the Government clarify/provide a definition for what constitutes a priority inquiry?

Priority inquiries, for example, could be significant equipment performance status inquiries, emergency operations information, system activation activities inquiries, power failure status/updates, etc.

83 Attachment J-4, Appendix B All CBAs/Wage Determinations

Is the contractor required to bid CBA rates after expiration of the CBAs or can wage determination be used after expiration of the CBA?

The contractor is required to bid to the CBAs attached to the RFP. This is the most current information available as of the date the RFP was issued.

84 Attachment J-4, Appendix B All CBAs/Wage Determinations

How are adjustments to contract value going to be made for CBAs that are negotiated during the acquisition process and not included in the solicitation. FAR 52.222-43 does not apply to Base Period Contracting?

FAR 22.1012-2 (b) "For contractual actions other than sealed bidding...If the contract does not specify a start of performance date which is within 30 days of the award of the contract or of the specified modification, or if contract performance does not commence within 30 days of the award of the contract or of the specified modification, any notice of the terms of a new or changed collective bargaining agreement received by the agency not less than 10 days before commencement of the work shall be effective for purposes of the successor contract under 41 U.S.C. 6707(c)." Contract performance will start more than 30 days after award, therefore if the revision to the CBA(s) are received no less than 10 days prior to contract start of performance it will be incorporated into the contract. Once incorporated into the contract FAR 52.222-43 (d)(2) would apply, which states "an increased or decreased wage determination otherwise applied to the contract by operation of law;" and the contractor would have the opportunity to submit a timely contract value adjustment proposal for the changes imposed by the revised CBA(s).

85 Attachment J-4, Appendix B All CBAs/Wage Determinations

How is the Government going to perform cost realism that offerors are providing equivalent benefits to the CBA requirements?

The Government will evaluate cost realism in accordance with Section M.7, Factor 3.

86 Attachment J-4, Appendix B All CBAs/Wage Determinations Will the Government provide a seniority roster for all CBA employees?

Yes, in accordance with FAR 22.1020 - Seniority List. This will be provided to the successor during phase-in.

Page 10 of 15 80SSC024R0004P00001

87 Attachment J-9 COMSIC GFP All "As is"

The solicitation requires contractors to replace any needed "as is" equipment. How are contractors required to propose this cost. Should they be depreciated? Are contractors to assume these all become contractor property once replaced?

The solicitation does not require the contractor to replace "as-is" equipment.

The solicitation requires the Offeror to provide the equipment necessary to accomplish objectives and requirements of the Contract, not provided by GFP (as-is or maintained). How the contractor accomplishes this is the Offeror's own unique approach.

88 Section B 7 B.7

Please confirm the limitations on the incentive pool are accurate assuming a contractor is proposing the max (10%): Column B (Target Cost) = $100, Column C (Target Cost Total Incentive Fee Pool) = $7.50, Column E (Target Cost Fee (45% of incentive fee pool) = $3.37, Column F Max Cost Fee = $10, Column G (55% of incentive fee pool) = $4.13.

This is incorrect. Column F is max COST fee not max fee. Column B (Target Cost) = $100, Column C (Target Cost Total Incentive Fee Pool) = $7.50, Column E (Target Cost Fee (45% of incentive fee pool) = $3.37, Column F Max Cost Fee = $5.88, Column G (55% of incentive fee pool) = $4.13. Column J is the contract value @ max fee, it is target cost + max cost fee + target performance fee - reimbursements (if you follow the calculation identified by the ****under the chart).
