About this file

This document is a draft Service Agreement between the Milwaukee Metropolitan Sewerage District (MMSD) and a yet-to-be-named Company for the Operation and Maintenance of Water Reclamation Infrastructure. The agreement is set to commence on March 1, 2028, and will run until February 28, 2038, with potential options for one or two five-year extensions. The contract covers comprehensive management, operation, and maintenance services for MMSD's water reclamation facilities, including the Jones Island Water Reclamation Facility (JIWRF) and the South Shore Water Reclamation Facility (SSWRF). The scope of services includes preventive and corrective maintenance, fleet maintenance, biosolids and Milorganite production, compliance with environmental permits, staffing, information technology management, and various other operational responsibilities.

The financial structure of the agreement includes a monthly base fee with additional fees for specific services like corrective maintenance and task orders. The cost-sharing model splits certain expenses between MMSD and the Company, such as energy (60% Company, 40% MMSD), process chemicals, and regulatory fees. The Company will be required to maintain specific staffing levels, meet performance standards, and provide a $6,000,000 letter of credit. The agreement also outlines detailed provisions for intellectual property rights, data management, and potential adjustments based on facility performance and changes in operational conditions. The contract emphasizes collaborative governance, with multiple committees established to manage communication, resolve disputes, and oversee operational aspects.
