About this file
This document is Exhibit P, a Governance section of a Service Agreement between the Milwaukee Metropolitan Sewerage District (MMSD) and an unnamed Company for the Operation and Maintenance of Water Reclamation Infrastructure. The exhibit details the structure, roles, responsibilities, and decision-making procedures for three primary committees: the Executive Committee, Operations Committee, and Maintenance Committee. These committees are designed to facilitate communication and collaborative management of water reclamation facilities, with specific authorities to make operational and maintenance decisions, review performance standards, adjust staffing and chemical inventories, and resolve disputes.
The governance structure includes defined settlement authorities for each committee, with the Executive Committee having up to $100,000 settlement power, while the Operations and Maintenance Committees have $50,000 settlement limits. The committees are composed of senior representatives from MMSD and the Company, with meeting frequencies ranging from quarterly (Executive Committee) to monthly (Operations and Maintenance Committees). The document outlines detailed procedures for meeting agendas, decision-making processes (requiring unanimous votes), minute-taking, and escalation protocols for unresolved matters. Additionally, the exhibit allows for the creation of subcommittees, such as the Energy Purchasing Committee and the CMMS Implementation subcommittee, to address specific operational and technical needs.
