About this file
The document is a Request for Proposals (RFP) P-3216 issued by the Milwaukee Metropolitan Sewerage District (MMSD) seeking proposals from qualified firms for a ten-year management, operations, and maintenance services contract for the District's wastewater facilities. The RFP solicits proposals from pre-qualified proposers to perform contracted services starting March 1, 2028, with a pre-operational transition period anticipated between the contract date and the operational start date. The contract will include comprehensive services such as 24/7 facility operations, regulatory compliance, pollution reduction, biosolids production, predictive and preventive maintenance, and support for capital improvement projects. Proposals are due by January 30, 2026, with a pre-proposal meeting scheduled for November 6, 2025, and potential contract approval expected in September 2026.
The pricing structure includes an Annual Base Fee covering most services, with additional fee-for-service work estimated at $3,000,000 annually. The District estimates the Company will share risk for utilities, chemicals, and other costs, with a 60/40 split between the Company and District. Proposers must demonstrate financial assurances, including a $6 million letter of credit and comprehensive insurance coverage. The evaluation will weight proposals based on Pricing (60%), Company's Overall Approach (25%), Staffing, Training, and Corporate Culture (10%), and Regional Partnership (5%). The District seeks a partner committed to continuous improvement, innovation, and engagement with the regional community, with an emphasis on preventive maintenance and operational efficiency.

REQUEST FOR PROPOSALS
P-3216
1 Introduction and General Information
1.1 General
Through the issuance of this Request for Proposals (the “RFP”) and Service Agreement, the
Milwaukee Metropolitan Sewerage District (the “District”) is soliciting Proposals from those firms who were designated by the District as qualified (hereafter the “Qualified Proposers” or
“Proposers”) to perform the contracted services for the management, operation and maintenance of the District’s Facilities pursuant to RFQ P-3216. This RFP invites the Qualified Proposers to submit Proposals.
For the purposes of this RFP, the term “Qualified Proposer” means the Qualified Proposer and all its affiliates, partners and subcontractors for which qualifications and experiences were presented by the Qualified Proposer’s Statement of Qualifications. This RFP also refers to the “Company” for consistency with the Draft Service Agreement, referring to the Qualified Proposer ultimately selected for contracting.
Where capitalized terms appear that are not defined in this RFP, the corresponding definition from the Draft Service Agreement applies.
1.2 Purpose of Solicitation
In issuing this RFP, the District seeks to obtain proposals, then select, negotiate and contract with a Qualified Proposer for a ten-year management, operations, and maintenance agreement.
The District will select the most advantageous Qualified Proposer through a competitive procurement process in accordance with this RFP. Through its Commission, the District will award the Service Agreement to the Company at a public meeting. Thereafter, District and
Company will execute the Service Agreement on the Contract Date, and the ten-year period of services shall begin on March 1, 2028 (the “Operational Start Date”). It is anticipated that compensated transition activities, including implementation of a new Computerized Maintenance
Management System (CMMS), will take place between the Contract Date and the Operational
Start Date.
The District intends to oversee the Service Agreement and to retain responsibility for capital planning, design, and construction of capital improvements, obtaining Clean Water Act and
Clean Air Act permits, industrial waste pretreatment administration and enforcement, laboratory services, watercourse management and maintenance, policy development, long-range service area planning, setting of rates and charges for services, billing and collection, and ownership of all assets. The specific rights and obligations of the parties are set forth in the Draft Service
Agreement.
Qualified Proposers should carefully review this RFP which outlines the procurement approach that has been developed by the District.
1.3 Draft Service Agreement
The attached Draft Service Agreement and its Exhibits will serve as the basis for the contract between the District and the Company.
1.4 Reference Documents Available
The District has compiled numerous reference documents for use by Qualified Proposers in preparing their responses to the RFP. Such reference documents are available at an established
Secure File Transfer Protocol Data Room (FTP Data Room). Execution of a Non-Disclosure
Agreement is required for every entity accessing the data site.
Access to the data library is available by contacting Millie Neidhardt at 414-225-2089 or eneidhardt@mmsd.com.
Qualified Proposers will be allowed to download documents.
1.5 Accuracy of RFP and Related Documents
The information provided in this RFP and in the FTP Data Room is accurate to the best of the
District’s knowledge. Qualified Proposers are encouraged to submit questions regarding the information. Please note, the District will not be bound by or be responsible for any explanation or interpretation of the documents other than those given in writing by the District through the issuance of addenda to the RFP and Draft Service Agreement issued as part of this procurement process. In no event may a Qualified Proposer rely on any oral statement by District staff, or its agents, advisors or consultants.
Should a Qualified Proposer find discrepancies or omissions in this RFP and related documents, the Qualified Proposer should immediately notify the District in writing of such discrepancy or omission. A written addendum to this RFP will be delivered to each Qualified Proposer if the
District determines clarification to be necessary.
Each Qualified Proposer requesting an interpretation will be responsible for delivering such requests in writing to the District’s designated representative in accordance with Section 3.3 of this RFP.

1.6 Compliance with IRS Regulations and Rules
In order to maintain the tax-exempt status of the District’s debt previously issued for the
Facilities and ensure the tax-exempt status of the District’s debt to finance future improvements to the Facilities, the Service Agreement will be construed and applied so as to constitute a management contract that does not result in private business use of property financed by the
District within the meaning and intent of applicable regulations and rulings of the Internal
Revenue Service (IRS) including Revenue Procedure 17-13 (or any subsequent Rev. Proc. that amends or replaces it). Consistent therewith, the Company agrees not to take tax positions inconsistent with its role under the Agreement. The Company must also expressly acknowledge that the District has the sole right to approve (i) the annual operating budget, (ii) any capital expenditures, (iii) the disposition of property, (iv) the rates charged for the use of the Facilities, and (v) the general nature and type of use of the Facilities.
2 Contracted Services
2.1 Overview of Facilities
An overview of the District’s service area and major assets is described in Exhibit A to the Draft
Service Agreement. Qualified Proposers should review the available reference documents including, but not limited to, those provided on the FTP Data Room.
Management, operations and maintenance of the District’s watercourses will not be part of the services solicited under the RFP or contracted under the Draft Service Agreement, with exceptions for services outlined in Exhibit B, Scope of Services, for those certain watercourse facilities included in Exhibit A.
2.2 Overview of Services
The full scope of services is set forth in the attached Draft Service Agreement and Exhibits. In exchange for an Annual Base Fee paid by the District, the Company will provide management, operation and maintenance services, including:
• Operate the District’s Facilities on a continuous 24-hours-per-day, 7-days-per-week basis.
• Meet all regulatory requirements for wastewater conveyance, storage and treatment and comply with the District’s state issued Wisconsin Pollutant Discharge Elimination System
(WPDES) permit and Air Pollution Control permits.
• Optimize Facilities operation to reduce effluent pollution discharges, minimize combined sewer overflows (CSOs) and meet permit requirements for the treatment of separate sewer flows.
• Produce the Milorganite® biosolids fertilizer and manage all biosolids generated at the water reclamation facilities.
• Provide predictive and preventive maintenance.
• Provide support to the District in connection with the planning, development, and implementation of capital improvements.
• Implement a safety program.
• Operate and maintain District-owned vehicles.
The Company’s share of risk for utilities, chemicals, biosolids disposal, water and permit fees will be covered by the Annual Base Fee. These items will be allocated 60% to the Company and
40% to the District as set forth in the Draft Service Agreement.
In addition, the Company will provide the following services on a fee-for-service basis, including:
• All corrective maintenance valued less than $50,000, and additional corrective maintenance as agreed to by the District
• Painting
• Preventive maintenance defined in Exhibit B as “PM-plus” as directed by the District.
• Sewer televising
• Conveyance system maintenance including sewer cleaning, manhole adjustments, and other tasks
• Running equipment to make Class B biosolids
• Certain landscaping tasks
• Asset tagging
The District estimates that the Company will have the opportunity to perform at least $3,000,000 annually of fee-for-service work. In the event Company does not generate at least this amount of gross revenue through fee-for-service work from March 2028 through February 2029, the
Maintenance Committee shall meet to determine if adjustments should be made to the Minimum
Staffing Plan or Annual Base Fee to account for the lower volume of work, and shall recommend such adjustments for an Amendment.
2.3 Letter of Credit, Guaranty and Insurance
Each Qualified Proposer must demonstrate to the District that it is able to fulfill the financial assurance requirements of the Service Agreement which includes: a) a Guaranty meeting the requirements below; b) a Letter of Credit in the amount of $6 million and c) the insurance coverages set forth in Exhibit J to the Service Agreement.
The Guaranty must secure the fulfillment of all obligations required by the Service Agreement.
The Guarantor may be the contracting party, its parent company, or a substantially capitalized general partner that is an integral part of the Qualified Proposer’s team. The Qualified Proposer must demonstrate to the District that the Guarantor has the capability and commitment to guarantee the obligations of the Qualified Proposer for the term of the Service Agreement.
The Guaranty will require the Guarantor to irrevocably, absolutely, and unconditionally guarantee the performance of all the Company’s obligations under the Service Agreement.
If a sole purpose subsidiary is created as the contracting party, the parent company or one of the partner firms shall be the Guarantor to guarantee performance of the subsidiary’s or partner’s obligations. A subsidiary with limited capitalization and without the full parent company or partner Guaranty will not be allowed as the contracting party. If a subsidiary is formed or newly created to respond to this RFP, the reasons for this action must be fully disclosed.
If the Guarantor is other than a United States entity, the Qualified Proposer shall, as part of its
Proposal, describe any procedural or substantive limitations on the ability of the District to enforce the Guaranty against the Guarantor that are different from enforcing the Guaranty against a United States entity. For purposes of this RFP, a United States entity is one that is incorporated domestically or otherwise duly organized under the laws of the United States.
Additionally, the Company will be required to furnish and maintain an irrevocable and exclusive
Letter of Credit in an amount equal to six million dollars ($6,000,000) as security for faithful performance and payment of all the Company’s obligations in accordance with the Service
Agreement.

The District seeks to contract with a Company that is fully engaged in the betterment of the
District’s Service Area. Please submit a proposal describing how the Company will work for improvements in the District’s Service Area. This section of the Proposal is meant to be above and beyond those requirements. The Company should also provide examples of how it serves as an engaged regional partner in other communities where it has similar contracts.
4.2.6. Exceptions and Requests
Company should indicate any exceptions from or changes to the Draft Service Agreement that it is seeking and the corresponding pricing change associated with each item. The District intends this request to focus only on significant deviations from the Draft Service Agreement that impact pricing. Minor exceptions or changes that would have no impact on pricing should not be included.
Some examples are as follows:
• Company may propose an alternate Minimum Staffing Plan and should indicate how the alternate Minimum Staffing Plan impacts pricing;
• Company may take exception to a specific scope item(s) in Exhibit B and provide the price reduction associated with the removal of the work from the Annual Base Fee;
• Company may suggest moving a specific scope item from the Annual Base Fee to a Task
Order basis and the impact on pricing;
• Company may suggest adding new scope to the Annual Base Fee and provide the price increase associated with the addition.
5 Proposal Evaluation

The Qualified Proposer(s) whose Proposal(s) are determined to be most advantageous to the
District in accordance with the criteria established in this RFP will be selected for participation in discussions and negotiations with the District.
Proposals may be re-scored on an iterative basis as interviews, discussions and negotiations cause the Evaluation Criteria to change.
Approval of a new Service Agreement will be determined by the Commission.
5.2 Proposal Evaluation Criteria
The Evaluation Criteria are Pricing (60%), Company’s Overall Approach (25%), Staffing, Training, and Corporate Culture (10%), and Regional Partnership (5%). The Qualified Proposer shall provide in its Proposal all information necessary to address the Evaluation Criteria.
Upon receipt of the Proposals, a select group of District staff and other third-party experts, at the
District’s sole discretion, will evaluate the Proposals for purposes of providing technical and subject-specific feedback to the Ad Hoc Committee. Feedback from each preliminary evaluator will be provided to the Ad Hoc Committee anonymously.
The Ad Hoc Committee will conduct their own review of the Proposals and the feedback from the preliminary evaluators. The Ad Hoc Committee will hold interviews with the Proposers and instruct District staff to begin discussions and negotiations with one or more Proposers. Such discussions and negotiations may include Ad Hoc Committee members and members of the
Commission.
Upon the conclusion of discussions and negotiations, the Ad Hoc Committee will forward a final recommendation to the Commission for approval.
