Notes:

1. The Consolidated Services Program Office has completed an Organizational Conflicts of Interest (OCI) review of the MAPSS requirements. We published the MAPSS OCI Guiding Principles with the Quality & Mission Assurance Fair Opportunity Proposal Request. The MAPSS OCI Guiding Principles may be amended as MDA requirements are impacted by real world events. See Attachment 1.

2. The information provided in this information paper is consistent with the approved MAPSS Acquisition Strategy. Details within each tranche are subject to adjustment(s) as the Agency approaches the window of execution, conducts stakeholder engagements, completes market research refreshes, and acquisition strategy validation; Industry should use this information for business case planning and determinations for future years.

Effort Description & Summary

Missile Defense Agency (MDA) Agile Professional Services Solutions (MAPSS) is MDA’s fourth generation procurement of Advisory and Assistance Services (A&AS) support and is the direct follow-on professional services program to Technical, Engineering, Advisory, and Management Support (TEAMS) Next (2020-2029). Previous instantiations of A&AS support programs for the Agency include Missile Defense Agency Engineering and Support Services (MiDAESS) (2009-2016) and TEAMS (2015-2024). The activities associated with the MAPSS acquisition will be performed worldwide, but predominately in the National Capital Region (NCR)/Washington, DC, Redstone Arsenal/Huntsville, AL;

Dahlgren, VA; and Schriever SFB/Colorado Springs, CO. MDA will capitalize on Federal Acquisition Regulation (FAR) Part 16 authorities and streamlined acquisition processes.

Each individual MAPSS requirement contract will have a five (5) year period of performance (PoP) [with a base of either two (2) or three (3) years depending on stakeholder need].

Currently, the total MAPSS portfolio encompasses approximately 3,000 Full Time Equivalent (FTE) positions with an estimated value of $5.5B. MDA will use MAPSS as the primary source to reach the category management goal of 80% for spend under management by 2029; as a result, the MAPSS overarching acquisition strategy emphasizes the use of alternative contracting solutions (e.g., Multiple Award Indefinite Delivery Indefinite Quantity (MA IDIQ) and Governmentwide Acquisition Contracts (GWACs). Consistent with information previously published to Industry, MDA will leverage General Services Administration’s (GSA’s) One Acquisition Solution for Integrated Services Plus (OASIS+) MA IDIQ contract for the majority of the services required under the MAPSS portfolio. However, as a result of the Department of Defense (DoD) implementation guidance on Executive Order (EO) 14222 "Department of Government Efficiency Cost Efficiency Initiative" and "Department of Government Efficiency Cost Efficiency Initiative: Contract Guidance", the MDA and Consolidated Services Program Office are assessing the impacts and in the process of performing the resulting activities to comply with the EO. Industry should anticipate adjustments to the MAPSS Acquisition moving forward – the extent of which is not known at this time.

The MDA will continue to keep Industry updated on the status and any changes to the MAPSS portfolio, maintaining our strategy for open communications with our Industry partners.

1 The Missile Defense Agency (MDA) Agile Professional Services Solutions (MAPSS) Organizational Conflict of Interest (OCI) Guiding Principles are based upon Federal Acquisition Regulation (FAR) Subpart 9.5, Department of Defense FAR Supplement (DFARS) Subpart 209.571, and decisions of the Government Accountability Office and federal courts.

2 As defined in FAR 2.101, an OCI “means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person's objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage.”

3 The MDA Director is the only authority that may waive OCI which have been determined unable to avoid or mitigate.

4 OCI fall into three (3) general categories:

4.1 Impaired Objectivity: This type of OCI arises where a firm’s ability to render impartial advice to the government would be undermined by the firm's competing interests. The primary concern with an impaired objectivity type OCI is that the contractor has a financial interest in the outcome of its performance and that the conflicting roles might influence the contractor’s judgement. This is the most common type of OCI successfully challenged through the protest process before GAO due to the fact that information is readily available to competitors.

4.2 Biased Ground Rules: This type of OCI arises where a firm, as part of its performance of a government contract, has set the ground rules for the competition for another government contract. The primary concern with a biased ground rules type OCI is that by virtue of its current work a company has the opportunity and ability to skew a future competition in favor of itself, even unintentionally. There is typically no basis to distinguish between a firm and its affiliates, at least where concerns about potentially biased ground rules are at issue.

4.3 Unequal Access to Non-Public Information: This type of OCI arises when a firm has access to nonpublic information as part of its performance of a contract and where that information may provide a competitive advantage in a competition. The primary concern with an unequal access to information type OCI is that the contractor may have inside information that provides it with an unfair competitive advantage.

5 The following guiding principles shall apply to MAPSS solicitations and contracts:

5.1 The Agency requires objective and unbiased support across the entire Missile Defense System (MDS). MDA’s intent is to employ restrictions to protect the mission and maintain fairness for industry, while maximizing opportunities for competition.

5.2 Offerors competing for MAPSS requirements must have resolved OCIs at the time of award (or have an acceptable avoidance/mitigation strategy).

5.3 In the case of impaired objectivity and biased ground rules OCI, industry should seek to avoid OCIs up front, as opposed to proposing mitigation.

5.4 MDA does not intend to waive un-mitigatable OCIs as part of its support services acquisition process except when a waiver is determined to be in the best interests of the Government.

5.5 MDA expects that contractors choose whether they wish to support the Agency in a MDS development role or as a support services contractor. MDA’s expectation is that offerors competing for MAPSS Systems Engineering and Technical Assistance (SETA) efforts will have no involvement in the development, production, or testing of the Missile Defense System (MDS) (MDA’s Category 1C Major Defense Acquisition Program) that could create an OCI consistent with DFARS 209.571-7. Table 1.0 below contains MDA’s current assessment of which MAPSS contracts will be SETA; This table will be updated as we work through each tranche and conduct an analysis of each Performance Work Statement (PWS). For contracts determined to be SETA, MDA will include as part of the solicitation and contract DFARS 252.209-7008, Notice of Prohibition Relating to Organizational Conflict of Interest- Major Defense Acquisition Program and DFARS 252.209-7009 Organizational Conflict of Interest- Major Defense Acquisition Program.

5.6 OCI restrictions will be enforced with respect to the entire PWS or SOW for the applicable MAPSS contract, such that these restrictions apply at the prime level and shall be flowed to all subcontractor levels.

5.7 For the purposes of the MAPSS Guiding Principles, MDS development activities are considered to include, but not necessarily limited to the following activities (including MDA funded efforts awarded and administered by MDA or MDA funded efforts awarded and administered through other agencies (e.g., Inter-Agency Requirements (IAR)):

5.7.1 Development or production of any portion of the MDS.

5.7.2 Modeling & Simulation (M&S) activities performed by the MDS developer. An exception to this prohibition is M&S activities not directly related to MDS development or production in which non-developers support and facilitate the MDA M&S environment (e.g., WILMA-Sim, WILMA-Suite and Modeling and Simulation Contract for Truth Modeling and Elements, which provide modeling and analysis environments supporting the quantitative evaluation of MDS end-to-end architecture performance).

5.7.3 Technology development in support of future MDS capabilities, including Small Business Innovation Research (SBIR) Phase III and prototyping efforts (this does not include Phase I and II SBIR or Small Business Technology Transfer (STTR) efforts or Phase III efforts not related to development or production).

5.7.4 Testing of MDS capabilities performed by the MDS developer. Exceptions to this prohibition are test activities in which non-developers support and facilitate the MDA test environment (e.g., Advanced Research Center, Missile Defense Data Center, High Altitude Observatory (HALO) support, pre-test analysis of HWIL component testing, etc.

5.7.5 Foreign Military Sales (FMS) and Cooperative Development Programs; though not part of the MDS, these programs will be treated the same with respect to MAPSS OCI restrictions.

6 Internal to MAPSS, due to the nature of the type of advisory or assistance service (A&AS) being procured and the increased risk of conflicts, some requirements demand restrictions or exclusion. These restrictions and exclusions are identified in Table 2.0, and Table 3.0, respectively, below. Restrictions are those that are identified as having conflicts with other MAPSS contracts. Conflicts as set forth in Table 2.0 below must be avoided, neutralized, or mitigated through an acceptable mitigation plan to be eligible for the contract award. These conflicts must be resolved at the prime and all subcontractor levels. Exclusions are those identified as having conflicts with all other MDA contracts; contracts identified in Table 3.0 are excluded from any other MDA contracts and other agency issued contracts funded by MDA, unless otherwise specified. The restrictions and exclusions apply to primes and subcontractors

6.1 Given the period of performance overlap between differing TEAMS-Next and MAPSS contracts, there is potential for OCIs to arise from current MDA support contractors proposing on MAPSS requirements. Potential conflicts as set forth in Table 4.0 must be avoided, neutralized, or mitigated through an acceptable mitigation plan to be eligible for award. These conflicts must be resolved at the prime and all subcontractor levels.

7 Given the period of performance overlap between differing TEAMS Next and MAPSS contracts, there is the potential for OCIs to arise from current MDA support contractors proposing on MAPSS requirements. Conflicts must be eliminated through an acceptable mitigation approach to be eligible for contract award. These conflicts must be resolved at the prime and all subcontractor levels.

8 Due to the oversight role provided by the ITCM and CCRM requirements relative to MDA’s information technology network/platform, additional restrictions (aside from Trusted Workforce Security and TACS) are required between these MAPSS contracts and the entirety of the Integrated Research and Development for Enterprise Solutions (IRES) and Research and Development Enterprise Collaborative Services (RECS) contracts, as well as any follow-on contracts. Specifically, primes or subcontractors supporting either ITCM or CCRM cannot also perform under the RECS contract, on any IRES task orders, or on the IRES or RECS follow-on efforts funded by MDA, whether awarded by MDA or otherwise.

9 Conflicts may also exist between MAPSS contracts and other A&AS contracts awarded by other Agencies in support of MDA (through the IAR process). Such conflicts must be resolved through an acceptable mitigation approach to be eligible for contract award. These conflicts must be resolved at the prime and all subcontractor levels. It is incumbent upon offerors to assess their respective MDA-funded A&AS contracts relative to the guiding principles and internal conflict areas identified above. The Internal MAPSS OCI restrictions and exclusions under Tables 2.0 and 3.0 will be applied in the same manner with respect to the scope of work for SETA efforts performed on non-MDA contracts supporting MDA.

10 OCI management plans will be evaluated during source selection and incorporated at the time of award for MAPSS contracts. Prime contractors will be contractually bound to follow their OCI management and mitigation plans (if applicable) and manage potential and actual OCIs at all tiers of the supply chain. Prime contractor performance in the area of OCI management will be assessed under CPARS.

11 Industry must take an increasingly active role in OCI management. MDA expects prime contractors to create an environment at all tiers that emphasizes avoidance of OCIs when possible. When not possible, industry must support early identification and reporting of OCIs to the government.

12 Industry is strongly encouraged to review FAR, DFARS, and relevant GAO and court cases in the area of OCI prior to submitting proposals for these requirements. 5 The following guiding principles shall apply to MAPSS solicitations and contracts:
5.1 The Agency requires objective and unbiased support across the entire Missile Defense System (MDS). MDA’s intent is to employ restrictions to protect the mission and maintain fairness for industry, while maximizing opportunities for competition.
5.2 Offerors competing for MAPSS requirements must have resolved OCIs at the time of award (or have an acceptable avoidance/mitigation strategy).
5.3 In the case of impaired objectivity and biased ground rules OCI, industry should seek to avoid OCIs up front, as opposed to proposing mitigation.
5.4 MDA does not intend to waive un-mitigatable OCIs as part of its support services acquisition process except when a waiver is determined to be in the best interests of the Government.
