About this file

This is a Sales Agreement and System Support Agreement document for airport shuttle technology services between a vendor and the Broward County Aviation Department for Fort Lauderdale-Hollywood International Airport. The agreement covers the provision of shuttle bus and other transportation services operating on a twenty-four hours/seven days per week basis, including management and operation of shuttle buses, trams, and other vehicles. The quotation references 48 buses for the FLL-Hollywood location with specific pricing outlined in the referenced FLL-Hollywood Quotation to KTS document dated May 25, 2019. The agreement establishes a subscription-based model for access to SPOT Intelligent Transit Systems (ITS) application with 24/7 system access contingent upon subscriber compliance with all agreement obligations.

Pricing is structured on a net basis with an initial Subscription Fee due upon execution of the agreement and all additional fees payable according to a Milestone Payment Schedule outlined in the referenced quotation. Hardware products are covered under a standard two-year warranty from delivery, with extended warranties available upon request for up to five years total. The vendor or its authorized service agents have the option to repair or replace defective products at no cost to the customer during the warranty period. The subscriber bears responsibility for maintaining Internet access, hardware and software connectivity, user access security, password confidentiality, and proper hardware installation and maintenance according to vendor specifications. Consumable items such as batteries, cables, antennas, and wiring harnesses are excluded from warranty coverage and may be ordered separately subject to the supplier's warranty policy.
