SECTION 01 00 00 Page 5

1.9 TIME EXTENSIONS FOR UNUSUALLY SEVERE WEATHER AND POOL FLUCTUATIONS

1.9.1 General

Weather conditions/anticipated adverse weather days are as indicated in Section 00800 SPECIAL CONTRACT REQUIREMENTS. This addresses the contract procedure for the determination of time extensions for unusually severe weather. The Contractor shall understand that there is a potential for unusually severe weather or high reservoir and/or stream levels which may impact construction. In order for the Contracting Officer to award a time extension under this clause, the following conditions must be satisfied:

a. The weather experienced at the project site during the contract period must be found to be unusually severe, that is, more severe than the adverse weather anticipated for the project location during any given month.

b. The unusually severe weather or high pool or stream levels must actually cause a delay to the completion of the project. The delay must be beyond the control and without the fault or negligence of the Contractor.

1.9.2 Reservoir Fluctuations

Currently, Center Hill Reservoir is being operated to maintain, as closely as possible, a pool level defined by the Partial Fill 623.5 to 630 (PF

623.5 to 630) Guide Curve shown in the Climate and Hydrology-Hydraulics document, included in Appendix A - FORMS AND ATTACHMENTS of the specifications. However, the Contractor shall not assume that a reservoir elevation of 623.5 to 630 will be maintained during any portion of the project duration. The Contractor is advised reservoir elevations may be lowered below elevation 623.5 if additional concerns regarding project safety arise or may rise above elevation 630 when inflow into the reservoir exceeds project discharge capacity. Changes in the operating criteria will be determined solely by the US Army Corps of Engineers. The Contractor shall refer to Appendix A - FORMS AND ATTACHMENTS for for a discussion of climate in the vicinity of Center Hill dam. Also included in Appendix A are graphs depicting "Percent Time Exceedance" for the pool based on midnight headwater elevations observed during the years prior to implementation of the PF 623.5 to 630 guide curve (historic - 1952-2009).

Similar plots are provided for simulations of reservoir operation using the PF 623.5 to 630 guide curve and assuming varying operational capability to make discharges.

The Contractor should be aware that a flood event at or above 75% of a Probable Maximum Flood will cause the Center Hill reservoir pool to rise above elevation 691.5, the invert of the pilot channel in the fuse plug on top of the saddle dam. Should this occur, the fuse plug is expected to operate as designed, eroding in 30 minutes and passing up to 400,000 cfs of water over the top of the saddle dam and into the auxiliary dam reinforcing berm construction site. This event is estimated to have a 0.05% chance of occurring in any given year corresponding to an average recurrence interval of once every 2,000 years. The Contractor is required to submit an Emergency Evacuation Plan as part of the Governmental Safety Requirements outlined in Specifications Section 01 35 26 and to implement this plan as needed to prevent personal injury or loss of life and to minimize damage to equipment.

In order for the Contracting Officer to award a time extension for

SECTION 01 00 00 Page 6 reservoir fluctuations, each of the following conditions must be satisfied:

a. The pool level at the project site during the contract period must be found to be unusually higher than anticipated; that is, higher than the pool anticipated at the project location used in preparation of project work schedule.

b. An unusually high pool level must actually cause delay to the completion of the project. The delay must be beyond the control and without fault or negligence of the Contractor.

c. Actual high pool level delay days must prevent work on critical construction activities for 50 percent or more of the Contractor's scheduled work day.

d. The number of actual high pool level delay days that meet the criteria in subparagraph c. above will be allowed on a "day-for-day" basis.

1.9.3 Contract Clauses

The Contractor's responsibility for damage to any part of the permanent work shall be as set forth in Contract Clause 52.236-7: PERMITS AND RESPONSIBILITIES. However, if in the judgment of the Contracting Officer, any part of the permanent work performed by the Contractor is damaged by flooding, which damage is not due to the failure of the Contractor to take reasonable precautions or to exercise sound engineering and construction practices in the conduct of the work, the Contractor will make the repairs as ordered by the Contracting Officer and full compensation for such repairs will be made at the applicable contract unit or lump sum prices as fixed and established in the contract. If, in the opinion of the Contracting Officer, there are no contract unit or lump sum prices applicable to any part of such work, an equitable adjustment pursuant to Contract Clause 52.243-4: CHANGES, will be made as full compensation for the repairs of that part of the permanent work. Except as herein provided, damage to all work, temporary construction, utilities, materials, equipment and plant shall be repaired to the satisfaction of the Contracting Officer. The repair shall be completed at the Contractor's expense, regardless of the cause of such damage.

1.10 CONSTRUCTION HAZARD COMMUNICATIONS

1.10.1 General

The Contractor is required to comply with the requirements of the OSHA Hazard Communication Standard (29 CFR 1926.59). This standard is designed to inform workers of safe and appropriate methods of working with hazardous structures in the work area.

1.10.2 Work Area Hazard Evaluation

The Contractor must conduct safety and hazard training to familiarize workers with the potential health or physical hazards of working near the Power Plant Operations, in the galleries, along State Highway 96 and other Contractors and Recreation Users and Facilities. The hazard evaluation consists of an investigation of all the available scientific evidence about the substance. The Contractor is required to assure that all employees (manufacturers/distributors) have performed these evaluations and transmit the required information with any (blasting explosives and other chemical

SECTION 01 00 00 Page 7 hazards) hazardous conditions or a materials being used or stored on the project site. From the hazard evaluation, a substance may be classified as a health hazard, or a physical hazard. These classifications are then further broken down according to type. See the Section 01 35 26 GOVERNMENTAL SAFETY REQUIREMENTS for more specific information.

1.10.3 Electrical Hazards

The Contractor shall be aware of the jobsite to prevent harm to any employees from electrical hazards.

1.11 SUBMITTALS

Government approval is required for submittals with a "G" designation;

submittals not having a "G" designation are for information only. When used, a designation following the "G" designation identifies the office that will review the submittal for the Government. The following shall be submitted in accordance with Section 01 33 00 SUBMITTAL PROCEDURES:

1.12 PARTNERING

In order to most effectively accomplish this contract, the Government urges the Contractor to join with the Government in establishing a cohesive and professional project management team. Through this "partnering" relationship, both entities would strive to draw on the strengths of each organization for the ultimate goal of assuring that the project’s intended results are achieved, within budget and on schedule. This endeavor seeks an environment that nurtures team building, cooperation and trust between

SECTION 01 00 00 Page 8 the Government and the Contractor. The partnering relationship would be bilateral in make-up, and participation will be totally voluntary.

The first step in initiating the concept would be a joint project management team "partnering" conference attended by multiple officers from each organization representing management and the key jobsite staff of each entity. The initial conference would be held within the first thirty (30) days following contract award. The Resident Engineer would chair the conference, establish its agenda and distribute minutes of the meeting. A professional facilitator acceptable to both parties would lead the participants of the session, through the steps of team building and the formation of a problem solving mechanism within the group. The conference duration would be no more than one day. Location of the conference would be offsite within a 60 mile radius of the jobsite at a facility which offers conference rooms and food service. All costs in connection with rented facilities and the facilitator would be shared equally by the Government and the Contractor. Each organization would pay other costs of its respective employees attending the conference.

Additional partnering sessions would be held no less than biannually.

Implementation of the partnering concept and philosophy would be an on-going process.

1.13 PROJECT SITE SECURITY REQUIREMENTS

The entire Center Hill Dam area is not open to the public. Depending upon the level of security threat, some Project areas may or may not be open to the Contractor and Contractor employees. The security of the Contractor's property and items furnished under this contract, until items are accepted by the Government, are the Contractor's responsibility whether stored inside or outside the site. Guidance and forms for project site security requirements are available on the Nashville District Public Website:

http://www.lrn.usace.army.mil/BusinessWithUs/ContractSecurityRequirements.aspx

1.13.1 Employee Identification and Control Procedure

It is expected that this will include a unique photo identification card for each contractor and subcontractor employees working at the Center Hill project site.

1.13.2 Pre-Screening Contractor's On-Site Employees

The Contractor must pre-screen on-site employees using the E-verify Program website (http://www.dhs.gov/E-Verify) to meet the established employment eligibility requirements. The Contractor must ensure that each on-site employee has two valid forms of Government issued identification prior to ensuring the correct information is entered into the E-verify system. An initial list of verified/eligible on-site employees must be provided to the COR no later than 3 business days after the initial contract award.

1.13.3 Non-Disclosure of Government Information

Neither the Contractor, nor Contractor personnel, shall divulge, or release data or information developed or obtained under performance of this work statement, except to authorized Government personnel or upon written approval of the Contracting Officer. The Contractor shall not use, disclose, or reproduce proprietary data which bears a restrictive legend, SECTION 01 00 00 Page 9 other than as specified in this work statement.

Neither the Contractor nor the Contractor's employees shall disclose or cause to be disseminated, any information concerning the operations of the activity which could result in, or increase the likelihood of, the possibility of a breach of the activities, security or interrupt the continuity of its operation.

All inquiries received by the Contractor for information concerning work performed under this contract shall be referred to the Government for evaluation under the Freedom of Information Act of 1975, Public Law 93-502, 5 U.S.C., Section 552. The determination of whether records will be released will remain with the government. The Contractor shall assist the COR in compiling information or records for submission upon request by the Government.

The Contractor shall not release any information (including photographs, files, public announcements, statements, denials, or confirmations) on any portion of the subject matter of this contract or any phase of any program hereunder without the prior written approval of the COR. All documentation showing individuals, names or other personal information will be controlled and protected. The provisions of the Privacy Act of 1974, Public Law 93-579, 5 U.S.C., Section 552a, shall apply.

1.13.4 Conduct of Contractor Employees

All contractor employees and subcontractors shall conduct themselves in a proper manner at all times. No alcoholic or intoxicating beverages or substances or illegal drugs or controlled substances not prescribed by a physician shall be possessed, consumed, or be under the influence of any such substance while on Government property.

The Contractor shall remove from the site any individual whose continued employment is deemed by the appointed receiving agent to be contrary to the public interest or inconsistent with the best interests of the U.S. Army Corps of Engineers.

The Contracting Officer or his appointed representative will require the Contractor to immediately remove from the work site anyone who is incompetent or who endangers persons or property or whose physical or mental condition is such that it would impair the employee's ability to satisfactorily perform the work. Notification to the Contractor will be made in writing if time and circumstances permit. Otherwise, notification will be verbal and will be confirmed in writing as soon as possible. No such removal, however, will reduce the Contractor's obligation to perform all work required under this contract and immediate replacement shall be made as required.

1.13.5 Government Furnished Materials and Equipment

The Contractor shall provide control to ensure Government furnished equipment, property, or items are utilized only for contract purposes. The Contractor will be provided keys to allow access to certain secure areas, and will be held responsible for losses due to his negligence and for the replacement of compromised locks (which can occur due to loss or duplication of keys). The Contractor is required to conduct semi-annual "show-me" inventories of all keys issued to the Contractor. These inventories will be conducted on a semi-annual schedule set by, and in the presence of, the COR or their authorized representative. Upon completion

SECTION 01 00 00 Page 10

(including any extensions of contract term) or termination of the contract for any reason, and except for fair wear and tear, the Contractor shall return all Government furnished equipment, keys and any unused material or supplies in the same condition as received. Any discrepancies (except for fair wear and tear), damages or deficiencies in the inventory shall be chargeable against the Contractor.

1.13.6 Damage or Loss of Contractor's Supplies and Property

The Contractor is responsible for taking the action necessary to protect Contractor supplies, materials and equipment, and the personal property of Contractor employees from loss, damage or theft. The Government assumes no responsibility for theft, damage, etc., of the above. All incidents of theft (or suspected theft) of Contractor materials, supplies, or equipment from project lands shall be reported through the COR and to the District Security Office.

1.14 EVALUATION OF CONTRACTOR PERFORMANCE

The Contractor's performance will be evaluated in accordance with FAR Part

42.15 in the areas of quality, schedule, cost control, management, utilization of small businesses, and regulatory compliance at minimum. The evaluation will include a written narrative and rating of either exceptional, very good, satisfactory, marginal, or unsatisfactory for each. The format for the evaluation is included in Appendix A - FORMS AND

ATTACHMENTS.

The Contractor's review of the evaluation shall be completed electronically at the CPARS / CCASS website, http://www.cpars.gov. This website also includes guidance and the user's manual.

Upon contract award, the Contractor shall provide the Contracting Officer with the name and e-mail address of the Contractor's Representative to be registered into the system. Following initial completion by the Government, the Contractor will have sixty (60) calendar days to review, comment, and return the evaluation.

3.1 FIELD SURVEYS

3.1.1 Survey Requirements

Surveys shall be required for all baselines and top of drill hole locations and alignment. In addition, all haul roads and disposal areas shall be surveyed to aid construction for positioning major components of the work designated on the drawings and as specified within. All non-government surveys shall be performed and certified by a land surveyor registered by the State of Tennessee. They shall be conducted in the presence of the Contracting Officer or an authorized representative unless this requirement is waived by the Contracting Officer. The Contractor shall notify the Contracting Officer not less than five working days in advance of each survey. In the event of unavailability of the Contracting Officer or an authorized representative, the Contractor shall perform the survey and certify to the Contracting Officer that it complies with these specifications. Survey results certified by the registered surveyor shall be provided to the Contracting Officer in the form of raw data and also in legible scaled plots of the data three (3) days after completion. All provided survey results will be provided in NGVD 29 vertical datum and NAD 83 horizontal datum.

3.1.2 Disposal/Borrow Area Survey

After clearing and grubbing has been performed, a survey shall be made of the area designated to receive material for the disposal area(s), environmental dikes, ponds, etc. These cross-sections shall be used by the Contracting Officer to provide direction to the Contractor on fine-tuning the desired location for each area(s). No construction shall begin prior to approval of the location by the Contracting Officer. As-built cross-sections shall be produced at the end of the project.

3.1.3 As-Found Survey

The Contractor shall verify as-built information provided in the drawings to ensure information is adequate and correct for the work required in this contract.

3.1.4 Final Survey

A final survey shall be performed by the Contractor. The Government will not be responsible for any input into the process of developing final surveys. This survey shall be used to verify that the location and dimension of project features after all work is complete. The Contractor

SECTION 01 00 00 Page 12 shall conduct the final surveys for any period from which progress payments are requested. Final surveys shall be the basis from which any disputes over changes in conditions shall be made. Within fourteen (14) days after completing the survey, the Contractor shall furnish all originals of all field notes and all other records relating to the survey to the Contracting Officer. The Contractor shall retain copies of all such material furnished to the Contracting Officer. The Contractor shall furnish the following information to substantiate the quantities of work performed during each progress payment period: Field Notes, Weigh Tickets or Quantity Computations, and plotted cross sections of completed work. The Contracting Officer must agree to any template section deviations prior to payment. Progress payments on partially completed work shall not be made without the data required by this paragraph. Determination of such quantities will be made by the Contracting Officer. Specific details and provisions of the final surveys shall be in accordance with Section 01 78 00

CLOSEOUT SUBMITTALS.

3.2 AVAILABILITY AND USE OF UTILITY SERVICES

3.2.1 Contractor Responsibilities

a. The Contractor shall be responsible for the availability of utilities for use on the project. Unless otherwise provided in the contract, the amount of each utility service consumed shall be charged to and paid for by the Contractor. The Contractor shall carefully conserve any utilities furnished without charge.

b. The Contractor, at its expense and in a workmanlike manner satisfactory to the Contracting Officer, shall install and maintain all necessary temporary connections and distribution lines, and all meters required to measure the amount of each utility used for the purpose of determining charges. Before final acceptance of the work by the Government, the Contractor shall remove all the temporary connections, distribution lines, meters, and associated paraphernalia.

3.2.2 Alterations to Utilities

a. Where changes and relocations of utility lines are noted to be performed by others, the Contractor shall give the Contracting Officer at least thirty (30) days written notice in advance of the time that the change or relocation is required. In the event that, after the expiration of thirty (30) days after the receipt of such notice by the Contracting Officer, such utility lines have not been changed or relocated and delay is occasioned to the completion of the work under contract, the Contractor will be entitled to a time extension equal to the period of time lost by the Contractor after the expiration of said thirty (30) day period. Any modification to existing or relocated lines required as a result of the Contractor's method of operation shall be made wholly at the Contractor's expense and no additional time will be allowed for delays incurred by such modifications.

b. Separate payment will not be made for alterations or relocations of utilities.

3.2.3 Interruptions of Utilities

a. No utility services shall be interrupted by the Contractor to make connections, to relocate, or for any purpose without approval of the Contracting Officer.

SECTION 01 00 00 Page 13

b. Request for Permission to shut down services shall be submitted in writing to the Contracting Officer not less than seventeen (17) days prior to date of proposed interruption. The request shall give the following information:

(1) Nature of Utility (Gas, L.P. or H.P., Water, etc.)

(2) Size of line and location of shutoff.

(3) Buildings and services affected.

(4) Hours and date of shutoff.

(5) Estimated length of time services will be interrupted.

c. Services shall not be shutoff until receipt of approval of the proposed hours and date from the Contracting Officer.

d. Shutoffs which will cause interruption of Government work operations as determined by the Contracting Officer shall be accomplished during regular non-work hours or on non-work days of the Using Agency.

e. Operation of valves on water mains will be by Government personnel.

Where shutoff of water lines interrupts service to fire hydrants or fire sprinkler systems, the Contractor shall arrange his operations and have sufficient material and personnel available to complete the work without undue delay or to restore service without delay in event of emergency.
