RECITALS

WHEREAS, SELLER Resolution No. SR-2900, Authority No. 22 authorizes the District Engineer (hereinafter referred to as “DISTRICT ENGINEER”) to dispose of surplus personal property owned by SELLER and to collect monies received from surplus property sales to SELLER; and

WHEREAS, SELLER is the owner of certain personal property located at 8521 Laguna Station Road, Elk Grove, CA 95758, bounded by Sims Road to the south, Glacier Way to the North, Dwight Road to the west, and Laguna Station Road to the east (”Surplus Property Site”); and

WHEREAS, SELLER has stockpiled excess earth materials (soil) from its ongoing projects at the Sacramento Regional Wastewater Treatment Plant (SRWTP) (hereinafter referred to as “Surplus Property”), as depicted in Exhibit A attached hereto and incorporated herein by reference; and

WHEREAS SELLER has offered approximately 350,000 to 400,000 bank cubic yards of the Surplus Property to BUYER as a source for its Sacramento River East Levee Improvement Project (SRELIP), for the payment to be provided pursuant to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises hereinafter set forth, SELLER and BUYER agree as follows:

1. SALE AND PURCHASE

SELLER hereby agrees to sell and BUYER agrees to purchase, for the consideration described in Section 3 below, and upon the terms and conditions stated herein, the Surplus Property described above.

2. NOTICE

Any notice, demand, request, consent, or approval that either party hereto may or is required to give the other pursuant to this Agreement shall be in writing and shall be either personally delivered or sent by mail, addressed as follows:

DocuSign Envelope ID: 53FD73F8-B2C4-4676-AB01-707D4AC51A45

11/9/2020

TO SELLER:

Sacramento Regional County Sanitation District 8521 Laguna Station Road Elk Grove, CA 95758 Attn: Contracts Payment Desk

TO BUYER:

Sacramento Area Flood Control Agency 1007 7th Street, 7th Floor Sacramento, CA 95814 Attention: Director of Engineering

Either party may change the address to which subsequent notice and/or other communications can be sent by giving written notice designating a change of address to the other party, which shall be effective upon receipt.

3. CONSIDERATION

The consideration for the Surplus Property shall be: 1) The BUYER’S payment to SELLER in the amount of ONE DOLLAR AND EIGHT CENTS ($1.08) that includes surcharge and applicable sales tax, and 2) BUYER’S timely removal of the Surplus Property from the SELLER’S site in accordance with Sections 6, 8, and 9.

4. BILL OF SALE

SELLER shall execute a Bill of Sale, in a form substantially similar to Exhibit B, attached hereto and incorporated herein by reference, conveying title of the Surplus Property to the BUYER.

5. AS-IS TRANSFER AND DISCLAIMER

BUYER acknowledges that except as expressly contained in this Agreement, neither the SELLER nor anyone acting for or on behalf of the SELLER has made any expressed or implied representation, warranty or promise to BUYER concerning the physical aspects or condition of the soil, including but not limited to the quantity, feasibility or desirability of the soil for any particular use, the condition, and the presence of hazardous waste or other toxic substances. Entering into the Agreement, BUYER has not relied on any representation, statement or warranty of SELLER or anyone acting for or on behalf of SELLER, other than as may be expressly contained in this Agreement. All matters concerning the soil shall be independently verified by the BUYER and that the BUYER shall acquire the soil on BUYER’S own examination thereof; and that if the BUYER elects to acquire the soil, BUYER is accepting the soil in its “as is” condition and use of the soil for BUYER’S intended application will be done so at the BUYER’S own risk. This disclaimer shall be as broad as permitted by the laws of the State of California.

6. TRANSFER OF OWNERSHIP

Transfer of ownership of the Surplus Property from SELLER to BUYER shall be upon the BUYER’S receipt of the executed Bill of Sale and BUYER’S timely retrieval and possession of the Surplus Property.

7. BUYER’S OBLIGATIONS

A. The BUYER acknowledges the SELLER’S ongoing operations and construction activities in and around the Surplus Property including off-haul of other surplus soils by contractors not associated with the SELLER. Extensive SELLER construction activities are currently underway and are expected to last until 2023 or later.

B. If “other surplus soils” within the Surplus Property do not meet SRELIP fill specifications, BUYER’S contractor will be allowed to push and shift the non-compliant “other surplus soils” to the northern portion of the Surplus Soil stockpile so as to uncover desired material within the Surplus Property and will remove the required volume from the desired materials. Stockpile management by BUYER will be in accordance with Section 9.

C. BUYER’S contractor equipment at the Surplus Property Site shall be located outside the SRWTP secure facility limits and shall be the responsibility of BUYER’S contractor.

D. If more than one contractor is operating at the Surplus Property Site (whether another BUYER contractor or a third-party contractor), it will be the contractors’ common responsibility to address and share coordination and stockpile management responsibilities in accordance with Section 9. SELLER’S Program Management Office will provide oversight and direction on behalf of the SELLER if needed.

8. TIMELY REMOVAL OF SURPLUS PROPERTY

BUYER shall take possession of and initiate removal of the Surplus Property from the SELLER’S site as defined in the paragraphs below of this Section, at the sole cost and expense of BUYER, and at no cost or expense to SELLER.

Removal Schedule shall be during the construction season of calendar years 2021 through 2023, which is generally between the months of April and October. This agreement terminates on December 31, 2023.

Should BUYER decide not to remove all of the Surplus Property or terminate this agreement before all of the Surplus Property is removed, BUYER shall remove any debris or material, grade, survey and stabilize the remaining stockpile of Surplus Property, and repair any property or facility damage caused by any work associated with the removal of Surplus Property as required in Section 9 below.

9. REQUIREMENTS OF REMOVAL OF SURPLUS PROPERTY

In addition to the requirements defined in Sections 6, 7, and 8, BUYER shall follow the requirements for removal of the Surplus Property from the SELLER’S site as defined below in this Section, at the sole cost and expense of BUYER, and at no cost or expense to SELLER.

A. Obtain all permits and approvals required to remove and transport the Surplus Property, including CEQA/NEPA compliance if deemed necessary, and provide copies of such permits and/or approvals to SELLER upon request (collectively, “Removal Permits”).

B. Submit a Safety Plan and Access Request to SELLER for review and approval prior to mobilizing labor and equipment for the removal of Surplus Property.

The Safety Plan shall include but not be limited to BUYER’S planned traffic control measures, safety measures related to operating heavy equipment, traffic control measures, required Personal Protective Equipment (PPE), and key contact information. Refer to Section 11 for additional details on the Access Request. BUYER’s contractor personnel will be required to receive a Plant Safety and Environmental Awareness Training briefing prior to start of work.

C. Remove and properly dispose of at an on-site location, as directed by the SELLER, any debris or material that is contained within the stockpiled soil but separated because it is deemed as not suitable for BUYER’S purposes.

D. Perform and maintain measures for: dust control, prevention of soil erosion, reducing tracking of soil onto roadways, and regular roadway cleanup/housekeeping associated with removal and transport of Surplus Property.

E. Repair any property or facility damage caused by any work associated with the removal of Surplus Property.

F. At the conclusion of the 2021 and 2022 haul season, grade site so drainage flows to the north and stabilize with hydromulch as the final seasonal site condition as directed by SELLER. In 2023 after removal of Surplus Property is complete, groom and grade site to drain gently to the south, hydroseed with mixture as directed by SELLER, and remove and dispose of any remaining stormwater controls.

G. For purposes of calculating volume removed, survey stockpile area prior to and at the conclusion of each haul season and after the removal of Surplus Property is complete. Such survey information will be provided in a format acceptable by SELLER.

H. Coordinate with the SELLER’S Public Affairs Office to develop an appropriate public notification program.

I. Limit access route for truck traffic to and from Surplus Property site via Interstate 5, Laguna Boulevard and Dwight Road. Unless otherwise directed by SELLER, Sims Road to Laguna Station Road cannot be used by trucks entering or leaving the stockpile area.

J. BUYER will contact the City of Elk Grove to review potential traffic impacts due to the BUYER’S project to prevent the SELLER from paying for impacts that are not from its EchoWater Project activities.

K. BUYER will contact Sacramento County Environmental Management Department to review appropriate work hours for noise.

L. Provide additional traffic control and/or other safety measures if the Plant Manager or designee determines it is necessary for safety reasons.

M. BUYER or its contractor shall develop and implement a Storm Water Pollution Prevention Plan (SWPPP) for BUYER Contractor’s stockpile operations. A separate SWPPP does not need to be developed if one is already required for the receiving project site. In the event an SWPPP already exists, BUYER must add this location to it as a resource site and include all appropriate controls.

10. BUFFERLANDS RECOGNITION

BUYER understands the land surrounding the SRWTP, referred to as the Bufferlands, is a nature area that provides high quality wildlife habitat. SELLER will delineate the boundaries between (1) the stockpile area with an adjacent access corridor which will be accessible to BUYER contractor for removal operations, and (2) the adjacent environmentally sensitive exclusion zones.

It is understood that Bufferlands staff at the SRWTP have managed and will continue to manage wildlife activities at the surplus soil site by cutting vegetation or otherwise discouraging vegetation growth in order to make the area unappealing to animal species prior to BUYER’S contractor mobilization. SELLER makes no guarantees either expressed nor implied that the management of the vegetation will prevent any animal species from impeding BUYER’S access to the surplus soil site.

11. COORDINATION WITH OCCUPANTS

An approved Access Request (AR), work plan, and safety plan is required from the BUYER prior to the sampling or removal of Surplus Property from the SELLER’S site.

The work plan shall include any sampling or testing protocol and import analytical thresholds for the receiving site.

An Access Request:

A. Allows SELLER time to review the proposed work activities that impact existing SELLER operations, construction activities, property or facilities and to schedule and coordinate necessary process or equipment shutdowns;

B. Allows SELLER’S Safety Office to review proposed work and BUYER’S safe work practices related to the specific work to be performed; and

C. Informs the BUYER of any special hazards or exposures related to the specific work.

BUYER shall submit AR as far in advance as possible to coordinate removal of Surplus Property with ongoing construction activities and operations. A minimum of 10 working days is required in advance of proposed work.

12. COMPLIANCE WITH LAWS

BUYER shall observe and comply with all applicable federal, state, county and SELLER laws, regulations, and ordinances.

13. GOVERNING LAWS AND JURISDICTION

This Agreement shall be deemed to have been executed and to be performed within the State of California and shall be construed and governed by the internal laws of the State of California. Any legal proceedings arising out of or relating to this Agreement shall be brought in Sacramento County, California.

14. INDEMNIFICATION

BUYER shall indemnify, defend, and hold harmless SELLER, its Board of Directors, officers, directors, agents, employees and volunteers from and against all demands, claims, actions, liabilities, losses, damages, and costs, including reasonable attorneys' fees, arising out of or resulting from the performance of the Agreement, caused in whole or in part by the negligent or intentional acts or omissions of BUYER'S officers, directors, agents, employees, or subcontractors.

SELLER shall indemnify, defend, and hold harmless BUYER, its Board of Directors, officers, directors, agents, employees, and subcontractors from and against all demands, claims, actions, liabilities, losses, damages and costs, including reasonable attorneys' fees, arising out of or resulting from the performance of the Agreement, caused in whole or in part by the negligent or intentional acts or omissions of SELLER'S Board of Directors, officers, directors, agents, employees, or volunteers.

It is the intention of SELLER and BUYER that the provisions of this paragraph be interpreted to impose on each party responsibility to the other for the acts and omissions of their respective officers, directors, agents, employees, volunteers, SELLER’S Board of Directors, and BUYER'S contractors. It is also the intention of SELLER and BUYER that, where comparative fault is determined to have been contributory, principles of comparative fault will be followed and each party shall bear the proportionate cost of any damage attributable to the fault of that party, its officers, directors, agents, employees, volunteers, SELLER’S Board of Directors and BUYER'S contractors.

This indemnity shall not be limited by the types and amounts of insurance or self-insurance maintained by the BUYER or BUYER’s Subcontractors.

Nothing in this Indemnity shall be construed to create any duty to, any standard of care with reference to, or any liability or obligation, contractual or otherwise, to any third party.

The provisions of this Indemnity shall survive the expiration or termination of the Agreement.

15. DAMAGES

BUYER shall compensate SELLER for incurred loss, damage, undue expense, and liability arising out of or in any way connected to the BUYER’S negligent performance of this Agreement.

16. INSURANCE

Each party, at its sole cost and expense, shall carry insurance – or self-insure - its activities in connection with this Agreement, and obtain, keep in force and maintain, insurance or equivalent programs of self-insurance, for general liability, workers compensation, property, professional liability, and business automobile liability adequate to cover its potential liabilities hereunder. Each party agrees to provide the other thirty

(30) days' advance written notice of any cancellation, termination or lapse of any of the insurance or self-insurance coverages. Failure to maintain insurance as required in this Agreement is a material breach of contract and is grounds for termination of the Agreement.

17. PARTIAL INVALIDITY

If any term or provision of this Agreement or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, or is found to be prohibited by law, the remainder of this Agreement, or the application of such term or provision to persons or circumstances other than those as to which it is held invalid or unenforceable or prohibited, shall not be affected thereby, and each such term and provision of this Agreement shall be valid and be enforced to the fullest extent permitted by law.

18. WAIVERS

No waiver of any breach of any covenant or provision hereof shall be deemed a waiver of any preceding or succeeding breach hereof, or of any other covenant or provision herein contained. No extension of time for performance of any obligation or act shall be deemed an extension of the time for performance of any other obligation or act except those of the waiving party, which shall be extended by a period of time equal to the period of delay.

19. ATTORNEY FEES

Either party may bring a suit or proceeding to enforce or require performance of the terms of this Agreement, and each party in that suit or proceeding shall be responsible for its own attorney’s fees and cost.

20. COMMISSION

There is no broker, finders or other commission due or payable by reason of this transaction. Each party shall indemnify the other for any actions which may cause the other party to be liable for any commission arising here from.

21. RELATIONSHIP OF PARTIES

Nothing contained in this Agreement shall be deemed or construed by the parties to create the relationship of principal and agent, a partnership, joint venture or any other association between SELLER and BUYER.

22. CONSTRUCTION

Headings at the beginning of each paragraph and subparagraph are solely for the convenience of the parties and are not a part of the Agreement. Whenever required by the context of this Agreement, the singular shall include the plural and the masculine shall include the feminine and vice versa. It is agreed and acknowledged by the parties hereto that the provisions of this Agreement have been arrived at through negotiation, and that each of the parties has had a full and fair opportunity to revise the provisions of this Agreement and to have such provisions reviewed by legal counsel. Therefore, the normal rule of construction that any ambiguities are to be resolved against the drafting party shall not apply in construing or interpreting this Agreement. All exhibits referred to in this Agreement are attached and incorporated by this reference.

23. ENTIRE AGREEMENT

This Agreement (including all exhibits attached hereto) is the final expression of, and contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understanding with respect thereto. This Agreement may not be modified, changed, supplemented, superseded, canceled or terminated, nor may any obligations hereunder be waived, except by written instrument signed by both parties, in writing. The parties do not intend to confer any benefit hereunder on any person, firm or corporation other than the parties hereto and lawful assignees.

24. AMENDMENT AND WAIVER

Except as provided herein, no alteration, amendment, variation, or waiver of the terms of this Agreement shall be valid unless made in writing and signed by both parties. Waiver by either party of any default, breach or condition precedent shall not be construed as a waiver of any other default, breach or condition precedent, or any other right hereunder.

No interpretation of any provision of this Agreement shall be binding upon SELLER unless agreed in writing by the District Engineer and counsel for SELLER.

25. SUCCESSORS

This Agreement shall bind the successors of SELLER and BUYER in the same manner as if they were expressly named.

26. TIME

Time is of the essence of this Agreement.

27. INTERPRETATION

This Agreement shall be deemed to have been prepared equally by both of the parties, and the Agreement and its individual provisions shall not be construed or interpreted more favorably for one party on the basis that the other party prepared it.

28. DISTRICT ENGINEER

As used in this Agreement, "District Engineer" shall mean the District Engineer of Sacramento Regional County Sanitation District, and Sacramento Area Sewer District, or designee.

29. DISPUTES

In the event of any dispute arising out of or relating to this Agreement, the parties shall attempt, in good faith, to promptly resolve the dispute mutually between them. Pending resolution of any such dispute, BUYER shall continue without delay to carry out all its responsibilities under this Agreement unless the Agreement is otherwise terminated in accordance with the Termination provisions herein. If the dispute cannot be resolved within 15 calendar days of initiating such negotiations or such other time period as may be mutually agreed to by the parties in writing, either party may pursue its available legal and equitable remedies, pursuant to the laws of the State of California. Nothing in this Agreement or provision shall constitute a waiver of any of the government claim filing requirements set forth in Title 1, Division 3.6, of the California Government Code or as otherwise set forth in local, state and federal law.

30. PRIOR AGREEMENTS

This Agreement constitutes the entire contract between SELLER and BUYER regarding the subject matter of this Agreement. Any prior agreements, whether oral or written, between SELLER and BUYER regarding the subject matter of this Agreement are hereby terminated effective immediately upon full execution of this Agreement.

31. SEVERABILITY

If any term or condition of this Agreement or the application thereof to any person(s) or circumstance is held invalid or unenforceable, such invalidity or unenforceability shall not affect other terms, conditions, or applications which can be given effect without the invalid term, condition, or application; to this end the terms and conditions of this Agreement are declared severable.

32. FORCE MAJEURE

Neither BUYER nor SELLER shall be liable or responsible for delays or failures in performance resulting from events beyond the reasonable control of such party and without fault or negligence of such party. 33. SURVIVAL OF TERMS

All services performed and deliverables provided pursuant to this Agreement are subject to all of the terms, conditions, price discounts and rates set forth herein, notwithstanding the expiration of the initial term of this Agreement or any extension thereof. Further, the terms, conditions and warranties contained in this Agreement that by their sense and context are intended to survive the completion of the performance, cancellation or termination of this Agreement shall so survive.

34. DUPLICATE COUNTERPARTS

This Agreement may be executed in duplicate counterparts. The Agreement shall be deemed executed when it has been signed by both parties.

35. AUTHORITY TO EXECUTE

Each person executing this Agreement represents and warrants that he or she is duly authorized and has legal authority to execute and deliver this Agreement for or on behalf of the parties to this Agreement. Each party represents and warrants to the other that the execution and delivery of the Agreement and the performance of such party's obligations hereunder have been duly authorized.

(SIGNATURE PAGE FOLLOWS)

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be duly executed as of the day and year first written above.

Subject:

Geotechnical Testing and Contaminant Assessment of Proposed Levee Degrade Samples, SREL Contract 2

Introduction

The purpose of this technical memorandum (TM) is to present geotechnical and environmental laboratory analytical results from soil samples collected from the proposed levee degrade for Sacramento River East Levee Contract 2. This TM presents the sample collection methods, sample collection locations, present the results of geotechnical and environmental testing and compares the soil analytical results to the Railyards Import Soil Acceptance Criteria (Stantec, undated).

Sample Collection and Analytical Methods

Twenty-four soil borings were hand-augured to a depth of 6 feet below ground surface (bgs). Three soil samples for environmental testing were collected from each boring at depths of 1 foot, 3 feet and five feet bgs and the soil cuttings were collected in new, 5-gallon plastic buckets (one per hand-auger location) for geotechnical testing. One environmental sample was selected from each hand-auger boring and was sampled for volatile organic compounds (VOCs) analysis. Samples for the remaining analyses were performed on composite samples. The three discrete samples collected from each boring were composited to a single sample by the analytical laboratory. This resulted in analysis of 24 samples for VOCs and GRO and 24 composite samples for the remaining analyses.

Soil samples were collected in a brass or stainless steel tube by driving a slide-hammer sampler into the soil. Each metal tube was capped with Teflon sheets and plastic end caps. The samples were labeled with the boring number and depth (sample identification), sample time, and sample date.

Each sample was then placed into a re-sealable plastic bag to keep the sample container and label dry, and placed in an ice chest cooled with ice until submitted to a Eurofins/TestAmericas laboratory in West Sacramento, California under chain of custody control.

Sampling equipment that was in contact with soil was decontaminated before each use by washing in a laboratory-grade detergent solution, followed by a tap water rinse. Twenty-four discrete soil samples were analyzed for

Volatile Organic Compounds (including BTEX and MTBE) by EPA Method 8260.

Screening Criteria and Soil Analytical Results

The soil analytical results were compared to the criteria identified in the Railyards Import Soil Acceptance Criteria (Stantec, undated). This document identifies the California Office of Environmental Health Hazard Assessment (OEHHA) Soil Screening Numbers and the California Human Health Screening Levels (CHHSLs). Because the CHHSLs have not been updated since 2010, OEHHA refers users to the Department of Toxic Substances Control (DTSC) Human Health Risk Office (HERO) Human Health Risk Assessment (HHRA) Note 3. Therefore, in lieu of the CHHSLs, the DTSC HHRA Note 3 screening levels for soil analytes were utilized. Because the DTSC HHRA Note 3 does not include values for metals, the USEPA Regional Screening Levels (RSLs) were utilized for these constituents. In some instances where the laboratory reported a non-detect value, screening criteria were recorded.

The soil analytical detections are presented in Tables 1 – 6, Attachment 1. Tables 1 - 6 have been filtered to only present detections. The complete soil analytical result tables presenting both detections and non-detections are presented in Attachment 2. The laboratory analytical reports are presented in Attachment 2.

Findings

The soil analytical results were compared to the DTSC HHRA Note 3 and to the USEPA RSL values.

Based upon comparison of the results to these screening criteria, the results indicate that:

None of the organic constituents (VOCs, SVOCs, DRO-MRO, Pesticides, or Herbicides) exceeded the limits of the screening criteria.

Six inorganic constituents (metals) were reported with concentrations greater than the screening criteria. The metals are antimony, arsenic, hexavalent chromium, cobalt, lead and thallium.

No other constituents exceeded the limits of the screening criteria.

Total Threshold Limit Concentration (TTLC) and Soluble Threshold Limit Concentration

(STLC) are used for determination of a characteristic hazardous waste by toxicity criteria (22 CCR 66261.24). If an analyte was detected greater than 10 times the STLC, then the STLC analysis could be performed to assess soluble toxicity. If either the TTLC or STLC values are met or exceeded, then the soil at that location may be classified as a California hazardous waste if disposed (22 CCR 66261.2). None of the results exceeded the TTLC values. However, 10 samples exceed the 10-times respective STLC values for arsenic, lead and thallium at locations HA2C, HA3C, HA14C and HA15C.

Geotechnical Testing

Geotechnical testing found that all but two of the hand-augured borings encountered material classified as follows:

Poorly Graded Sand and Silty Sand (SP-SM) – 10.

Well Graded Sand and Silty Sand (SW-SM) – 1.

Silty Sand (SM) – 10.

Clayey Sand (SC) -1.

Lean Clay (CL) – Lean Clay and Silt (CL-ML) -1.

The three clayey samples had plasticity index values of 12, liquid limits less than 19 and expansion index of less than 25.

Organic content test results were 1 percent or less in 20 of the samples and less than 1.2 and 1.4% in two silty sand samples and 1.9% in the two clay samples.

Proctor compaction tests found that the material has a fairly wide range in maximum dry density with a low value of 92 pounds per-cubic-foot (pcf) and optimum moisture content of 23% and an upper value of 124 pcf and optimum moisture content of 10.9%.

The geotechnical laboratory test results are presented in Tables 8 and the geotechnical laboratory reports are presented in Attachment 3.
