Key personnel positions (title/responsibilities/qualifications) proposed for the Program Management team will be incorporated into any resultant contract and the number of key personnel proposed shall remain unchanged for the life of the contract. [Base

PWS paragraphs 2.4.3.1 and 2.6]

L.6.2.3 Sub-factor 3: Quality Control Plan: The Offeror shall provide a Quality Control Plan

(QCP) that describes the Offeror’s quality control approach, roles and responsibilities, internal inspection systems, methodology for identifying and preventing deficiencies, procedures to report corrective actions and system to record and track specific instructor qualifications, and describe security clearance status management. This plan will also be incorporated into the resultant contract. At a minimum the QCP shall address items listed in Base PWS paragraph

1.14.1.

L.6.2.4 Sub-factor 4: Task Order 0001 Transition Plan: The Offeror shall provide a detailed transition plan for task order 0001 that addresses the steps and actions necessary to facilitate a smooth transition from award to full operation status IAW Task Order 0001 PWS paragraph 2.2.

The plan shall describe the Offeror’s approach to develop and disseminate operations instructions, procedures and control directives in preparation for the performance requirements.

The plan must also address how the Offeror will provide for a smooth/uninterrupted transition between the WFF and UAS IMS contracts.

L.6.3 VOLUME III: FACTOR 2 – PERFORMANCE CONFIDENCE ASSESSMENT:

L.6.3.1 The Offeror may provide descriptions for at least two and no more than four projects that are within the past six years from date of solicitation issuance for projects that are similar to this project in scope. The offeror may include projects from predecessor companies, proposed

UAS IMS key personnel, and/or subcontractors. If an offeror (or predecessor companies, proposed UAS IMS key personnel, and/or subcontractors) does not have current or relevant past performance, the offeror shall state so. Along with each project description, the offeror shall provide a brief description of what role the key personnel and/or subcontractor referenced will play as it relates to UAS IMS (no need for brief description if project description is relating to the UAS IMS prime offeror).

All projects submitted in response to this solicitation shall have been performed as a prime contractor, predecessor company, subcontractor, Joint Venture (JV) partner, or UAS IMS key personnel. The small business prime contractor shall submit at least one project for consideration that they themselves performed (as a prime contractor, predecessor company, subcontractor, or Joint Venture (JV) partner). Please see the following definitions as they relate to this section:

Prime contractor means the contractor has privity-of-contract with the Government or with the owner of a project or job, and has the full responsibility for its completion. The prime is responsible for all contractual obligations under a mutually binding legal relationship. When the

Government awards a contract to a contractor, the contractor is considered the “prime” contractor. For example, “prime” contractors are identified as such on the cover page of contracts or task orders such as:

SF 1449 – Solicitation/Contract/Order for Commercial Items – (Block 17a identifies the prime contractor)

SF 26 – Award/Contract – (Block 7 identifies the prime contractor)

SF 33 – Solicitation, Offer, and Award – (Block 15A identifies the prime contractor)

Department of Defense (DD) Form 1155 – Order for Supplies or Services (Block 9 identifies the prime contractor)

Optional Form 307 – Contract Award (Block 7 identifies the prime contractor)

GSA Form 300 – Order for Supplies and Services (Block 6 identifies the prime contractor)

Subcontractor means the contractor has privity-of-contract with a prime contractor. When a prime contractor awards a contract to a contractor, the contractor is considered a subcontractor.

If the Offeror represents the combining of two or more companies, a joint venture, (JV) for the purpose of this RFP, the JV will be evaluated as a single Offeror. The experience of each joint venture partner will be evaluated based on each partner’s role in cited past work and in the proposed JV role for this project.

L.6.3.2 For the purpose of this solicitation “self-performed” is defined as tasks that the

Offeror performed by their own personnel. For example, if the Offeror or subcontractor is part of a Joint Venture for a submitted project, the Offeror or subcontractor can only submit tasks they performed under that Joint Venture contract. Similar in scope is defined as contracts managing

100 or more employees (under a single contract).

L.6.3.3 Past Performance information pertaining to a subcontractor (if applicable) cannot be disclosed to the prime offeror without the subcontractor’s consent; provide, within Volume III, a letter from subcontractors referenced consenting to the release of their past performance information to the prime contractor. Additionally, letters of commitment shall be included for all subcontractors and key personnel for their past performance to be considered. This commitment shall acknowledge a teaming arrangement for contract performance and shall be the awarded team structure.

L.6.3.4 All information identified in the list below is required for any project submitted:

Detailed Scope of Services Related to Solicitation

Offeror’s Role (prime, joint venture, subcontractor)

Type and percentage of work self-performed

Percentage of Work Complete

Dollar Value at Award

Final Cost (if applicable)

Reason for the Cost Growth (if applicable)

Award Date

POC for Reference (Name, Company, and Telephone Number)

All information identified in the list below is required for any project associated with proposed

UAS IMS key personnel (who have relevant experience as described above); DO NOT

INCLUDE THE KEY PERSONNEL INDIVIDUAL’S NAME ANYWHERE WITHIN THIS

VOLUME BUT INSTEAD THEIR UAS IMS ROLE:

Project(s)/Contract(s) Name, Contract Number(s), and Location(s)

Detailed Scope of Services provided by the Key Personnel

Government PCO(s) or COR(s) for Reference (Name, Organization, Telephone Number, Email)

L.6.3.5 The Government will use information submitted by the Offeror and is free to use other sources such as other Federal Government offices, databases, and commercial sources, to assess past performance. Offerors are strongly cautioned that if the Government is unable to contact past performance references directly associated to any survey; or in the case past performance information is not entered into the Past Performance Information Retrieval System

(PPIRS) database; or if no record of past performance is available for the project, the Offeror will not be evaluated favorably or unfavorably but will be rates as neutral confidence on past performance for that project.

L.6.4 VOLUME IV: FACTOR 3 – COST/PRICE:

L.6.4.1 Cost/Price Workbook (“workbook”). The Offeror shall complete and provide the workbook (Section J of the solicitation, Attachment 04); the completed workbook shall be

Appendix A to the Offeror’s Volume IV. All instructions are included in the workbook. The completed workbook shall be consistent with the instructions and consistent with the Offeror’s proposal (for example, labor rates proposed in the workbook shall match those presented in the

Total Compensation Plan, if applicable, in Volume I of the proposal, and the subcontractors shall match those presented in FAR Clause 52.244-2, Subcontracts). All of the Offeror’s rates (and all subcontractor(s)’s direct and fully burdened rates) shall be included in the workbook.

Subcontractors can independently/separately submit their proprietary rate buildup portion of the proposal per delivery instructions IAW L.3.4-L.3.6; subcontractor proposals delivered separately shall clearly reference the prime Offeror with the submission. The

Government is not held liable in the event a subcontractor’s proposal is late IAW L.3.3.

The list of subcontractors will be listed in Section I of the resultant contract, FAR Clause

52.244-2, Subcontracts, and will be binding within UAS IMS. The Government anticipates a

01 October 2018 ordering period start date for the resultant contract. This information is provided for use as a basis for proposed direct labor and burdens (indirect rates) mid-point calculations. The contractor is NOT entitled to an equitable adjustment to the rates in the event the Government awards the contract before or after the specified award date.

L.6.4.2 Rates. The Offeror (to include the prime and any subcontractors) shall provide supporting data and rationale for the direct rates and indirect rates included in the workbook, including labor rate development methodologies, disclosure statement(s), basis for estimate (i.e.:

payroll data documenting the labor rates, letters of intent, wage surveys, DCAA/DCMA audited/reviewed labor rate, etc.), adjustments for uncompensated overtime (“adjusted hourly rates” IAW FAR 52.237-10), overhead, fringe benefit, general and administrative (G&A), etc.

The offeror shall use the escalation rates provided by the Government in the workbook. The proposed base for indirect rates shall include the presumption that the Offeror will receive the

UAS IMS award. The Offeror shall provide labor rates based on a 40 hour work week and a standard man-year of 1920 hours per year. Should the Offeror not have a standard 40 hour work week and a standard man-year of 1920 hours per year, the Offeror shall provide rationale in the

Cost/Price Volume. That said, the offeror's labor rates provided/proposed shall be based on a 40 hour work week and a standard man-year of 1920 hours per year or Service Contract Act provision where applicable (For purpose of TEP calculation in Cost/Price Workbook 1920 hours will be used). IAW FAR 52.237-10, the offeror shall provide a copy of its policy addressing uncompensated overtime. In addition, if rates proposed are in accordance with an approved

FPRA with DCMA, the Offeror shall provide those approved rates in Volume IV of the proposal.

The Offeror shall provide sufficient information to support the reasonableness of their proposed direct labor rates and indirect rates. The order of preference is:

Forward Pricing Rate Agreement (FPRA) (provided as part of Volume IV, if applicable)

Forward Pricing Rate Recommendation (FPRR) (provided as part of Volume IV, if applicable)

If neither of the above are available (or, if the agreement/recommendation does not include direct labor rates), the Offeror shall provide the following:

Direct labor rates: Offeror shall submit the most recent actual average rate for each proposed category. Offeror shall submit the actual average rate, as of the end of each of the last two completed fiscal years, for each proposed category. The "as of" date must be shown for each calculation. For each category and each year, the Offeror shall identify the number of employees in each calculation. The timing of wage/salary increases will be identified in the Offeror's proposal (i.e., employee's anniversary date, yearly during [month], or other [with explanation]).

If the above is not available, the Offeror shall provide sufficient justification for the proposed direct labor rates through the most appropriate means available. The direct labor rate information shall be submitted for both the Offeror and all subcontractors.

Indirect rates (for each and every proposed indirect rate): Offeror shall identify the start and end of their fiscal year and the allocation/application base for each indirect rate. Offeror shall provide actuals for the most recent year-to-date period (base, pool, and calculated rate) and the last two completed fiscal years (base, pool, and calculated rate). Offeror shall state whether or not the prior years’ actuals have been audited by DCAA. Offeror shall submit forecasted rates for each fiscal year covered in the solicitation (base, pool, and calculated rate). If the Offeror does not have a budget or detailed forecast for all fiscal years covered in the solicitation, only the calculated rate information will be required for those fiscal years. Offeror shall submit actual sales for each of the last two completed fiscal years and year-to-date actual sales. Offeror shall submit forecasted sales (for the current fiscal yearend and each fiscal year covered by this solicitation). The identified indirect rate information shall be submitted for both the Offeror and all subcontractors. A descriptive summary of the costs proposed in each indirect cost pool is required to be submitted in the Offeror's proposal. An indirect cost pool is defined as a logical grouping of indirect costs with a similar relationship to the cost objectives. For example, maintenance overhead pools include indirect costs that are associated with maintenance effort.

The Offeror shall describe the indirect cost allocation base.

The offeror shall also provide (in Volume IV narrative) information detailing the offeror’s indirect rates (for each year [Year 1-7 and the “Option to Extend Services” six-month period] that will be provided on top of subcontractor costs (“subcontractor burdens”). The Government anticipates an ordering period start date of 01 October 2018 for the resultant contract: this information is provided for use as a basis for proposed “subcontractor burdens” mid-point calculations.

L.6.4.3 Task Order (TO) 0001. The Offeror shall provide prices for Section B of TO

0001 (within Attachment 04, Cost/Price Workbook). All CLINs shall be priced by the Offeror.

To facilitate cost realism analysis of TO 0001, the offeror shall provide a Cost Breakdown Excel

Workbook describing the cost elements of each CLIN delineated as CPFF (editable and executable with formulas for all subtotals and totals). It shall contain all elements of cost according to each element listed by CLIN, with all burdens identified for all CPFF CLINs for the prime and all proposed subcontractors as an Appendix to the Volume IV of the offeror’s proposal. The format and content will be in accordance with the instructions in FAR Table 15-2

(located at the end of FAR 15.408). The offeror’s proposal shall provide a breakdown of the costs proposed and shall be shown by labor, overhead, other direct cost, subcontracts, and G&A.

SECTION M - EVALUATION FACTORS FOR AWARD

The following have been modified:

SECTION M - EVALUATION FACTORS

M.1.0 FAR PART 15 AND DOD SOURCE SELECTION PROCEDURES.

Proposal evaluations and award will be made pursuant to FAR Part 15, DoD Source Selection

Procedures dated 31 March 2016, and the Army Source Selection Supplement (AS3) dated 20

December 2012; if the AS3 contradicts the DoD Source Selection Procedures, the DoD Source

Selection Procedures guidance will be utilized. Tradeoff (subjective) procedures will be utilized with a single award made based on the best overall proposal that is determined to be the most beneficial to the Government, with consideration given to the evaluation factors. Award may be made to other than the lowest priced Offeror or other than the highest technically rated Offeror.

Subjective judgment against objective criteria is implicit in the evaluation process.

M.2.0 FAILURE TO PROVIDE PROPOSAL INFORMATION.

Failure of an Offeror to submit the proposal in accordance with the date and time deadlines specified in the solicitation shall be rejected. Failure of the Offeror to submit the proposal in the manner specified in the solicitation may result in proposal rejection. The PCO will notify an offeror if the proposal is rejected IAW FAR 15.503(a)(1). All clauses and provisions included in this solicitation are applicable and must be considered in the proposal submission.

M.3.0 EVALUATION.

M.3.1 The Government intends to enforce all of the solicitation/proposal submission requirements outlined in Section L. Failure to comply with the solicitation requirements may result in an Offeror’s proposal being rejected. All proposal information is subject to verification by the Government. Falsification of any proposal submission, documents, or statements may subject the Offeror to civil or criminal prosecution under 18 U.S.C. 1001. Exceptions to the terms, conditions, and/or provisions of this solicitation or assumptions within the proposal will result in a determination that an Offeror is ineligible to be considered for award. However, see

L.2.1 for question/comment submission instructions.

M.3.2 Offerors are cautioned that while the Government will not evaluate every PWS requirement for the purposes of the source selection evaluation, the awardee will be required to comply with the Base PWS requirements during contract performance to include subsequent Task

Order (TO) PWS requirements (if/when placed on contract under a TO). The Government may determine, at its discretion, that an Offeror's proposal is unacceptable if the proposal indicates that: it cannot or will not meet any of the Base PWS requirements to include subsequent TO PWS requirements. Unacceptable proposals may be rejected.

M.3.3 The Government may use information other than that provided by the Offeror in its evaluation. Such information, referred to as extrinsic information, is obtained from sources outside the proposal. Sources of extrinsic information may include DCAA, DCMA, and

Government databases (for example, IAW PGI 215.404-2, the Government may request audit assistance from DCAA, if necessary).

M.4.0 UNREALISTIC PROPOSALS.

The Government reserves the right to reject any proposal that it evaluates to be unrealistic in terms of program commitments, including contract terms and conditions, such that the proposal is deemed to reflect a failure to comprehend the complexity and risks of the program.

M.5.0 DISCUSSIONS AND COMPETITIVE RANGE.

The Government intends to evaluate proposals and award the single award Indefinite Delivery/

Indefinite Quantity (IDIQ) contract without discussions with Offerors (except clarifications, if required, as described in FAR 15.306(a)). However, the Government reserves the right to conduct discussions if determined necessary. Accordingly, the offer/proposal should reflect the

Offeror’s most favorable terms and price. The Government will evaluate proposals in accordance with FAR 15.305(a), and if deemed appropriate, the PCO can establish a competitive range comprised of the most highly rated proposals, based upon the ratings of each proposal against all evaluation factors. The decision to hold discussions and/or establish a competitive range will be made at the discretion of the Government.

M.6.0 BASIS FOR AWARD

M.6.1 Best Value, Subjective Tradeoff.

The source selection process for UAS IMS will be a Best Value, Subjective Tradeoff. The

Source Selection Authority’s (SSA’s) award decision will be based on the SSA’s independent judgement of which proposal is most advantageous to the Government. The award decision will be based on a comparative assessment of proposals against the source selection criteria (Sections L & M) of the solicitation.
