B1. Prices

The Subcontractor shall provide the supplies or services at the Indefinite Delivery, Indefinite Quantity (IDIQ) ceiling price shown below.

Subcontract Line Item Number Description IDIQ Ceiling Price

1 Argon Distribution Equipment $___________________ and Related Installation Services

B2. Fixed Price Task and Delivery Orders

Orders issued pursuant to this IDIQ will be of two types: (1) Task Orders (TO) which are issued when the performance of tasks/services is required and Delivery Orders (DO) which are issued when delivery of products/supplies is required. All Orders, whether TO or DO, will be issued on a firm-fixed price (FFP) basis. The FFP for each Task Order will be based on the service pricing rates in Attachment J-15.

TO may be performed at the Sanford Underground Research Facility (SURF) in Lead, South Dakota. Travel, if required, will be included in the FFP for the associated Task Order.

The Subcontractor shall submit a proposal for each Order that indicates the scope of the task, a list of proposed deliverables, date of review submittals, and the completion date for the task. These proposals will be in response to a request for proposal (RFP) provided by FRA. The pricing rates in Attachment J-15 shall be utilized to calculate a FFP for each TO proposal involving services (e.g. installation).

The Subcontractor shall not exceed the Ceiling Price shown in Clause B1 - Prices.

B3. Limitation of Liability for IDIQ Orders (This clause may apply to each Order placed against this IDIQ Subcontract)

a. The funding presently allocated for payment to the Subcontractor under this Task No. XX is $XX:

For SLIN TBD $TBD For SLIN TBD $TBD

The Subcontractor is not obligated to continue performance under this Subcontract or otherwise incur cost or expenses in excess of the allocated funding amounts. The Subcontractor shall notify FRA in writing whenever it has reason to believe that the costs it expects to incur under this Subcontract in the next 60 days, when added to all costs previously incurred, will exceed 75 percent of the allocated funding for a SLIN. FRA Procurement can increase or decrease the amount of funding unilaterally by modifying the Subcontract or providing other written notice to the Subcontractor.

The quantities of supplies and services specified in the Subcontract are estimates only and are not purchased by this Subcontract.

b. Delivery or performance shall be made only as authorized by task orders issued in accordance with the Ordering clause. The Subcontractor shall furnish to FRA, when and if ordered, the supplies and services specified in the Subcontract in accordance with the Ordering Limitations clause. FRA shall order at least the quantity of supplies and services designated in the Subcontract as the “minimum.”

d. Any task order issued during the effective period of this Subcontract and not completed within that period shall be completed by the Subcontractor within the time specified in the task order. The Subcontract shall govern the Subcontractor’s and FRA’s rights and obligations with respect to that task order to the same extent as if the task order were completed during the Subcontract’s effective period;

provided that the Subcontractor shall not be required to make any deliveries or perform any supplies and services under this Subcontract more than 30 days after the end of the Subcontract’s effective period.

c. Orders shall be issued in writing. Task orders may be issued only by the FRA Procurement Specialist.

Orders The number of Task/Delivery Orders to be awarded under this Subcontract will depend upon the availability of funding and the guidelines as established by Attachment J-4 - Statement of Work.

b. The minimum guaranteed task order(s) value for this IDIQ Subcontract award is stated in the Subcontract, provided that the Subcontractor can demonstrate it has exercised due diligence and made its best efforts to secure an order.

c. Other than the minimum guaranteed Subcontract value, FRA has no obligation to issue orders under this IDIQ Subcontract and all orders are subject to the availability of funding.

B4.5 Requirements for Subcontractor’s Proposal for an Order

FRA will issue a Request for Proposal (RFP) for each order falling within the scope of this IDIQ Subcontract. The Subcontractor’s Task Order/Delivery Order proposals shall be fixed price. a. Payment may be based on a Milestone Payment Schedule included in the terms of the applicable Delivery or Task Order. Milestone payments shall be made to the Subcontractor when requested at the completion of the stipulated performance milestones, upon the following conditions:

(1) Amount of Payments. Each milestone payment shall be the amount set forth in the Delivery or Task Order for completion of the respective milestone. The Subcontractor is required to submit with each request for payment, certification of the completion of the performance milestone for which the payment is requested. Other evidence, such as project deliverables, photographs, reports may be required by FRA. Subject to such other limitations and conditions as are specified in this Subcontract and this clause, the amount of payments and limitations on payments shall be specified in the Subcontract’s description of the basis for payment

(2) Substantiation of Milestone Completion. Verification of the completed milestone may be made by FRA or its designee(s) and may include visits to the Subcontractor’s facilities to verify work completed.

(b) Subcontractor request for milestone payment. The Subcontractor may submit requests for payment of milestone payments once each month or at more frequent intervals (if approved by FRA in writing), in a form and manner acceptable to FRA. Unless otherwise authorized by FRA, all milestone payments in any period for which payment is being requested shall be included in a single request, appropriately itemized and totaled. The Subcontractor’s request shall contain the information and certification detailed in paragraphs (l) and (m) of this clause.

(c) Approval and payment of requests.

(1) The Subcontractor shall not be entitled to payment of a request for milestone payment prior to successful accomplishment of the event or performance criterion for which payment is requested.

FRA shall determine whether the event or performance criterion for which payment is requested has been successfully accomplished in accordance with the terms of the Subcontract. FRA may, at any time, require the Subcontractor to substantiate the successful performance of any event or performance criterion which has been or is represented as being payable. Verification of the completed milestone may be made by FRA or its designee(s).

(2) RESERVED

(3) The approval by FRA of a request for milestone payment does not constitute an acceptance by FRA and does not excuse the Subcontractor from performance of obligations under this Subcontract.

(d) RESERVED

(e) Reduction or suspension of milestone payments. FRA may reduce or suspend milestone payments, liquidate milestone payments by deduction from any payment under the Subcontract, or take a combination of these actions after finding upon substantial evidence any of the following conditions:

(1) The Subcontractor failed to comply with any material requirement of this Subcontract (which includes paragraphs (h) and (i) of this clause).

(2) Performance of this Subcontract is endangered by the Subcontractor’s—

(i) Failure to make progress; or

(ii) Unsatisfactory financial condition.

(3) The Subcontractor is delinquent in payment of any sub-subcontractor or supplier under this Subcontract in the ordinary course of business.

(f) Title.

(1) Title to the property described in this paragraph (f) shall vest in the Government. Vestiture shall be immediately upon the date of the first milestone payment under this Subcontract, for property acquired or produced before that date. Otherwise, vestiture shall occur when the property is or should have been allocable or properly chargeable to this Subcontract.

(2) “Property,” as used in this clause, includes all of the following described items acquired or produced by the Subcontractor that are or should be allocable or properly chargeable to this Subcontract under sound and generally accepted accounting principles and practices:

(i) Parts, materials, inventories, and work in process;

(ii) Special tooling and special test equipment to which the Government is to acquire title;

(iii) Nondurable (i.e., noncapital) tools, jigs, dies, fixtures, molds, patterns, taps, gauges, test equipment, and other similar manufacturing aids, title to which would not be obtained as special tooling under paragraph (f)(2)(ii) of this clause; and

(iv) Drawings and technical data, to the extent the Subcontractor or sub-subcontractors are required to deliver them to FRA by other clauses of this Subcontract.

(3) Although title to property is in the Government under this clause, other applicable clauses of this Subcontract (e.g., the termination clauses) shall determine the handling and disposition of the property.

(4) The Subcontractor may sell any scrap resulting from production under this Subcontract, without requesting FRA’s approval, provided that any significant reduction in the value of the property to which the Government has title under this clause is reported in writing to FRA.

(5) In order to acquire for its own use or dispose of property to which title is vested in the Government under this clause, the Subcontractor shall obtain FRA’s advance approval of the action and the terms. If approved, the basis for payment (the events or performance criteria) to which the property is related shall be deemed to be not in compliance with the terms of the Subcontract and not payable (if the property is part of or needed for performance), and the Subcontractor shall refund the related milestone payments in accordance with paragraph (d) of this clause.

(6) When the Subcontractor completes all of the obligations under this Subcontract, including liquidation of all milestone payments, title shall vest in the Subcontractor for all property (or the proceeds thereof) not—

(i) Delivered to, and accepted by, FRA under this Subcontract; or

(ii) Incorporated in supplies delivered to, and accepted by, FRA under this Subcontract and to which title is vested in the Government under this clause.

(7) The terms of this Subcontract concerning liability for FRA or Government-furnished property shall not apply to property to which the Government acquired title solely under this clause.

(g) Risk of loss. Before delivery to and acceptance by FRA, the Subcontractor shall bear the risk of loss for property, the title to which vests in the Government under this clause, except to the extent FRA expressly assumes the risk. If any property is lost (see 45.101), the basis of payment (the events or performance criteria) to which the property is related shall be deemed to be not in compliance with the terms of the Subcontract and not payable (if the property is part of or needed for performance), and the Subcontractor shall refund the related milestone payments in accordance with paragraph (d) of this clause.

(h) Records and controls. The Subcontractor shall maintain records and controls adequate for administration of this clause. The Subcontractor shall have no entitlement to milestone payments during any time the Subcontractor’s records or controls are determined by FRA to be inadequate for administration of this clause.

(i) Reports and FRA access. The Subcontractor shall promptly furnish reports, certificates, financial statements, and other pertinent information requested by FRA for the administration of this clause and to determine that an event or other criterion prompting a financing payment has been successfully accomplished. The Subcontractor shall give FRA reasonable opportunity to examine and verify the Subcontractor’s records and to examine and verify the Subcontractor’s performance of this Subcontract for administration of this clause.

(j) Special terms regarding default. If this Subcontract is terminated under the Default clause, (1) the Subcontractor shall, on demand, repay to FRA the amount of milestone payments paid to Subcontractor, and (2) with respect to all property as to which the FRA elects not to require delivery under the default provisions of this Agreement, title shall vest in the Subcontractor upon repayment of milestone payments, and the FRA shall be liable for no payment except as provided by the default clause.

(k) Reservation of rights.

(1) No payment or vesting of title under this clause shall—

(i) Excuse the Subcontractor from performance of obligations under this Subcontract; or

(ii) Constitute a waiver of any of the rights or remedies of the parties under the Subcontract.

(2) FRA’s rights and remedies under this clause—

(i) Shall not be exclusive, but rather shall be in addition to any other rights and remedies provided by law or this Subcontract; and

(ii) Shall not be affected by delayed, partial, or omitted exercise of any right, remedy, power, or privilege, nor shall such exercise or any single exercise preclude or impair any further exercise under this clause or the exercise of any other right, power, or privilege of FRA.

(l) Content of Subcontractor’s request for milestone payment. The Subcontractor’s request for milestone payment shall contain the following:

(1) The name and address of the Subcontractor;

(2) The date of the request for milestone payment;

(3) The Subcontract number and/or other identifier of the Subcontract or order under which the request is made;
