About this file
This document is the Terms of Use governing access to and use of the NASPO eMarketPlace, a digital platform operated by NASPO (National Association of State Procurement Officials) in collaboration with Corexpand, LLC as the Site Provider. The Terms of Use establish the legal framework for Buyers and Sellers accessing the eMarketPlace to view catalogs, request quotes, and conduct transactions related to NASPO master agreements. Users must be at least 18 years old and agree to comply with all terms at the time of use, which may be modified at any time with changes becoming effective immediately upon posting. The document defines key roles including Buyers (users accessing seller catalogs and issuing orders) and Sellers (entities authorized to offer products and services through NASPO master agreements). The platform serves as a digital marketplace for state and local government entities and their authorized vendors to conduct cooperative purchasing activities.
The Terms of Use impose strict usage restrictions prohibiting users from selling or reselling access to the Site, using it for illegal purposes, transmitting malicious code, reverse engineering components, or accessing the Site for competitive benchmarking. NASPO and Corexpand maintain industry-standard safeguards for protecting user data and Services Data, with provisions allowing deletion of data following discontinuation of use unless legally prohibited. Users retain ownership of their Services Data while granting NASPO and the Site Provider rights to use de-identified, aggregated data for Generic Reports and internal analytics. The agreement includes comprehensive liability limitations and disclaimers, with neither party liable for indirect, consequential, or punitive damages. Disputes are governed by Kentucky law and subject to exclusive jurisdiction in Kentucky state and federal courts. The Terms are construed in order of precedence with any NASPO cooperative master agreement terms taking priority, and specific provisions survive termination including those addressing proprietary rights, indemnification, liability limitations, and data portability.
