(a) The Technical Point of Contact (TPOC) for this contract is: TO BE SPECIFIED AT DO LEVEL
(b) This individual is not a Contracting Officer nor a Contracting Officer's Representative (COR)/Task Order COR (TOCOR) and has no authority to make changes, verbally or otherwise, to the existing contract or order. Further, no authority has been delegated to this individual by the Procuring Contracting Officer (PCO).

5252.204-9503EXPEDITING CONTRACT CLOSEOUT (NAVAIR) (JAN 2007)
(a) As part of the negotiated fixed price or total estimated amount of this contract, both the Government and the Contractor have agreed to waive any entitlement that otherwise might accrue to either party in any residual dollar amount of $1,000 or less at the time of final contract closeout. (b) This agreement to waive entitlement to residual dollar amounts has been considered by both parties. It is agreed that the administrative costs for either party associated with collecting such small dollar amounts could exceed the amount to be recovered.

Section H - Special Contract Requirements

H.1. ORDERING PROCEDURES

H.1.a. All delivery orders issued are subject to the terms and conditions of the contract. The contract shall control in the event of conflict with any delivery order.

H.1.b. NAWCTSD Procuring Contracting Officers are designated as the Ordering Officer(s) for this contract.

H.1.c. Prior to the award of each delivery order, the Government will provide the FY22 RRL Content Conversion contractor with a delivery order Statement of Work to include the quantity of hours of Interactive Media Instruction (IMIs), by level/type and the Functional Requirements Document (FRD) (Attachment 1 Appendix A) that is available at the DO level for the rating/path. An estimated travel cost in support of IMI development will also be provided, which will be invoiced at Cost via CLIN 1019 during performance (no fee). Applicable CDRLs for the delivery order will also be provided.

H.1.d. The total price for the Content Conversion CLINs (1010-1016) will be based upon the established unit pricing found in Section B.

H.1.e. It is anticipated that the award of new delivery orders should take place no later than 7 calendar days after the Government has provided the contractor with the information in paragraph c) above.

H.1.f. The Government will award delivery orders based on the data that is available for a particular rating/path. If additional data becomes available for an already awarded rating, the delivery order will be modified accordingly to capture any changes in the quantity of IMI hours required at the established unit pricing found in Section B. Different paths for the same rating may have different delivery dates within the same delivery order. The unit pricing for IMI levels/types is fixed at the IDIQ level and will not be negotiated at the delivery order level. As outlined in Attachment (1) FY 22 Content Conversion IDIQ Statement of Work, paragraph 1.2 Course, Module and Lesson Structure, if a course is to be re-used across paths within a rating or across ratings, the Government will order the course once to be reused as described in the Delivery Order. In the instance a course is to be reused across paths within a rating or across ratings, the inclusion of the course in the other paths/ratings shall be at no additional cost.

H.1.g. The Contracting Officer may request a Firm Fixed Priced (FFP) proposal for any in-scope Complex Media changes required as a result of updated GFI provided after award of a rating/path.

H.1.h. The Contracting Officer may request a FFP proposal for any in-scope implementation of IMI hours as a result of Gaps that are finalized and required to be included within the make-up of a rating/path after the initial DO award of the rating/path.

H.1.i. The Contracting Officer may request a FFP proposal for In-scope Production Support, to include Train the Trainer via CLIN 1017 and Pilot via CLIN 1018, approximately six months prior to the delivery of the Content Conversion/IMI development CLINs. Those deliverables will be negotiated and added to each delivery order via a modification to the delivery order for the applicable rating/path.

H.2. USE & DISCLOSURE RIGHTS

USE AND DISCLOSURE RIGHTS IN SPECIAL WORKS

(a) This IDIQ contract contains DFARS clause 252.227-7020, “Rights in Special Works.” In accordance with DFARS clause 252.227-7020, all works produced, created, or generated under the DOs issued under this contract shall be delivered with unlimited rights and with the required Government copyright notice legend. Pursuant to DFARS sections 227.7106(b) and 227.7205(b), the Government needs to restrict the contractor’s rights to use or disclose works produced, created, or generated in the performance of this contract. Accordingly, the contractor shall not use or disclose works produced, created, or generated in the performance of DOs issued under this contract without first obtaining written approval from the contracting officer.

(b) Requests for approval shall identify the specific work to be used or disclosed, the medium to be used, and the purpose for the use or disclosure. The Contractor shall submit its request to the Contracting Officer at least thirty (30) days before the proposed date for use or disclosure.
