Final Solicitation Questions
N00019-15-R-0011 C-40A Contractor Logistics Support (CLS) Final RFP Questions and Answers
| Question Number | Document | Para | Issue | Question | Answer |
| 1 | Q & A Response Dated 08/09/14 | Question 24 RE Appendix I, paragraph 8 | Appendix I, paragraph 8 references a contractor fund status report (CDRL A003) which is not contained in the CDRLs provided by the Navy. In addition, in response to industry questions dated 08/09/14 the Navy stated that the reference would be removed, however, it is still present in the Final RFP. | Does the Government intend to revise the RFP to delete the reference to the Monthly Contractor Funds Status Report? | Paragraph 8 under Attachment (1), Appendix (I) - Over and Above Procedures will be deleted. This change will be reflected via an RFP amendment. |
| 2 | Q & A Response Dated 08/09/14 | Questions 50 & 51 | In the Q&A the Navy stated that it would provide the appropriate Wage Determination for each operating site, but no WDs were attached to the RFP. | Will the Navy please provide the appropriate WDs? | The Government will provide the appropriate Wage Determinations for each operating site via an RFP amendment. |
| 3 | Q&A Response Dated 12/9/2014 | N/A | Question(s): |
1. Should the USG’s answer to question 12 have been, “A MINIMUM of 10 pt font SHALL be used for “drawings,” figures, tables, charts, and graphs”?
| 2. Are textual characters depicted in “pictures” required to adhere to the same font criterion? | Please confirm the response provided on 12/9/2014 is still correct. It read, " Yes. A minimum of 10 pt font may be used for figures, tables, charts, and graphs. 2. Yes. A minimum of 10 pt font for textual characters depicted in "pictures" may be used." | A minimum of 10 pt. font shall be used. | |||
| 4 | Q&A Response Dated 12/9/2014 | N/A | Question(s): |
A. There are no specific PWS sections enumerated in Section L other than in the L-3.0 sample CRM; however, there are referrals to “PWS” found six times in the Section L text.
B. The term “requirements” is found numerous times throughout the Section L and Questions:
1. Based on the USG’s answer to question 12 above, in order to be considered technically responsive to solicitation requirements, bidders only have to address specific PWS elements directly related to those Section L provisions shown above in paragraph (A)?
| 2. Is the term “requirements” as used in the Section L and M synonymous with PWS requirements? If so, based on the USG’s answer to question 12 above, in order to be considered technically responsive to solicitation requirements, do bidders specifically have to respond to PWS elements where the term “requirements” is used by the USG? | Please confirm the response provided by the Government on 12/9/2014 is still correct. It read, "See response to Question 12: Yes. Offerors are to respond only to those PWS sections listed in Section L, as they are the requirements that will be EVALUATED. The Government does not intend to update Section L to require Offerors provide information on exactly how their depot maintenance activities will be performed. 2. The term requirements in L&M are synomous with PWS requirements. Section L paragraph 1 states, "The Offeror is expected to comply with all requirements of the RFP". All PWS requirements will be the contract requirements once awarded. Sections L&M are specific Evaluation Criteria that will be utilized to determine the contractor's ability to meet the Government's needs. For purposes of the RFP the offeror is expected to respond to the requirements outlined in Section L&M." | Confirmed. The contractual requirement is defined in the PWS. Sections L & M of the RFP provide the proposal instructions and evaluation factors for award (the Evaluation Criteria). | |||||
| 5 | General | N/A | Navy personnel will provide services at the COMBS | Who holds liability at the COMBS should Navy personnel damage an item? | C-40A does not utilize a COMBS. The supply chain management support is operated by the Contractor. If the Navy damages a part the Navy will be responsible. | ||
| 6 | General | N/A | Current Warranty Information | Will the Navy provide current warranty information (i.e. what parts are currently under warranty) in order to increase bidding fidelity? | No. The Navy does not currently have access to warranty information. | ||
| 7 | Solicitation | Section B & Section E | The FOB for CLINs 0X10-0X13, 0X17-0X20, 0X22-0X26, 0X31, and 0X34-0X36 are inconsistent between Sections B and E | Please update accordingly | The FOB terms "Destination" and "Origin" listed under Section B apply to Shipping. The terms "Destination" and "Origin" listed under Section E apply to the Inspection and Acceptance location. While Shipping for one CLIN may be FOB Destination, that does not necessarily mean that the Inspection and Acceptance location will be Destination. However, the Government will review the two sections for accuracy and make changes if necessary. Any changes will be provided to Industry via an RFP amendment. | ||
| 8 | Solicitation | Section H; H-1 "Risk of Loss" | H-1, "Risk of Loss" states "While the C-40A aircraft is in possession, control, or custody of the contractor, or in the contractor's facility, the contractor shall bear the entire risk of loss for the aircraft." | We understand this to mean that the only method to transfer possession, control, or custody of the aircraft from the Navy to the contractor will be through the execution of a Form DD 1149? Please confirm. |
If our understanding is not correct, what form will be utilized by the Navy to formally transfer possession, control, or custody of the aircraft to the contractor? Contract Clause H-1, Risk of Loss, will be deleted from the RFP. In regards to liability, FAR Clause 52.245-1 Alt 1, Paragraph (h)(1), applies. The clause states, "The Contractor assumes the risk of, and shall be responsible for, any loss of Government property upon its delivery to the Contractor as Government-furnished property. However, the Contractor is not responsible for reasonable wear and tear to Government property or for Government property properly consumed in performing this contract."
Note: A form to signify aircraft custodial responsibility will be provided to the Contractor after contract award during the post award conference. Additionally, custodial responsibility will be added to the PWS definitions.
These changes will be reflected via an RFP amendment.

| 12 | Solicitation | Section L, Part A, Paragraph 2 | RFP states that graphs "should contain a grid, which allows values to be read directly from the graph to the same accuracy that a 10 x 10 to the ½ inch grid provides.” | Will the Government clarify what the requirement means in terms of graphics? | There is no requirement for graphics. If the Offeror chooses to include graphics in its proposal, it must follow the graph and grid requirements under Section L, 2.0 Proposal Format. | ||
| 13 | Solicitation | Section L, Part A, Paragraph 4 | The Offeror' s Summary Table as defined in this paragraph is to be turned in two weeks before the Cost and Technical Volume. | Please clarity the format and number of copies required for this submittal. Is it the same as the Executive Summary (i.e. one original electronic & paper / 3 electronic & paper copies)? | Yes, the Offeror shall follow the Executive Summary copies required listed within the Section L, 3.0 Proposal Content and Volumes table. | ||
| 14 | Solicitation | Section L, Part B, Paragraph 1(iv) | This section reads, "Signed Representations, Certifications and Acknowledgements or Online Representations and Certifications Application (ORCA) reference." | Please advise, what is meant by "…(ORCA) reference"? Does the simple statement that Company X is registered in ORCA suffice? If not, what type of reference is the Navy seeking? | Yes, a statement that confirms registration will suffice. | ||
| 15 | Attachment I (PWS) | 3.9 | "When requested by the Procuring Contracting Officer (PCO), the Contractor shall provide verification of DD 254 compliance" | When will the DD 254 be provided? | The DD 254 will be added as an attachment to Section J of the SF1449 and will be provided to Industry via an RFP amendment. | ||
| 16 | Attachment I (PWS) | 5.7.1 | NALCOMIS OOMA Data Entry Requirement | Is the NALCOMIS OOMA data entry requirement only related to the parts management efforts processed at the COMBS locations or will the NALCOMIS OOMA data entry requirement also include all Depot level maintenance and parts efforts ( i.e., Acft Depot, Engine Depot, and APU Depot)? | NALCOMIS/OOMA will only be used at the Squadron level and will not be required at Depot. | ||
| 17 | Attachment I (PWS) & Form 1423-1 | PWS 5.7.3 and Form 1423-1 AA02 | Block 5 of CDRL AA02 references PWS paragraph 5.7.3. A form to signify transfer will be provided at the post award conference after contract award. Additionally, a definition for Custodial Responsibility will be added to the PWS. |
These changes will be provided to Industry via an RFP amendment
| 19 | Attachment 2 (QASP) | 4.7 | The paragraph states, in part, "Failure to meet the required service or performance level will result in a deduction from the amount as determined by the PCO/ACO." | We understand this to mean that the only possible deductions are those outlined under the "Marginal Performance Threshold" column of Enclosure 2 of Attachment 2 "QASP>" Please confirm. | Confirmed. |
| 20 | Attachment 2 (QASP) | 6.1 | This paragraph states, in part, that the Navy and contractor should jointly formulate methods to correct issues if they arise. The clause also states that recommendations regarding changes to Metrix, thresholds, or service levels will be issued as contract modifications at the convenience of the PCO/ACO. | FAR 52.212-4(c) "Changes" states "Changes in terms and conditions of this contract may be made only by written agreement of the parties." Please confirm that changes to "…metrics, thresholds, or service levels" will be issued in accordance with FAR 52.212-4(c). | Yes, changes in regards to the terms and conditions will be made only by written agreement of the parties in accordance with FAR 52.212-4(c). However, in accordance with FAR 52.212-4(d), failure of the parties to reach agreement on any action shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes. |
| 21 | Attachment 2 (QASP) Enclosure 2; Attachment 1 Appendix F (Performance Matrix) | Accident/Incident | No metric listed | What is the metric for Satisfactory and Marginal Performance? | The Performance Metrics and QASP title for "Accident/Incident" has been changed to read "Custodial Responsibility" and satisfactory/marginal performance metrics are now defined. Changes will be reflected via an RFP Amendment. |
| 22 | Attachment 2 (QASP) Enclosure 2; Attachment 1 Appendix F (Performance Matrix) | C Check Over and Above Work, and Over and Above Depot Maintenance | Under the matrix for "Marginal Performance Threshold" it reads, in part, "No discrepancies unrelated to any Depot task card affected system are discovered during FCF" . This would appear to state that if a discrepancy is discovered during the FCF which is unrelated to the work performed by the depot the contractor may receive a penalty under this matrix | Please clarify whether this is the correct interpretation. | This Performance Metric has been removed. Changes will be reflected via an RFP Amendment. |
| 23 | Attachment 2 (QASP) Enclosure 2; Attachment 1 Appendix F (Performance Matrix) | Attachment 2 (QASP) Enclosure 2 Pages 14-16 | The Performance Metrix as noted in the QASP and Appendix F do not match. Starting on page 14 of the QASP, "Project Management" through page 16, "For Non-Mission Capable Supply/Aircraft on Ground Requisitions" are repeated. | Will the Navy please revise Enclosure 2 of the QASP to remove the duplicated lines? | The Performance Metrics listed within the QASP have been corrected to remove the duplicated lines. Changes will be reflected via an RFP Amendment. |
| 24 | Attachment 2 (QASP) Enclosure 2; Attachment 1 Appendix F (Performance Matrix); PWS 5.7.1 | Schedule Changes | Under the column "Satisfactory Performance Objectives" both the QASP Enclosure 2 and the Performance Matrix state that the contractor shall provide a new schedule within 2 hours. The referenced PWS paragraph, however, states that the contractor shall have 24 hours. | Will the Navy please revise Enclosure 2 of the QASP and the Attachment 1 Appendix F Performance matrix to reflect the 24 hours stated in the PWS? | Yes. The Performance Metrics and QASP have been corrected. Changes will be reflected via an RFP Amendment. |
| 25 | Attachment 1, Appendix B | N/A | The final RFP only lists the aircraft, Engines and APUs as high value assets; however, the DRFP also listed the Nose Landing Gear, Landing Gear, Elevators, Rudder, and Ailerons as High Value Assets (HVA)? | Is it the Navy's intention to no longer include Nose Landing Gear, Landing Gear, Elevators, Rudder, and Ailerons as HVA? | This information was inadvertently omitted. The Appendices will be corrected. Changes will be reflected via an RFP Amendment. |
| 26 | Attachment 1, Appendix B, C, D, and E | N/A | Parts not listed in Attachment 1 Appendix B, C, D, or E | Please verify that items not contained in Appendix B, C, D or E will be treated as non-HVA O&As | Parts not listed in Attachment 1 Appendix B, C, D, or E shall be provided to the Government via CLIN 0X09, Supply Support. |
Please note that Appendix B will be updated and provided via an RFP amendment.
| 27 | Attachment 1, Appendix C (DSK) | N/A | Multiple kits list some parts as contractor owned while other parts are GFE. | Should the incumbent not win this contract, will the items currently identified as contractor owned be provided to the new Prime or will the new Prime be required to provide these items? | The new prime will be required to provide these items. |
| 28 | Attachment 1, Appendix E (Government Repairables) | N/A | Only 1 repairable is identified at Oceana and 5 at Whidbey Island | Please verify that this list is correct. If so, is it the Navy's intent for the contractor to stock these sites at similar levels as North Island, Jacksonville, and Fort Worth? | The Appendix E listing is correct. The supply support methodology, in order to meet the requirements of the contract, is at the discretion of the Contractor. |
| 29 | Tech Data - four year CLS Spares Parts Usage Report Oct 2010 Aug 2014 | N/A | The first 4 ½ pages do not include the “Qty” of the part number referenced | It is assumed that is an error. Will the Navy please provide the omitted information? | No. The first 4 ½ pages represent only the first 60 days of the 5 year contract. Additional data is not available at this time. The quantities for this 60 day period of the total 5 year data set, while not available, are not necessary for offerors to propose. |
| 30 | Solicitation | Section B | In Section B of the RFP, all Firm Fixed Price CLINs are defined by a Maximum Quantity which, when multiplied by the FFP Unit Price will produce the Maximum Amount in the total column. | What is meant by the “NET AMT” in the total column? | For the purposes of this Solicitation, the "Max Amount" in the total column and the "Max Net Amount" are the same. |
| 31 | Solicitation | Section B | Under the Section B PRICING NOTES, item B-2 states that “Proposal preparation costs are UNALLOWABLE” for proposals that will fix the number of hours required to complete the respective tasks under CLINs 0X17, 0X18, 0X33, 0X34, 0X35, and 0X40. | Please clarify the Government only means to disallow the costs as direct charges to the contract and does not object to overhead (indirect) support for these proposals. | The Government does not object to overhead (indirect) charges within the Contractor's labor rate. |
| 32 | Solicitation | Section B | Schedule B describes CLINs 0X19, 0X36, 0X38, and 0X39 as FFP, yet the Pricing Note B-5 states these CLINs will be reimbursed at cost plus any material handling charges. | That being the case, are the CLINs not operating more as Cost Reimbursable CLINs instead of FFP CLINs? | Only FFP CLINS are authorized in a Commercial Contract. While these CLINS may resemble a Cost Reimbursable arrangement, they will be FFP at the task order level. |
| 33 | Solicitation | Section E | The Government has added Note 1 to CLIN 0X43 Transition Phase-Out in the Section E acceptance and invoice documentation criteria table on pages 103-105 of 163. Note 1: The contractor shall provide parts that are “ready for issue.” A part will be ready for issue if it contains the appropriate serviceable tag. If an issued part is discovered to be in other than ready for issue condition, the Government shall return the part to the service counter for replacement. | Is this an area the USN has experienced difficulty in the past and can the Government provide additional insight into their concerns? | No, The Government has not experienced difficulty in the past. The Government expects parts to be airworthy, such as a serviceable 8130 tag, and if the Navy receives a bad/defective part, it is expected that a replacement part shall be provided at no additional cost under the FFP CLIN structure. |
| 34 | PWS | 3.2 | PWS section 3.2 requires Contractors to establish an ACA or license agreement with three OEMs to ensure appropriate coordination and integration of work on the C-40A program. | Do the OEMs have a requirement in their respective Aircraft, Engine, and Aft Airstair contracts to enter into ACA with potential CLS contractors? | There is no requirement for the OEMs to establish relationships with potential CLS contractors. |
| 35 | PWS | 3.10 | PWS section 3.10 describes the management of Government and Contractor Equipment/Property, yet there are no FAR/DFARS Part 45/Part 245 Government Property clauses in the RFP except in PWS section 17.0 as it relates to High Value Assets and Supply Support (CLIN 0X19). | Does the Government intend to include FAR/DFARS property clauses through amendment to the solicitation? | The Government believes that the appropriate FAR clauses have already been included in the RFP. Please refer to Section I - Contract Clauses. FAR Clause 52.245-1 Alt I, Government Property (Apr 2012) Alternate I, is incorporated by reference. |
DFARS Clause 252.245-7000 Government-Furnished Mapping, Charting, and Geodesy Property; DFARS Clause 252.245-7001 Tagging, Labeling, and Marking of Government-Furnished Property; DFARS Clause 252.245-7002 Reporting Loss of Government Property; DFARS Clause 252.245-7003 Contractor Property Management System Administration; and DFARS Clause 252.245-7004 Reporting, Reutilization, and Disposal will all be included via an RFP Amendment.
| 36 | Solicitation | Section J | The Government’s responses to questions 50 and 51 dated 09 August 2014 indicated Wage Determinations for each site would be provided as attachments to the Final RFP. | Is it still the Government’s intent to provide those Wage Determinations, and if so, when will those documents be provided? | The Government will provide the appropriate Wage Determinations for each operating site via an RFP amendment. |
| 37 | Solicitation | Section B | N/A | In reference to CLINs 0207, 0307, 0407, and 0421 in Section B – Supplies or Services and Prices, is it correct to assume that “RESERVED” is included as a placeholder for the location and offerors should include the amounts shown in the Section B-4 table (even if not included in the max amount column) as part of the submitted Section B? | Yes, the Offeror shall include the prices shown for CLINs 0207, 0307, 0407, and 0421 in Pricing Note B-4 table as part of the submitted Section B. |
| 38 | Solicitation | Section B | Section B – Supplies or Services and Prices does not contain a dollar amount in the Max Amount column for CLINs 0038 and 0436. | Is it correct that offerors should include the amounts shown in the Section B-4 table as part of the submitted Section B? | Yes, the Offeror shall include the prices shown for CLINs 0X36 and 0X38 in Pricing Note B-4 table as part of the submitted Section B. |
| 39 | PWS & Attachment 2 - QASP | 5.4.1, App F, & QASP | PWS 5.4.1 states: “The Squadron Maintenance Officer (MO) will notify the Contractor no less than 24 hours in advance of an anticipated change to a work shift starting time (core hours). The Contractor shall modify their work hours to accommodate the change and provide the new schedule to the MO within 24 hours prior to the new work shift start time”. |
PWS Appendix F, Performance Metrics, and QASP Enclosure 2 state: “When MO notifies Contractor with schedule changes, the Contractor shall provide a new schedule within 2 hours”.
| Will the Government provide clarification as to whether the new work shift schedule is to be provided within 24 hours or 2 hours? | 24 hours is correct. The Performance Metrics and QASP will be corrected via an RFP Amendment. | |||
| 40 | Section L Part B Specific Instructions | 2.0 VOLUME 2: PAST PERFORMANCE Para 2.1 (e) “Small Business Concerns Participation Goals” | ||
| 3.0 VOLUME 3: TECHNICAL Para 3.5 “Small Business Utilization” | The Past Performance ITO requires offerors to “Note whether the contract met or exceeded small business, small disadvantaged business, small business HUB Zone, veteran-owned small business, service disabled veteran owned small business, women-owned small business participation and subcontracting goals”. |
The Technical Volume ITO requires “copies of the final or most recent SF 294s/Individual Subcontracting Reports (ISRs) for the most current three relevant contracts, that best demonstrate the Offeror's ability to achieve the proposed subcontracting goals”.
Is it the Governments intent to evaluate the same Past Performance information in the Past Performance and Technical evaluation factors? Please clarify how Past Performance information contained in SF 294s will be evaluated in the Technical Factor. Will this information recieve a relevancy rating in Technical Subfactor 3.5 “Small Business Utilization”? No, the Government will not be evaluating the same Past Performance information in the Past Performance and Technical volumes. RFP Section L 2.0 Vol 2 Para 2.1(e) states the Contractor shall note whether it met or exceeded its small business sub-contracting goals for the contract(s) submitted. In contrast, RFP Section L 3.0 Vol 3 Para 3.5 states the Contractor will demonstrate its ability to achieve the proposed sub-contracting goals.
No, there will not be a separate relevancy rating in Technical Subfactor 3.5 for "Small Business Utilization."
Please see Section M for details regarding how the Government will evaluate this information in both volumes.
| 41 | Section L Part B Specific Instructions, Section M Part B General Instructions & Attachment 1 Performance Work Statement | Section L 1.0 Volume 1, Section M 3.0, PWS 3.1 & 3.2 | The referenced Sec. M information states a Technical Risk Rating will be assigned that “reflects the degree to which the proposed approach meets… capability requirements”. The PWS requires contractors shall hold current CFR Part 121 Certificates, CFR Part 145 certificates, and OEM License Agreements. Furthermore, the referenced Sec. L information states “Offerors are highly encouraged, but not required, to submit the certificates and license agreements with their proposal submitted as part of Volume 1—Executive Summary.” | Will the Government recognize that any offeror that cannot provide the appropriate FAA Certificates and OEM License Agreements in their proposal can not demonstrate compliance with solicitation requirements and is at risk of causing significant disruption of schedule or degradation of performance? How will the Government evaluate risk in this area? | This risk has been considered and assumed by the Government. The Government does not intend to change the requirement. |
| 42 | Appendix A Maintenance Inspection Schedule & Section B Supplies or Services and Prices | Appendix A Section 166695, 168980, 168981 & Section B CLIN 0X22-0X29 | It appears that Appendix A - Maintenance Inspection Schedule does not reflect the most current C-40A Maintenance Plan Calendar release as of 03/15/2015. The file submitted in DFSS-2015-0093-MRM RFP Questions shows dates that conflict with the C-40A Maintenance Plan Calendar highlighted in yellow while the current/correct schedule dates are in red. |
The quantities provided for CLIN 0X22-0X29 do not reflect the most current C-40A Maintenance Plan Calendar release as of 03/15/2015. Outdated quantities are highlighted in yellow and current quantities are in red. We provided the corresponding c-check for each quantity.
| Is the Government aware the RFP does not contain the most current C-40A maintenance schedule as Appendix A? If yes, this directs all offerors to bid to the RFP as is which may require change proposals once the contract is awarded. If no, recommend the updated maintenance schedules be released for all offerors. | Appendix A has been updated to include the most current information and will be provided with the amended RFP. | |||
| 43 | Appendix B High Value Assets & Appendix E Government Repairables | Appendix B & E | It appears the Aircraft Table, Engine table, APU Tables and Aircraft Locations do not reflect delivery of 168980 & 168981, and transfer of 166695 from OCE to WI. |
It also appears there are some Government Owned repairables not included in Tables for appendix B or E. The items omitted from the Appendix E table are the LMLG or RMLG.
Other items not included are the #3 Slat Assembly, #6 Slat Assembly and the R/H inboard Aft Flap Assembly.
| Is the Government aware the RFP omits these items? If yes, this directs all offerors to bid to the RFP as is which may require change proposals once the contract is awarded. If no, recommend including these items in teh Appendix B High Value Assets Tables. | This recommendation is noted. The Government has updated Appendix B and it will be provided with the amended RFP. | |||||
| 44 | Appendix C | Detachment Support Kits | It appears the ownership of the Brakes and NLG Tires shown in DSK 1 & 2 is incorrect. The recommended changes for those items and other Repairables are included in DFSS-2015-0093-MRM RFP Questions. | Is the Government aware the ownership is listed in the RFP incorrectly? If yes, this directs all offerors to bid to the RFP as is which may require change proposals once the contract is awarded. If no, recommend alerting all offerors to the correct owner. | No, the government was not aware of the error, it has since been corrected in Appendix (C) and will be updated with the RFP amendment. |
45 Appendix F Performance Metric Refer to previous industry question 21: Why did the Government reduce the CONUS and OCONUS PMCS spares delivery times by 24 hours from the delivery times required on the existing CLS contract?
In the previous response to industry questions (question 21) Navy indicated that Appendix F would “be revised to reflect current delivery time requirements”. It appears Appendix F has not been updated to match the Navy's response above.
| Does the Government still plan to revise CONUS and OCONUS PMCS spare delivery times to current delivery time requirements as stated to industry? If not, this reduction in required delivery time will not result in getting the spares to the aircraft any faster than they are getting there today. Reducing the PMCS requirement by 24 hours will likely reduce the on-time delivery performance and will not result in an increase in aircraft FMC rates. | This was a transmission error. The Government has updated Appendix F and it will be provided with the amended RFP. | |||||
| 46 | Attachment 1 Performance Work Statement & Appendix F | PWS 5.9 Transportation & Performance Metric | Performance Work Statement Paragraph 5.9 Transportation and Paragraph 5.9.1 Shipping both state “the Contractor shall meet the Performance Metrics, Appendix (F).” However, in the Performance Metric document, page 4, there is a blank row where those PWS paragraph reference should be. | Is the PWS and Appendix F correct and therefore, no Performance Metric exists or is the Performance Metric missing from Appendix F? | There is no Performance Metric for PWS Paragraph 5.9, entitled Transportation and 5.9.1, entitled Shipping. These Performance metrics will be deleted from the PWS, Appendix (F), and QASP. Updates will be provided via an RFP amendment. |
47 Section H H-1 Risk of Loss Provision The current language seems to be inconsistent with our understanding of what the U.S. Government has historically stated they want Contractors to be responsible for.
Our understanding is that the U.S. Government wants Contractors to be liable for negligence and willful misconduct. With the current language, the Government does not insure assets against things such as Acts of God, but is expecting the Contractor to do so. This adds cost to the proposal which the Government does not wish to pay for.
Additionally, the RFP is silent on post-delivery responsibility which leaves it ‘gray’. All commercial MRO contracts contain commercial disclaimers in order to share the risk of loss and alleviate the need to purchase expensive hull loss insurance. This would leave the Prime Contractors exposed with no protection from the Navy but an industry standard that would prevent us from executing the contract.
Stating the contractor shall bear the entire risk of loss for an aircraft when in possession, control or custody is excessive and costly. By utilizing the language the Government sought feedback on in December 2014 + utilization of FAR 52.246-23, 24 and 25 OR accepting Commercial Disclaimers, this would allow Contractors to submit the best price proposal possibly while distributing risk to each party consistent with historical U.S. Government contracting. Does the Government want Contractors to be responsible for risk beyond negligence and willful misconduct even though these risks are un-insured when in Government possession? Is the Government aware that by being silent on Post Delivery responsibility, it could dramatically increase the price of CLS as the Prime Contractor would need to accept a Commercial Disclaimer from FAR Part 12 providers but not be granted the same protection from the Government? This would lead industry to purchase expensive hull loss insurance policies and pass along the cost. If this is not the intent, recommend utilizing the draft language the Government presented to industry in December 2014 and allow the use of FAR 52.246-23, 24 and 25 or the use of Commercial Disclaimers.
FAR Clauses 52.246-23, 24, and 25 will not be included. In accordance with FAR Subpart 46.8 -- Contractor Liability for Loss of or Damage to Property of the Government, this subpart does not apply to commercial items. Additionally, the Government does not intend to allow the use of Commercial Disclaimers.
| 48 | Attachment 1 Performance Work Statement | 9.0 ENGINE SERVICE BULLETIN CFM 72-0515, CFM 72-0581 and CFM 72-0665 INCORPORATION (CLIN 0X11) | It is not clear how when these service bulletins are to be incorporated. Usually these Service Bulletins are a part of the Long Range Maintenance Plan for the engines. Then they can be done at an engine shop visit while the HPC section is opened up and accessible. Performing this activity in the field does not appear to be the most efficient approach. | Is it the Government’s intent to incorporate Engine Service Bulletins in the field? If not then we recommend the Government revise the PWS and add work associated with service bulletins to the scope of shop visits. | This is at the discretion of the Contractor. There are no forecasted Engine Shop Visits. |
| 49 | Section L | Part A.1.0 General | Section defines Principal Subcontractors, Team Member, and Critical Team Member. Specifically, "Critical Team Member is defined as those entities of the Offeror that perform a critical function in the performance of the resulting contract . . ." |
Does the clause “those entities of the offeror” mean inter-organizational or interdivisional entities that may be transferring materials, supplies or services between divisions, subsidiaries, or affiliates of the [Offeror} under a common control as defined in FAR 31.205-26 (e) ["Allowance for all materials, supplies, and services that are sold or transferred between any divisions, subdivisions, subsidiaries, or affiliates of the contractor under a common control shall be on the basis of cost incurred in accordance with this subpart. However, allowance may be price when--"]? Restated: If Company X and Y are under common control of Company Z and Company X is bidding as a prime contractor and Company Y is providing products and services to Company X in support of Solicitation ABC, is Company Y defined as a "Critical Team Member"? See Figure 1 below.
| As per the RFP Section L, Part A, 1.0 General section definition of critical team member, "entities of the Offeror" means a subcontractor to the Offeror that performs a critical function in the performance of the resulting contract. In your example, Company Y could possibly be a critical team member depending on their function, but not just because they are under common control of a parent company. | |||||||
| 50 | Appendix B | Differences in High Value Assets (HVA) between earlier Draft RFP and current final RFP | Earlier Draft RFP Appendix B showed other HVA, besides APU and CFM56-7B engine, such as landing gear (nose and main, left and right, qty 1 each); aft airstair (qty 4), rudder, aileron, and elevator. | ||||
| Does the Navy hold spares of high value assets as reported earlier by the Navy? | Appendix B has been updated and will be provided with amended RFP. | ||||||
| 51 | PWS & Appendix E | 6.00 | Unclear regarding alignment of requirements under which CLINs | In accordance with PWS Section 6.0, Repair or Replacement of Government Owned Property (CLIN 0X08), the Contractor shall provide repair or replacement of Government Owned Property (GOP) identified in Appendices (C) and (E). High Value Assets are not included in these attachments. Should we exclude repair and replacement costs for High Value Assets, including HVA subassemblies, e.g. APU Fuel Control, from CLIN 0X08, since such pricing is included under CLINs 0X10 through 0X19? | If the item is included on the DSKs or Government Repairables List (Appendices C and E) then the repair and replacement costs are covered in CLIN 0X08. In order to clear this up, a reference to CLIN 0X08 has been added to PWS Section 15.0. These changes will be reflected via the amended RFP. |
**Please note that the APU Fuel Control is not a subassembly of the APU and would not be considered an HVA.
| 52 | PWS and Appendix I | 7.0 and 26.1 | Concern about "over and above" work covering damage to Govern- ment Owned Property due to circumstances outside contractor's control. | Are repairs to Government Owned Property, as a result of of God, public enemy or Government part of the "Over and Above" procedures? | ||
| Drop in-maintenance in PWS clause 26.1 implies "crash damage repair", as part of "…any other Over-and-Above work"; but, Attachment I: OVER AND ABOVE PROCEDURES only state these procedures applies to work "discovered during the course of performing overhaul, maintenance and repair efforts..." interpreted to narrow the scope to only that which is necessary and identified during scheduled maintenance events. Does same O&A process apply to acts of God or Government induced incidents damaging Government Owned Property? This is an assumption, but find no clear explicit reference to this effect. Please clarify. | Per the Government Furnished Property clause FAR 52.245-1 Alt 1 in the solicitation, liability for GFP (i.e., Government owned property that has been FURNISHED and is therefore in the POSSESSION of the Contractor) always rests with the Contractor (except for reasonable wear and tear or property properly consumed in the performance of the contract), and this includes loss or damage as a result of acts of God. Therefore, under this clause, such loss or damage will not be handled as Over-and-Above work, but rather will be the responsibility of the Contractor under the GFP clause. Conversely, liability for loss or damage to Government owned property that is not Government Furnished Property (i.e., Government owned property that has not yet been furnished to the Contractor and is therefore NOT in the Contractor's possession) rests with the Government, and loss or damage to such property due to acts of God or the Government is the Government's responsibility to contract for under the O&A procedures. | |||||
| 53 | Section L and Section M and Appendix F and PWS 20.0 Scheduled Depot Level Maintenance | (L) Part 3.2 Facilities and (M) Part B, 2.0, 2), Appendix F - TAT for Contractor to perform aircraft depot maintenance, and PWS 20.0 1C, 3C, 5C, AND 7C CHECKS (CLINS 0X22, 0X24, 0X26 AND 0X28) | The first sentence of the referenced Section L requirement can be interpreted to explain how the Offeror’s facilities provide all the capabilities required to conduct maintenance and demonstrate that the Offer’s depot facilities have the capacity required to meet the TAT for performing depot maintenance both existing and at the start of the program. Many of the PWS 20.0 requirements are not associated with facility capacity or capability. It is unclear where the Government requires a discussion regarding aircraft depot maintenance beyond describing how the facility is “used to conduct scheduled and unscheduled maintenance...“ | Two related questions: |
(1) In order for an Offeror’s response to be considered compliant, does the Government require an Offeror to respond to each PWS 20.0 paragraph?
(2) Will the Government clarify where a Offerors can discuss and present how it will meet the requirements of performing depot maintenance? (1) No, the Government does not require the Offeror to respond to each Paragraph within PWS Section 20.0.
(2) The Offeror shall only propose and provide discussion to those elements listed within Section L. The Offeror shall not describe things beyond the elements listed within Section L. In accordance with the PWS requirements, the Contractor shall perform scheduled and unscheduled maintenance for the C-40A aircraft in accordance with its 14 CFR Part 121 and 145 processes. Therefore, a discussion of how the offeror will meet the depot maintenance requirements is not included in Section L.
| 54 | RFP | Section I – Contract Clauses, Page 135 of 163, 52.215-20 (a) (1) (ii) (C) | RFP full text of differs from text in FAR. Outline of clause appears to have been inadvertently adjusted. Reads: (C) For items included on an active Federal Supply Service Multiple Award Schedule contract, proof that an exception has been granted for the schedule item. The offeror grants the Contracting Officer or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records to verify any request for an exception under this provision, and the reasonableness of price. For items priced using catalog or market prices, or law or regulation, access does not extend to cost or profit information or other data relevant solely to the offeror’s determination of the prices to be offered in the catalog or marketplace. | Please clarify the clause to read as it does in FAR text, as: (C) For items included on an active Federal Supply Service Multiple Award Schedule contract, proof that an exception has been granted for the schedule item. (2) The offeror grants the Contracting Officer or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records to verify any request for an exception under this provision, and the reasonableness of price. For items priced using catalog or market prices, or law or regulation, access does not extend to cost or profit information or other data relevant solely to the offeror’s determination of the prices to be offered in the catalog or marketplace. | The Government agrees that the FAR Clause 52.215-20 included in the RFP is not consistent with the format in the actual FAR. However, after researching the clause prescription further, the Government has determined that the clause does not apply and will be deleted from the RFP. This change will be reflected via an RFP amendment. |
| 55 | General | General | Layout of Passenger Accomodations (LOPA) needed. | Will the Government provide a Layout of Passenger Accommodations (LOPA) for the C40A Fleet? | The LOPA will be provided via the Offeror's Library when the RFP amendment is released to Industry. |

| 58 | PWS | Section 5.10 | Need clarification on text: The Contractor shall procure, at the Government’s expense, all consumables as required to support DSK replenishment in accordance with CLIN 0X08, Repair or Replacement of Government-Owned Property, see Paragraph 6.0. Repair or replacement costs of DSKs are covered under CLIN 0X08, Repair or Replacement of Government-Owned Property, and 0X09, Supply Support, see Paragraphs 6.0 and 7.0. | Is the Contractor required to buy and charge the government for the GOP items required in the DSKs or will the government provide the initial units? | No the Contractor is not required to buy and charge the Government for the initial Government Property items required for the DSKs. The Government will provide the initial Government Owned DSK assets to the Contractor. Repair or replacement costs of those Government Property DSK items will be handled under CLIN 0X08, "Repair or Replacement of Government Property". |
Those initial DSK items currently owned by the incumbent Contractor will be required to be supplied by the awardee. Repair or replacement costs of those items that have Parts Ownership marked as "Contractor" in Appendix C, will be handled under CLIN 0X09, "Supply Support".
