The omission of such items as delivery dates, or any other required information may cause the offer to be considered non-responsive.

3.4.2 Bid Prices

The Bid price includes the cost to obtain all permits and licenses that may be required to perform the services required for the Contract. Submit unit or hourly prices if requested. All prices quoted shall include all packing, handling, shipping charges, and the warranty provisions and requirements as listed in these specifications, FOB delivered and unloaded at the designated location(s). If assembly is required, offered prices shall include all costs associated with delivery, assembly, set-up and proper disposal of packaging materials. The offer price shall be exclusive of any sales, purchaser, or consumer tax.

Bid prices shall remain valid for 90 calendar days from bid opening unless otherwise indicated within the ITB. If the bid is accepted, prices shall remain firm for the specified Contract period.

3.4.3 Bid Pricing Form

The Bidder shall include unit and extended pricing for all equipment offered on the form provided by the City within this solicitation or may be rejected. The bid pricing form is Attachment 2 – ITB 00002676 Bid Pricing Form. In the event of a conflict between unit pricing and extended pricing, unit pricing shall prevail.

3.4.4 Bid Bond

No bid will be considered unless accompanied by a certified check, cashier’s check, or a bid bond for an amount not less than ten percent (10%) of the aggregate amount of the bid, payable to the City of Portland as a guarantee that the bid shall be irrevocable for a period of forty-five (45) calendar days after the date bids are due and time, and as liquidated damages should the Bidder fail or neglect to furnish the required performance and payment bonds and insurance and execute a Contract within seven (7) days after receiving said Contract from the City Auditor for execution.

The bid guarantees shall be retained for a period of time in accordance with City Code.

City Project 133493 Page 13 of 18 Elevator Modernization Services

If the Bidder does not enter into a Contract, the City may award the Contract to the next lowest, responsible and responsive Bidder.

3.4.5 Execution Of Contract

Exhibit A – Elevator Modernization Services Contract represents the terms and conditions that will govern the supply of the goods and/or services stated in this ITB between the City and the successful Bidder. The Bidder shall carefully review the Form of Agreement to determine its acceptability as a Contractor.

The City is not inclined to negotiate any portion of the Price Agreement, however, if the Bidder is opposed to any language stated therein, the Bidder may propose exceptions prior to the bid close by submitting a written request for negotiation to the City through the contact identified on Page 1 of this ITB. Bidders must not submit their own Standard Terms and Conditions with the Bid. Requests for entire Form of Agreement to be negotiated will not be considered. Requests must be received by December 17, 2025 to be considered.

If the City decides that a contract term can be changed, or is willing to consider negotiation of a term, an addendum will be issued. If no addendum is issued, the City will not consider negotiation of its standard contract terms. This will be the bidders only opportunity to take exception to any of the terms and conditions contained within the Contract and to request negotiation of provision contained within the Contract. Acceptance or rejection of the Bidder’s exceptions is at the sole discretion of the City.

3.4.6 Failure To Execute Contract

Failure on the part of the Bidder to whom the Contract is awarded to execute the Contract and deliver the Contract, all required bonds and insurance certificates within the time required permits the City to cancel the award of the Contract and charge Bidder for the difference in price between its bid and that of the next lowest responsible bidder.

Time is of the essence. If the Contractor fails to complete the project or to deliver the supplies and perform the services within the time specified in the Contract or any written extension thereof by the City, the actual damage to the City for the delay will be substantial but will be difficult or impractical to determine.

It is agreed that the City shall be entitled to deduct from the monies due to the Contractor according to the table below per day for each calendar day of delay. Payment of liquidated damages shall not release supplier from obligations in respect to the fulfillment of the entire Contract, nor shall the payment of such liquidated damages constitute a waiver of the City’s right to collect any additional damages which may be sustained by failure of the Supplier shall carry out the terms of the Contract, it being the intent of the parties that the liquidated damages be full and complete payment only for failure of the Supplier to complete the work on time.
