#1-INSTRUCTIONS

General Instructions
1. There are 6 total tabs on this Price Matrix (including this "Instructions" tab), including 2 tabs for completion of compensation data for proposed subcontractor support (if applicable). Offerors may copy tab 6 in order to add additonal tabs tabs if necessary if proposing more than 2 subs for this effort.

2. Basic rule of thumb: Insert or Remove columns and rows, if necessary. Use common sense. Keep your proposal as close to the template as possible, but change it as needed to accurately reflect all costs. Offerors are responsible to ensure accurate calculations of all proposed data.

3. Do not lock, re-format, or remove any cells.

4. At a minimum, offeror shall insert appropriate information in yellow highlighted cells.

5. Failure to input data as requested in all tabs for all labor categories at all locations with yellow highlighted cells shall render a proposal ineligible for award.

6. Each prime offeror shall submit one completed and consolidated price matrix, regardless of how many subcontractors are being proposed.

#2-Total Evaluated Price (TEP)
DIRECTIONS:

1. Offeror shall complete all yellow highlighted cells. This tab will auto-calculate the Total Evaluated Price after offeror input.

2. The total evaluated price shall equal the total of the extended amounts in the SF 33 Extended of all CLINs.

3. If any labor categories are proposed to be subcontracted, the prime offeror shall consolidate all subcontractor compensation data from the appropriate tab for subcontractor data, apply any applicable prime offeror indirect costs, and insert the resulting fully burdened rate in the appropriate cell.

4. The offer shall input (Row 92) its approved, total applicable indirect burden rate percentage (%) it would apply to the Cost CLIN plug amount (e.g., material overhead, G&A, etc.). This rate shall be shown as a single number. The Government plug amount for COST CLINs for travel and surge shall not be changed.

5. Offerors shall identify each proposed position as exempt or non-exempt with the Fair Labor Standards Act (FLSA) in column E. For proposed non-exempt personnel, offerors shall include the correlating proposed FLSA occupation code (column F) and FLSA labor category (column G). For proposed “exempt” personnel, offerors shall include the correlating proposed Bureau of Labor Statistics (BLS) occupation code (column F) and correlating BLS labor category (column G).

6. Offerors shall complete column T (as applicable) providing its proposed subcontractor name for all proposed subcontracted personnel.

#3-Compensation Plan (Prime)
DIRECTIONS:

1. Fill in the total Average Rate percentage (%) for Fringe at the top of the spreadsheet. This percentage should only reflect the average rate of fringe benefits actually recevied by personnel proposed for this effort.

2. Fill in the unburdened hourly rate for each position at each location.

3. Fill in the rate of fringe benefits that will actually be received by each proposed employee for this effort only (for example: applicable Paid time off (PTO) (i.e.sick/annual/administrative leave and holidays), applicable locality pay (CONUS), applicable incentive pay, escalation (if applicable), etc.) for all listed labor categories in all listed locations by completing the yellow highlighted cells. 'Fringe Benefit Elements' included in the proposed rate must be detailed in the Compensation Plan Narrative and include what is actually as needed to accurately reflect fringe benefits that will actually be received by each employee.

4. Fill in the Fully Burdened Labor Rate (inclusive of salary, fringe, indirect and other costs as applicable). The FBLR in this tab MUST match the data provided in Tab #2, TEP.

5. If any of the labor categories listed on this tab are proposed to be subcontracted, the prime offeror shall identify which positions with a “S”.

6. It is the prime contractor’s responsibility to obtain and consolidate applicable subcontractor compensation data showing the actual unburdened direct rate, fringe rate, compensation plan narrative, and FBLR for each proposed subcontractor personnel.

7. The Government will not accept direct submission from any subcontractor.

8. Failure to input unburdened direct salaries with an accompanying submission of that subcontractor's Compensation Data (and supporting narrative) shall render a proposal ineligible for award.

9. Offerors are cautioned that FAR Clauses 52.215-22 and 52.215-23 are applicable and incorporated.

10. Offerors may add additional columns and rows, providing the minimum data is included.

#4 - OCONUS Compensation Data
DIRECTIONS:

1. Fill in the total Average Rate percentage (%) for Fringe at the top of the spreadsheet. This percentage should only reflect the average rate of fringe benefits actually recevied by personnel proposed for this effort. If applicable, fill in the proposed rate for HOLA and/or COLA.

2. Fill in the unburdened hourly rate for each position at each location.

3. 5. If any of the labor categories listed on this tab are proposed to be subcontracted, the prime offeror shall identify which positions with a “S”.

#5 - #6 Subcontractor Compensation Plan (if applicable)
DIRECTIONS:

Follow the same instructions for Tab #3 Above

52.237-10 -- Identification of Uncompensated Overtime
(a) Definitions. As used in this provision --
“Adjusted hourly rate (including uncompensated overtime)” is the rate that results from multiplying the hourly rate for a 40-hour work week by 40, and then dividing by the proposed hours per week which includes uncompensated overtime hours over and above the standard 40-hour work week. For example, 45 hours proposed on a 40-hour work week basis at $20 per hour would be converted to an uncompensated overtime rate of $17.78 per hour ($20.00 x 40 divided by 45 = $17.78).
“Uncompensated overtime” means the hours worked without additional compensation in excess of an average of 40 hours per week by direct charge employees who are exempt from the Fair Labor Standards Act. Compensated personal absences such as holidays, vacations, and sick leave shall be included in the normal work week for purposes of computing uncompensated overtime hours.
(b)
(1) Whenever there is uncompensated overtime, the adjusted hourly rate (including uncompensated overtime), rather than the hourly rate, shall be applied to all proposed hours, whether regular or overtime hours.
(2) All proposed labor hours subject to the adjusted hourly rate (including uncompensated overtime) shall be identified as either regular or overtime hours, by labor categories, and described at the same level of detail. This is applicable to all proposals whether the labor hours are at the prime or subcontract level. This includes uncompensated overtime hours that are in indirect cost pools for personnel whose regular hours are normally charged direct.
(c) The offeror’s accounting practices used to estimate uncompensated overtime must be consistent with its cost accounting practices used to accumulate and report uncompensated overtime hours.
(d) Proposals that include unrealistically low labor rates, or that do not otherwise demonstrate cost realism, will be considered in a risk assessment and will be evaluated for award in accordance with that assessment.
(e) The offeror shall include a copy of its policy addressing uncompensated overtime with its proposal.

52.237-10 -- Identification of Uncompensated Overtime

(a) Definitions. As used in this provision -- “Adjusted hourly rate (including uncompensated overtime)” is the rate that results from multiplying the hourly rate for a 40-hour work week by 40, and then dividing by the proposed hours per week which includes uncompensated overtime hours over and above the standard 40-hour work week.

Compensation Plan. The offeror shall submit a compensation plan for proposed prime and subcontractor personnel. The compensation plan shall include the proposed unburdened rates that will actually be paid to the employee as compensation as instructed within Atch 6 – Price Matrix (compensation plan Tab(s)), as well as, fringe benefits proposed for personnel, including prime and subcontractor personnel, who will work under the resulting contract. The compensation plan shall describe the offeror’s ability to provide uninterrupted high-quality work, the impact upon recruiting and retention of employees, along with the realism of the compensation plan. The compensation plan shall include supporting documentation such as recognized national and regional compensation surveys and studies of professional, public and private organizations, or current employee data used in establishing the total compensation structure including base labor rates. Any offeror’s total evaluated price, considered low without valid explanation, may be considered as proposing an unacceptable risk to the Government. Compensation levels (unburdened salary rates and fringe benefits) of employees for performance in the same positions shall not be reduced as a result of this effort. A proposal including compensation levels lower than those of predecessor contracts for the same work will be evaluated on the basis the offeror’s ability to maintain mission continuity, uninterrupted high-quality of work, and availability of required, qualified professional personnel. Proposed compensation levels are binding.

*When describing the salaries and associated fringe benefits and/or labor related elements offered within the plan, offerors shall separately list elements for CONUS and OCONUS which are included within the unburdened annual salaries (proposed within Atc-6 Price Matrix “Compensation Data” tab(s)) and which are not included, but still offered as part of personnel compensation and therefore part of the fully burdened labor rates (for example OCONUS DBA Insurance). Offerors shall add columns as needed to identify any proposed, additional elements. Reference Atch 6, “Instructions” tab for those minimum cost elements that shall be included within the unburdened direct annual salaries within the “Total Compensation” tab as applicable.
