#1-INSTRUCTIONS

General Instructions
1. There are 8 total tabs on this Price Matrix (including this "Instructions" tab), including 4 tabs for completion of compensation data for proposed sucontractor support (if applicable).

2. Basic rule of thumb: Insert or Remove rows, if necessary. Use common sense. Keep your proposal as close to the template as possible, but change it as needed to accurately reflect all costs.

3. Do not lock, re-format, or remove any cells.

4. At a minimum, offeror shall insert appropriate information in yellow highlighted cells. The Government has locked some cells that shall not be modified.

5. Failure to input data as requested in all tabs for all labor categories at all locations with yellow highlighted cells shall render a proposal ineligible for award.

6. Each prime offeror shall submit one completed and consolidated price matrix, regardless of how many subcontractors are being proposed.

#2-Total Evaluated Price (TEP)
1. Offeror shall complete all yellow highlighted cells. This tab will auto-calculate the Total Evaluated Price after offeror input.

2. The total evaluated price shall equal the total of the extended amounts in the SF 33 Extended of all CLINs.

3. If any labor categories are proposed to be subcontracted, the prime offeror shall consolidate all subcontractor compensation data from the appropriate tab for subcontractor data, apply any applicable prime offeror indirect costs, and insert the resulting fully burdened rate in the appropriate cell.

4. The Government plug amount for COST CLINs for travel and surge shall not be changed.

#3-Compensation Data (Prime Offeror)
DIRECTIONS:

1. Fill in the Rate percentage (%) for Fringe, OH, G&A, and Fee as applicable at the top of the spreadsheet.

2. Fill in the unburdened hourly rate for each position at each location.

3. This tab requires offeror input of the applicable unburdened direct annual salary and fringe benefits that will actually be received by each employee. The proposed unburdened direct annual salary shall be inclusive of the base salary, fringe benefits specifically related to paid Paid time off (PTO) (i.e.sick/annual/administrative leave and holidays), applicable locality pay (CONUS), incentive pay (if applicable), and escalation (if applicable), etc.) for all listed labor categories and clearance requirements (S or TS/SCI clearance) in all listed locations by completing the yellow highlighted cells. This tab only includes those positions currently filled by an incumbent employee as of RFP release for purposes of evaluating the proposed compensation.

4. If any of the labor categories listed on this tab are proposed to be subcontracted, the prime offeror shall identify which positions with a “S” in Column B, and add the name of the Subcontractor in Column S.

5. It is the prime contractor’s responsibility to obtain and consolidate applicable subcontractor compensation data showing the applicable unburdened direct rate and fringe for the labor categories that the subcontractor is proposed to provide.

6. The Government will not accept direct submission from any subcontractor.

7. Failure to input unburdened direct salaries for all listed labor categories at all listed locations or the name of the subcontractor in column S with an accompanying submission of that subcontractor's Compensation Data shall render a proposal ineligible for award.

#4 - OCONUS Compensation Data
1. This tab requires offeror input of the applicable unburdened direct annual salary and fringe benefits that will actually be received by each employee. The proposed unburdened direct annual salary shall be inclusive of the base salary, fringe benefits specifically related to paid Paid time off (PTO) (i.e.sick/annual/administrative leave and holidays), applicable locality pay (CONUS), incentive pay (if applicable), and escalation (if applicable), etc.) Cost of Living Allowance (OCONUS), Education Allowance (OCONUS), Living Quarters Allowance (OCONUS), for all listed labor categories and clearance requirements (S or TS/SCI clearance) in all listed locations by completing the yellow highlighted cells. This tab only includes those positions currently filled by an incumbent employee as of RFP release for purposes of evaluating the proposed compensation.
#5 - #8 Subcontractor Compensation Plan (if applicable)
1. It is the prime contractor’s responsibility to obtain and consolidate applicable subcontractor compensation data showing the applicable unburdened direct rate and fringe for the labor categories that the subcontractor is proposed to provide.

2. The Government will not accept direct submission from any subcontractor.

3. Failure to input unburdened direct salaries for all listed labor categories at all listed locations or the name of the subcontractor in column S with an accompanying submission of that subcontractor's Compensation Data shall render a proposal ineligible for award.

52.237-10 -- Identification of Uncompensated Overtime
(a) Definitions. As used in this provision --
“Adjusted hourly rate (including uncompensated overtime)” is the rate that results from multiplying the hourly rate for a 40-hour work week by 40, and then dividing by the proposed hours per week which includes uncompensated overtime hours over and above the standard 40-hour work week. For example, 45 hours proposed on a 40-hour work week basis at $20 per hour would be converted to an uncompensated overtime rate of $17.78 per hour ($20.00 x 40 divided by 45 = $17.78).
“Uncompensated overtime” means the hours worked without additional compensation in excess of an average of 40 hours per week by direct charge employees who are exempt from the Fair Labor Standards Act. Compensated personal absences such as holidays, vacations, and sick leave shall be included in the normal work week for purposes of computing uncompensated overtime hours.
(b)
(1) Whenever there is uncompensated overtime, the adjusted hourly rate (including uncompensated overtime), rather than the hourly rate, shall be applied to all proposed hours, whether regular or overtime hours.
(2) All proposed labor hours subject to the adjusted hourly rate (including uncompensated overtime) shall be identified as either regular or overtime hours, by labor categories, and described at the same level of detail. This is applicable to all proposals whether the labor hours are at the prime or subcontract level. This includes uncompensated overtime hours that are in indirect cost pools for personnel whose regular hours are normally charged direct.
(c) The offeror’s accounting practices used to estimate uncompensated overtime must be consistent with its cost accounting practices used to accumulate and report uncompensated overtime hours.
(d) Proposals that include unrealistically low labor rates, or that do not otherwise demonstrate cost realism, will be considered in a risk assessment and will be evaluated for award in accordance with that assessment.
(e) The offeror shall include a copy of its policy addressing uncompensated overtime with its proposal.

52.237-10 -- Identification of Uncompensated Overtime

(a) Definitions. As used in this provision -- “Adjusted hourly rate (including uncompensated overtime)” is the rate that results from multiplying the hourly rate for a 40-hour work week by 40, and then dividing by the proposed hours per week which includes uncompensated overtime hours over and above the standard 40-hour work week. For example, 45 hours proposed on a 40-hour work week basis at $20 per hour would be converted to an uncompensated overtime rate of $17.78 per hour ($20.00 x 40 divided by 45 = $17.78). “Uncompensated overtime” means the hours worked without additional compensation in excess of an average of 40 hours per week by direct charge employees who are exempt from the Fair Labor Standards Act. Compensated personal absences such as holidays, vacations, and sick leave shall be included in the normal work week for purposes of computing uncompensated overtime hours.

(b)

(1) Whenever there is uncompensated overtime, the adjusted hourly rate (including uncompensated overtime), rather than the hourly rate, shall be applied to all proposed hours, whether regular or overtime hours.

(2) All proposed labor hours subject to the adjusted hourly rate (including uncompensated overtime) shall be identified as either regular or overtime hours, by labor categories, and described at the same level of detail. This is applicable to all proposals whether the labor hours are at the prime or subcontract level. This includes uncompensated overtime hours that are in indirect cost pools for personnel whose regular hours are normally charged direct.

(c) The offeror’s accounting practices used to estimate uncompensated overtime must be consistent with its cost accounting practices used to accumulate and report uncompensated overtime hours.

(d) Proposals that include unrealistically low labor rates, or that do not otherwise demonstrate cost realism, will be considered in a risk assessment and will be evaluated for award in accordance with that assessment.

(e) The offeror shall include a copy of its policy addressing uncompensated overtime with its proposal.

The compensation plan shall include the proposed unburdened rates that will actually be paid to the employee as compensation as instructed within Atch 1 – Price Matrix Workbook (Compensation Tab(s), as well as fringe benefits proposed for the professional employees, who will work under the resulting contract. The offeror’s compensation plan shall describe the offeror’s ability to provide uninterrupted high-quality work, the impact upon recruiting and retention of employees, along with the realism of the compensation plan. The offeror shall include supporting documentation such as recognized national and regional compensation surveys and studies of professional, public and private organizations, or current employee data used in establishing the total compensation structure including base labor rates. Any offeror’s total evaluated price, considered low without valid explanation, may be considered as proposing an unacceptable risk to the Government. Compensation levels (unburdened salary rates and fringe benefits) of employees for performance in the same positions shall not be reduced as a result of this effort. A proposal including compensation levels lower than those of predecessor contracts for the same work will be evaluated on the basis the offeror’s ability to maintain mission continuity, uninterrupted high-quality of work, and availability of required, qualified professional personnel. Proposed compensation levels are binding.

Compensation Plan. The offeror shall submit a compensation plan for proposed prime and subcontractor personnel. The compensation plan shall include the proposed unburdened rates that will actually be paid to the employee as compensation as instructed within Atch 1 – Price Matrix Workbook (Compensation Tab(s), as well as fringe benefits proposed for the professional employees, who will work under the resulting contract. The offeror’s compensation plan shall describe the offeror’s ability to provide uninterrupted high-quality work, the impact upon recruiting and retention of employees, along with the realism of the compensation plan. The offeror shall include supporting documentation such as recognized national and regional compensation surveys and studies of professional, public and private organizations, or current employee data used in establishing the total compensation structure including base labor rates. Any offeror’s total evaluated price, considered low without valid explanation, may be considered as proposing an unacceptable risk to the Government. Compensation levels (unburdened salary rates and fringe benefits) of employees for performance in the same positions shall not be reduced as a result of this effort. A proposal including compensation levels lower than those of predecessor contracts for the same work will be evaluated on the basis the offeror’s ability to maintain mission continuity, uninterrupted high-quality of work, and availability of required, qualified professional personnel. Proposed compensation levels are binding.
52.237-10 -- Identification of Uncompensated Overtime

(a) Definitions. As used in this provision -- “Adjusted hourly rate (including uncompensated overtime)” is the rate that results from multiplying the hourly rate for a 40-hour work week by 40, and then dividing by the proposed hours per week which includes uncompensated overtime hours over and above the standard 40-hour work week.
