SMC 52.45-3 SMC 52.45-3 BASE SUPPORT ALT 1 (JUL 2009)

Base support shall be provided by the Government to the Contractor in accordance with this SCR. Failure by the Contractor to comply with the requirements of this SCR shall release the Government, without prejudice, from its obligation to provide base support by the date(s) required. If warranted, and if the Contractor has complied with the requirements of this SCR, an equitable adjustment shall be made if the Government fails to provide base support by the date(s) required.

(a) Base support includes Government-controlled working space, material, equipment, services (including automatic data processing), or other support (excluding use of the Defense Switched Network (DSN)) which the Government determines can be made available at, or through, any Air Force installation where this contract shall be performed. All Government property in the possession of the Contractor, provided through the base support SCR, shall be used and managed in accordance with the Government Property clauses.

(b) The Air Force installations providing the support shall be listed in subparagraph (e), and the Government support to be furnished by each installation under this contract shall be listed in subparagraph (f).

(c) Unless otherwise stipulated in the contract schedule, base support shall be provided on a no-charge-for-use basis and the value shall be a part of the Government's contract consideration.

(d) The Contractor agrees to immediately report (with a copy to the cognizant CAO) inadequacies, defective Government-Furnished Property (GFP), or nonavailability of support stipulated by the contract schedule, together with a recommended plan for obtaining the required support. The Government agrees to determine (within 10 workdays) the validity and extent of the involved requirement and the method by which it shall be fulfilled (e.g., purchase, rental, lease, GFP, etc.). Facilities shall not be purchased under this SCR. Additionally, the Contractor (or authorized representative) shall not purchase, or otherwise furnish any base support requirement provided by the SCR (or authorize others to do so), without prior written approval of the Contracting Officer regarding the price, terms, and conditions of the proposed purchase, or approval of other arrangements.

(e) Following are installations where base support will be provided at CCAFS and VAFB.

(f) The Government support to be furnished under this contract is idenitfied in CCAFS and VAFB Base Support agreements Sec J attachments. Because of the nature and location(s) of the work performed, the value of such equipment is undeterminable. The Contractor shall not incur any cost resulting from nonsupport prior to Contracting Officer concurrence in accordance with this SCR.

(End of SCR)

Alternate I.

(g) When this contract is a cost, cost-reimbursement, time-and-materials, or labor hour contract, the Contractor agrees that, in the performance of this contract or any major subcontract, no direct or indirect costs for property will be incurred if the Government determines that property is available at, or through any Air Force installation where this contract shall be performed. Only the prior written approval of the Contracting Officer can relieve the Contractor from this restriction.

SMC-52.15-3-1 ENABLING CLAUSE FOR GENERAL SYSTEMS ENGINEERING AND INTEGRATION (SMC 52.15-3-1) (AUG 2008)

a. This contract covers part of the LRSW Launch program which is under the general program management of SMC/LRSW. The Air Force has entered into a contract with The Aerospace Corporation for the services of a technical group, which will support the DoD program office by performing General Systems Engineering and Integration.

b. General Systems Engineering and Integration (GSE&I) deals with overall system definition; integration both within the system and with associated systems; analysis of system segment and subsystem design; design compromises and tradeoffs; definition of interfaces; review of hardware and software, including manufacturing and quality control; observation, review and evaluation of tests and test data; support of launch, flight test, and orbital operations; appraisal of the contractors' technical performance through meetings with contractors and subcontractors, exchange and analysis of information on progress and problems; review of plans for future work; developing solutions to problems; technical alternatives for reduced program risk; providing comments and recommendations in writing to the DoD System Program Manager and/or Project Officer as an independent technical assessment for consideration for modifying the program or redirecting the contractor's efforts; all to the extent necessary to assure timely and economical accomplishment of program objectives consistent with mission requirements.

c. In the performance of this contract, the contractor agrees to cooperate with The Aerospace Corporation by responding to invitations from authorized personnel to attend meetings; by providing access to technical information and research, development planning data such as, but not limited to, design and development analyses; test data and results; equipment and process specifications; test and test equipment specifications and procedures, parts and quality control procedures, records and data; manufacturing and assembly procedures; and schedule and milestone data; all in their original form or reproduced form and including cost* data; by delivering data as specified in the Contract Data Requirements List; by discussing technical matters relating to this program; by providing access to contractor facilities utilized in the performance of this contract; and by allowing observation of technical activities by appropriate Aerospace technical personnel. The Aerospace personnel engaged in general systems engineering and integration effort are authorized access to any technical information pertaining to this contract.

d. The contractor further agrees to include in each subcontract a clause requiring compliance by subcontractor and succeeding levels of subcontractors with the response and access provisions of paragraph (c) above, subject to coordination with the contractor. This agreement does not relieve the contractor of its responsibility to manage the subcontracts effectively and efficiently nor is it intended to establish privity of contract between the Government or The Aerospace Corporation and such subcontractors.

e. The Aerospace Corporation personnel are not authorized to direct the contractor in any manner. The contractor agrees to accept technical direction as follows:

1. Technical direction under this contract will be given to the contractor solely by the Contracting Officer or the Contracting Officer's Technical Representative.

2. Whenever it becomes necessary to modify the contract and redirect the effort, a Change Order signed by the Contracting Officer or a Supplemental Agreement signed by both the Contracting Officer and the Contractor will be issued.

* Cost data is defined as information associated with the programmatic elements of life cycle (concept, development, production, operations, and retirement) of the system/program. As defined, cost data differs from "financial" data, which is defined as information associated with the internal workings of a company or contractor that is not specific to a project or program.

SMC-52.3-1 FINANCIAL CONFLICTS OF INTERESTS (MAY 2009)

a.

The contractor shall maintain a written, rigorous, corporate-wide, conflict of interest set of policies. The policies put in place by this provision shall address all major areas of personal COIs including, but not necessarily limited to, gifts, outside activities and financial interests. (The rules found at 5 C.F.R. Part 2635 are a useful guide for developing these policies.)

b.

Except as provided below, the Contractor shall not assign an employee to, nor allow any employee under this contract to participate in, any matter in which that employee or that employee's spouse, minor child or household member has a financial interest. "Financial interest" shall have the same meaning as given to it at 5 C.F.R. Part 2635, Subpart D, and shall include, but not be limited to, acceptance of any gift or participation in any non-arm's length transaction.

c.

The Contractor shall obtain and maintain a financial disclosure statement from each employee assigned to perform support tasks for the Government under this contract (or, if this is a Blanket Purchase Agreement or some other form of task or delivery order contract, under any order issued under such BPA or contract). The financial disclosure statement shall: (1) list any financial interests as defined above, (2) be obtained not later than each employee's initial assignment to a support task under this contract, (3) be updated at least annually, and (4) be reviewed by the Contractor with each employee on an annual basis during the term of this agreement. All such records shall be considered "reports" of performance, as that term is used in FAR 52.215-2, "Audit and Records - Negotiation", and subject to the terms and conditions of that clause.

d.

For each employee who performs a task in violation of this prohibition, the price of the contract shall be reduced by the product of the hourly rate prescribed in the schedule (including wages, indirect costs, general and administrative expenses and fee or profit), multiplied by the number of hours in which that employee was performing the task in violation of this prohibition. In the event the contract does not specify such an hourly rate, the contract price shall be reduced by the cost that would otherwise have been charged to the contract for use of that employee (including wages, indirect costs, general and administrative expenses) and a proportionate amount of fee or profit. Direct and indirect costs allocable to the expended hours or costs for which the contract price has been reduced shall be accounted for as unallowable costs and shall not be charged to this or any other Government contract.

e.

Whenever the Contractor wishes to assign an employee to perform any effort under this contract notwithstanding the fact that the employee has a financial conflict of interest, the Contractor shall, before making the assignment, obtain a written waiver from the Contracting Officer by submitting a written request for waiver including all relevant supporting information. The Contracting Officer shall have the sole discretion to grant or deny the waiver, in whole or in part.

f.

The Contractor shall maintain an audit program to verify compliance with this clause and shall report annually, in writing, to the Contracting Officer that it has complied with the terms and conditions in this clause. In addition, it will provide an annual compilation of conflicts of interest that arose and their disposition.

g.

The Contractor shall immediately notify the Contracting Officer of any violation or possible violation of this clause as soon as it is identified.

h.

Failure to comply with this clause shall be grounds for default termination of this contract.

i.

The restrictions contained in this clause shall be included in all subcontracts, teaming arrangements and other agreements calling for performance of work under this contract unless waived in writing by the Contracting Officer.

SMC-H003 LAUNCH AND RANGE SYSTEMS WING (LRSW) SE&I ORGANIZATIONAL CONFLICT OF INTEREST (OCI) (TAILORED) (JAN 2009)

Launch and Range Systems Wing Organizational Conflict of Interest (Jan 2009) (Tailored)

In accordance with SMC-L001, this clause is a DRAFT and is expected to be negotiated and tailored by the parties depending on the unique circumstances of the Offeror, prior to contract award.

(a) The following definitions, restrictions and administrative requirements apply to this contract to prevent conflicting roles which may bias the Contractor's judgment or objectivity, or to preclude the Contractor from obtaining an unfair competitive advantage in current or future LRSW launch systems acquisitions.

(b) Descriptions or definitions:

1) "Contractor" means the business entity receiving the award of this contract, its parent, affiliates, divisions and subsidiaries.

2) "Conflicted Team Member" means the Launch and Range Systems Wing (LRSW) prime contractor or any LRSW team member who has a conflicted relationship with another contractor related to LRSW.

3) "Development" means all efforts toward solution of broadly defined problems. This may encompass research, evaluating technical feasibility, proof of design and test, or engineering of programs not yet approved for acquisition or operation.

4) "Division" means a business entity that maintains organization, geographic, data separation and protection separation from the entity's parent. "Division" also means a business entity that maintains organizational, geographic, data separation and protection separation from other entities by, affiliated with, or a division or subsidiary of that parent company, corporation or organization.

5) "LRSW launch systems contracts" means the current Evolved Expendable Launch vehicle (EELV) Launch Capability (ELC) and Evolved Expendable Launch vehicle (EELV) Launch Services (ELS) contracts and any contracts for future LRSW launch systems.

6) "Mitigation plan" means a written plan submitted by the Contractor delineating the process it will put in place to avoid, neutralize or mitigate any identified OCI arising from the performance of this contract by it or any subcontractor or team member. Firewalls, standing by themselves, may not be used to mitigate OCIs based on bias or impaired objectivity but may be useful even in those cases. Firewalls should include the following, as applicable:

(i) "Organizational Separation" means the management, program staff, and administrative support staff of the "division" participating in this contract resides in a separate business entity of the parent company, corporation or organization and reports through a separate management chain than the management, program staff, and administrative support staff of any other "division" participating in the contract.

(ii) "Geographic Separation" means the physical separation of organizational divisions performing the work under this contract from other corporate entities to preclude inadvertent disclosure of information or to enhance other mitigation techniques. It includes, as appropriate, different geographical locations or controlled access space within a single facility [e.g., physically controlled by electronic badge system (badge reader), ciphered door locks for controlled access, and other appropriate controls].

(iii) "Data Separation and Protection" means the management, program staff, and administrative support staff of the "division" participating in this contract must implement and maintain information-handling procedures to ensure that data related to this contract is not accessible by the management, program staff, and administrative support staff of any other "division" participating in this contract or higher management of the parent company, corporation or organization. This separation must be controlled and monitored.

7) "Proprietary Information" means all information designated as proprietary in accordance with law and regulation, and held in confidence or disclosed under restriction to prevent uncontrolled…
