Section H - Special Contract Requirements
FA8137.52.216-H1 PROCESS AND CRITERIA FOR ISSUING TASK ORDERS (JUNE 2026)
(a) A Procuring Contracting Officer (PCO) at Tinker AFB, will issue task orders under this Multiple Award Construction Contract (MACC). One or more orders may be issued during the performance period of this contract. The Contractor agrees to accept and perform orders issued by the Contracting Officer within the scope and within the maximum value of this contract. It is understood and agreed that the Government has no obligation to issue any orders except the minimum order. In the event of any inconsistency between any order and the contract, the contract shall take precedence. The procedures in this clause shall be used for solicitation, negotiation, and award of individual task orders hereunder.
(1) Small Business Set-Aside Competition Pool (FA8137.52.216-H2(a))
(i) At the discretion of the PCO, order-by-order set-asides for socioeconomic categories identified in RFO 19.000(a)(3) in Small Business Pool only.
(2) Full and Open Competition Pool (FA8137.52.216-H2(b))
(b) Contractors who wish to be considered for award of a task order shall respond in accordance with the instructions in the Fair Opportunity Proposal Request (FOPR) and comply with RFO 16.507-2. Orders placed under this MACC Indefinite Delivery/Indefinite Quantity (IDIQ) contract will be competitively awarded using RFO 16.507-2 fair opportunity processes.
(c) Fair Opportunity: RFO 16.507-2 provides that each contractor shall be given fair opportunity to be considered for each order exceeding $2,000 and issued under multiple award contracts unless an exception exists under RFO 16.507-2. The RFO states that the method to obtain fair opportunity is at the discretion of the PCO and that the PCO must document the rationale for placement and price of each order.
(d) IAW 13 CFR 125.2, 15 U.S.C. 644, RFO 19.504, and RFO 16.507-2, Contracting Officers may, at their discretion, set aside orders under partial small business set-aside Multiple Award Contracts (MAC) and Contracting Officers are encouraged to review the award dollars under the MAC and aim to make available for award at least 50% of the award dollars under the MAC to all small business basic contract holders in the Small Business Pool. After the MAC is awarded, the Contracting Officer will review all contractors in the Small Business Pool to determine what socioeconomic categories are available for additional set-asides. Set-asides may include Small Business Administration (SBA) certified socioeconomic categories identified in RFO 19.000(a)(3), which are listed below:
(1) 8(a) participants, HUBZone small business concerns, service-disabled veteran-owned small business (SDVOSB) concerns eligible under the SDBOSB Program, and economically disadvantaged women-owned small business (EDWOSB) concerns and women-owned small business (WOSB) concerns eligible under the WOSB Program.
(2) Furthermore, there is no order of precedence among the socioeconomic categories. The Contracting Officer will document in the order file showing the apparent successful offeror's certifications in the System for Award Management (SAM) showing that the representations were reviewed.
(3) The FOPR will clearly identify any set-aside orders for socioeconomic categories listed in (d)(1).
(e) Unless otherwise determined by the PCO, the Contractor will not be required to submit mandatory proposals for every requirement. In the event that adequate competition (two or more proposals per the RFO) is not obtained following issuance of a FOPR, the Government may extend the proposal due date and require all contractors in the eligible competition pool to submit a proposal in response to the FOPR. Additionally, at the discretion of the PCO, the FOPR may require mandatory proposals for a particular site. An offeror's task order proposal shall be valid for at least 120 days from the closing date and time specified within the FOPR. The Contractor's proposal shall be furnished to the PCO within the timeframe specified in the FOPR.
(f) The Contracting Officer reserves the right to mandate proposals from every contractor in the specified competition pool to fulfill mission requirements. Mandatory proposals will be designated at the task order level if required.
(g) The Government may offer mandatory site visits before or after issuance of the FOPR. Site visit attendance will be at the expense of the Contractor.
(h) Upon receipt of proposals, the Government will evaluate the proposals and award a task order to the successful offeror. The Government will issue task orders in accordance with the evaluation criteria specified in the FOPR.
(i) The FOPR will describe how the total evaluated price for that task order will be determined and will identify the evaluation criteria and relative weights the Government will use to determine which task order proposal represents the "best value" to the Government. The PCO may use past performance information to determine "best value" when awarding the task order. If a past performance evaluation will be conducted in the individual FOPR, instructions and evaluation criteria will be provided at the FOPR level, as applicable. Any adverse performance information will be provided to the Contractor as it becomes available, and the contractor shall work with the Cognizant Contracting Officer and/or QAPC for resolution of the condition leading to the adverse performance report(s).
(j) The Government may reject any evaluated task order proposal that fails to adequately address a significant portion of the requirement or contract terms and conditions, or unreasonably high or unrealistically low in price. During evaluation, if the Government determines that the proposal is deemed to reflect an inherent lack of competence or failure to comprehend the complexity and risks of the applicable task it may not be considered for further evaluation. The Government may request data other than certified cost and pricing data to assist in this evaluation.
(k) The Government intends to award task orders without interchanges but reserves the right to conduct interchanges if necessary. Offerors are highly encouraged to submit their best offer in their initial proposal.
(l) Interchanges are the fluid exchange of information between the Contracting Officer and Offerors during the ordering process. The Government may conduct interchanges with some, none, or all offerors in its discretion. If needed, the Government reserves the right to request a formal proposal update resulting from interchanges.
A formal proposal update may be in the form of change pages.
(1) The Government reserves the right to withdraw the FOPR at any time prior to award, meaning before or after the closing date for receipt of task order proposals. In the event the Government cancels a FOPR, the Government has no obligation to reimburse an offeror for any costs. This decision shall be final and conclusive and shall not be subject to the disputes clause or the Contract Disputes Act.
(m) The Contractor shall submit the task order proposals via electronic means. Electronic copies of the proposal shall be submitted in a readable format as specified in the FOPR. The email inbox designated in the instructions for proposal preparation for any FOPR is the only point of receipt and no other United States Government (USG) point of contact will be acceptable. Ultimately, it is the offeror's responsibility to submit a timely proposal and allow sufficient time for the proposal to clear the Agency's email servers.
(n) The Government may establish options on individual task orders issued hereunder. The price proposal shall consist of the offeror's price to accomplish the basic requirements as defined in the Statement of Work (SOW). The price proposal shall also include the offeror's price to accomplish each option as applicable. Options will be evaluated IAW 52.217-5, Evaluation of Options incorporated by reference into the award and by the evaluation criteria stated in the FOPR. Evaluation of options will not obligate the Government to exercise the option(s). In the event an option is exercised, a contract modification will be issued to the task order.
(o) Task orders shall be issued in writing using DD Form 1155. All subsequent modifications shall be issued in writing using SF Form 30.
(p) The response time for each FOPR will be determined by the Contracting Officer dependent upon the needs of the Government.
(q) Upon receipt of any task order issued hereunder, the Contractor shall furnish to the Government the services, materials, and data required at the price set forth in the task order.
(r) The Contractor is not authorized to commence performance prior to issuance of the task order without the PCO's written permission.
FA8137.52.206-H2 COMPETITON POOLS (JUNE 2026)
(a) Small Business Set-Aside Competition Pool. This contract has been awarded as a "partial set aside" as defined in 13 CFR Part 125.1. The Government will set aside task orders that it estimates have a magnitude of less than $10 million. For set aside task orders, the PCO will solicit task order proposals from only those small businesses that are certified under the terms of this contract. The PCO may, at their discretion, set-aside on an order-by-order basis for SBA certified socioeconomic categories listed in RFO 19.000(a)(3) for the Small Business Set-Aside Competition Pool only.
(b) Full and Open Competition Pool. Task orders that exceed the partial set-aside standards defined in subparagraph (a) will not be set aside. For task orders that the Government estimates will have a magnitude equal to or exceeding $10 million, the PCO will solicit task order proposals from all the contractors (small and large business) who successfully submitted a proposal in response to the non-set-aside portion of the solicitation that resulted in this contract.
FA8137.52.216-H3 ON-RAMPING (JUNE 2026)
(a) The Government reserves the unilateral right to reopen competition or "on-ramp" additional contractors in either competition pool at any time during the term of the contract. The Government may choose to on-ramp any number of new awardees when the Contracting Officer determines it is in the Government's best interest to do so in order to enhance the competitive environment of FOPRs under the originally awarded IDIQ contracts. This may be due to any reason, including the lack of robust competition for FOPRs or a shrinking of the competitive pool of original effective IDIQ awardees under this solicitation.
(b) When an on-ramp is used, the Government will advertise the reopening of the competition on SAM.gov, and awardees shall meet the criteria established in the initial MACC solicitation; this includes all evaluation criteria. The evaluation and selection of awardees for any on-ramp will be exactly the same as the evaluation and award criteria used for the MACC initial basic contract awards. The anticipated number of awards for any small business and F&O pools of competition will be announced in the reopening announcement posted to SAM.gov. Any new awardees will compete with any existing or remaining Contractors for all task orders in the appropriate competition pool.
(c) The Government will incorporate via unilateral modification any updated, mandatory federal clauses (e.g., clauses arising from RFO class deviations or statutory updates). Acceptance of the unilateral modification is a mandatory condition to remain in the active bidding pool.
(d) Any additions due to on-ramps will not impact the $950 million MACC contract maximum and the ordering period for new awardees will not exceed the overall maximum term of the original ID/IQ contract, including options (i.e., will not extend past the dates established at initial award).
(e) The Government will not consider unsolicited requests for addition to either or both of the competition pools.
FA8137.52.216-H4 OFF-RAMPING (JUNE 2026)
(a) The Government reserves the unilateral right to Off-Ramp Contractors for non-performance or unsatisfactory performance. Contractors that are Off-Ramped will be restricted on future bidding under either competition pool. The Government reserves the right to Off-Ramp contractors with active, ongoing performance on existing task orders. The Off-Ramp process under an IDIQ contract encompasses several methods by which the Government may exercise its right to remove a contractor from the pool of effective IDIQ contract awardees. The Off-Ramp methods include, but are not limited to:
(1) PCO determines that exercising of Option I is not in the Government's best interest, therefore, allowing the Contractor's contract term to expire.
(2) Debarment, suspension, or ineligibility as defined in RFO Subpart 9.4501-1, 9.405-2.
(3) Termination as defined in RFO Part 49.402, 49.403.
FA8137.52.227-H5 GOVERNMENT RIGHTS (JUNE 2026)
(a) Data Rights in Special Works
(1) The contractor shall retain ownership and copyright of contractor's data, designs, drawings, and deliverables resulting for its performance under this contract, unless otherwise specified at the task order (TO) level.
(2) In exchange for retained ownership, contractor grants perpetual, worldwide, nonexclusive, irrevocable, and royalty-free license to use, modify, reproduce, release, perform, display, or disclose these deliverables in any manner and for any Government purpose, and to authorize others to do so on the Government's behalf.
(3) The contractor shall clearly identify any pre-existing intellectual property incorporated into the deliverables prior to delivery and it will be subject to standard commercial licensing terms, provided those terms do not restrict the Government's ability to utilize deliverables for their intended operational purpose.
(b) Unlimited Government Rights
(1) The Government shall have unlimited rights, in all drawings, designs, specifications, notes and other works developed in the performance of this contract, including the right to use same on any other Government design or construction without additional compensation to the Contractor. The Contractor hereby grants to the Government a paid-up license throughout the world to all such works to which he may assert or establish any claim under design patent or copyright laws. The Contractor for a period of three (3) years after completion of the project agrees to furnish the original or copies of all such works on the request of the Contracting Officer.
(c ) Drawings and Other Data
(1) All designs, drawings, specifications, notes and other works developed in the performance of this contract shall become the sole property of the Government and may be used on any other design or construction without additional compensation to the Contractor. The Government shall be considered the "person for whom the work was prepared" for the purpose of authorship in any copyrightable work under 17 U.S.C. 201(b). With respect thereto, the Contractor agrees not to assert or authorize others to assert any rights nor establish any claim under the design patent or copyright laws. The Contractor for a period of three (3) years after completion of the project agrees to furnish all retained works on the request of the Contracting Officer. Unless otherwise provided in this contract, the Contractor shall have the right to retain copies of all works beyond such period.
(d) Rights in Shop Drawings
(1) Shop drawings for construction means drawings, submitted to the Government by the Construction Contractor, subcontractor or any lower-tier subcontractor pursuant to a construction contract, showing in detail (i) the proposed fabrication and assembly of structural elements and (ii) the installation (i.e., form, fit, and attachment details) of materials or equipment. The Government may duplicate, use, and disclose in any manner and for any purpose shop drawings delivered under this contract.
(2) If any required technical data to include but not limited to shop drawings specified to be delivered under this contract, is not delivered within the time specified by this contract or is deficient upon delivery (including having restrictive markings), the Contracting Officer may until such data is accepted by the Government, withhold payment to the Contractor of ten percent (10%) of the total contract price or amount unless a lesser withholding is specified in the contract. Payments shall not be withheld nor any other action taken pursuant to this paragraph when the Contractor's failure to make timely delivery or to deliver such data without deficiencies arises out of causes beyond the control and without the fault or negligence of the Contractor.
(3) The withholding of any amount or subsequent payment to the Contractor shall not be construed as a waiver of any rights accruing to the Government under this contract.
FA8137.52.236-H6 PROGRESSIVE DESIGN-BUILD (JULY 2026)
(a) 10 U.S.C. (S) 3241(g) formally codifies and authorizes Progressive Design-Build (PDB) to enhance the Government's ability to execute complex projects with greater cost certainty and reduced risk.
(b) PDB is a collaborative project delivery method with a two-phase approach in which the Government selects a design-build team based on qualifications rather than a firm bid, fostering partnership from the earliest stages.
(c ) During the initial phase, the design-builder works with the Government to advance the design to a significant level of completion, while providing pre-construction services to establish a Guaranteed Maximum Price (GMP). Following Government acceptance of the advanced design and GMP for construction, the project proceeds to the second phase final design and construction.
(d) If a fair GMP cannot be negotiated the Government has the right to terminate the contract. If the contract is terminated, the Government shall own the developed design for use to complete the project with a different contractor or utilizing a different delivery method.
FA8137.52.236-H7 ACCELERATED DESIGN-BUILD (JULY 2026)
(a) 10 U.S.C (S) 3241(f)(1) provides the legal and financial authority to utilize Accelerated Design-Build delivery method. The Government is authorized to use MILCON Design Appropriations to award a design-build contract prior to the authorization and appropriation for the construction.
(b) The Government reserves the right to award the initial contract for full design services with the option to proceed with construction at a later date.
(c ) Limiting Liability of an Accelerated Design Effort
(1) 10 U.S.C (S) 3241(f)(2) limits the liability of the Government for design-build efforts.
(2) If the Government does not proceed with construction resulting from an accelerated design-build for any reason to include but not limited to, lack of authorized or appropriated funding for the construction effort or termination for convenience, the Government shall only be liable for the cost of the design work that has been completed.
The Government shall not be liable for any damages resulting from lost construction revenue.
FA8137.52.216-H8 GOVERNMENT USE OF ECONOMIC PRICE ADJUSTMENT (JUNE 2026)
(a) The Government anticipates that certain construction task orders issued under this Multiple Award Indefinite Delivery Indefinite Quantity (IDIQ) contract may be subject to significant economic fluctuations in labor or material costs. To mitigate this risk for both the Government and the Contractor, the Government may utilize Fixed-Price with Economic Price Adjustment (FP-EPA) pricing arrangements for individual task orders.
(b) Because the scope, duration, and specific material requirements (e.g., steel, concrete, copper) of individual construction projects will vary, the specific Fixed-Price Economic Price Adjustment clause(s) are not established at the basic IDIQ level. Instead, the specific RFO, D-RFO, or agency-specific EPA clause(s) will be selected and incorporated at the time of the task order solicitation.
(c ) When an ordering contracting officer determines that an EPA is appropriate for a specific project, the solicitation will explicitly identify:
(1) The specific EPA clause being utilized (e.g., RFO 52.216-2, 52.216-3, RFO 52.216-4, or an approved agency deviation/custom clause).
(2) The specific materials, supplies, or labor categories that are eligible for price adjustment.
