Program Introduction Introduction.

Vandenberg Space Force Base (VSFB), home of Space Launch Delta 30 (SLD 30), plays a vital role in the execution of national defense priorities as both the focal point for the nation’s Western Range (WR) and as a host installation supporting a number of defense, civil and commercial organizations. VSFB's success in providing assured access to space and supporting test activities and tenant operations relies on the proper functioning of its facilities and infrastructure. These resources enable personnel and assets to deliver the capabilities needed for successful operations and test activities. FRAME is key to ensuring facility and infrastructure readiness for these missions. As such, FRAME requires an effective, customer-focused, responsive, and reliable service model with an emphasis on preventative and predictive maintenance. Furthermore, due to increased operational activity, a changing defense landscape, and the modernization of base support processes, FRAME also needs a flexible and innovative business approach.

Scope.

FRAME is a non-personal services contract providing maintenance, repair, modification, and modernization for facilities, property, and equipment that support the nation’s space mission, defense and test activities at VSFB and associated geographically-separated locations.

The Contractor is responsible to provide all personnel, equipment, tools, materials, supervision, training, processes, other items and services necessary to meet all contract requirements.

The Contractor is responsible for planning and executing all preventive maintenance (PM), corrective maintenance (CM), and repairing facilities and systems necessary to achieve operational availability for mission success. Planning includes the prioritization of these efforts within the available funding based on mission requirements, personnel and hardware safety, life-cycle costs, and performance improvements.

The scope of property and equipment (P&E) covered by this contract includes Building Equipment (BE), Real Property (RP), Real Property Installed Equipment (RPIE) facilities, and facility infrastructure. Henceforth, P&E will be used in the PWS as a general term for all assets covered in the above categories and listed in the Appendix I, Property and Equipment Responsibility List.

Facility infrastructure is defined as RP that supports facility operations and use. These items include, but are not limited to, water and gas mains, roads and parking areas, power production and electrical distribution, heating, cooling, ventilation, internal and external ladders, waste systems, and roofing.

Overview.

FRAME is an Indefinite Delivery Indefinite Quantity (IDIQ) contract. Services within this PWS will only be performed if ordered under a fully executed Task Order (TO). TOs may be issued by individual Contract Line Item Number (CLIN) (e.g. Cost Plus Fixed Fee [CPFF] CLIN) or a combination of like CLINs (e.g. Firm Fixed Price [FFP], Cost Plus Incentive Fee [CPIF], Cost (no fee) CLINs) as reasonably possible, on an annual or as-needed basis for routine tasks. Maintenance and repair services will be provided under FFP, CPIF, and Cost (no fee) CLINs for SLD 30, and FFP and Cost (no fee) CLINs for tenant organizations on the facilities listed in Appendix I, Property and Equipment Responsibility List. To accommodate future requirements, facilities, customers, and associated CLINs may be added to or removed from the contract as required.

Period of Performance.

The contract will contain two consecutive 5-year ordering periods. All contract activities must occur within these two ordering periods. The Government intends to issue annual task orders for full performance once the contract is on cycle.

The expected period of performance is as follows:

Notes:

· Phase-In is expected to begin 1 January 2028.

· After Phase-In, the contract is intended to run on an annual (1 April – 31 March) cycle.

· All performance, including Phase-Out and any contingency extension, must be complete by approximately mid-December 2037 so that the entire effort fits inside the two 5-year ordering periods.

· Ordering Years 6–10 fall within the second 5-year ordering period. Inclusion of these years in the evaluation does not obligate the Government to issue task orders for them.

· Services will be performed only when ordered under a fully executed task order.

Performance Location.

Performance locations include:

· Vandenberg Space Force Base

· Pillar Point Air Force Station

· Oak Mountain

· Santa Ynez Peak Should the Government require additional place(s) of performance, the Government and Contractor will work together to determine a reasonable solution to accommodate the additional place(s) of performance.

Government Team.

Program Management Team. Program Manager (PM) refers to the SLD 30/PM program management team with assigned responsibility for FRAME.

Contracting Team. Contracting Officer (CO) refers to the 30 CONS contracting team assigned responsibility for FRAME.

Contracting Officer Representatives (CORs). CORs monitor collectively all technical aspects of the contract and assist in contract administration. The CORs are authorized to perform the following functions:1) ensure that the contractor performs the technical requirements of the contract; 2) perform inspections necessary in connection with contract performance; 3) maintain written and oral communications with the contractor concerning technical aspects of the contract; 4) issue written interpretations of technical requirements (including Government drawings, designs, specifications); monitor contractor's performance and notify the contractor of any deficiencies through the SLD 30/PM, and 30 CONS; and 5) coordinate availability of government furnished property. The designated CORs will be identified to the contractor by separate letter from 30 CONS stating the responsibilities and limitations of each COR. The COR is not authorized to change any of the terms and conditions of the contract. Each COR’s area of responsibility will be specific and cited in the COR’s designation letter.

Government Resources and Services The government will make available for use to the contractor the following base services:

The local exchange carrier will bill the contractor directly for all commercial services provided. Government furnished DSN lines and service will not be used for personal business. The contractor shall provide their own non-Government telephone service via utilization of commercial service providers for personal or unofficial business. The contractor shall not accept collect calls on Government provided DSN lines. Federal Telephone System (FTS) long distance capability is provided on a reimbursable basis. It is also provided for support of command and control purposes, where the contractor performs in a mission critical capacity, and as required in order to eliminate sensitive transmissions over commercial lines (i.e.: launch countdown/conferencing, alarm circuit communication, secure phone service.) Commercial long distance calls can only be made when the party cannot be called via DSN capability. The Contractor shall appoint Telephone Control Officers (TCOs) and follow base policy by using the SLD 30/SC Cyberspace Infrastructure Planning System (CIPS) for additions, moves or changes to existing communications services. The Government will provide a count and list of current Government furnished mobile devices as part of the Government Furnished Property list.

Ensure that the contractor personnel needed to accomplish the intent of the meeting are properly prepared and in attendance.

Contract Management The Contractor shall:

Task Order Management Submit written proposals for all Task Order Requests for Proposal (TORPs). All submitted proposals must address and satisfy all Government requirements and objectives detailed in the respective TORP. Generate written proposals using the procedures in Appendix G, Task Order Procedures, and submit the proposals to 30 CONS and SLD 30/PM. Because Task Order proposal development is a baseline contract requirement, proposal preparation effort shall be charged to the applicable baseline customer Task Order/CLIN. If the RFP supports a new customer without an established baseline, the proposal preparation effort shall be charged to the SLD 30 baseline Task Order/CLIN. (Note: The Government cannot guarantee that all requested proposals will result in an awarded task order.)

Task Order proposal type and delivery schedule.

The Task Order type will be determined by SLD 30/PM in coordination with requesting customer.

Task Order Type
Task Order Proposal Delivery
Emergency
1 Calendar day of request
Urgent
5 Business days of request
Routine
10 Business days of request

Urgent Task Orders. In exceptional cases during the performance of this contract, 30 CONS may direct the Contractor to execute work by issuing an Authorization to Proceed (ATP) letter in lieu of a Task Order award. A verbal ATP may be issued after hours or on the weekend and will be formalized on the next business day. The Government will award the Task order within 15 working days of issuance of the ATP. Negotiated total labor hours or total estimated cost in the ATP letter must not be exceeded.

Launch Support, Urgent Response and Other Services TOs. Launch Support (PWS 7.1, CLIN X010) and Other Services (PWS 5, CLIN X010 and CLIN X011) TOs are in-scope, un-priced work covered under the basic contract. These routine tasks are assigned by SLD 30/PM and approved by 30 CONS. TOs are individually funded and should not exceed a 365-day period of performance except under exceptional circumstances.

Notify the PM in writing within 30 days when an extension to the Period of Performance is required for CLIN X010 and X011 TOs.

Associate Contract Agreement (ACA). Establish and update ACAs for any portion of the contract requiring joint participation to meet the Government's requirements.

If the CO determines during contract performance that formal cooperation agreements are necessary with other base contractors, military units, or tenant organizations to protect proprietary data or define specific contractor-to-contractor interfaces, the Contractor shall negotiate and execute mutual cooperation agreements with those designated associate entities.

Any such agreement established under this paragraph shall, at a minimum:

Identify the participating contractors and the specific program or contract interfaces.

Outline the categories of data to be exchanged or support to be provided.

Establish clear protocols for the protection of proprietary information.

State a specific period of performance or defining completion event.

Submit draft copies of any cooperation agreements to the CO for review prior to execution.

Not seek relief of any contract requirements, nor any adjustments to the contract terms, nor equitable adjustments or claims due to a failure to resolve a disagreement with an associate Contractor. (Note: Liability for the improper disclosure of any proprietary data contained in or referenced by any ACA shall rest with the parties to the ACA, and not the Government.)

Financial Management.

The Contractor shall:

Cost Accounting System.

Maintain a financial accounting system compliant with Generally Accepted Accounting Principles (GAAP) and comply with cost charging and reporting per DoD Financial Management Regulation (FMR) 7000.14-R Vol. 11a, Chapters 12 and 13 and DoD Instruction 3200.18. Maintain an acceptable accounting system as defined in R-DFARS 252.242-7999. The system must support segregation of direct and indirect costs, contract‑line‑item reporting, timekeeping, labor distribution, and internal controls consistent with RFO Part 31 and applicable agency supplements.

Ensure the system meets the accounting system adequacy standards of the Defense Contract Auditing Agency (DCAA), and the requirements of the Federal Acquisition Regulations (FAR).

Ensure the system identifies, tracks, and reports all costs by hours, dollars, Job Order Number (JON), Contractor Work Breakdown Structure (CWBS), WR OPS #, facility number, and customer’s identifications.

Ensure the system is fully capable of recording costs associated with multiple Government funding lines of accounting (LOA) at the task order level to include invoicing different LOAs through Wide Area Work Flow (WAWF).

Financial and Cost Reporting.

Ensure all submitted costs are fully burdened to include overhead (OH), General and Administrative (G&A), fee and any other approved costs, as applicable for each reporting period and TOs.

Define the final cost objective as the JON. Additionally, associate all costs to the correct level within the PWS. (Note: JONs may be assigned to specific programs, projects, events, and/or fund sources. Accuracy of cost reporting to the correct JON and Government-funding year is critical.)

Obtain approval from SLD 30/PM before making any changes to the details of the finance-related CDRLs.

Cost detail Reporting. Submit a monthly financial report detailing the monthly contract effort, including all purchases and cost adjustments (CDRL A006, Integrated Cost, Labor, Reimbursable and Invoice report). Report cost adjustments from earlier fiscal year tasking with current-month transactions. Trace cost adjustments to the adjusted fiscal year recorded balances.

Auditability. Ensure all documents are cross-referenced and make all records available to the Government for timely audits of financial and equipment records.

Task Order Fee.

Firm Fixed Price (FFP) Baseline CLINs (X001, X003, X005 – X008). Task orders awarded under this CLIN include profit calculated by applying the fixed profit percentage established at the IDIQ contract level to the negotiated fully burdened prime labor and subcontractor labor.

Firm Fixed Price (FFP) Projects CLIN (X011). Task orders awarded under this CLIN include profit calculated by applying the fixed profit percentage established at the IDIQ contract level to the negotiated fully burdened labor, materials and subcontractor costs. (Note: Estimated contract requirements for CLIN X011 do not represent a guarantee or warranty, and variances between estimated requirements and actually awarded task orders will not result in liability on the part of the Government. The Government cannot guarantee that task orders will be issued in amounts that equal the total estimated amount for CLIN X011.)

Cost Plus Incentive Fee (CPIF) CLINs (X002 and X004). For task orders under these CLINs, the Contractor shall propose labor using Government-approved Forward Pricing Rate Agreement (FPRA) rates. The target fee established at the IDIQ contract level shall be applied to the proposed target cost, consisting exclusively of the fully burdened prime and subcontractor labor. The final fee payable to the Contractor will be determined by the applicable cost-sharing formula (share ratio) and Technical Performance Factor as specified in the Incentive Fee Plan.

Cost Plus Fixed Fee (CPFF) CLIN (X010). For task orders under this CLIN, the Contractor shall propose labor using Government-approved FPRA rates. The fixed fee established at the base IDIQ level shall be applied solely to the total estimated fully burdened labor cost. No fee shall be applied to materials or subcontractor costs; these elements shall only be burdened with the applicable General and Administrative (G&A) rate. (Note: For Launch Support under CLIN X010, the estimated cost and fixed fee amounts are based on historical costs and were estimated at the time of award.
