About this file
This document is a Work Order Agreement Template issued by the Texas Health and Human Services Commission (HHSC) under RFQ No. HHS0016852. The template establishes the framework for executing work orders under an HHSC master contract and authorizes the contractor to perform Financial Audit services. The scope of services, special conditions, tasks, deliverables, and deliverable due dates are to be specified in the Work Order Request and Response Form (Attachment A) and the Contractor's Engagement Letter (Attachment B), which are incorporated by reference into the agreement. The performance period commences on the date of the last party signature and terminates upon project completion as determined by the System Agency or on a specified end date, whichever occurs first. The HHSC reserves the right to terminate, halt, or defer all or any portion of work at any time during the performance period, with any material changes to the agreement requiring written amendment by both parties, though the System Agency's program point of contact may approve extensions to deliverable due dates in writing.
The total compensation due to the contractor for services performed under the work order agreement shall not exceed an amount specified in the final agreement, with all expenditures conforming to the work order requirements. The agreement incorporates all provisions of the underlying HHSC master contract, with only those provisions specifically amended by the work order being modified while all other contract terms remain in full force and effect. The document serves as a template and does not contain specific populated fields such as the actual work order number, master contract number, compensation amount, performance end date, or system agency contact information, indicating that these details would be completed when individual work orders are executed under the master contract.
