About this file

This is an insurance requirements document for standard service agreements issued by the County of Santa Clara, California, establishing tiered insurance provisions based on contract value. The document outlines three contract tiers: agreements above $100,000 (Exhibit B-2), agreements between $50,001 and $100,000 (Exhibit B-2A), and agreements between $10,001 and $50,000 (Exhibit B-2B). All tiers require contractors to provide a Certificate of Insurance prior to commencement of work and to maintain coverage throughout the contract term. The document mandates that all insurance be issued by carriers rated A-V or better according to Best's Key Rating Guide, with 30 days' prior written notice required for any cancellation or material changes to coverage. The County reserves the right to withhold payment for material noncompliance with insurance requirements.

Insurance coverage requirements vary by contract tier. For contracts above $100,000, contractors must maintain Commercial General Liability Insurance with limits of $1,000,000 per occurrence and $2,000,000 general aggregate, Automobile Liability Insurance of $1,000,000 combined single limit, and Workers' Compensation with Employer's Liability coverage of $1,000,000 per occurrence. For contracts between $50,001 and $100,000, general liability limits decrease to $1,000,000 per occurrence with $1,000,000 aggregate, while automobile liability remains at $1,000,000. For contracts between $10,001 and $50,000, general liability limits are reduced to $500,000 per occurrence and aggregate. All tiers require the County of Santa Clara and its officers, agents, and employees to be named as additional insureds with primary coverage. Contractors must also indemnify and defend the County against claims arising from contract performance, except for losses caused by the County's sole negligence or willful misconduct. Fidelity bonds equal to at least 15 percent of the maximum financial obligation are required only if contractors receive advanced funds or payments. Self-insurance may fulfill requirements with written County approval and evidence of financial capacity.

Indemnity

Notwithstanding any other provision of this Agreement, Contractor shall indemnify, release, hold harmless, and defend, with counsel approved by County of Santa Clara (hereinafter “County”), County and its officers, agents, and employees from any claim, demand, suit, judgment, liability, loss, injury, damage, or expense of any kind (including attorneys’ fees and costs) arising out of, or in connection with, performance of this Agreement by Contractor and/or its officers, agents, employees, or sub-contractors, excepting only loss, injury, or damage caused by the sole negligence or willful misconduct of personnel employed by County. It is the intent of the parties to this Agreement to provide the broadest possible coverage for County as allowed by law. Without limiting the Contractor's indemnification of the County, the Contractor shall provide and maintain at its own expense, during the term of this Agreement, or as may be further required herein, the following insurance coverages and provisions:

This verification of coverage shall be sent to the requesting County department, unless otherwise directed. The Contractor shall not receive a Notice to Proceed with the work under the Agreement until it has obtained all insurance required and such insurance has been approved by the County. This approval of insurance shall neither relieve nor decrease the liability of the Contractor.

B. Qualifying Insurers

All coverages, except surety, shall be issued by companies which hold a current policy holder's alphabetic and financial size category rating of not less than A- V, according to the current Best's Key Rating Guide or a company of equal financial stability that is approved by the County's Insurance Manager.
