About this file
This is a Financial Solvency Certification attachment for the California Department of Aging (CDA) in response to RFO Number RFO-2526-04 for MSSP - Organizational Change Management. The certification requirement applies to all offerors submitting proposals and must be completed by an organization official with contracting authority. There are no specific products, services, quantities, response dates, site visits, or bidder meetings detailed in this attachment, as it functions solely as a compliance document within the larger RFO process.
The certification serves as a material representation of fact that the offeror's organization is financially solvent and will remain so throughout the contract term. Offerors must certify their financial stability and commit to notifying the CDA representative in writing of any substantial solvency concerns, including cash reserve depletion, inability to meet payroll or accounts payable obligations, deteriorating accounts receivable collection, tax payment delinquency, fraud, mismanagement, commingled accounts, or misuse of grant funds. The document requires the authorized official's printed name, signature, date, company name, full address, and SSN or TIN. CDA reserves the right to terminate any contract if a false certification is discovered, in addition to pursuing other available remedies.

ATTACHMENT 10
FINANCIAL SOLVENCY CERTIFICATION
In compliance with the California Department of Aging (CDA) contracting protocols, the following certification is required by Offerors:
1. The Offeror’s organization official with contracting authority certifies, to the best of his/her knowledge and belief, that the organization is financially solvent, and will remain so during the life of any contract Agreement awarded. The official will notify the Department representative in writing of any substantial solvency concerns such as depletion of cash reserve accounts, use of cash reserves to meet payroll obligations, inability to meet obligations for accounts payable, evidence of deteriorating accounts receivable collection, evidence of delinquency in payment of IRS or payroll taxes, evidence of fraud or mismanagement, co-mingling of accounts, and/or use of grant funds for non-grant purposes.
2. This certification is a material representation of fact upon which reliance will be placed when making the award. If it is later determined that the Offeror/offeror made a false certification, CDA may, in addition to other remedies available, terminate any contract issued.
