About this file

This is a Questions and Answers document related to NASA Johnson Space Center's Human Health and Performance Contract 2 (HHPC2) solicitation. The document contains 51 questions from potential offerors and NASA's responses covering various aspects of the RFP requirements.

Key clarifications include: the Government Property Management Plan is due at Final Proposal Revision rather than phase-in; responsibility information requirements are split between initial proposal submission and Final Proposal Revision; there is no base fee allowed on the contract; Past Performance Questionnaires are not required for Key Personnel; and both on-site and off-site work at Johnson Space Center is anticipated. The document also clarifies that major subcontractors must submit cost/price volumes, Basis of Estimates are required in Mission Suitability rather than the cost file, and Volume V Model Contract must be submitted in Word format rather than PDF. Additional clarifications address indirect rates, Total Compensation Plan requirements, and various DRD submission timelines.

1 Section L Proposal Instructions Table L-2, L.23 (1.a), L.23 (2.), L.23 (3.), M9 (2)

257, 292-298, 314- 317 Clarity

Within the instructions in L.23 for Volume IV. Responsibility Considerations, the government states multiple references to determining whether the offeror is responsible per FAR 9.104 requirements. Each of these references, appears to allow the offeror to prove this responsibility, not only within different sections of Volume IV, but also at different times within the proposal/award process.

Within L.23 (a), the government states, "failure by the offeror to affirmatively demonstrate adequate compliance with the general standards of prospective contractor responsibility at FAR 9.104-1...and FAR 9.104-2, will result in a determination of non-responsibility." Based on this statement, the government appears to want this proof at time of proposal, within Vol IV, at the opening of the document, as direct answers to 1.a-h., which will address FAR 9.104-1 and 9.104-2 concerns. Please validate that the information the government wants related to the FAR 9.104-1 and FAR 9.104-2 will be answered in full by addressing items within 1.a-h cited on pages 293-295, and the government does not wish for the offeror to provide additional narrative in this section.

Within L.23(2), the government states, "with final proposal revision (FPR) or from the apparent awardee...the remaining responsibility determination information addressing all of the rest of the elements under FAR 9.104, standards, to demonstrate responsibility shall be included." Based on this statement, the government appears to want this proof of all other FAR 9.104 items -defined by the government as items 2a-d and i. (Financial Capability Information) of the RFP, addressed post proposal at time of FPR or award.

Within L.23 (3), the government states, "Offerors may provide any additional information, not already addressed under another proposal volume, that is considered to be necessary to demonstrate status as a responsible offeror under FAR 9.104, Standards." Based on this statement it appears as though the item above in L.23(2) is negated, and all other FAR 9.104 items shall be addressed at time of proposal within this section (3) of Volume IV.

Within M.9 (2), the government states that various items including I. Financial Capability Information are due at FPR. Financial Capability is part of the FAR 9.104-1 (a) "Have adequate financial resources to perform the contract, or the ability to obtain them." This appears to negate the information stated as L.23 (3) - any additional information considered necessary under FAR 9.104 shall be addressed in proposal as part of Vol IV section 3 Responsibility Information.

Given these varied instructions, could the government please clarify that FAR 9.104 is only to be addressed in greater detail at FPR? Within the proposal FAR 9.104, cited as items 1 a-h, appear to be the items the government wishes the offeror to address at time of proposal. Can the government clarify which sections of FAR 9.104 are to be addressed, as additional narrative (not the listed requirements, which are 2a-d + i) at FPR and at time of proposal?

The following Responsibility Information in accordance with (IAW) FAR 9.104 is due with the Initial Proposal Submission: a) Organizational Conflicts of Interest (OCI) Information, b) AS9100 and ISO 9001 Certification, c) All required Department of Labor Information, d) Prime/Subcontractor Identification and SOW Division of Work Listing, and e) Company Information. The following Responsibility Information IAW FAR 9.104 is due with Final Proposal Revision (FPR) or from the Apparent Awardee (if no discussions are necessary): a) Provide documentation showing approval status, b) FAR 16.301-3, Cost-Reimbursable Contracts, Limitations, c) Cost Accounting Standards, d) Government Property Management Plan, e) Taxpayer Identification Number, f) Waiver of Rights to Inventions, g) Information Technology (IT) Systems Information, and h) Financial Capability Information. Responsibility Considerations – Volume IV, Sections L.23 and M.9 have been revised to mirror each other and to correct any discrepancies.

2 Section L Proposal Instructions Table L-2, L.23 (h); Attachment J-2, BP-08; and M9.(2) 257, 295, 314-317 Clarity

In various sections of the proposal the government states that the Government Property Management plan is due at different times.

In section L.23(h) and in Table L-2, the government states that the Government Property Management Plan is due in Vol IV at time of proposal.

However, within the Attachment J-2, DRD No: BP-08, the government states that the "plan due during phase-in. Supplemental property procedures due within 60 days after contract start."

Then, within Section M9(2), the Government states that the item h) Government Property Management Plan is due "with Final Proposal Revision (FPR), and not with the proposal submission.

Can the government please confirm that the Government Property Management Plan is not due within Vol IV or with FPR, but is due at phase-in and within 60 days after contract start - per the BP-08 instructions within Attachment J-2?

The Government Property Management Plan in its entirety shall be provided at time of Final Proposal Revisions or award to an apparently successful offeror as part of Volume IV and will not be required to be submitted at Phase-In. DRD BP-08 has been updated.

3 Section L Proposal Instructions Table L-2, L.23 (2.a-d), and M9.(2)

257, 295-298, 314- 317 Clarity

In section L.23 (2.a-d + i), the government states that "with final proposal revision (FPR) or from the apparent awardee...the remaining responsibility determination information addressing all of the rest of the elements under FAR 9.104, standards, to demonstrate responsibility shall be included." However, in Table L-2, which is to be the compliance matrix guide for the Volumes, the government lists all additional FAR 9.104 information including Business System Adequacy, Taxpayer Identification Number, Waiver of Rights to Inventions, Information Technology (IT) Systems Information and Financial Capabilities Information.

In M9 (2), the government states that Approval Status, Cost-Reimbursable Contracts, Cost Accounting Standards, Property Management Plan, Taxpayer Identification Number, Waiver of Rights to Inventions, Information Technology (IT) Systems Information and Financial Capabilities Information are all due at FPR.

Can the government please confirm that these five items (Business System Adequacy, Taxpayer Identification Number, Waiver of Rights to Inventions, Information Technology (IT) Systems Information and Financial Capabilities Information) are due at time of award and NOT at proposal submission?

The Business System Adequacy, Taxpayer Identification Number, Waiver of Rights to Inventions, Information Technology (IT) Systems Information and Financial Capability Information are due with Final Proposal Revision (FPR) or from apparent awardee if no discussions are necessary.

4 Section L Proposal Instructions

L.21 (h) Instructions for Past Performance Questionnaire, Attachment L-4.

"In addition to the information above, Offerors, any major subcontractors as defined

272 Clarity The government provided clarity on the Past Performance Questionnaire in Answer to #81 in Drop 1. The instructions in L.21 (h) and (i) still indicate that PPQs are requested for the Program Manager and Deputy Program Manager. Could you confirm that PPQs are not required for Key Personnel?

L.21(h) has been revised to remove: "[Program Manager (or equivalent) and Deputy Program Manager (or equivalent)]". In addition, L.21(i) has been deleted.

5 Section L Proposal Instructions

L.22 Cost and Price Factor - Volume III General Instructions, (2) Cost/Price Proposal and GPM, Form 4 – Indirect and Other Rates

280 Clarity

Section C – Scope of Work states that the majority of HHPC work will be performed at JSC and that local site support may be a hybrid of both on-site and off-site, as required by the HHPC2 Task Orders (TOs). In addition, MA1 Contract Management Plan and Approach states that approximately 755 on-site seats will be made available for the HHPC2 contractor workforce, which also indicates that a portion of the HHPC2 workforce must be located off-site. However, under General Instructions, (2) Cost/Price Proposal and GPM, Form 4 – Indirect and Other Rates it states that “For estimating purposes, the Government anticipates work in support of this contract to be completed at the Government site”. Please clarify that this includes both on-site and off-site work, and if so update GPM Form 4 as appropriate.

Attachment L-2 Government Pricing Model (GPM), Form 4 Indirect & Other Rates, has been revised to state: "The Government anticipates the work, in support of this contract, will be completed at the Government site. For estimating purposes, the Government anticipates work to be performed at Johnson Space Center, Houston, TX."

6 Section L Proposal Instructions L.1 242 Clarity Please clarify if the statement "The offeror is cautioned that the listed provisions may include blocks that must be completed by the offeror and submitted with its quotation or offer" applies to only the provisions listed in the tables on pg. 242-243 (I. FEDERAL ACQUISITION REGULATION (48 CFR CHAPTER 1) and II.

NASA FAR SUPPLEMENT (48 CFR CHAPTER 18) PROVISIONS)?

FAR 52.252-1 SOLICITATION PROVISIONS INCORPORATED BY

REFERENCE (FEB 1998) refers to provisions in Sections A - L of the Request for Proposal (RFP).

7 Section L Proposal Instructions L.22 255 Clarity L.20.1 MA1(b) covers BOE requirements. Section L.22 Major subcontractor Information states "Major subcontractors shall provide cost/price narrative (Basis of Estimate) information utilizing instructions of this section L of this solicitation." As part L.20.1 MA1(b) does the BOE need to be separated out by offeror and major subcontractor as stated in L.22?

Major subcontractors are required to submit a cost/price volume. The Offeror is responsible for providing the Basis of Estimate (BOE) and supporting narrative for Statement of Work (SOW) Section 1.0 contained in L.20.1 MA1(b).

8 Section L Proposal Instructions L.20.1 255 Other Per L.20.1 MA1 - We request the government consider removing BOEs from MA1 in Mission Suitability and allow all the data for BOEs be included in the cost file for BOEs as an appendix.

The Government will not remove Basis of Estimates (BOEs) from MA1 and allow the data to be included in the cost file as an appendix.

9 Section L Proposal Instructions L.19.b.6. 260, 316-317 Clarity

In section L.19.b.6., the government states "if final proposal revisions are requested,…" however, in sections L.23 and M9. the government states that various elements of Vol IV (Items 2.a-d + i) will be due "with final proposal revision."

Can the government clarify that items cited in L.23.2.a-d + i and M.9.2.a-i, will be due at final proposal revision and not with initial proposal submission? Can the government clarify when final proposal revision will be?

See response to No. 1.

10 Section L Proposal Instructions l.17 (a) Proposal Arrangement, Page Limitations, Copies, and Due Dates

252 Request for additional information

If Proposal Volume II, Past Performance is submitted early and the and the offeror needs to make a change (e.g. a solicitation amendment or other reason), will offerors be able to provide a revision to the Volume? Yes, but only if there are any changes made by the Government to Proposal Volume II.

11 Section L-2 Government Pricing Model Form 3, Labor Rates N/A Request for additional information What does the Government want included as costs in the premium rates? There are many potential items that could go into a premium rate such as shift differential, mandatory work premiums, call back premiums, HAZMAT premiums, etc. The Government will address this question at a later date.

12 Section L-2 Government Pricing Model Form 3, Labor Rates N/A Clarity How does the Government intend to handle premiums for OCONUS assignments such as Department of State hazard pay or Cost of Living Allowances? Will these be considered ODCs or do Offerors need to price these things into the premium labor rates provided in response to the solicitation.

Travel costs will be reimbursed at the actual cost, and no fee or profit shall be applied to travel costs. Travel costs will be allocated to the contract based on actual airfare and per diem rates per the most current official Continental United States (CONUS) or Outside (OCONUS) Per Diem Rates, located at https://www.gsa.gov/travel?topnav=travel.

13 Section L Proposal Instructions L.18.g 255 Other Would the government consider removing the MA4 Continual Improvement Plan from the 100 page count page limit? If removing from page count is not available would the government consider adding additional pages to the Mission Suitability Volume? Or, if neither of these options is acceptable, would the government consider having MA4 as a stand alone document with page count specifically for MA4 only?

No, the Government has already increased the Mission Suitability page count limit from 75 to 100 pages.

14 Other Section B.8, H.26, H.27, Attachment L-2 Government Pricing Model

17, 136-137 Clarity

Section B.8 and Attachment L-2 indicate Fully Burdened Rate Tables along with (H.26 (3)(b) NTE fixed fee rate) a not to exceed (NTE) fixed fee rate that is established at the start of the contract. However, there is no location to establish the NTE fixed fee rate to include in the rate tables.

Further, under H.26, the Government has the option to convert a CPAF to a CPFF contract or back to a CPAF per H.27.

Is it the Government's intention to utilize the Award Fee rate as the NTE fixed fee rate when building the Fully Burdened Rate table within Attachment L-2?

It is the Government's intent to request Not To Exceed (NTE) fixed fee rates at the time of conversion from Cost Plus Award Fee (CPAF) to Cost Plus Fixed Fee (CPFF).

15 Other Section B, B.8 Fully Burdened Rate Table for Pricing Task Orders

24/325 and Attachment L- 2_Government_Pricin g_Model_(GPM)

Clarity

Section B.8(a) Non-Labor Resources (NLRs) states "All non-labor cost that are proposed must be allowable, allocable, and reasonable, in accordance with the FAR, NASA FAR Supplement, and any other applicable NASA procurement policy documents. The contractor shall include back-up information with the estimate that provides rationale for their proposed cost/price estimates for materials and other non-labor costs. All NLR costs, excluding Facilities cost, are non-fee or profit bearing." Attachment L- 2_Government_Pricing _Model_(GPM), Tab Form 1 Proposed Effort Detail, Row 44 includes NLRs in the calculation of Award Fee.

Will the Government clarify if the NLRs are non-fee or profit bearing? If NLRs are not fee or profit bearing, will the Government correct the formula(s) in Attachment L- 2_Government_Pricing_Model_(GPM)?

Section L.22 and the Attachment L-2 Government Pricing Model (GPM) have been updated. Revisions include: Updated Award fee formula on row 44, removed all Government provided NLR costs from the calculation to maintain compliance with Section B requirements of performance.

16 Other

Section B, B10 NFS 1852.216- 85 Estimated Cost and Award Fee and Section L.3 FAR

52.216 Type of Contract

Pages 25 and 244 Clarity

Section B.10 NFS 1852.216-85 Estimated Cost and Award Fee states "The estimated cost of this contract is $TBD. The maximum available award fee, excluding base fee, if any, is $TBD. The base fee is $TBD. Total Estimated cost, base fee and maximum award fee are $TBD. However, Section L.3 FAR 52.216 Type of Contract states "The Government contemplates award of single-award Indefinite-Delivery, Indefinite Quantity (IDIQ) contract with Cost-Plus-Award-Fee (CPAF), Level of Effort (LOE) and Firm Fixed Price (FFP) Task Orders. The contract has the option to transition to Cost-Plus-Fixed-Fee (CPFF) and the option to transition back to CPAF. The phase-in effort will be firm fixed price."

Will the Government please clarify if both a base fee and award fee are allowed on this contract?

There is no base fee allowed on this contract.

17 Other

Section B, B.10 NFS 1852.216- 85 Estimated Cost and Award Fee; and Attachment L-2 Government Pricing Model

Pages 25 and Att. L-

Request for additional information

Section B.10 indicates even under an Award Fee, there is Base Fee to be calculated. However, within Tab Form 1 Proposed Effort Detail, Row 45 (Profit) is not included in any of the Price Calculations.

Is a Base Fee allowed by the Government under this procurement? If so, will the Government update the workbook to include the Base Fee or an adjusted calculation to account for the Base Fee (Profit)?

There is no base fee allowed on this contract.

18 Other Section C, SOW - Subsection 4.8, Laboratory Animal Care 64 Clarity

This section specifies that the contractor will provide licensed veterinarians (DVM) and American Association for Laboratory Animal Science (AALAS) certified veterancies technicians.

Since there are no RFP labor categories provided for these positions, should we use the Physician category for the DVM and the Technician category for the veterinarian technician?

The Offeror shall map their labor categories to the HHPC2 SLCs using the guidelines provided in Attachment J-16, Standard Labor Categories.

19 Other

Section H, H.6 NFS 1852.235-

74 ADDITIONAL REPORTS

OF WORK—RESEARCH AND

DEVELOPMENT (FEB 2023)

117 Clarity

This clause requires monthly and quarterly reports be submitted within 15 days after the end of the reporting period.

Will the Government please confirm which DRD this reporting requirement is associated with, as we were not able to identify a DRD with these same reporting requirements?

Section H, H.6 has been revised to RESERVED.

20 Unnecessary or inefficient requirements Section I 144-145 Other Clause 52.223-18 has been reserved in the FAR and replaced with 52.226-8. Will the Government remove the listing of 52.223-18 to remove RESERVED and the essentially duplicated clause?

Section I.1 LISTING OF CLAUSES INCORPORATED BY REFERENCE of the RFP has been revised to remove Clause 52.223-18 since it is now RESERVED in the Federal Acquisition Regulation (FAR).

21 Section I 145 Request for additional information As the Government is contemplating a Cost-Type contract, will the Government please add clause 52.232-20 Limitation of Cost to Section I?

In accordance with (IAW) FAR 32.706-2(a) The contracting officer shall insert the clause at 52.232-20, Limitation of Cost, in solicitations and contracts if a fully funded cost-reimbursement contract is contemplated, whether or not the contract provides for payment of a fee. This contract is not fully funded, therefore, the Government has decided not to incorporate FAR 52.232-20 Limitation of Cost.

22 Section L Proposal Instructions Section L, L.19(b)(4) 259/325 Clarity

Volume V is the Model Contract which replicates Sections A-J of the RFP and the Offeror is only required to complete certain blocks and fill-ins, along with requirements under Section K.

Will the Government please clarify if the requirements under Section L.19(b)(4) for cross reference matrix, glossary, and acronyms are required since the Model Contract itself is the Government's document?

The requirements under Section L.19(b)(4) apply to information that Offerors may include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government in accordance with FAR 52.215-1(e).

23 Section L Proposal Instructions Section L, L.20 [MA5] Total Compensation Plan (2)(b)(1) 265/325 Request for additional information

Will the Government please clarify how Offerors are to respond to the TCP requirement set forth in Paragraph (2)(b)(1) of MA5 that states "If the firm proposes to capture incumbent employees and proposes direct labor/salary rates for incumbent personnel that are lower than incumbent rates, explain how your firm intends to attract and retain incumbent staff." The Government has not provided incumbent direct labor rates and therefore Offerors have no basis for explaining rates that may be lower or higher than incumbent rates. Additionally, this same RFP paragraph states that an Offeror's "failure to provide supporting rationale for lower direct labor/salary rates may impact the evaluation."

We respectfully request that NASA either remove this requirement from the evaluation or provide incumbent labor rates to all interested parties to increase the probability of realistic pricing.

The Government will address this question at a later date.

24 Section L Proposal Instructions Section L, L.20 [MA5] Total Compensation Plan (2)(b)(1) 265/325 Request for additional information

Will the Government please reconsider providing nonproprietary historical information such as incumbent labor rates or at least provide weighted average composite direct labor rates as well as approximate seniority profiles of incumbent personnel?

We understand that this data was obtained by the Government through the incumbent's required deliverable BP-10, Re-Procurement Package, which is required for the purpose of supporting cost/price information to be used for re-procurement activities, including this follow-on effort to increase the probability of realistic pricing. The rates for the very niche skills and roles supported on this contract can vary widely depending on years of experience/service, specific certifications, etc. It is very difficult for non-incumbent offerors to provide realistic labor rates that will support retention of the critical skills employed on the contract without access to the same data available to the incumbent.

The Government will address this question at a later date.

25 Section L Proposal Instructions Section L, L.21.f 272/325 Clarity Will the Government please clarify whether or not Attachment L-6 Past Performance Matrix should list only the three (3) required reference contracts and the Key Personnel contract references, or if the matrix is to be used to document those plus additional contracts from the team that cover the Statement of Work?

Per Attachment L-6, Past Performance Matrix, Offerors should only include the three total required past contracts that best demonstrate their ability to perform the HHPC2 work as required by L.21 Past Performance - Volume II (a). If Key Personnel contracts are listed in Attachment L-6, they will count towards the total of three contracts to be provided by the Offeror. In accordance with L.21(b), Offerors are required to provide Key Personnel information in Attachment L-7, Key Personnel Resume. Contract references included in Key Personnel resumes will not count towards the Offeror's three contract references.

26 Section L Proposal Instructions Section L, L.21.j 272/325 Clarity

The Government addressed the question regarding whether or not the requirements of L.21(j) applied to all contracts of the last five (5) years or just the three (3) referenced contracts as required by L.21(a).

For clarity, we recommend the Government update L.21(j) to state as follows:

"(j) Offerors shall provide the following performance data with explanatory remarks on the three referenced contracts as identified in L.21(a) above that have been performed in the last five years."

Past Performance Information (JSC 52.215-114) (NOV 2022) (j) does not allow for the requested edit.

However, for clarification, Offerors shall demonstrate past experience in all areas of the statement of work by submitting information on up to three past contracts performed in the last five years.

27 Section L Proposal Instructions Section L, L.22(2)(c)/Form 6 and L.22(2)(d)13 281 Clarity

The Government includes the TCP in both Volume I and Volume III. While some of the Volume III TCP is contained in Form 6 TCP Rate Build-Up Form tab of the GPM, L.22(2)(d)13 also contains requirements for a narrative describing proposed fringe benefits and an approach to incumbent capture. L.20.1.MA5 contains these same requirements and others for the TCP.

Please clarify if the Government wants both Volumes I and III to include a TCP addressing the requirements listed, or whether to consolidate these responses into one narrative to be included in one volume.

The Government requests Volumes I and III to include a Total Compensation Plan (TCP) addressing the requirements listed as they will be evaluated seperately.

28 Section L Proposal Instructions

Section L, L.22 General Instructions (d) 1. Direct Labor Hours & Attachment J- 16_Standard Labor Categories_(SLCs)

282/325 and Attachment J-16 Clarity

The "Government Provided Non-Management Labor Categories and Hours Table" included in Section L-22 General Instructions (d.1) Direct Labor Hours includes "Employee Assistance Program Counselor" as an RFP Labor Category; however, this Labor Category is not included in Attachment J-16_Standard Labor Categories_(SLCs).

Will the Government please confirm if "Employee Assistance Program Counselor" is a valid Labor Category? If it is a valid Labor Category, will the Government provide an amended Attachment J-16 that includes "Employee Assistance Program Counselor"?

The Offeror shall map their labor categories to the HHPC2 Standard Labor Categories (SLCs) using the guidelines provided in Attachment J-16, Standard Labor Categories. Employee Assistance Program Counselor has been added to Attachment J-16.

29 Section L Proposal Instructions Section L, L.23(b)(1)(e) 300/325 Clarity

L.23(b)(1)(e) lists the cost accounting standards as part of the information that should be included with the Initial Proposal Submission. This requirement conflicts with M.9(b)(2)(c), which has it with the Final Proposal Revision.

Will the Government resolve the conflict?

Responsibility Considerations – Volume IV, Sections L.23 and M.9 have been revised to mirror each other and to correct any discrepancies. Cost Accounting Standards will be due at Final Proposal Revision (FPR) or from the Apparent Awardee (if no discussions are necessary).

30 Section L Proposal Instructions Section L, L.23(b)(1)(h) 302/325 Clarity

L.23(b)(1)(h) lists the Government Property Management Plan as part of the information that should be included with the Initial Proposal Submission.

Additionally, Slide 33 of the pre-proposal conference also has the Government Property Management Plan listed as being due with the Initial Proposal Submission. However, these requirements conflict with M.9(b)(2)(d), which states that the Government Property Management Plan should be provided with the Final Proposal Revision.

Will the Government resolve the conflict?

See response to No. 2.

31 Section M Evaluation Criteria M.9(b)(2)(d) 323/325 Clarity

The evaluation factor refers to M.9(b)(2)(d), Property Management Plan, which cites the Government Property Management Plan [DRD BP-08), and then later in M.9(b)(2)(h) refers to Government Property Management Plan.

Will the Government clarify if (d) and (h) are referring to two (2) different plans?

Responsibility Considerations – Volume IV, Sections L.23 and M.9 have been revised to mirror each other and to correct any discrepancies. For clarification, there is only one "Government Property Management Plan" required, which is due at Final Proposal Revision (FPR) or from the Apparent Awardee (if no discussions are necessary). DRD BP-08 has been revised accordingly.

32 Other

Attachment L-9 Prime Subcontractor Identification and SOW Division of Work Listing Worksheet

N/A Request for additional information

Instructions within the Worksheet indicate a requirement to also include the subcontract value associated with each entity, subcontractor size classification (SB, WOSB, etc.), and associated CAGE code. The worksheet does not include sufficient columns representing the value, size classification, and CAGE code for input of the entities.

Will the Government update the worksheet or allow the Offeror to add columns associated with these requirements?

Attachment L-9 Prime_Subcontractor Identification and SOW Division of Work Listing Worksheet has been revised to include additional columns for CAGE Code and Size Standard. Furthermore, subcontract value associated with each entity is not required.

33 Other DRD MGMT-03 Contract Management Reports 13 Grammatical

We noted what we believe to be a minor typo in DRD MGMT-03 Contract Management Reports, which references Interrelationships with the MGMT-03, Continual Improvement Plan. The Continual Improvement Plan is actually listed as DRD MGMT-09 in the Government’s Attachment J-2. Will the Government please make this correction?

Yes, the Contract Management Reports DRD (MGMT-03) was updated with the correct reference for the Continual Improvement Plan DRD (MGMT-09).

36 Other Section I, Paid Sick Leave Under Executive Order 13706 144 Request for additional information Can the Government please provide sick leave balances for all incumbents? Offerors require sick leave data in order to determine the impact on indirect rates and overall price. The Government will address this question at a later date.

37 Section L Proposal Instructions Attachment L-2 Form 4 Other Please confirm the offeror and/or major subcontractors may amend the pool elements in column A of Form 4 i.e. 4A, 4B, 4C, 4D to align with those in their accounting system for each indirect expense pool.

Current instructions in Section L, as well as within Form 4, state that: "The Offeror is to add tabs as necessary to support the indirect rate structure proposed. For all indirect tabs added by the Offeror, the offeror shall also adjust the Form 4, Indirects & Other Rates to reflect the additional information provided."

The Government notes the title of Form, 4 referenced in the written instruction, has been revised to reflect the correct labeling within the workbook. Form 4 is titled Indirect & Other Rates.

38 Section L Proposal Instructions L.22 Cost and Price Factor - Volume III 274-292 Clarity

P. 274 states, "Throughout the Cost/Price Volume instructions, the term "Offeror" is defined as the Prime Offeror which may be a Joint Venture."

As the Cost/Price Volume instructions proceed, each paragraph identifies whether it applies to the Offeror, or the Offeror and Major Subcontractor.

Based on these instructions, please confirm that Major Subcontractors only need to provide the following in their Cost/Price Volumes:

- GPM L-2, forms 3b,c,d; form 4 (includes 4a, 4b, etc); Form 6 -Cost/Price Volume (Narrative), consisting of the following paragraphs / requirements as the only requirements noted as being applicable to Major Subcontractors:

7. Uncompensated Overtime

13. Total Compensation Plan

The Government confirms Major Subcontractors are to complete GPM L-2, forms 3b,c,d; form 4 (includes 4a, 4b, etc); Form 6. RFP Section L.22(d) notes The Cost/Price Volume (Narrative) is required to be completed by the Offeror and Major Subcontractor, the parts required to be included in the narrative are detailed in the referenced Section L instruction.

39 Section L Proposal Instructions L.22 Cost and Price Factor - Volume III 281 Clarity

The instructions for the GPM, L-2, tab 6 state, "Form 6 – Total Compensation Plan. Form 6 quantifies the firm’s personnel policies, labor rates, and fringe benefits by location (if different), by year."

In the Q&A released during the Draft phase, Q&A # 46 stated "The requirement for Form 6 to record the Total Compensation Plan (TCP) data is intended only for the first contract year."

This is consistent with the format of Form 6 within the GPM, L-2.

Respectfully recommend the Government remove the reference to 'by year' within the Section L instructions for Form 6 on page 281, to maintain consistency with Form 6 and the answer provided in the referenced question #46.

Section L.22 Cost and Price Factor - Volume III, Form 6 – Total Compensation Plan, has been revised to remove the reference to "by year".

40 Section L Proposal Instructions MA5 Total Compensation Plan 264 Other The RFP has outlined extensive and detailed requirements for narrative within MA5 Total Compensation Plan. This is in addition to the basic requirements of FAR 52.222-46.

In order for offerors and major subcontractors to provide meaningful and thoughtful responses to the extensive requirements, we respectfully request that the page count be increased to at least 20 pages.

No, the Government has already increased the Total Compensation Plan (TCP) page count limit from 8 to 10 pages.

41 Section L Proposal Instructions L.21 (e) 272 Clarity

States: "This submission shall clearly detail what portions of the Statement of Work, the prime, major subcontractors, proposed Program Manager, teaming partners, and/or joint partner are responsible for and the specific resources to be employed and relied upon to perform the proposed effort. Does the term "Statement of Work" reference the HHPC2 statement of work, or does it reference the respective statement of work for the prior contract/experience being referenced or described in the past performance description.

Yes, the term "Statement of Work" under L.21(e) refers to the HHPC2 Statement of Work (SOW).

42 Other Attachment J-2, DRD: BP-01 32 Clarity Clarification on Athena Reporting: Can you please confirm that Athena Reporting will be a requirement of DRD BP-01?

Athena or similar system will be used for project management financial system reporting. Reference DRD BP-01, Contractor Financial Management Report (NF533): Project Management Financial System Reports (Athena or similar system): These files provide data for the project management financial system. This data is loaded into the system on a monthly basis and is required with the delivery of the 533. Note:

Submittals are not allowed to go backwards to make prior period adjustments. All prior period adjustments need to be reflected in the current month.

43 Section L Proposal Instructions L-6 Past Performance Matrix Request for additional information

L-6 PP matrix states clearly that the matrix should reflect what is in the narrative. The narrative does not require PP for minor subs.

Should minor subcontractor PP performance be included in the matrix if it is not in the narrative? Attachment L-6 shall be reflective of the narrative.

44 Section L Proposal Instructions

RFP Cover Letter

Table L-2 Overview of Proposal Volumes, Page Limitations, Copies, and Format

p. 5

p. 254-258 Other

The RFP Cover Letter states, “In order to control and protect sensitive data owned by the Government and its Contractors, NASA policy requires all acquisition-related documents be released in Adobe Portable Document Format (PDF), except the Microsoft Excel documents.” However, Section L-18, Table L-2 requests Volume V Model Contract to be delivered in MS Word. We respectfully requests and strongly recommend the Government allow Offerors to submit Volume V Model Contract in PDF format for the following reasons:

1. Delivery of the Model Contract in MS Word necessitates conversion to MS Word on the Offeror’s side - Conversion to Word of a long, complex RFP with numerous tables such as HHPC2 is an inconsistent process that can have varying results between different Offerors and pdf conversion programs. From previous experience the conversion process can introduce multiple errors into a document. These errors include, but are not limited to, misspelled words and broken sentences, new pagination, formatting errors such breaking alignment consistency of tables (table cells reading as center-aligned in the program, but in reality containing a mixture of left, right, and center alignment that cannot be fixed), and irreversible carriage returns introduced into paragraphs. We believe these errors introduced by an Offeror-side conversion of the Government’s RFP violate the integrity of the Government’s document.

2. Modern PDF programs offer tremendous flexibility of editing pdf documents and all necessary fill-ins and contractual additions that may be needed in Volume V Model contract can be done via these programs. We have utilized Adobe to edit multiple RFP documents for Model Contract submissions over the previous years and believe it and other PDF programs offers all the flexibility needed to deliver a complete Model Contract to the Government for this proposal submission.

Offerors will not be allowed to submit Volume V Model Contract in pdf format.

45 Section L Proposal Instructions L.24 Model Contract and Additional Requirements - Volume V, table, Section J

298-299 Clarity

The table under L.24 column "Areas of Model Contract Offerors are Required to Complete" indicates potential areas for fill in, that when you go to those areas an OFI is not indicated nor does the section appear to require a fill in.

Can the government clarify if the following Contract Sections should indicate "none" in the table, or clarify what type of fill in the government is referring to for that section?

The sections in question are: Section F, column indicates "Options to Extend Period of Performance" however this section does not have a place for a fill in; Section H, column indicates "Small Business Subcontracting Goals" but this is already filled in and no OFI is indicated, also "Option To transition from award fee to fixed fee" does not have a place for a required fill in, and "Option to transition from fixed fee to award fee" does not have a place for a required fill in; and under Section I, column indicates "Post- Award small business program representation" but this clause does not indicate a required fill in other than a representation that is only applicable if offeror is not registered in SAM.gov which is typically found under Section K.

The following changes have been made to the RFP: L.24 Model Contract and Additional Requirements - Volume V, table: Section F has been revised to None. Section H has removed OPTION TO TRANSITION FROM AWARD-FEE TO FIXED-FEE and OPTION TO TRANSITION FROM FIXED-FEE TO AWARD- FEE. Section I has been revised to None. Furthermore, H.7 SMALL BUSINESS SUBCONTRACTING GOALS has been revised to include OFI.

46 Section L Proposal Instructions L.24 Model Contract and Additional Requirements - Volume V, table, Section J

299 Clarity

Regarding the requirement of Volume V Model Contract, Section J for "Offerors to submit the required documents".

Will the government please clarify this requirement by modifying the instructions to exclude plans required by DRDs since these "required documents" are already being submitted under other volumes and would require review and final approval by the Goverment before they are incorporated into Section J of the contract?

L.24 Model Contract and Additional Requirements - Volume V, table, Section J will be revised to: "Offerors shall submit the required documents and fill-in all OFIs. This excludes plans required by DRDs."

47 Section L Proposal Instructions

Table L-2, for Volume IV, Responsibility Considerations and L.23 Responsbility Considerations

- Volume IV, (2) With Final Proposal Revision (FPR); and Section M.9

257 and 292-293, and 316 Clarity

The Table L-2 indicates items under Responsbility Information to submit with the proposal. Question 1: Table L-2 does not indicate the Government Property Managment Plan and DRD BP-08 under initial submission states it is due "during phase-in"; however, item (h) that is listed in Section L.23 lists the Government Property Management Plan as being due with proposal. Will the government confirm this plan is due during phase-in as indicated in the DRD.

Question 2: Section L.23 (2) states the following items are due upon Final Proposal Revision request and not with the initial proposal submission; however, these items are listed in the Table L-2 without an indication that they are due at FPR: -

Business System Adequacy
-Taxpayer Identification Number
-Waiver of Rights to Inventions
-Information Technology (IT) Systems Information
-Financial Capability Information. In addition, Section M.9 also lists Cost Accounting

Standards as being part of submission only at time of FPR request as well as the Property Management Plan which is listed as item (d) and (h) under Section M.9 . Will the government please confirm these items are not required at initial proposal submission and only due upon FPR request (to include clarification on the Cost Accounting Standards being due at FPR request as indicated in Section M.9 or as indicated in Section L-23 with initial submission).

Question 3: Financial Capability Information is labeled as item (i) under Section L-23 but it follows item labeled (d) Information Technology (IT) Systems Information. Will the government confirm this item (i) should be labeled item (e) under items required upon FPR request for Section L.23 to ensure it is clear that items are not necessarily missing from the list.

Question 1: The Government Property Management Plan in its entirety shall be provided at time of Final Proposal Revisions or award to an apparently successful offeror as part of Volume IV and will not be required to be submitted at Phase-In. DRD BP-08 has been updated. Question 2 and Question 3: The following Responsibility Information in accordance with (IAW) FAR 9.104 is due with the Initial Proposal Submission: a) Organizational Conflicts of Interest (OCI) Information, b) AS9100 and ISO 9001 Certification, c) All required Department of Labor Information, d) Prime/Subcontractor Identification and SOW Division of Work Listing, and e) Company Information.

48 Other DRD MGMT-10, Organizational Conflicts of Interest (OCI) Plan

J-2 Contract Data Requirements List Clarity

The DRD for the OCI plan item 10 asks "for a list of all the prime's and proposed subcontractor(s)'s NASA contracts and subcontracts currently being performed and contracts performed within the last five years of the release of this solicitation, in order to provide the CO a better understanding of other NASA work performed by the Offeror that may give rise to an actual or potential conflict " . In the same manner, item 11 asks "for a list of non-NASA Federal contracts and subcontracts... ...that may give rise to an OCI ".

Will the government please confirm that these lists should only include those specific NASA contracts and subcontracts and non-NASA Federal contracts and subcontracts that an offeror has identified as having an actual or potential conflict, if any?

The list for OCI Plan Item 10 shall be for those NASA contracts that may give rise to an actual or potential conflict of interest. For non-NASA federal contracts and subcontracts, the list shall include any that may give rise to an OCI.

Section L Proposal Instructions L.23 Responsibility Considerations

- Volume IV (b) (1) (e)

293 Clarity

If your CAS Disclosure Statement is currently not approved or there are some existing CAS non-compliance findings, please provide detailed explanation of the CAS non-compliance issues, corrective action status, and any potential impact on this procurement. A copy of the offeror’s disclosure statement applicable to the resultant contract shall be submitted and the offer shall clearly identify where in the disclosure statement where the following are addressed: Contractor Purchasing, Requirements for Cost Tracking and Accounting and Associated Business Systems."

Can the government please confirm that the requirement to submit a disclosure statement and to indicate where within the document the listed items are addressed is only required if the offeror does NOT have an approved disclosure statement or that it has non-compliance concerns?

Confirmed. The requirement to submit a disclosure statement and indicate where within the listed items are addressed is only required if the Cost Accounting Standards (CAS) disclosure statement has not been approved or there are existing CAS non-compliance findings.
