About this file

This is a Questions and Answers document containing 23 questions and responses related to RFP 80JSC025R7001 for the Human Health and Performance Contract 2 (HHPC2) at NASA Johnson Space Center.

The Q&A addresses several key areas including: premium labor rates calculations, Total Compensation Plan requirements, security clearance documentation requirements (TOP SECRET Facility Clearance required), vehicle requirements (approximately 14 vehicles currently in use), Government Pricing Model formulas, facility requirements (offsite facilities not required by government), and contract numbering discrepancies. Notable clarifications include that the incumbent contractor uses leased vehicles through GSA, bonded storage requirements for off-site facilities are dependent on specific task needs, and formatting instructions apply to the Government Pricing Model. The document also clarifies that "major subcontractor" refers to those with contract values exceeding 20% of total contract value, and addresses questions about proposal section organization and documentation requirements.

1 Section L-2 Government Pricing Model Form 3, Labor Rates N/A Request for additional information What does the Government want included as costs in the premium rates? There are many potential items that could go into a premium rate such as shift differential, mandatory work premiums, call back premiums, HAZMAT premiums, etc.

The Government cannot provide and/or advise what to include as costs in the premium rates. Costs in the premium rates are provided by the Offeror.

2 Section L Proposal Instructions Section L, L.20 [MA5] Total Compensation Plan (2)(b)(1) 265/325 Request for additional information

Will the Government please clarify how Offerors are to respond to the TCP requirement set forth in Paragraph (2)(b)(1) of MA5 that states "If the firm proposes to capture incumbent employees and proposes direct labor/salary rates for incumbent personnel that are lower than incumbent rates, explain how your firm intends to attract and retain incumbent staff." The Government has not provided incumbent direct labor rates and therefore Offerors have no basis for explaining rates that may be lower or higher than incumbent rates. Additionally, this same RFP paragraph states that an Offeror's "failure to provide supporting rationale for lower direct labor/salary rates may impact the evaluation."

We respectfully request that NASA either remove this requirement from the evaluation or provide incumbent labor rates to a interested parties to increase the probability of realistic pricing.

The Government has provided historical rates for incumbent personnel under Total Compensation Plan (TCP) in Section L.

3 Section L Proposal Instructions Section L, L.20 [MA5] Total Compensation Plan (2)(b)(1) 265/325 Request for additional information

Will the Government please reconsider providing nonproprietary historical information such as incumbent labor rates or at least provide weighted average composite direct labor rates as we as approximate seniority profiles of incumbent personnel?

We understand that this data was obtained by the Government through the incumbent's required deliverable BP-10, Re- Procurement Package, which is required for the purpose of supporting cost/price information to be used for re-procurement activities, including this follow-on effort to increase the probability of realistic pricing. The rates for the very niche skills and roles supported on this contract can vary widely depending on years of experience/service, specific certifications, etc. It is very difficult for non-incumbent offerors to provide realistic labor rates that will support retention of the critical skills employed on the contract without access to the same data available to the incumbent.

The Government has provided historical rates for incumbent personnel under Total Compensation Plan (TCP) in Section L.

4 Other Section I, Paid Sick Leave Under Executive Order 13706 144 Request for additional information Can the Government please provide sick leave balances for all incumbents? Offerors require sick leave data in order to determine the impact on indirect rates and overall price. No, the Government does not have access to this incumbent information.

5 Other

We noted a discrepancy in the Solicitation Number listed in the RFP documents. The RFP Title and the SF30 list the Solicitation Number as 80JSC025R7001; however, the headers beginning in Section C through Section M list the Solicitation Number as 80JSC024HHPC2. Will the Government please clarify and correct this discrepancy for what will become the model contract?

The headers beginning in Section C through Section M have been revised to reflect 80JSC025R7001.

6 Other

The Government confirmed that Offerors are not to provide Volume V Model Contract in PDF format, but the Model Contrac documents were provided to industry in PDF format. Converting PDF to Word to provide back to the Government can produce unexpected OCR errors. To allow error-free inclusion of the fill-ins and SECTION K - REPRESENTATIONS, CERTIFICATIONS, AND OTHER STATEMENTS OF OFFERORS OR RESPONDENTS, will the Government please provide a Word version of HHPC2 RFP 80JSC025R7001 Amendment 1 (or the current amendment)?

No, please submit in accordance with JSC 52.215-113 (NOV 2023). Furthermore, Word copies of the RFP and its attachments cannot be provided by the Government.

7 Security Clearance Requirements

Will the Government please clar fy submittal requirements related to security clearance requirements? Specifica ly, Section L.15, Security Requirements and Instructions to Offerors, state, “Proof of a TOP SECRET National Security Fac lity Clearance (FCL) shall be required to be submitted by the Offeror at time of proposal.” Previous RFP versions suggested that this proof be provided in Volume IV, Responsibility Considerations; however, HHPC2 RFP 80JSC025R7001 Amendment 1 removed indications from Section L and Section M regarding security clearance requirements submittal in Volume IV or elsewhere. We also note that Table L-2 indicates that the DD254 is to be provided as part of Volume I, Missio Suitabi ity (per instructions on form), but there are no additional instructions on the form or elsewhere in Section L. Notes within the DD254 state to see instructions, but there are no additional instructions provided.

The requested DD254 Contract Security Classification Specification shall be provided under Volume I, Mission Suitability as indicated in Table L-2. DD254 Instructions can be found at https //www.esd.whs.mil/portals/54/documents/dd/forms/dd/dd0254-Inst.pdf.

8 FCL Requirements What documentation should be provided with the proposal? Do offerors provide the Pre-Award DD254 with only Block 6 fill-ins completed or is other documentation such as a Memorandum of Record of FCL required? If the DD254 is required, does that serve as proof of the TOP SECRET National Security Facility Clearance (FCL)?

The requested DD254 Contract Security Classification Specification shall be provided under Volume I, Mission Suitability as indicated in Table L-2. DD254 Instructions can be found at https //www.esd.whs.mil/portals/54/documents/dd/forms/dd/dd0254-Inst.pdf. For additional information regarding acquiring a Faci ity Clearance (FCL), more information can be found at https //www.dcsa.mil/Industrial-Security/Entity-Vetting-Facility-Clearances-FOCI/Facility-Clearances/.

9 FCL Requirements

Should the requested documentation (DD 254 or other documentation) be provided stand-alone at the front of the Volume I Mission Suitability Volume as indicated in Table L-2? Or should the documentation be provided in Volume IV, Responsibility Considerations since “failing to submit evidence of the Offeror’s TOP SECRET facility security clearance (FCL), the proposa will be determined to be unacceptable with no further consideration for contract award.”

The requested DD254 Contract Security Classification Specification shall be provided under Volume I, Mission Suitability as indicated in Table L-2.

10 GPM

The L-2_Government_Pricing_Model_(GPM)_A1.xlsx appears to contain an error on the tab “Form 1 Proposed Effort Detai ” on row 44 Award Fee (MAX) resulting in Fee being calculated too high.

The current formula in cell D47 is listed as ((D42-(D34-D35-D36))*C44) and appears it should be ((D42- (D34+D35+D36))*C44) instead and would then need corrected all the way across the row for each contract year.

Please confirm you concur that there is an error, and if the offeror(s) should just correct this formula or if the government wi l provide an updated excel file that adjusts this formula?

The Government Pricing Model (GPM), Form 1 has been revised Updated Award Fee formula in row 44 from ((D42-(D34-D35-D36))*C44) to ((D42-(D34+D35+D36))*C44).

11 Unnecessary or inefficient requirements Section C Statement of Work 33 Clarity Are there HHPC personnel stationed at other centers not outlined in the SOW which currently defines scope as JSC (EF, SSTF, WSTF, etc.)? For example HHPC personnel at NASA HQ or other sites.

Due to the nature of Indefinite Delivery Indefinite Quantity (IDIQ) requirements, the scope of work for other Centers will be defined in the Task Orders.

12 Section L Proposal Instructions L.22(2)(c) 278 Clarity

There is a lack of clarity or specificity regarding offsite facility requirements for HHPC II contract performance. Will the Government please provide additional detail regarding offsite facility requirements? Additionally, if an offsite facility is required, we recommend the Government consider using language which requires offerors to conduct a FAS 13 Analysis to establish the classifcation of facilities leasing (operating or capital) and help aid the Government in understanding cost reimbursement under the HHPC II contract. We further recommend that offerors be required to submit a copy of their proposed lease (with location and number of employees proposed to be housed at that location) and provide an analysis of the cost impacts related to their leasing approach.

The Government is not requiring offsite facilities for HHPC2. However, Offerors may propose offsite facilities

13 Other Section C 1.3.6 31 Clarity Section 1.3 states contractor must maintain all vehicles necessary to perform work. Will the government please include a current listing and quantity of vehicles in use for HHPD contractor work?

There are approximately 14 vehicles in use and maintained for HHPD contractor work at JSC. There are 6 vans 2 cargo vans 4 trucks and 2 SUVs.

14 Other Section C 1.3.6 31 Clarity Section 1.3 states contractor must maintain all vehicles necessary to perform work. Are the vehicles owned or leased by the government? The vehicles are leased by the contractor through the GSA supply source.

15 Other Section C 1.3.6 31 Clarity Section 1.3 states contractor must maintain all vehicles necessary to perform work. Is the HHPC 2 contractor allowed to have an agreement with GSA for vehicles?

Upon request by the contractor, the Government may provide authorization to lease, rent or purchase from GSA supply sources.

16 Other C5.3 Hardware and Software Development 77 Request for additional information What hardware/software engineering/fabrication/processing tools are currently in use by the incumbent, are those tools government or contractor owned, and what is their location?

Refer to Attachment J-3, Installation Accountable Government Property, and Attachment J-4, Government Furnished Property, for more information about property. Refer to NFS 1852.245-71 for the defin tion of Installation-Accountable Government Property (IAGP) and FAR 45.101 for the definition of Government- Furnished Property (GFP). The specific IAGP and GFP identified in these attachments are subject to change as is any location information associated with this property.

17 Section L Proposal Instructions MA-5 Total Compensation Plan 250 Clarity Definition of major subcontractor is at least 20% of the total estimated "professional" direct labor hours or WYE's. Please provide a definition of "professional" labor hours, and does professional labor hours mean only exempt positions? Please refer to FAR 52.222-46 EVALUATION OF COMPENSATION FOR PROFESSIONAL EMPLOYEES.

18 Section L Proposal Instructions L.21 (j) 271 Clarity In section L.21.j., is the reference to "prime subcontractor" limited to major subcontractor as defined elsewhere?

For awareness L.21(j) has been re-organized to L.21(i) from DRFP to RFP. A hyphen was missing in between the words "prime" and "subcontractor" to indicate that this language is referring to a "prime to subcontractor" relationship. There is no intent to introduce different terminology for "major subcontractor".

The affected statement has been revised as follows If a joint venture or prime-subcontractor relationship is proposed, the same information shall be provided for each company proposed.

19 Other F.4 Place of Performance- Services 99 Request for additional information Does the incumbent contractor maintain off-site facilities to perform work that falls outside of SOW 1.0? If so, what is the nature and volume of the work performed off site? The Government is not requiring offsite facilities for HHPC2. However, Offerors may propose offsite facilities

20 Unique terms and conditions C1.4 Procurement 34 Other Is the contractor required to have bonded storage for flight or other hardware offsite? Approximately how much offsite storage space is required for materials, parts, etc.?

If an Offeror proposes to have an off-site flight hardware manufacturing lab, it would be advantageous to have a bonded storage room at their off-site facility. The decision for the location of bonded storage is dependent upon several factors that include but are not limited to the location of the HHPC2 flight hardware lab, amount of program stock that will transition from HHPC to HHPC2, amount of program stock required to conduct future tasks on HHPC2, etc. Discussions and negotiations conducted during phase-in will be used t determine forward plans.

21 Section L Proposal Instructions

L.19 Proposal Formatting Instructions (JSC 52.215-113)

(NOV 2023)

L-2 Government Pricing Model

(GPM)

Page 257 Clarity Do the proposal formatting instructions apply to the Government Pricing Model (GPM) in Excel? Yes, please refer to L.19(b)(2).

22 Section L Proposal Instructions L.22 Cost and Price Factor - Volume III Page 272 Clarity

Paragraph four states, "For proposal purposes, Major Subcontractor is defined as subcontractor or Inter-/Intra- Work Transfer Authorizations (IWTA) having a contract value that equals or exceeds 20% of the contract value. Minor Subcontractors are defined as subcontractor having a contract value less than 20% of the contract value." Is the contract value inclusive of the non-labor or should the 20% be of total labor on the contract?

The Government provided Non-Labor Resources (NLR) are at the prime level only, per RFP instructions. If a sub-contractor is proposing NLRs, those count towards their total contract value.

We noted a discrepancy between the L.24 Model Contract instructions for Section B and Section B itself. L.24 states that Offerors are to “Fill-in award fee for TOs”, “Fill-in FBLR for Cost Reimbursable TO’s” and “Fill-ins for FFP TO’s” in Section B.8. However, B.8 only provides the FBLR tables for base and option years, not different tables for Cost Reimbursable and FFP FBLRs. It also does not provide a place to enter the TO award fee amount. Is it the Government’s intent to only have one set of tables for FBLRs regardless of contract type? Is it also the Government’s intent to insert the NTE Award Fee and NTE Profit rates after announcement of the awardee and at issuance of the IDIQ contract? If these are true, would the Government consider issuing an amendment correcting L.24?

L.24 Model Contract and Additional Requirements - Volume V, Areas of Model Contract Offerors are Required to Complete under Section B has been revised.
